In my last letter I reported that, given the significant Canada-Philippines business interests and potential for membership growth in Cebu and other parts of the Visayas, your Trustees had explored the feasibility of establishing a Cebu Chapter of the Chamber and were working on implementation with a target of establishing a Cebu Chapter by the year-end. I am now delighted to report to you that:• Your Trustees has approved the establishment of a Cebu Chapter• A Cebu Chapter was officially established and launched on 12 November 2010• We already have commitments for more than 75 members, including two major corporate memberships, with over 35 memberships already paid in full To support the new Cebu chapter:

between The Honorable Gwen Garcia, Governor of the Province of Cebu, and myself, as CanCham President, with a formal exchange of Letters of Cooperation. I was accompanied by CanCham Trustee Tammy Lipana, CanCham Governor Consul Robert Lee, and CanCham Executive Director Sean Georget. The Ambassador of Canada to the Philippines, HE Mr Christopher Thornley, travelled especially to Cebu to grace the occasion and express his support. He was accompanied by Trade Commissioner Alex George.

In conjunction with the launch, the CanCham delegation met with the President of the Cebu Chamber of Commerce and Industry and the Cebu Provincial Director of the Department of Trade and Industry to explain the potential for enhanced Canada-Cebu business cooperation, the role of the new chapter and intent to work closely with them as partners. Briefings were given to the print and electronic media, with good local and national media coverage of the launch.

The successful launch of the Cebu Chapter, CanCham’s first organizational unit located outside of Metro Manila, represents historic milestone in the institutional development of the chamber. Your Trustees are confident that establishment of the Cebu Chapter will facilitate:• Provision of a local program and business services for Cebu-based members • Input of a Cebu-based perspective to CanCham’s national advocacy role• Access to Cebu business information and contacts for Manila-based membersYour Trustees, having reviewed the Cebu chapter arrangements of some other foreign chambers of

On June 28, 2010, the U.S. Supreme Court issued its decision in the famous case of Bilski vs. Kappos, 561 U.S. ____ (2010) where it had the chance to clarify the rules

on the patentability of business methods. While U.S. patent law is territorial in nature, the U.S. Supreme Court’s decision has already caused “shockwaves” in the intellectual property (IP) world. This is not surprising considering that the U.S. patent jurisprudence has persuasive effect in other jurisdictions that have similar patent rules, such as the Philippines.

Can a business method be patented?By: Atty. Divina Gracia E. Pedron

Atty. Divina Gracia E. Pedron ([email protected]) is a Junior Partner at Villaraza Cruz Marcelo & Angangco Law Offices (CVCLaw) whose field of specialization is intellectual property law. She obtained her Bachelor of Laws degree from the University of the Philippines.

In 1997, Bernard L. Bilski and Rand A. Warsaw filed with the U.S. Patent and Trademark Office (USPTO) a pat-ent application for a method of hedging risks in commodi-ties trading. The patent application relates to an energy pricing program in which a consumer pays a predeter-mined amount for their total energy consumption for a given period. The price is independent of the amount of energy the customer uses or the unit price of the energy. The fixed bill method finds application in places that expe-rience winter since energy consumption for heating tends to increase if winter turns out to be longer or colder.

The USPTO rejected the application and ruled that the invention applied for is not implemented on a particu-lar apparatus, merely manipulates an abstract idea and solves a purely mathematical problem. On appeal, the U.S. Court of Appeals for the Federal Circuit (CAFC) upheld

the method’s non-patentability, arguing that phenomena of nature, mental processes and abstract intellectual con-cepts are not patentable as they are the basic tools of sci-entific and technological work. The CAFC further stated that, for an invention to be patent-eligible, it must satisfy the so-called “machine-or-transformation test”. Under the “machine or transformation test” an invention will be patentable only if: (1) it is tied to a particular machine or apparatus, or (2) if it transforms a particular article into a different state or thing.”

The first category is easier to understand. A simple ex-ample of such invention would be a potato fries cooker that we readily see in fastfood restaurants. There is no dispute that the laws of thermodynamics are not patent-able as they are fundamental laws of science. However, thermodynamic laws may be “tied” to a machine. The

machine will automatically determine the time of cooking, the amount of heat, the ide-al cooking temperature and other physical parameters. The machine can also send off an alarm when the potato fries had already been fried to an ideal level. The food restau-rant crew will then be alerted to remove the perfectly cooked potato fries. This illustrates how an abstract idea or mathematical for-mula can be tied to a machine and may be patented.

The second category, the transformation test, is more complicated. Under the second category, a subject matter is patentable if it transforms a particular article into a differ-ent state or thing. The next logical question would then be, “What is an article?” Previ-ous cases did not encounter the difficulty of defining what an article as most of them dealt with tangible things like transforming rubber to a vulcanized form such as what happened in the case of Diamond vs. Diehr, 50 U.S. 175 (1981). However, as observed by the U.S. Supreme Court in Bilski, the concept of what an article is became more complicated recently in cases dealing with electronic signals and electronically-manip-ulated data, and in cases involving more abstract constructs such as legal obligations.

According to the CAFC, Bilski’s fixed bill business method was not patentable because it did not transform any article to a different state or thing. The CAFC stated that legal obligations and business risks can-not meet the test because they are not physi-

cal objects or substances. The IP community intently waited for the decision of the U.S. Supreme Court since it was possible for the Court to

agree with the CAFC that patent applications must satisfy the more stringent “machine-or-transformation test”. Had this happened, several business methods that do not meet this test would be considered as no longer patentable.

Ultimately, in January 2009, the U.S. Supreme Court held that the machine-or-transformation test is not the sole test for determining the patent eligibility of a process. Although that test may be a useful and important or investigative tool, it is not the sole test for determining whether an invention is a patent ineligible process. The U.S. Supreme Court pointed out that it is unaware of any ordinary, contemporary, common meaning of “process” that would require it to be tied to a machine or the transformation of an article.

A Filipino inventor or entrepreneur might wonder how the Bilski case might affect him. The grant of patents on busi-ness methods by the USPTO or the U.S. Supreme Court is persuasive in our jurisdiction. Also, since the Philippines is a member of the Patent Cooperation Treaty, it is expected that a number of business method applications from the U.S. or other jurisdictions has entered or is still about to enter the Philippine national phase. Thus, how the Intellectual Property Office might decide whether business methods are patentable under Philippine law is clearly relevant.

And we should not forget the ingenuity of the Filipino especially when it comes to business dealing and payment pro-cedures. In fact, our local mobile phone industry is abundant with fixed billing methods with various forms of unlimited sending of SMS, calling or even internet surfing. While these business methods have a similarity to the Bilski business method, due to Filipino creativity, it is not unlikely for a Filipino to develop a business method that would meet the standards laid down in the Bilski case, and obtain a U.S. or Philippine patent for the same. In fact, Section 2.2, Chapter IV of the Intellectual Property Office’s Manual for Substantive Examination Procedures states that “if a computer program in combination with a computer causes the computer to operate in a different way from a technical point of view, the combination might be patentable”. This is consistent with the “machine test” discussed in Bilski,

“Cebu is a major center for eco-nomic growth in the Philippines: es-tablishing a Cebu Chapter attests to our conviction that there is great po-tential for growth in two-way trade and investment between Canada and Cebu. We were impressed with the enthusiasm of the Governor and the Mayor in welcoming interna-tional trade and investment to Cebu as well as their commitment to join with us in enhancing Canada-Cebu business relations,” Mr. Payne said.

This is the first chapter the Cana-dian Chamber has established out-side Metro Manila.

“We have also received enthusias-tic support from the Cebu business community and Cebuano firms that have Canada-Philippine business interests,” Mr. Payne added.

Canada’s Ambassador to the Philippines, H.E. Christopher Thornley joined the meeting and the welcomed the announcement.

“Putting Canadian Chamber resources on the ground is a timely private sector initiative that the Embassy of Canada and its Trade Commissioner Service fully welcome and support; as an invest-ment in the future of this vibrant business society. Initiatives from the Canadian and Philippine private sectors are the drivers of fu-ture growth in trade and investment between our two countries. The more initiatives the better.” Ambassador Thornley said.

“Canada and the Philippines have a long history of people-to-people ties, shared commitments to democracy and peace, and complementary economic strengths which can greatly benefit from enhanced commercial engage-ment. We need to exploit the full potential, includ-ing the opportunities here in Cebu”, he added.

The Canadian Chamber will establish a Cebu Advisory Committee and will open an office in Cebu City with a full-time administrative officer to provide support to the Cebu Chapter.

personnel Changes

While Mon Paje remains acting Secretary of DENR, there have been some recent changes in MGB. The Acting Director Edwin Domingo has been replaced by the Deputy Director Leo Jasareno again in an acting capacity with Elmer Billedo, former Regional MGB Director in Region 4A as the new 2IC. Former Director Domingo is now apparently in charge of Foreign Assisted Projects in DENR specifically the $ 50 Million WB Institutional Strengthening and Capacity Building Loan for DENR.

Another related development is the dissolution of the Minerals Development Council (MDC) under the office of the President. This appears to be a case of the Aquino Government wanting to show how keen it is to cut down on costs as it was among a whole list of other agencies also being done away with rather than an anti-mining initiative. Secretary Paje spoke on this at the AnzCham Monthly Meeting and said he was currently in discussion with the Office of the President about moving the MDC under the wing of DENR along with the Secretariat costs. These discussions are still ongoing. After his presentation he enthusiastically said Joint Chamber support to retain the Minerals Development Council would be most welcome.

The other burning issue is the current push on cleaning up the dormant tenements and tenement applications. According to the Secretary ultimately about half of the 2,500 tenements and applications will be canceled. While the industry generally supports this process there is some concern about transparency issues concerning the re-application process for the cancelled tenements. In responding to this question Sec. Paje said they are drafting procedures to handle this process and plan to invite competitive bids for the cancelled tenements that would not only be done in an transparent manner but will also raise badly needed revenue for the Government.

•dMO 2010-08 – 29/06/10 - Consolidated Department, of Environment and Natural Resources Administrative Order Re: Implementing Rules and Regulations of Republic Act No. 7842, Otherwise Known as the Philippine Mining Act of 1995

Impact/Result- All amendments since the original IRRs were published in 1996 will be consolidated in one document. Well overdue.

•dMC 2010 – 14 - 29/06/10 - Standardization of Requirements and Enhancement of Public Participation in the Streamlined Implementation of the Philippine EIS System

Impact/Result – Increased emphasis on community and LGU participation in the definition of the scope of the Environmental Impact Assessment for environmentally critical projects including mining.

•daO 2010-13 – 05/05/10 - Amendments to Section 16 (Ancestral Lands) and to Chapter XIV (Development of Mining Communities, Sciences and Mining Technology) of DAO No. 96-40, as Amended, the Revised IRR of RA No. 7942, Otherwise Known as the \\\”Philippine Mining Act of 1995\\\”

Impact/Result – This DAO increases both the percentage and method of calculations for SDMP funding involving development activities, IEC requirements and the development and advancement of mining science and technology. Without any discussions its industry’s stakeholder the DENR has increased from percentage from 1% of mining and milling costs to 1.5% of total operating costs. These two changes together effectively increase the current SDMP funding by a factor of three. While on the surface this appears to be a positive move there is a danger for the larger mining projects to spend more on non-sustainable infrastructure rather than increasing incomes and human and social capital within the communities. To give an example – It is reported Filminera’s expenditure will go up from P17 Million per year to over P70 Million due to the way they are structured. It will be difficult for them to spend this amount effectively in their eight affected Barangays without resorting to large infrastructure spending. Likewise a large project like Tampaken will likely cause the serious social problems similar to Freeport’s Grasberg Mine in Indonesia’s West Papua Province (formerly Irian Jaya) due to the required yearly expenditures for community development.

Industry News

Overall the value of Philippines mineral production increased over 51% to P 49 Billion for the first six months of the year compared to the first six months of last year. I production precious metals including gold and silver increased 39% in value and 12% and 38% respectively for gold and silver. For base metals, copper, nickel zinc and chromite the over all value increased 79% with 26% increase in copper production, 12% nickel concentrate and 82% increase in Nickel ore shipments. Headlines - tampaken -Clash of the titans

The biggest news in the industry is the recent interest of two of the Philippines biggest corporations, San Miguel and First Pacific (via Philex) in the $ 5.5 Billion Tampaken Project. Considering the recent travails of SMI the local Tampaken joint venture company with the South Cotabato Provincial Council and the banning of open pit mining it is somewhat surprising with the interest shown by the two local captains of industry. Philex is also looking into the feasibility of a potential buy-in of Didipio gold-copper project in Nueva Vizcaya currently under care and maintenance by the owner Oceana Gold Corp.

The Canadian Chamber hosted its 23rd Annual Cancham-AMJ Campbell International Philippines-Canada golf tournament on Friday November 19th. It is also noted during the event that this is also the 8th year that AMJ Campbell has been the title

sponsor for this long standing tournament. This year golfers played on the beautiful but challenging Langer course at the Riviera Golf Club. It was beautiful and sunny the whole day on the course and this year most players did listen to the morning announcement to ensure they put on sun screen throughout the day, as there were only a couple of sun burnt faces at the ceremonies in the clubhouse afterwards. Overall the event was a success, and a fun day for all those that came out and played.

The ceremonial Tee off this year had Celso Vivas and Paul Egger, CanCham Board of Governors, and Chris Meyer representing our title sponsor AMJ Campbell International teeing off to start off the tournament. The ceremonial tee off always creates a bit of a buzz since the caddie who retrieves each ball will collect a cash prize.

Golf carts supplied to each flight were sponsored by one of our major corporate members, the Mercan Group and throughout the day Cancham staff drove around in golf carts serving drinks sponsored by member firm Energy Manpower. Many of our hole sponsors also had representatives at their holes where they offered golfers drinks, raffle prizes, massages and other tokens to keep everyone in good spirits throughout the day.

To wind down the day after taking a shower, all players enjoyed a buffet lunch in the clubhouse while waiting for the final results of the tournament. During this time players were able to socialize amongst their colleagues and new friends and were entertained by the numerous raffle prizes that were drawn throughout the afternoon.

Foreign nationals working or relocating to the Philippines must obtain a visa. Several different visas are available and obtaining the correct one can be a deeply frustrating and confusing experience if you are unprepared. Knowing is the key.

Visas are generally classified into immigrant and non-immigrant categories. Immigrant visas are needed for those intending to enter or remain in the Philippines as permanent residents. Non-immigrant visas, on the other hand, apply to foreign nationals intending to enter or remain in the Philippines temporarily for a specific purpose, such as tourism, business, studying, or for work. The purpose of your visit or your stay will determine the appropriate visa for you.

Most foreign nationals wishing to enter the country simply for business or pleasure can do so without securing an entry visa. Upon arrival, they will be granted an initial stay of twenty-one days. Extensions are available but must be

reau of Internal Revenue (BIR) and an Alien Employment Permit (AEP) from the Department of Labor and Employment (DOLE). The AEP serves as the authorization from the government allowing the foreign national to be engaged in an employment during his/her stay in the country.

Investor’s visa

To encourage foreign investment, the Philippine government has created visas that grant indefinite stay and multiple entry privileges. Among the investment visas available are:• Special Visa for Employment Generation (SVEG)- This visa was created by former President Arroyo through

Executive Order No. 758. The primary requirement of the SVEG is that the foreign national must have a controlling interest in a sustainable entity that directly employs at least ten (10) Filipinos as full-time regular employees.

• Special Investor’s Resident Visa whose primary requirement is for the foreign national to have at least USD75, 000.00 cash investment in an existing or new corporation.

Immigrant visa

Immigrant visas convert the status of holder into a permanent resident. The most common immigrant visas are:• 13(a) Permanent Resident – This visa

is granted based on marriage to a Philippine spouse and is available to the spouse and unmarried children of a Philippine citizen. To be granted this visa, the applicant must prove that he/she contracted a valid marriage with a Filipino citizen and that the marriage is recognized under existing Philippine laws.

• Quota Immigrant Visa- The primary requirement for the visa is to have an investment of at least USD40,000 in the country. There are limited slots available per nationality.

• Special Retirement Resident Visa- This is available to foreign nationals or former Filipino citizens 35 and above who intend to retire in the country and meet the investment requirements set by the government.It is important to note that except for 47(a)

(2) and ROHQ visa holders, foreign nation-als who have stayed in the country for lon-ger than fifty nine (59) days must obtain an Alien Certificate of Registration (ACR) I-card which serves as an Emigration Clear-ance Certificate, Special Return Certificate and Re-entry permit.

The application process can take months due to the high volume of applications re-ceived by the Bureau of Immigration. Going through the process alone can be difficult because it does not end with document sub-mission. Constant coordination and regular follow-up with the government agencies are necessary. Professionals can offer valuable assistance and if you approach the right or-ganization the whole process can become a whole lot easier.

active partners of the World Health Organization (WHO) program.

PAL also accepts human organs, in specially designed containers, as hand-carry baggage on all domestic flights and provides members of gov-ernment’s retrieval team with special boarding and deplaning privileges (“last-in-first-out”), he said.

Bautista explained that PAL’s de-tailed packaging, handling and trans-port procedures for human organs have been in place for many years. However, the policy was updated in October 2009 in response to the request of the Department of Health (DoH) for local airlines to extend full support and accommodate the HOPE (Human Organ Preservation Effort) Retrieval Team of the National Kidney and Transplant Institute (NKTI) through booking prioritization. The team, com-posed of retrieving surgeons, nephrol-ogists and transplant coordinators, use domestic flights to transport organs retrieved from deceased donors for transplantation.

“Even before the updated policy, PAL has always accommodated mem-bers of the kidney retrieval team to car-ry human organs on their laps while in flight, subject, of course, to strict pack-aging requirements and without sacri-ficing the health, safety and comfort of our passengers,” said Bautista.

NKTI says the transport of human organs, such as kidneys and liver, re-quire delicate handling as these organs are fragile and cannot withstand heat in the airplane’s cargo hold. Kidneys also have to be transplanted on patients with end-stage renal failure within 20 hours, thus necessitating speedy trans-port.

PAL helps cornea, organ transport efforts

Flag carrier Philippine Airlines (PAL), in coordination with the Eye Bank Foundation of the Philippines, is a major partner of this initiative through the transport – free of charge – of human eye corneal tissue to its domestic destinations.

Eye Bank representatives are required to coordinate with PAL’s cargo reservation at least a day before the intended date of transport. Under its handling procedure, the airline allows the shipment of one human corneal tissue per flight.

“Thousands of Filipinos are visually impaired,” said PAL president and CEO Jaime Bautista. “With very limited num-

The Board of Investments (BOI) expects to surpass its full-year target of registering P287B worth of investments as new approved projects in the first nine months this year grew 326% to P192.5B

compared with P45.2B registered in the same period last year.

BOI Executive Director Lucita P. Reyes said the investment inflows represent the com-bined cost of 131 new projects approved in the January-September period this year versus the 108 projects listed in the same period in 2009.

“There were more micro and small projects that we registered last year,” Reyes said. In 2009, BOI’s total investments haul reached P155.4B. The approved projects are expected to create 18,992 jobs or 8% more than the 17,621 jobs generated from the approved projects last year.

BOI expects to exceed full 2010 goal

BOI’s P287-B investment target for 2010 includes projects that registered even without government incentives like companies operating regional headquarters, retail trade, and motor vehicles. “We will meet our target and we are pro-jecting that we are going to overshoot our target based on new applications that are already in the pipeline,” Reyes said.

She cited at least 131 projects worth P129B that are either being processed, checklisted, or waiting for official registra-tion with the agency.

Major investments approved in the review period were mostly in the infrastructure sector, particularly power and renewable energy sources, aviation, information technology (IT), and exports.

The national investments target for 2010 is P345B. These include investments generated by BOI, Philippine Economic Zone Authority (PEZA), Clark Special Economic Zone (CSEZ) and Subic Bay Metropolitan Authority (SBMA). BOI and PEZA, both attached to the Department of Trade and Industry (DTI), account for 90%-95% of the country’s overall invest-ment inflows. The country’s record-high investment generation was registered in 2008 valued at P464.2B.
