This Task Order YY-## (the “Task Order”) dated Award Date (the “Effective Date”) between the Massachusetts Clean Energy Technology Center (“MassCEC”) and Grantee (“Grantee”) incorporates by reference the General Terms and Conditions (the “Agreement”) agreed to by Grantee. Capitalized terms used and not otherwise defined in this Task Order shall have the meanings ascribed to such terms in the General Term and Conditions. In the event of any conflict between this Task Order, the General Terms and Conditions, this Task Order shall govern.

Whereas, Grantee, a Grantee Type (Town, etc), residing at Grantee Address, is developing a wind turbine facility with a nameplate generating capacity of Project Capacity at Facility Address (the “Project”); and

Whereas, MassCEC awarded a grant to Grantee for the Project on Award Date. Now therefore, pursuant to the terms and conditions of the Agreement and this Task

Order, MassCEC and Grantee agree as follows:

1. Term

The term of this Task Order shall commence on the Effective Date, and shall expire on End Date (the “Term”).

2. Performance of the Work The Grantee shall perform the work in accordance with the Project Plan in Attachment 1 (“Project Plan”) and the Project Budget in Attachment 2 (“Project Budget”). The Grantee is solely responsible for all Project decisions, the preparation of all plans and specifications, and for developing the Project in accordance with the Project Plan.

3. Project Personnel a) Both MassCEC and Grantee have designated the following Persons to serve as Project

Manager to support effective communication between MassCEC and the Grantee and to report on the Project’s progress. Each party will endeavor to maintain the continuity of its respective Project personnel.

4. Deliverables

Grantee shall provide the MassCEC’s Project Manager with the Deliverables as set forth in Table 1 of the Project Plan in Attachment 1. The parties acknowledge that the dates listed in the schedule in the Project Plan are estimates and subject to change; however, any changes to the schedule must be approved by the MassCEC Project Manager in writing in advance. If so approved, changes to the schedule shall be accepted without need for a written amendment to this Task Order provided that such changes shall not exceed the Term of this Task Order as set forth in Section 1 hereof.

Grantee shall prepare each Deliverable in accordance with the Milestone Deliverables: Instructions and Reporting Templates appended hereto as Attachment 3.

5. Other Requirements a) Quarterly Project Updates. The Grantee agrees to provide the MassCEC Project

Manager with quarterly written project updates based on the calendar year (“Quarterly Project Updates”) during the term of this Task Order. Quarterly Project Updates shall be submitted to the MassCEC Project Manager electronically. Failure to provide Quarterly Project Updates shall be grounds for withholding grant payments until all such overdue Quarterly Project Updates are received by the MassCEC Project Manager.

b) Program Evaluation. The Grantee agrees to support MassCEC's program evaluation activities, and MassCEC's goal to disseminate information regarding Grantee’s experiences. To this end, the Grantee agrees that its key personnel and contractors working on the Project will be available at reasonable times with advance notice to be interviewed by MassCEC or its authorized representatives for purposes of program evaluation or case study development.

c) Cost Certification and Cost Sharing. The Grantee shall be compensated based on completion of milestones and Deliverables provided to MassCEC in performance of the Project Plan. As a condition of the Grant, Grantee shall share the costs for performance of the Project Plan in an amount that is equal to at least cost share written percent (cost share #%) of the Allowable Expenses incurred corresponding to Cost Share Written Dollars ($XXX,XXX) (the “Cost Share”). The Cost Share can be cash or in-kind services. In-kind services are those activities that are completed for the Project where no compensation is provided by a MassCEC award or other third-party funding source. In-kind services must be valued at current market rates. The Grantee may claim direct labor as cost share, provided such costs at no time exceed, in aggregate, XX (X%) percent of total costs incurred to-date. The sources and amount of Grantee’s Cost Share are set forth in the Project Budget. Grantee shall submit with the invoice for payment the Cost Certification Form and Cost Certification Worksheet attached hereto in Attachment 3.

d) Project Requirements. Grantee shall complete the project in accordance with the Minimum Technical Requirements presented in Attachment 4. If a project fatal flaw is identified at any stage of the process, or if a project is determined to no longer comply with MassCEC requirements at any stage of the process, MassCEC has the right to rescind any unused Grant funds. Grantee will not remove or relocate the renewable energy system for its Useful Life. For purposes of this Task Order the term “Useful Life” means twenty (20) years. Failure to comply with this requirement is grounds for MassCEC to request repayment of grant funds. Where the Minimum Technical Requirements in Attachment 4 differ from or conflict with the Program Solicitation, the Minimum Technical Requirements in Attachment 4 shall control. It is Grantee’s responsibility to ensure that the Project proceeds in a timely fashion and adheres to the

schedule set forth in the Project Plan. Grantee must commence construction on the Project within twenty-four (24) months of the Effective Date set forth herein. Any changes to the Project (e.g., reductions in capacity) must be approved by MassCEC’s Project Manager in writing in advance. MassCEC reserves the right to review the Grant awarded hereunder if the Project undergoes any changes. This Section 5(d) shall survive termination or expiration of this Task Order.

e) Ability to Carry Cash Balance. It is Grantee’s responsibility to be financially prepared to carry the necessary cash balance for the Project during the period between paying the consultant and receiving the MassCEC grant payment. The Grantee agrees to demonstrate upon request that it is able now, and will continue to be able, until the time of receipt of the grant payments from MassCEC, to carry the necessary cash balance for the costs associated with the Project. If MassCEC determines, in its sole discretion, that the Grantee is unable to carry the necessary cash balance, MassCEC may rescind the Grant.

f) Related Parties. The Grantee will procure services from subcontractors using commercially-reasonable procurement mechanisms, and to the greatest extent practicable, using competitive procurement procedures. Public Entity Wind Projects must follow public procurement procedures in order to receive design and construction services. Furthermore, the Grantee is required to notify MassCEC in the event that it intends to or has entered into an agreement for goods or services with a Related Party. For purposes of this Task Order, a “Related Party” is an entity that can control or significantly influence the management or operating policies of another entity to the extent one of the entities may be prevented from pursuing its own interests. To the extent such services are properly identified in the Project Budget and specifically approved in writing by MassCEC, Grantee may use the Grant to pay for such goods or services.

g) Production Tracking System (PTS). No later than the completion of Milestone ten, as presented in Attachment 1, Table 1, Grantee will register the Project on MassCEC’s Production Tracking System (“PTS”). The renewable energy system must have a dedicated meter that records only the AC output from the renewable energy system. This meter is separate from the utility billing meter and should not interfere with utility billing or net-metering. The renewable energy system meter must be a standard utility revenue quality meter that conforms to applicable American National Standards Institute (“ANSI”) C-12 standards and should be installed on the output side of the renewable energy system's isolation transformer. The meter must have a visible display of cumulative energy produced by the renewable energy system and be available for periodic testing and/or re-calibration, if necessary. MassCEC has developed a mechanism for automatic monthly reporting to the PTS. Grantee will participate in the automatic reporting system for a period of not less than five (5) years. This Section 5(g) shall survive termination or expiration of this Task Order.

6. The Grant In consideration of the various obligations to be undertaken by Grantee pursuant to this Task Order MassCEC shall pay to Grantee a maximum amount of (write out amount) Dollars ($ ) (the “Grant”). The Parties agree that this is a maximum authorization, and MassCEC is under no obligation to transfer the full amount to Grantee, or any amount, in the event Grantee does not satisfy the requirements upon it to be completed prior to disbursement. In executing this Task Order, Grantee acknowledges and agrees that its receipt of the Grant does not create any rights of preferences for Grantee to receive subsequent funding from MassCEC for design and/or construction or otherwise.

Grantee agrees that MassCEC shall have the right to rescind or modify this award if, as determined by MassCEC in its sole discretion, the Grantee:

a) decreases or makes plans to decrease the system nameplate capacity by more than ten percent (10%);

b) changes or makes plans to change the Project Site (as defined in the Program Manual for Commonwealth Wind Community and Commercial Wind Projects); or

c) changes or makes plans to change the location of the proposed turbine(s) to a location on the Project Site for which the wind resource or community impacts have not been thoroughly modeled.

7. Allowable Expenses and Grant Disbursement a) Budget Adjustments. Allowable Expenses are those expenses that are identified in the

project Budget. The foregoing notwithstanding, the parties acknowledge that the costs listed in the Project Budget are estimated. Therefore, Grantee may shift funds between the line items associated with each development task as set forth in the Project Budget provided no more than ten percent (10%) of the Grant is affected. Grantee may not, however, increase the hourly rates as listed in the Project Budget.

b) Invoice and Payment.

i. Invoices. Grantee may submit invoices for payment upon completion of each of the grant payment milestones set forth in the table in the Project Plan in Attachment 1. Invoices shall be addressed to MassCEC’s Project Manager set forth in Section 3(a), shall reference the Task Order YY-##, and shall identify the individual to be contacted for questions and/or clarification of charges. Invoices shall be accompanied by all required documentation setting forth the Grant Milestones achieved, the Cost Share expended including a certification by Grantee that the Cost Share expenditure is accurate, total Project costs incurred and any other documentation required in the Project Plan. Grantee shall maintain financial records relating to the receipt and expenditure of all funds, including required Cost Share, in accordance with this Agreement.

ii. Payment Schedule. The Grant shall be disbursed in accordance with the schedule provided in Table 1 of the Project Plan in Attachment 1.

8. Affirmation of Warranties and Certifications

Grantee hereby represents and warrants that, as of the date of this Task Order, all of the representations, warranties and certifications of Grantee set forth in the General Terms and Conditions are true and correct and Grantee is in compliance with all of Grantee’s obligations under the General Terms and Conditions and each other Task Order between MassCEC and Grantee.

9. Amendments, Entire Agreement and Attachments

All conditions, covenants, duties and obligations contained in this Task Order may be amended only through a written amendment signed by the Grantee and MassCEC. Except for the General Terms and Conditions (Commonwealth Wind Program Manual, Commonwealth Wind Development Grant Solicitation, award letter issued by MassCEC and the application submitted by Grantee), all of which are incorporated herein by reference, the parties understand and agree that this Task Order supersedes all other verbal and written

agreements and negotiations by the parties regarding the Project set forth herein. The following are attached and incorporated into this Task Order:

10. Counterparts

This Task Order may be executed in two or more counterparts, and by different parties hereto on separate counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument.

Project Plan, Deliverables, Schedule and Payments

Project Summary

Sample text: Town of ____ Community Wind Project, sponsored and developed by Town of ___, is a single wind turbine project proposed to be installed at _______location_____. The project plan calls for the installation of an approximately ____ MW wind turbine to offset energy consumption for the Town of ____. The Project will take advantage of Massachusetts net metering rules. Net metering credits will be sold to public entities.

Milestones, Deliverables and Grant Payments

MassCEC will provide an editable electronic version of Attachment 3 upon full execution of this Task Order. Grantee shall submit an invoice for each of the grant payment milestones indicated below. Grantee must have submitted all Deliverables due up to the grant payment milestone prior to submitting an invoice (e.g., prior to submitting the invoice at Milestone 10, Grantee must have submitted all Deliverables associated with Milestones 9 and 8). Failure to submit Deliverables in a timely manner will delay grant payment.

MassCEC will disburse the Grant according to the schedule presented below in Table 1, contingent upon receipt and acceptance by MassCEC of the Deliverables described therein.

Table 1 in Attachment 1 lists all grant compliance and payment milestones. MassCEC will make grant payment milestones in sequence. Please be aware that MassCEC will consider information submitted to be public documents which may be used for the MassCEC website, MassCEC evaluation reports, and related outreach and education materials. Upon reaching of each milestone, the grantee must provide MassCEC with the deliverables outlined in the Table 1 in Attachment 1. In order for the milestone to be considered complete, the grantee must:

1. fill in the appropriate milestone report template provided on the attached pages; 2. provide one electronic version of each deliverable to the MassCEC Project Manager; 3. provide all applicable attachments; and, 4. for milestones with an associated grant payment include a completed Cost Certification Form

Cost Certification Worksheet Categories of the Cost Certification Worksheet has been pre-filled according to the terms of this contract TO ##. Attachment 4

Minimum Technical Requirements

Minimum Technical Requirements for Community Scale Wind All Commonwealth Wind: Community Scale Projects must demonstrate compliance with the Minimum Technical Requirements set forth in this Attachment. These requirements are not intended to be all-encompassing, nor is this Attachment intended to be a substitute for engineering specifications or for safety requirements. Site specific conditions and/or local requirements may require additional or specific technical requirements not contained in the following minimum requirements. MassCEC reserves the right to withhold payment to any projects that do not satisfy the Minimum Technical Requirements. Siting Requirements

All projects seeking Feasibility Study grants or Development Grants must comply with the following minimum requirements to be eligible for funding:

• All aspects of the wind project must comply with the terms of the manufacturer’s design and warranty requirements, if any;

• All aspects of the wind project, to the extent they are known at the feasibility application phase, must comply with regional, state or federal requirements, if applicable;

• All aspects of the wind project must be expected to comply with the local, applicable zoning by-laws, if any, or have received a variance by the time of application;

Meeting a town bylaw does not ensure that a project is appropriately-sited. In addition to these minimum technical requirements for siting, MassCEC strongly encourages project applicants to adopt and employ the principles for appropriate siting of wind turbines described in Section 5.1 of the Commonwealth Wind Program Manual.

Equipment All wind turbine models with a rotor swept area greater than 1,000 m2 receiving a Development Grant through Commonwealth Wind must be type certified to IEC 61400 standards by an independent, accredited third party certification agent (such as Germanischer Lloyd, DNV, etc.). All wind turbines with a rotor swept area not greater than 1,000 m2 (approximately 36 meters rotor diameter) receiving a Development Grant through Commonwealth Wind must meet one of the following requirements:

• The same MassCEC requirements (outlined above) for turbines with a rotor swept area greater than 1,000 m2; or

• Be included on the Interstate Turbine Advisory Council (ITAC) Unified List of Wind Turbines, available at http://www.cleanenergystates.org/projects/ITAC/list/

In addition, all of the equipment and related components that comprise the wind project must:

• Be new and must be designed for the specific wind project in question,

• Have a UL listing and must be compliant with Institute of Electrical and Electronics Engineers (IEEE) standards,

• Comply with National Electric Code provisions for wind tower grounding and over-current protection, and

• Include appropriate lightning protection and surge suppression. MassCEC may elect to not fund projects that propose to use specific turbine models that have documented reliability or performance issues but otherwise meet the above requirements.

Installation Requirements

The wind project electrical work must be performed by a Massachusetts licensed electrician professional. For more information: http://www.mass.gov/dpl/boards/el/index.htm. The wind project must be installed according to the manufacturer’s instructions and in compliance with all applicable codes and standards including:

• The most up-to-date provisions of the National Electric Code (NEC) at the time of system installation, and

• Local, state, and /or federal building laws, codes and practices. All systems must have an appropriate electric utility interconnection agreement in place at the time of interconnection to the utility grid. For more information: http://files.masscec.com/uploads/attachments/InterconnectionGuideforDistributedGeneration.pdf All pertinent permits and inspections must be obtained and copies kept on file as may be required by local codes and/or state law. The wind project may not be removed from the site for its useful design life as specified in the grant agreement or terms and conditions.

Mandatory Commissioning

The wind project must be commissioned and a commissioning report must be prepared. Commissioning is the process of ensuring that the systems are designed, installed, functionally tested, and capable of being maintained and operated according to the approved design and owner’s operational needs. At a minimum the report should include: inspection process and findings, system and component testing process and findings, and initial system performance findings.

Warranty All equipment must have a minimum two-year full warranty to the purchaser against defects, failures, breakdowns or excessive degradation of electrical output. The warranty shall cover the full cost, including labor, of repair or replacement of defective components or systems. In addition, applicants are strongly encouraged to obtain a service contract that provides the same coverage outlined above for the period after warranty.

Meter

Each renewable energy project proposed for MassCEC funding must have a dedicated meter that:

• Is readily accessible and easily understood by the system owner, • Records only the system’s AC output as measured on the AC side of

the system’s isolation transformer, • Shall be separate from the utility billing meter and shall not interfere

with utility billing or net-metering, • Must be a standard utility “revenue quality” meter that conforms to

applicable American National Standards Institute (ANSI) C-12 standards and shall be installed on the output side of the renewable system's isolation transformer, and

• Shall have a visible display of cumulative energy produced by the renewable energy system and be available for periodic testing and/or re-calibration, if necessary.

Reporting to MassCEC’s Production Tracking System (PTS)

All interconnected projects must report to the MassCEC Production Tracking System (PTS). Community and Commercial Wind Projects must report for a minimum of five years. These projects must include an automated reporting system which meets the requirements described below. There are three options for establishing automated reporting to the PTS: 1) Vendor-Supplied System: a Data Acquisition System (DAS) that has

local PTS-incorporated Automated Reporting features. 2) Vendor-Supplied Service: a DAS with a service that offers remote

monitoring that has PTS-incorporated Automated Reporting features. 3) Sample Source Code Integration: a DAS vendor or service provider can

customize the software of their system to incorporate this data transfer functionality.
