IntroducciónTelefonica of Spain is pleased to inform that it will auction five exceptional properties next Tuesday,

September 16th through individual auctions.

Properties offered by Telefonica stand out for their centric locations in the cities of Madrid,

Barcelona, Seville and Valencia. In addition to the excellent geographic locations of the buildings,

must be added the high present and future real estate potential value, as well as the

representativeness and magnificence of the constructions.

These assets are offered under the Sale & Lease modality, maintaining Telefonica as tenant for 7

years from the date of deed, with an attractive rent and according to the market conditions of each

property. The net rent offered for each property is detailed in slide 3 (Summary: Characteristics and

Contidtions), and will be subject to annual variations related to the Spanish global Price Consumer

Index (IPC).

Intermediary service fees will not be recognized nor remunerated. Should there be an intermediary,

the mentioned fees must be previously agreed with the acquirer.

The auction will take place through a telematic web site facilitated by Telefonica, which will

guarantee total transparency and privacy of the operations. Bids will be made individually for each

asset.

Calendar of the ProcessPhase I: Preparation and Registration

From July 31st until September 10th: Due diligence (documents analysis, property visiting, Q&A…) For any information request, arrangeproperty visit, additional documentation request, etc., those interested should call to the following numbers:+34 91 482 89 65 / +34 682 90 9380 from 8:30 to 14:30 h.

From July 31st until September 10th: Time period to register in theTelefonica´s electronic platform Adquira. To sign up, those interestedmust call to :+34 91 482 89 65 / +34 682 90 93 80 from 8:30 to 14:30 h. to gather the necessary information for the Auction registration. Onceregistered in the platform, you will find additional documentation, such as the basis of the Auction, lease agreements and deed of sale, alsoavailable upon request.

From July 31st until September 10th: Time period for depositing the required fee to participate in the Auction. To access the Auction, thoseinterested must make a deposit of 50.000 € in the account ES79 2100 2931 98 0200028643, and must include in the deposit the concept“Fianza subasta inmuebles Telefónica”, and in the payer field the CIF/NIF of the bidder, followed by the name of the individual or socialdenomination. At the end of the Auction, Telefonica will reintegrate such deposits in a maximum period of 7 days after the Auction´s end date.

Phase II: Inclusion of offers and setting of conditions and starting price

To be able to participate in the Auction, those interested must present, between 8th and 10th of September in the Adquira platform, their bestoffer for those properties in which they are interested in bidding. Offers will be binding, since Telefonica reserves the right to grant the propertyto the best offer received in case the Auction turns out unsuccessful. Without this mandatory step, those interested in the Auction will not beable to participate.

September 11th: Publication of the Starting price and Auction type

Phase III: Auction Celebration and Execution

September 16th: Celebration of the Auction.

September 16th until October 8th: signal of the awarding letter, deed of proprety and leasing contract
