    http://eprocure.gov.in/cppp/ Websites. Any corrigendum to the Tender will also be hosted only throWeb. No individual communication is envisaged. 2) Scope of services 1. Collection of C-Forms for listed amount (Annexure-2) from the listed Customers

    (Annexure-1) of BHEL, Trichy, Ranipet & Piping Centre as advised by the Contracting officer of BHEL Ranipet.

    2. Co-ordination with contracting officer at BHEL Ranipet, Trichy & Piping Centre.

    3. Co-ordination with Customers of BHEL (Annexure 1) as advised by Contracting officer at BHEL Ranipet, Trichy & Piping Centre.

    4. Co-ordination with other BHEL units (Trichy & Piping center) for collection of data required in process of getting C Form from BHEL Customers where the Customers of BHEL insisting on a single C form.

    5. To act as an agency of BHEL- Ranipet , Trichy & Piping Centre for common C- Form collection of sales tax concessional forms & certificates from BHEL Customers.

    6. To collect the Forms & certificates as per applicable laws including the provisions of CST Act 1956 and local sales tax/VAT Act and the rules thereunder.

    7. Each concessional Form / certificate collected shall have an annexure listing out the invoices of BHEL duly signed by authorized issuing officer of Customers.

    8. Handing over of the collected C-Forms / certificates to the Contracting officer at BHEL, Ranipet for BHEL Ranipet portion (Annexure 2A & 2B).

    9. Handing over of original C Forms /certificates collected on account of common TIN no.to BHEL Trichy and acknowledged photo copy of the C-Forms / certificates to Contracting officer at BHEL Ranipet.

    10. Updating of collected C Form invoice details in BHEL Ranipet system.

    11. Feedback report to the Contracting officer of BHEL immediately after visiting BHEL, Ranipet Customers with C-Form collection details. The report to contain details as per Annexure-B.

    12. Collection of C-Form quarter wise for every billing quarter namely Jan to march C-Form to be collected before the end of April to June. The collection of certificate as per the terms and conditions of the VAT Act of the respective State.

    13. Priority of collection to be given to oldest Forms (Forms pertaining upto financial year 2008-09).

    14. The Contractor shall arrange their own mode of transport or communication with BHEL Customers.

    15. Other services as may be connected to, or ancillary or incidental to, the scope of services

    3) Handling of BHEL Documents For the performance of the scope of services, Contractor will be facilitated by the Contractee with the following documents.

    a) Invoice copies. b) Quarterly statements c) Authorization letter as per the format ANNEXURE-3 d) Contacting persons at Customers end. e) Payment details of the Customers if required.

    (Note: Documents under a & b, contractor should take from BHEL on line system with prior permission from Contracting officers after award of contract.) The above documents are only for the limited purpose of collection of C-Forms and certificates and the contractor shall not use these documents for any other purpose. 4) Collection and delivery

    On collection of relevant Forms, the Contractor shall deliver the Forms immediately to the Contracting officer at BHEL Ranipet for BHEL Ranipet portion (Annexure 2A & 2B) and to Contracting officer at BHEL Trichy for common C Form (on account of common TIN no. to BHEL) under acknowledgement. To facilitate the time bound collection of Forms a detailed PLAN FOR COLLECTION as per ANNEXURE-4 shall be prepared by the contractor and approval from the Contracting officers shall be obtained. The contractor shall take all steps to adhere to the plan so as to enable BHEL to submit the Form to the assessing authorities. Since concessional Forms and certificates are very important documents in the assessment of sales tax of BHEL, collection and handing over, demands a Secrecy Agreement to be entered in to by the successful Tenderer in the format to be provided by the Contracting Officer. The scope of work shall not be sub delegated to any person without the written permission of the Contracting Officer. 5) CONTRACTORS CREDENTIALS

    1. The parties interested shall be any one of the following a) Any Charted Accountant firm b) Any Cost accountant firm c) Any practicing Company Secretaries firm d) Any Law firms e) Any Tax consultants with organized setup f) Any Charted Engineers firm with required organizational setup. g) Existing contractors and parties technically accepted in earlier

    tenders in collection of C-Form by BHEL, Ranipet or other units of BHEL.

    h) Any contractor who has executed similar work for other BHEL units.

    2. The Parties should have Service Tax Registration. Copy of the Service tax registration and PAN No. shall be annexed to the offer.

    3. The experience if any to the interested parties in collection of Reputed Public And Private Sectors shall have an added advantage. The list of such contracts executed by the any party shall be forwarded along with quotations.

    6) INTER FACE ISSUES The contractor shall intimate to the Contracting officers through feedback report immediately on meeting the customer for any course correction from BHEL end if required.

    Based on the feed back (Refer Annexure-B) from the Contracting officers, the contractor shall attempt to collect Forms within reasonable time. The contractor shall desist from dealing in unauthorized issues with BHEL Customers. The Contractor shall intimate the Contracting officer the data and documents required for collection of common C-Forms where more than one unit of BHEL registered under same TIN no.. The Contractor shall take necessary precautions for safe handling of original C-Forms. The contractor shall take into account all the inter-related issues while dealing with other BHEL units(Trichy & PC) on account of common C Form(on account of common TIN no. to BHEL) while submitting offer, which involves right from the collection of data for any particular customer for which concessional Forms / certificates are to be obtained, call on the customer, co-ordination with the customer, collection of C-Forms / certificates, incurring of out of pocket expenses including traveling, boarding, etc. Any additional compensation will not be admitted separately. No advance will be given by BHEL. No reimbursement of out of pocket expenses of whatsoever in nature by BHEL. The Contractor shall duly respond to the Contracting officers when any information pertaining to the services are sought. 7) LOST FORMS A) By BHEL The contractor is also liable to collect the duplicate C -Form, which has been said to be lost by BHEL.The required documents viz.Indemnity bond/FIR copy/Press advertisement and if any for getting duplicate C Form as per the law will be arranged by BHEL.These documents will be submitted by the contactor to the customer to collect the duplicate C Forms. B) By Contactor In case of loss of Forms attributable to the contractor, the cost of getting duplicate C-Forms as per law shall be to the account of the Contractor. If the lost C-Forms are not arranged within the time frame as indicated by the Contracting officer, the appropriate penalty will be levied at the discretion of Contracting officer which is final and binding. 8) PAYMENT

    The professional fee payable by the Contractee to the contractor for the scope of service is firm during the tenure of the contract and all inclusive except applicable Service Tax. No variation of professional fee of whatsoever in nature is payable as extra by BHEL. The Contractor shall submit copy of the Service Tax Registration. The service tax shall be reimbursed against Service Tax invoice as per existing applicable law. The details of the amount for which C-Form is to be collected Customerwise is listed in annexure-2A, 2B, 2C, 2D,2E . The rate shall be quoted as Rs. Per Crore of the Forms to be collected. The value of the

    form means basic value (100%-material cost) + Excise Duty charged by BHEL.

    The rate is inclusive of all applicable taxes, duties etc., whether present or future, but are exclusive of applicable service tax if any and the reimbursement of service tax is subject to the submission of service tax invoice. No other claims by the Contractor are applicable and hence not acceptable. The Contractee shall have the right to withhold payments as required by law. The Contractor shall make the claim in triplicate with the list of Forms collected and submitted to the Contracting officers with due acknowledgement. If Customers forwarded the Forms directly to BHEL as a result of follow up by the contractor evidenced by documents in support of the contractor, then BHEL will honor the bills for professional fees of the contractor for such claim however subject to certification by the Contracting officers whose decision will be final and binding on the contractor. As a result of follow up by the Contractor, if the customer forwards the Forms directly to BHEL, Ranipet or the Customer hands it over directly to personnel of BHEL; the Contractor is entitled to payment as per contract, provided that the Contractor furnishes documentary proof of the follow up. The decision of the Contracting officer shall be final and binding as regards the sufficiency of documentary proof submitted by the Contractor. In case of Common C Forms (on account of common TIN no.) are collected. BHEL, Ranipet will pay for the C-Form value pertains to Ranipet Trichy & Piping Centre also. Procedure to be followed for payment: The Contractee shall make payment by electronic transfer to the account of the contractor on a monthly basis provided the Contractor submits the following documents.

    i) Submission of original of Forms with due acknowledgement of the

    Contracting Officer ii) Submission of Invoice in triplicate with copy of the Forms collected

    from Customers with details duly filled in annexure A1 & B1, copy of the acknowledgement given by Contracting Officer.

    The Contractee may also choose to pay the Contractor by any other means at it may deem fit. The Contractee shall not be liable for any interest on account of delayed payments. Time is the essence of the contract. The contractor is advised to familiarize themselves on the system of generation of copies of invoices and outstanding Form statement, including C Form statement so as to deal through online at BHEL. BHEL shall have the right to deduct from the payment any amount which the Contractor is liable under this Contract or any other contract in respect of which BHEL is a party. In case of customers demand for inclusion of invoices of BAP Ranipet is not covered in the scope of C Forms to be collected as per annexure-1, the same will be admitted for payment at the agreed rate subject to receiving of prior permission from the Contracting officer in writing. 9) OWNERSHIP The Forms collected from the Customers and other documents and deliverables contemplated under this Agreement are property of Contractee and they shall be held by the Contractor as a bailee with utmost care till the submission to the Contractee. Any financial implication on account of unauthorized / illegal use by the contractor is to the contractors account. 10) SECURITY DEPOSIT Security Deposit will be collected as follow from the successful bidder: Upto Rs.10 Lakhs: 10% a) Above Rs.10 lakhs upto Rs.50 Lakhs:1 Lakh + 7.5% of the amount exceeding Rs.10 lakh.

    Above Rs.50 Lakhs: Rs.4 Lakhs + 5% of the amount exceeding Rs.50 Lakhs The Security Deposit shall be paid before start of the Work. b) Security Deposit may be furnished in any one of the following forms: i) Cash (as permissible under the Income Tax Act) ii) Pay Order, Demand Draft in favor of BHEL. iii) Local cheques of Scheduled Banks, subject to realization. iv)Securities available from Post Offices such as National Savings Certificates, Kisan Vikas Patras etc., (Certificates should be held in the name of Contractor furnishing the security and duly pledged in favor of BHEL and discharged on the back). v) Bank Guarantee from Scheduled Banks / Public Financial Institutions as defined in the Companies Act. The Bank Guarantee format should have the approval of BHEL. VI) Fixed Deposit Receipts issued by Scheduled Banks / Public Financial Institutions as defined in the Companies Act. The FDR should be in the name of the Contractor, A/C BHEL, duly discharged on the back. Vii) Security Deposit shall also be recovered at the rate of 10% from the running Bills. However, in such cases at least 50% of the Security Deposit should be remitted before the start of the work and the balance 50% may be recovered from the running bills. viii) The security deposit shall not carry any interest. Security Deposit should be deposited by the contractor before the start of the work and it will be released on completion of the contract. 11) LATE SUBMISSION CHARGES 5% of the professional fee payable will be levied as Late Submission Charges for delayed submission of Forms to the Contracting Officer. Collected Forms should be submitted within two (2) weeks from the date of issue by the customer / collection from the customer. In case of any amendment for which the Form issued was called back by the Customer then reissue/collected date shall be taken for the purpose of calculating the delay.

    This shall be without prejudice to any other remedy that may be available as per law, equity or contract. 12) SAFETY AND INSURANCE The Contractor shall take the full responsibility for safe travel of their personnel, equipments and any document that the Contractor may carry. Suitable insurance cover has to be taken by the Contractor and expenditure on this account is to Contractors account. BHEL is not responsible for any liability of whatsoever in nature encountered in the performance of Services 13) INDEMNITY Contractor shall indemnify and keep indemnified Contractee and its employees from all actions, proceedings, suits, claims, liabilities, damages, losses, costs, charges, expenses (including judgments and fines) arising out of or in the course of, or caused by the carrying out the services under the Agreement which may arise due to: a) Breach of law by the Contractor b) Negligence or willful default by the Contractor, or any of its sub-contractor,

    or any of their respective employees. c) Breach/ infringement by the Contractor, or its employees of any intellectual

    property right, or unauthorized use of any document or information provided to the Contractor for performance of the Services

    d) failure by Contractor to proceed with Services in accordance with the determinations, instructions and clarifications of Company pending disagreement, dispute, protest, request for arbitration/ court proceedings

    e) Breach of any confidentiality obligations by Contractor. f) Loss of property or death of any employee of the Contractor This shall be without prejudice to any other remedy that may be available to the Contractee as per contract, law or equity. 14) TERMINATION a) In case the Contractor commits a breach of provisions of the Contract or if the Contractor unsatisfactorily performs the Services, the Contractee shall have the right to terminate the Contract immediately by a written notice of termination.

    b) Without prejudice to the above, the Contractee shall have the right to terminate the Contract for convenience. The Contractee shall give two (2) days notice in writing of the termination to the Contractor. In such case, the Contractor shall have no claim to any sum or payment of compensation or otherwise howsoever on account of any profit or advantage which he might have derived from the execution of the work in full but which he did not derive in consequence of the fore-closing of the work.

    15) CONFIDENITALITY

    a) Except as otherwise expressly provided herein, the Contractor undertakes to

    treat as confidential, and prevent disclosure by Contractor, its affiliates or its employees to any third party of any and all information and data provided by the Contractee (hereinafter Confidential Information).

    b) In complying with the foregoing confidentiality obligation, Contractor shall

    use the same degree of care as would be used by a normally prudent party in protecting its own proprietary or confidential information.

    c) The Contractor shall not have the right to disclose any Confidential

    Information without the prior written consent of the Contractee except to the extent it is required to be disclosed under applicable law, provided that the Contractor shall give written notice to the Contractee that such disclosure is required

    d) Notwithstanding anything contained herein, the obligations under this

    Article shall survive termination of the Agreement. 16) AUDIT

    BHEL shall have access to, and the right to audit, any of the Contractor's documents of whatsoever nature relating to or in connection with the performance of the Services, including but in no way limited to books, vouchers, receipts, invoices, correspondence, memoranda, government correspondence, contracts, representations before statutory authorities, tribunals, courts and any other records. The Contractor shall preserve shall, upon written demand, make them available to the Contractee and its representatives. The Contractor shall provide photocopies of any documents within a reasonable period whenever demanded by the Company. Any payment made by BHEL shall not imply acceptance of liability on the part of BHEL. BHEL will notify Contractor of any matters which necessitate making an adjustment or reimbursement; and such adjustment, whether by reimbursement to

    BHEL or otherwise, shall then promptly be made. BHEL shall also have the right to obtain assistance and statements from any of Contractor Personnel to the extent it deems necessary, and Contractor and its subcontractors shall make such personnel available at their assigned locations if still under employment with Contractor or its subcontractors. This Article shall survive termination of the Contract. 17) DISPUTE RESOLUTION a) Any dispute arising out of or in connection with the Agreement shall, after

    written notice by either party to the Contract to the other party, be referred to the arbitration to a sole arbitrator. The sole arbitrator shall be appointed by the Unit Head of BAP, BHEL Ranipet or his nominee.

    b) The seat of Arbitration shall be Ranipet, Tamil Nadu. The arbitrator may hold

    meetings for convenience in such a place or places as may be fixed by the Arbitrator in his sole discretion.

    c) The award of the Arbitrator shall be final, conclusive and binding on the

    Parties d) The Contractor shall, notwithstanding any disagreement, dispute, protest,

    request for arbitration, court or other proceedings, continue to perform the Services in accordance with the determinations, instructions and clarifications of BHEL

    d) Subject to the provisions of this Article, the appropriate court in Vellore

    District shall have the exclusive jurisdiction over any disputing arising out of or in connection with this Contract.

    18) MISCELLANEOUS a) Any waiver by the Contractor of any provision of this Agreement shall not be

    construed as a waiver or subsequent breach of this Agreement. b) If any of the provisions contained in this Agreement are held for any reason

    to be invalid, illegal or enforceable, the enforceability of the remaining provisions shall not be impaired thereby.

    c) Provisions of this Contract which, either expressly or by their very nature survive termination of the Contract, shall survive termination of the Contract.

    d) In this Contract, unless the context otherwise requires, any reference to any statute or statutory provision shall include i) all subordinate legislation made from time to time under that

    provision (whether or not amended, modified, re-enacted or consolidated);

    (ii) such provision as from time to time amended, modified, re-enacted or consolidated (whether before or after the date of this Contract) to the extent such amendment, modification, re-enactment or consolidation applies or is capable of applying to any transactions entered into under this Contract and (to the extent liability there under may exist or can arise) shall include any past statutory provision (as from time to time amended, modified, re-enacted or consolidated) which the provision referred to has directly or indirectly been replaced;

    e) A reference to any document, agreement, deed or other instrument

    (including, without limitation, references to this Contract), includes a reference to any document, agreement, deed or other instrument as may be varied, amended, supplemented, restated, novated or replaced, from time to time.

    f) The Contractor shall not have the right to assign the Contract to another

    without the written approval from the Contractee. 19) TENDER SUBMISSION & OPENING The interested Parties shall submit their tender to the Contracting Officer in sealed cover in two parts. The first part viz. the technical part shall contain , unconditional acceptance for terms and conditions, no deviation report, evidence for statutory registrations, proof for qualification criteria, copy of service tax registration, PAN proof and signed un priced price schedule(for accepting annexure- A. In addition the Tenderers authorized person name, cell number, land line number and fax no shall also to be indicated for quick contact. The second part viz. the price bid shall also be submitted in a separate sealed cover as per tender conditions. The price bid of the technically accepted vendor will only be opened on the appointed date will be intimated by the Contracting officer separately for further evaluation. Pre-bid meeting if required by the vendors to understand the terms of the tender clearly, the same shall be arranged by the Contracting officer. Both first part & second part of the tender shall be put in a single cover duly sealed and to be submitted to the Contracting Officer on or before 14.00 hours of 16.11.2012 through RPAD by duly superscribing the Tender Enquiry No. on the left hand corner of the Tender Cover.

    Any tender received after the appointed time shall be summarily rejected. No canvassing of any nature is entertained. The offer shall be without overtyping or writing. Withdrawal from the tender once submitted is not acceptable. The technical part of the tender will be opened on 16.11.2012 at 14.30 hrs. at the Office of the Contracting Officer. The price bid opening of the technically qualified tenderers will be intimated in writing by the Contracting Officer. Vendor who chooses to be present may attend the tender opening. 20) Splitting Up of the Order. BHEL has the right to split the order on more than one party due to exigency of the work and such split is at the discretion of BHEL. 21) Contract Period Contract period is Six months from the date of awarding the contract. 22) Liquidate damages Time is the essence of the contract. In case of non-collection of C-Forms within the contract period, liquidated damages at the rate of 10% of professional fee payable on undelivered portion of the contract will be levied with cap of 10% to total contract value. However for cases the delay in collection of C-Form entirely due to delay/non-furnishing of requested details to contractor by BHEL which is mutually agreed by both parties. In such case LD will not be levied on contractor for that Portion. The right to levy Liquidated Damages herein shall be without prejudice to any other remedy of BHEL, whether under law, equity or otherwise. ----------
