You’ve heard the saying that starts with “Just when you thought you had seen everything…”.
In 30+ years of resort management experience, I would have never imagined that I would ever be involved in calling owners and guests to tell them don’t come. But that’s exactly what Kapua, Vicky and Glenda, your reservations team, have been doing since late March. To date, all reservations for April, May, June and July have had to be rescheduled or cancelled. I want to thank all of those who have been affected for your patience and understanding when these ladies made these calls. We understand and appreciate how much you look forward to your visit and how difficult it can be to find time in your busy lives to reschedule. Rosarie, Thomas, Alanne and the reservation team came up with several options to make sure that everyone is accommodated as best we can. Most importantly – no one will lose their weeks. Owners have the option to:
• Reschedule to a later date in 2020 upon availability
• Bank your week with the Cliffs Exchange Club. All fees are waived and you have 3 years to use your weeks.
• Put you week into our new owner’s rental program. You earn 75% of the revenue generated. Details are available on our website or by calling the reservation department at (808) 826-2000
On a positive note, Kauai has fared very well during this pandemic having just 21 cases island-wide. Thanks to our controller, Ana Freire and HR director, Hasina Mitchell’s efforts, the resort received a PPP loan that allowed us to keep all of our staff working – many from home. A long list of resort improvements have been completed while you were away. Landscaping projects, painting of stairways, new pathway lighting installation at building 5 and water feature refinishing at the pool were completed in the common areas. Installation of new gutters on buildings 1,2 & 9 have just been completed. In CCIOA and CRVOA’s timeshare condos, carpets were shampooed in all units and maintenance weeks scheduled for the remainder of 2020 are being completed now. Several other rooms were painted. Timeshare condo renovations planned in building 4 for this fall are underway now to avoid disruption to fellow owners when we are able to re-open. When we can welcome owners back is the million dollar question right now. Virtually all of Kauai’s COVID 19 cases were travel-related. The state mandated 14-day quarantines’ success in keeping our cases low is credited with keeping our numbers low statewide. Tourism is by far Hawaii’s largest economic driver and it’s closure has effected virtually all aspects of life and our economy. Finding a way to re-open safely has been job one for our state and county governments. Last week, Governor Ige announced that interisland travel can resume without quarantine as of June 16. He also has extended the 14 day quarantine for trans-pacific travelers through July 31. Earlier predictions were that mainland travel could possibly open 4 weeks after interisland. They have been working on testing options throughout the mainland and revised procedures at the airport, including temperature checks that could allow visitors to avoid quarantine. We are all hoping for good news on this very soon. As much as we all love to welcome owners with hugs and hearty handshakes, some things will have to be different when you return. Procedures to limit contact while maintaining a high level of service will need to be in place. Enhanced in-room and public area housekeeping are already in place. The Cliffs at Princeville is following CDC guidelines and participating in the American Hotel and Lodging Association’s Safe Stay program which lays out nationwide standards to help you feel confident that your resort is maintaining the proper standards. We are all looking forward to seeing you as soon as we can. In the meantime, stay safe and look for upcoming updates on the resort website.

Aloha - Our April board meeting, and the 35th Annual Meeting, were recently held successfully via Zoom teleconferences. Although we were not able to meet on property due to the COVID-19 pandemic, we successfully conducted our business and were pleased to have about 30 owners join the meetings. Hopefully things will get back to normal soon so we can meet on property for the July board meeting. Our excellent General Manager (Jim Braman), his very capable Executive Team, and all the Managers and Staff have done a fantastic job during these unprecedented times. Not only did they very efficiently manage all the unknowns and rapidly changing requirements that come with a crisis of this magnitude, but they filed and were approved for the stimulus package which has allowed us to take care of our employees during these trying times. We only had a handful of employees elect to go on unemployment. Many of the others, whose normal jobs were not required with a near empty resort, elected to stay on and help with numerous projects that Jim effectively outlined. This project work has allowed us to freshen up the resort, tackle things that are difficult to get to when there are only a few hours between checkout and check-in, and most importantly will allow us to have full capacity at the resort when tourism in the State of Hawaii re-opens. One of the biggest benefits of the lull in tourism is that it has allowed us to begin the renovation of both Building 4 & 5. We expect to complete all units in both buildings before the rooms are needed, and well before Building 4 was scheduled to be renovated later this year. On top of all that, Jim and the Executive Team have a plan and forecast in place that will allow us to achieve budget in 2020 – a significant accomplishment when you consider all that we’re facing. The concerns over energy consumption billed since our solar system went live resulted in our formally invoking the dispute resolution clause in our contract with the solar energy provider (Valta). In addition, we are in the process of hiring a prominent attorney who specializes in renewable energy and will assist us in quantifying our claim and seeking remedy through either mediation or arbitration.

I hope that this newsletter finds you healthy and safe. As we all know, these are some very difficult times that we find ourselves in. The State of Hawaii has essentially shut down travel to the islands. I know that most, if not all, of you have been unable to visit the Cliffs this year. There are
other articles in this newsletter which outline your options regarding your 2020 use weeks. I urge you to review those articles. The on-site meetings in April that I had planned to attend as president of the CRVOA did not go forward on island as planned. The AOAO and the CCIOA conducted virtual meetings. As the CRVOA was not scheduled to meet on property in April, we were not impacted by the Governor’s quarantine and held a telephonic meeting in May, as is our practice. All in all, it went very well. Here are some updates regarding the CRVOA. Given the current situation, our resale program is not performing as well as expected. However, we have initiated a new 5 year right to use program which has been well received. Please contact the Cliffs if you are interested in learning about this exciting program. Regarding our 2020 maintenance fees, I am happy to report that 95% of the maintenance fees have been collected. In addition, we have collected a good deal of maintenance fees for both 2021 and 2022. That’s the good news. The bad news is that our rental income is far less than projected due to the travel restrictions currently in place. We hope to make up this shortfall later this year although, given the current state of affairs, that may be difficult. This lack of income may impact our 2021 budget. I will keep you updated in that regard in future newsletter articles. We are utilizing this downtime to proceed with scheduled renovations. Since no units need to be taken out of service to perform these renovations, we are not losing any income based upon that. I guess that is a silver lining of sorts.
We will be holding meetings virtually on Zoom during the week that begins on July 20, 2020. Our regular meeting and our annual meeting will likely take place on July 23. We plan to proceed with elections at our annual meeting. I have consulted our legal counsel and have learned that the CRVOA has the ability to hold these meetings virtually. Because it is necessary to conduct our annual meeting virtually, you will receive an email with instructions on how to attend the meeting. Because the travel restrictions currently in place have been extended through July, you may rest assured that we have taken the necessary steps to ensure that we comply with Hawaii law as it relates to a timeshare Association’s annual meeting. I would like to thank you all for your patience and understanding during this unprecedented time. The CRVOA board is doing everything it can to keep our “ship” afloat. Remember, we are all in this together. Hopefully someday soon we will all be able to visit our wonderful island home away from home. Please do not take any unnecessary risks with your health so that you can stay healthy. I hope to see you all on island very soon.

Mahalo to all of you who attended our AOAO Regular Meeting April 30 and had planned to attend
our ensuing Annual Meeting. First, let me assure you that our meetings are generally not so “spirited.” As
Robert Kennedy Jr. said, “Democracy is messy, and it’s hard.”
We were to be onsite but COVID-19 and the resulting 14-day quarantine changed our plans. We
knew we could hold our Board and committee meetings electronically and believed we could do the same
with the Annual Meeting. On the night before the meeting, I received a call from an owner who questioned
the legality of conducting our Annual Meeting electronically. Should we have anticipated such
questions? Probably, and as president, I take full responsibility for not doing some research. What we did
do was contact our attorney to ask if could we hold the meeting and, if not, how would that impact our
bylaw requirement to have the Annual meeting within 5 months of the close of our financial year (12/31). A
few hours later, we got a verbal response: our bylaws did not provide for holding our meeting
electronically, doing so would be illegal. We did not have a way for owners to vote securely and privately
using electronic means. We were advised that we could use an emergency provision (414D.37) to defer our
meeting.
During our Regular meeting, some owners contested our decision to defer the meeting and
questioned the way we presented the situation to our attorney. We decided to get a written opinion, so we
tabled the motion to defer, conducted other business, and suspended our meeting pending a written
response. When we received the written opinion, we agreed we had no choice but to defer. Another
complication surfaced a bit later. We believed we had a quorum, the numbers of proxies were greater than
50%, but a question arose about whether all of the proxies had been delivered according to the deadline. If
that were the case and we had no quorum, if we had convened the meeting, any actions taken may have
been deemed null and void—messier still. We will convene a special Board meeting to reschedule an An-
nual or Special Meeting to conduct the business we were to do in April and will keep you apprised of the
date.
At the Annual Meeting, we were to update our reimbursement policy, make changes to house rules
and bylaws, and conduct elections. Because we have incurred no expenses, the reimbursement policy can
wait; the campus is sparsely populated so adherence to house rules is pretty much moot; and the
proposed bylaw changes do not require immediate action. The slate of candidates will remain intact.
Given the situation, our legal counsel has advised us that we need to send out new proxies. We’ll keep
you updated on the timing. The Board has approved the Annual Financial Report. You'll receive it if you
requested a copy.
We expected to elect a new slate of officers at our organizational meeting which would have
followed the Annual Meeting. We did meet and agreed to stay with our original plan, electing Dale Sands—
president, James Quisenberry—vice-president, Mike Cook—secretary, and Norman Litell—treasurer. It’s been a privilege and a pleasure to serve as AOAO president for three years. Mahalo to our
excellent staff, our dedicated Board of Directors, and all of you owners for your commitment and support.
Finally, you will notice some major improvements when you return to The Cliffs ohana. Ideally, the
absence of guests and owners would have been optimal for construction but the quarantine and the
Planning Commission’s hold on permits stalled us a bit. We will be moving forward with much needed
upgrades to the maintenance shed, a paved and covered pavilion with 6 barbeques to replace the two
which currently serve 84 units in buildings 1, 2, & 3. We’ll be landscaping the area facing Edward Road
from the parking lot at 3 to The Cliffs hedge. The bushes have never taken hold so their replacements will
provide beauty and ultimately, additional privacy to our upgraded gathering area.

Cliffs Sustainability Update Dale Sands, Incoming President, AOAO Board
The Sustainability Report 2019 is available on the Cliffs at Princeville web site, both on the owners portal and the guest site. This is the second year we have produced a Sustainability Report. You may recall that in 2017 The Cliffs developed a Sustainability Plan to address the ongoing activities of water, energy and waste management. Today the Sustainability Report provides an update to the goals established for Climate Change & Resiliency, Operations & Community Engagement, Energy Conservation/Renewable Energy Production, Land Use & Maintenance, Water Use/Conservation and Waste Management & Recycling. Goals for 2020 are also included in the 2019 Report.
We encourage you to review the report. A few of the major highlights are provided here:
• Cloud Cherry Guest satisfaction survey response increased to 2,604 or 42% with a “Delight Score” of 84%; The Cliffs maintained the highest ratings available from RCI and Interval
International.
• The Cliffs received the RCI Platinum Award for exceptional sustainability practices, Pacific Edge magazine awarded first place to the Cliffs the “Commitment to Green” category, and the
Governor of Hawaii provided the Green Business Program recognition.
• Renewable energy production increased 13% over 2018, and now represents 62% of total electricity demand.
• Water use was reduced by 581,000 gallons over 2018, representing a two year reduction of two million gallons.
• Recycling of card board, glass and paper increased in 2019 however total material recycled was unchanged year over year at 21% of total waste generated.
• The Cliffs installed two FloWater stations in September, 2019 for Guests and Residents use; these two stations offset 31,386 plastic bottles in just four months, reducing plastic bottle waste.

Aloha whole unit owners! I hope this finds you in good health and dealing well with our current COVID-19 challenges. While we have been unable to meet in person since January, the boards have held meetings and continue to move forward with projects. You will soon receive an email inviting you to our first quarterly Whole Unit Owners Forum. It will be a Zoom/phone in meeting on June 11, at 8 am HST. You may remember that Carolyn Russell periodically held “Talk Story” get-togethers for whole unit owners when she was on property. This has obviously not happened in a while and we want to keep our communication channels open. Timeshare owners are invited to weekly owner meetings, but this is not practical for whole unit owners who either rent their unit out or are not full-time residents. Before COVID-19, we decided to have periodic forums so we could brief whole unit owners on projects and other happenings at The Cliffs, especially those of interest to them. This forum will also solicit feedback, accept suggestions for board review, and answer general questions. Please look for the email invitation and respond that you plan to join us. Speaking of COVID-19, now is a good time to check with your housekeepers or rental agents to ensure cleaning and disinfecting are done properly. The Cliffs is participating in the American Hotel and Lodging Association (AHLA)’s “Stay Safe” guidelines which should give our resort a competitive advantage. Please see our GM report and the Cliff’s website for more information. Some recent guidelines from VRBO suggest that owners provide disinfectant and cleaning agents for guests to use during their stay, as well as hand sanitizer. Also, units should be thoroughly cleaned and disinfected between guests.
Finally, there is encouraging news about the Community Power Program (CPP). A consultant whom we hired found deficiencies in the equipment which Valta installed, leading to inaccuracies in billing. After months of trying to bring Valta to the table, we engaged legal counsel, and some board members met with Valta recently to present our issues. We have held two productive meetings with Valta, who has made commitments to complete the “punch list” items, pay for battery closet gutters and upgrade equipment. Valta’s attorney has professed a willingness to work with us quickly. Please stay tuned. Hoping to see you soon at our beloved Cliffs!

CLIFFS MANAGEMENT GROUP, INC. (CMG) SETS ANNUAL
MEETING AND CONTINUES WITH PLANS TO DISSOLVE
Because of the coronavirus, Cliffs Management Group, Inc. (CMG) did not hold its usual
annual meeting in April, 2020. However, the meeting now has been rescheduled for the
week of September 14, 2020, in Portland, Oregon. Shareholders will be notified of the
exact meeting date, time and place well in advance.
Recently, the Board of Directors of CMG decided to dissolve the corporation, subject to a
majority vote of the shareholders. Adequate votes have been received and the plan is to
move forward so the dissolution will proceed. CMG has decided to cease operations
because there are very few true leaseholders (less than 70) left. With the leasehold rent
and the purchase of those leaseholds soon ending, CMG will in the near future have no
more income left for operations. It made sense that now is the time to move forward
with disbanding the corporation.
Cliffs Management Group (CMG) was formed when units were first sold as timeshares
and as leaseholds. This means ownership by the buyer was of the interval week but NOT
of the land. When the land, as well as the timeshare week is owned, it is called Fee
Simple. Leasehold means the timeshare owner will have a certain length of lease of the
land then it transfers back to the fee owner. When the developer of The Cliffs left the
project, an association was created to sell the fee portion to the timeshare owners that up
to that time was leasehold. When a person who is a leaseholder bought the land, unless the timeshare owner paid extra for a fee simple deed, that person became a CMG
shareholder. Then, at some point in the future, she or he will have the option of paying
extra for the fee simple deed. Today, there are still about 70 true leaseholders and about
1200 shareholders in CMG. This corporation continues to contact the CMG leaseholders
and shareholders and encourages them to convert to fee simple and “deed out”. Under
the current plan for the dissolution of CMG, the corporation has agreed to pay for the fee
simple deeds for the 1200 (approximate number) CMG shareholders.
The preparation of these fee simple deeds and the dissolution of Cliffs Management
Group (CMG) is a lengthy process as it involves the issuing of approximately 1200
deeds. It is anticipated that the process of issuing deeds and dissolving the corporation
will take until December 31, 2020. If you have questions please contact me at

Life on Kauai From the Editor
I’ve lived on the North Shore of Kauai for over 35 years and have been the Administrative Assistant at The Cliffs for 7 years; I am so very lucky to be working full time during this challenging time. I thought you, the owners that are not able to be here right now, might like to know how this pandemic has affected residents of Kauai. The bad stuff first: since all Hawaii’s economy depends on tourism, shutting it off affects most all of us in some way or another. Unemployment is at a staggering 35%. Businesses shut down cold, especially hurting the mom and pop locations; you all know how expensive the cost of living is here and most folks don’t have big savings buffers to carry them through. Most everything was closed, workers in all kinds of businesses were furloughed, things just stopped– just like most places around the world. Schools closed so many Moms or Dads can’t work even if work is available- but must take care of kids. Activity companies on the island shut down, restaurants closed except for takeout, even the beaches and trails were closed. Hard economic times for sure. We don’t have much business diversity on Kauai; we depend 90% on you, our owners and visitors. Can you imagine The Cliffs almost empty- Lobby, pools, fitness center and Rec Center closed? We have security and other staff on site but mostly empty parking lots. It is a sight we have never seen before. See the next page….. Now the good stuff: only 21 cases of COVID-19 and all have recovered. It is because of the quarantine rules laid out by the Governor and Kauai Mayor. We are thankful for black and white rules to follow to keep us all safe. The strong and loving support system of large family ohanas that many residents have help keep spirits up and family life going strong. Schools are conducting classes via the internet. People are connecting on Zoom and other apps. There is plenty of food in the grocery stores and fresh produce available from our farmers. There is food assistance for those that need it. Most people are doing more cooking and baking; I know I am. We are trying to remember to exercise. This is a time to refocus on family and to remember what is important in our lives. And even though we don’t move around the island like we used to, there is hardly any traffic when we do. Going through Kapaa right now is remarkably easy. Like it was 35 years ago! I was on Kauai when Hurricane Iniki clobbered us September 11, 1992. It was the first time I really saw the amazing resiliency of Kauai’s people. Not waiting for someone to help but just tearing into the incredible and tragic mess left by that storm. People came together, helped each other, had such emotional strength and we all got through it together. Here we are again– getting through it together. Patience is something most Kauai residents know. And one can see smiles beneath those masks. We all want to be back to whatever “normal” will be once this finally is gone– if it ever will be. Things are starting to open up; shops, malls, golf courses, restaurants, beaches. Since this virus is carried in by people coming to the islands we all are cautious and our leaders are trying to make sure we are safe while at the same time planning on opening the islands to visitors. There will be restrictions for sure for a very long time but eventually we will be able to welcome you back with our usual Kauai spirit.

An Uncommon Day
at The Cliffs
In an email message to staff colleagues, Kehau Acob, the Cliffs IT Manager wrote:
“Working alone in the entire office I was inspired to take these pics. It is about 5:20 PM on Thursday 5/14/2020. It is a beautiful afternoon. At this time one year ago, the Front Desk and Activity Desk were bustling with noise and activity. Hopefully, we shall be bustling with activity and noise
again soon.” Here, here to that!
SCOTCH EGGS
Have ready 6 eggs boiled hard, with shells removed
and as cold as can be but not frozen. Mix 1 pound
pork sausage meat, 1/2 cup minced onion, 1 tsp
marjoram, 1 tsp rosemary and 1/2 tsp pepper in
your mixing bowl. Divide the mix into 6 portions.
Pat the eggs dry and cover each with one portion of
the sausage. Dip them in a small bowl containing 1
egg lightly beaten with 1 tbsp water, then roll the
eggs in fresh bread crumbs (about 1-1/2 cups total),
pressing the crumbs into the sausage. Deep fry in
350 degree oil, two at a time, for about 2 minutes or
until they are golden brown. Transfer to towels and
drain off the oil. Sprinkle with salt. Serve them hot,
cold or room temperature, sliced.
CINNAMON CRUNCH
COFFEECAKE
2 C flour
1-1/2 tsp baking powder
1 tsp cinnamon
½ tsp salt
¼ tsp nutmeg
3/4 C sugar
1/3 c shortening
1 c milk
2 eggs
topping (below)
Heat oven to 350. Grease and flour 13X9 pan. Sift dry
ingredients into large mixer bowl. Blend in shortening
and milk. Beat 1-1/2 min. Add eggs; beat 1 min. Pour
1/3 mix into pan. Sprinkle ½ topping on batter. Pour
remaining batter on topping; sprinkle remaining top-
ping on. Bake 30-40 min.
Topping: 2/3 c brown sugar packed, 2 T flour, 2T
butter, 1 c chopped pecans. Combine brown sugar and
flour. Cut in butter until crumbly. Stir in nuts.
2 stalks celery, sliced
1 onion, sliced
1/2 green pepper, sliced
1 tomato, sliced
1 lb Polish sausage, cut into 1/2” slices
3 cloves chopped garlic
1 lb chopped bacon
1/4 cup red wine vinegar
1 T Worcestershire sauce
1 tsp paprika
1 tsp thyme
1 tsp pepper
In a large flameproof baking dish, sprinkle celery, on-
ion, green pepper, and tomato. Spread Polish sausage
over this, then sprinkle with the garlic. Cover all with
the bacon. Mix vinegar, Worcestershire, paprika, thyme
and pepper, and sprinkle over everything. Bake at 350°
for one hour. Pour off juices and run under the broiler
for 5 minutes or until bacon is crisp.
BACON AND SAUSAGE
CASSEROLE
Cathy’s Kitchen Breakfast & Brunch Comfort Food
4 eggs
3/4 cup flour
3/4 cup milk
1/2 tsp salt
1/4 cup butter
2 Granny Smith apples peeled and sliced thinly
1/4 cup sugar
1/4 tsp cinnamon
Heat oven to 400°. Place 2 round layer cake pans in
oven. Beat eggs, flour, milk and salt in mixer bowl at
medium speed (or in food processor) for 1 minute.
Remove pans from oven and place 2 T butter in each.
Rotate pans until butter melts and coats sides of
pans. Arrange half of apple slices in each pan. Divide
batter evenly between pans. Mix sugar and
cinnamon, and divide between the pans. Bake,
uncovered, for 20-25 minutes or until puffed and
golden.
Serve with syrup, applesauce, powdered sugar or
fruit.
