1. INSTRUCTIONS TO BIDDERS/GENERAL CONDITIONS

1.1 FORM OF QUOTATION

All Quotations must be in the form indicated. The Bidder shall include One (1) complete original document submission placed in a sealed envelope and include:

1.2 DEFINITIONS

The following definitions apply to this RFQ:

1.2.1 Corporation: Refers to The Corporation of the Town of Bracebridge

1.2.2 Owner: Refers to The Corporation of the Town of Bracebridge

1.2.3 Bidder: Refers to any eligible entity providing a Quotation

1.2.4 Successful Bidder: Refers, in the event of an award, to the selected Bidder

1.3 QUOTATION CLOSING

1.4 LATE SUBMISSIONS

Quotations received after the official closing time will not be considered during the selection process and will be returned unopened to the respective Bidder.

1.5 QUOTATION OPENING

On the quotation closing day, being Wednesday, July 12, 2017, commencing at 2:35 p.m. local time, the envelopes will be opened and the quotations will be read and recorded publicly by the Department Head, or designate, at the Municipal Office at 1000 Taylor Court, Bracebridge, ON. Quotations will then be reviewed and evaluated administratively by staff at a later time.

1.6 COMPLETION OF THE QUOTATION

The Form of Quotation and all necessary attachments must be completed in hard copy. All entries shall be clear and legible and made in ink. All items shall be tendered according to any instruction in the RFQ Documents.

Alterations may be made providing they are legible and initialled by the Bidder's signing officer. Quotations which are incomplete, conditional, illegible or obscure, or that contain additions not called for, reservations, erasures, alterations incorrectly submitted, or irregularities of any kind may be rejected.

1.7 EXAMINATION OF QUOTATION DOCUMENTS

Each Bidder must satisfy himself/herself by a personal study of the RFQ documents respecting the conditions existing or likely to exist in connection with the proposed award. There will be no consideration of any claim, after submission of quotations, that there is a misunderstanding with respect to the conditions imposed by this RFQ.

Prices bid must include all incidental costs and the Bidder must be satisfied as to the full requirements of the RFQ. No claims for extra work will be entertained and any additional works must be authorized in writing prior to commencement. Should the Bidder require more information or clarification on any point, it must be obtained prior to the submission of the Quotation.

1.8 ACCEPTANCE OR REJECTION OF QUOTATION

The Corporation reserves the right to reject any or all quotations and to waive formalities as the interests of the Corporation may require without stating reasons therefore.

Notwithstanding and without restricting the generality of the statement immediately above, the Corporation shall not be required to award and accept a quotation, or recall the Quotations at a later date:

1.8.1 When only one quotation has been received as a result of the Quotation call;

1.8.2 Where the lowest responsive and responsible bidder substantially exceeds the estimated cost of the goods or service;

1.8.3 When all quotations received fail to comply with the specifications or Quotation terms and conditions; or

1.8.4 Where a change in the scope of work or specifications is required, the lowest or

any quotation will not necessarily be accepted. The acceptance of a quotation will be contingent upon an acceptable record of ability, experience and previous performance.

The Corporation shall not be responsible for any liabilities, costs, expenses, loss or damage incurred, sustained or suffered by any Bidder by reason of the acceptance or the non-acceptance by the Corporation of any quotation or by reason of any delay in the acceptance of a Quotation except as provided in the quotation document.

Each quotation shall be open for acceptance by the Corporation for a period of ninety (90) calendar days following the date of Closing.

Where the quotation documents do not state a definite delivery/work schedule and a submitted quotation is based on an unreasonable delivery/work schedule, the quotation may be rejected.

1.9 ABILITY AND EXPERIENCE OF BIDDER

The Corporation will not award this Quotation to any Bidder who does not furnish satisfactory evidence of possessing the ability and experience in this class of service to other agencies and, sufficient capital and plant to ensure acceptable performance and completion of the service.

1.10 RESPONSIBILITY FOR DAMAGES

The successful Bidder shall indemnify and hold harmless the Corporation, its officers and employees from and against any and all liabilities, claims, demands, loss, cost, damages, actions, suits or other proceedings by whomsoever made, directly or indirectly arising out of the project attributable to bodily injury, sickness, disease or death or to damage to or destruction of tangible property caused by any acts or omissions of the Bidder, its officers, agents, servants, employees, customers, invitees or licensees, or occurring in or on the premises or any part thereof and, as a result of activities under this Quotation.

1.11 PERFORMANCE

Any undue delays in the execution of the service by the successful Bidder in accordance with the agreed upon schedule and/or costs incurred by the Corporation due to inefficiencies in performance on behalf of the successful Bidder, shall be deemed to be the responsibility of that Bidder and as such, any and all costs, as deemed appropriate and reasonable compensation for the Corporation, will be assessed to the successful Bidder.

1.12 CHARACTER AND EMPLOYMENT OF STAFF

The successful Bidder shall employ only orderly, competent and skilful employees to ensure that the services are carried out in a respectable manner.

In the event that any person employed by the successful Bidder in connection with the service arising out of this Quotation gives, in the opinion of the Corporation, just cause for complaint, the successful Bidder upon notification by the Corporation in writing, shall not permit such person to continue in any future service arising out of this Quotation.

1.13 ERRORS AND OMISSIONS

The Corporation shall not be held liable for any errors or omissions in any part of this RFQ. While the Corporation has used considerable efforts to ensure an accurate representation of information in this RFQ, the information contained in the RFQ is supplied as a guideline for Bidders. The information is not guaranteed or warranted to be accurate by The Corporation, nor is it necessarily comprehensive or exhaustive. Nothing in the RFQ is intended to relieve the Bidders from forming their own opinions and conclusions with respect to the matters addressed in the RFQ.

Should a Bidder find omissions from, or discrepancies in, any of the RFQ documents or should the Bidder be in doubt as to the meaning of any part of such documents, the Bidder shall notify the designated contact and office without delay. If the designated contact considers that a correction, explanation or interpretation is necessary or desirable an addendum will posed on the Town website under Bid Opportunities. It is the bidders responsibility to check the website to determine if any addendums have been posted.

No oral explanation or interpretation will modify any of the requirements or provisions of the Quotation documents.

1.14 REGULATION COMPLIANCE AND LEGISLATION

The successful Bidder shall ensure all services and products provided in respect to this Quotation are in accordance with, and under authorization of all applicable authorities, Municipal, Provincial and Federal legislation.

1.15 ELECTRONIC SUBMISSIONS

Electronically transmitted submissions (facsimile, e-mail, etc.) will NOT be accepted for this Quotation.

1.16 ASSIGNMENT OF CONTRACT

The successful Bidder shall not assign transfer, convey, sublet or otherwise dispose of this contract or his/her right, title or interest therein, or his power to execute such contract, to any other person, company or Corporation, without the previous consent, in writing, of the Corporation’s officials, which consent shall not be unreasonably withheld.

1.17 QUOTATION WITHDRAWAL

Any Quotation may be withdrawn prior to the scheduled time for Quotation Closing, or authorized postponement thereof. Quotations received after the date and time of closing will not be considered. No quotation may be withdrawn within ninety (90) calendar days from the actual date and time of closing for the quotations.

1.18 LAWS, NOTICES, PERMITS and FEES

The successful Bidder shall obtain any necessary permits, licenses and certificates and pay the fees required for the performance of the work that are in force prior to installation.

1.19 SUBCONTRACTORS

No portion of the work under this award may be subcontracted without the written authorization of the Corporation. The Contractor is fully responsible to the Corporation for the acts and omissions of Subcontractors and/or persons directly or indirectly engaged by the Contractor in respect to this work. Sub-Contractors will be required to abide by all the requirements of the Quotation document as though the primary Successful Bidder (Insurance, WSIB, Health & Safety Policy, etc.). The Contractor agrees to bind every Subcontractor by the terms of the Contract documents as far as it is applicable to their work.

Bidders must complete and submit with their quote, the Subcontractor Information Form included with this document.

1.20 TERMS OF PAYMENT

Unless otherwise stated, the Corporation’s normal terms of payment will be Net Thirty (30) calendar days from the invoice date, payable in Canadian funds. Invoices shall be forwarded to the attention of:

1.21 CANCELLATION

The Corporation reserves the right to immediately terminate the Contract at its own discretion, including but not limited to such items as non-performance, late deliveries, inferior quality, pricing problems, etc.

If the successful Bidder should neglect to execute the work properly or fail to perform any provision of this Award, the Corporation, after three (3) business days written notice to the successful Bidder, may, without prejudice to any other remedy in existence, make good such deficiencies and may deduct the cost thereof from any payment then and thereafter due to the successful Bidder. Continued failure of the successful Bidder to execute the work properly shall result in a termination of Contract. The Corporation shall provide written notice of termination.

The Corporation may elect to terminate the Contract if the original terms and conditions are significantly changed, giving thirty (30) calendar days written notice to the successful Bidder.

Either party may terminate the Contract by giving the other party sixty (60) calendar days written notice, giving reasons acceptable to the other. A period of less than sixty (60) calendar days to terminate the contract may be negotiable if mutually agreeable among the parties involved in the Contract.

Failure to maintain the required documentation during the term of this contract may result in suspension of the work activities and/or cancellation of the contract.

1.22 PATENT, COPYRIGHT, OR OTHER PROPRIETARY RIGHTS

In accordance with Municipal Freedom of Information and Protection of Privacy Act, Bidders are reminded to clearly identify in their Quotation material, any specific scientific, technical, commercial, proprietary, intellectual or similar confidential information, the disclosure of which could cause them injury or damage.

1.23 FREEDOM OF INFORMATION

All written Quotations received by the Corporation become a public record, once the Town of Bracebridge accepts a Quotation, and a contract is signed, all information contained in them is available to the public, including personal information.

Questions about collection of personal information and the Municipal Freedom of Information and Protection of Privacy Act, 1989, R.S.O. 1990, Chapter M.56, as amended, shall be directed to:

1.24 ADDENDA

It may be necessary for a variety of reasons to issue addenda:

1.24.1 Correction to the quotation document and related forms

1.24.2 To extend closing dates

1.24.3 Clarification of parts of the quotation documents

1.24.4 Responses to specific questions asked by one Bidder that the Corporation feels should be made available to all Bidders

1.24.5 Retraction or cancellation of the quotation

1.24.6 For any other reason as deemed necessary by the Corporation

If required by the Corporation, addenda will be posted on the Town of Bracebridge website (www.bracebridge.ca – Bid Opportunities). Respondents can subscribe to the Bid Opportunities webpage to receive any addenda notification. It is the Respondent’s responsibility to ensure all addenda have been received. The Town of Bracebridge assumes no responsibility should the Respondent not receive emails, which may be due to spam filters, or other technical reasons. No oral explanation or interpretation will modify any of the requirements or provisions of the Proposal Documents.

1.25 UNBALANCED BIDS AND DISCREPANCIES

In the event of a discrepancy between the unit price and the total price, the unit price shall prevail.

Mathematical discrepancies shall be corrected by the Corporation’s Staff using appropriate means to arrive at the correct Total Bid Price. Where an error has been made in transferring an amount from one part of the Bid to another, the amount shown before transfer shall, subject to any corrections as provided for above, be taken to be correct, and the amount shown after transfer and the Total Bid Price shall be corrected accordingly by Corporation Staff.

Bids that contain prices which appear to be so adversely unbalanced as likely to affect the interests of the Owner may be rejected.

2. GENERAL SPECIFICATIONS

2.1. NOTIFICATION OF AWARD

The Corporation will notify the participating Bidders with respect to the award of the successful quotation in writing.

It is the intention of the Corporation to award the work of this Quotation to only one (1) qualified Bidder.

The lowest, or any, Quotation may not necessarily be accepted.

No alterations, additions or deletions from the accepted Quotation price will be permitted without the prior written approval of the Corporation.

2.2. PROJECT TIMING

2.3. QUOTATION EVALUATION CRITERIA

The acceptance of a Quotation will be contingent upon, however not limited to, the following considerations:

2.3.3 Best value for the Corporation

2.4. NAME BRANDS AND SUBSTITUTIONS

Where specific brands have been indicated, substitutions will be accepted provided that the bidder ensures that it is comparable or superior to the specified product.

2.5. GENERAL LIABILITY INSURANCE

The successful Bidder’s General Liability Insurance policy shall not be less than $5,000,000 (five million dollars) per occurrence. The successful Bidder agrees to provide proof of a General Liability insurance policy in the amount of not less than $5,000,000, (five million dollars) per occurrence, to indemnify the Corporation of the Town of Bracebridge against any damages occasioned through any act, omission or neglect of the successful Bidder while carrying out the service under this Quotation.

The Corporation shall be included as an “additional insured” on the successful Bidder’s insurance policy.

2.6. WORKPLACE SAFETY & INSURANCE BOARD

The successful Bidder shall provide the Corporation with a copy of the Workplace Safety & Insurance Board’s Clearance Certificate indicating the successful Bidder’s good standing with the Board:

2.6.2 Prior to the expiration of the warranty period; and

2.6.3 At any other time when requested by the Corporation.

2.7. HARMONIZED SALES TAX (HST)

If HST is applicable to any parts, materials, etc. used in the work of this contract, the HST amount is to be included and accounted for by the successful Bidder.

3. OVERVIEW

3.1 INTRODUCTION

The Town of Bracebridge is seeking the services of a qualified contractor to install a matching columbarium (to be named White Pine) at Bracebridge Municipal Cemetery at 19 Lilac Lane, Bracebridge, ON beside the existing Lake Muskoka Columbarium.

3.2 PROJECT OBJECTIVES

The purpose of this request for quotation is to:

3.2.1 Installation of one (1) 48 niche columbarium to exactly match the specifications of the existing Lake Muskoka columbarium and be installed beside the existing columbarium. The quotation is to include the pouring of the foundation, installation of the columbarium and the engraving of the columbarium name (White Pine), in the same manner as the existing columbarium.

3.2.2 Specifications of New Columbarium to match Existing Columbarium as follows:

3.2.2.1 Base: Dakota select mahogany granite. Thickness 6 inches, Top polished, Edges (4) Rocked finish, to prevent damage from lawn mowers, etc.

3.2.2.2 Walls (2): Dakota select mahogany granite. Thickness 4 inches, all exterior surfaces polished.

3.2.2.3 Niche Covers (48): Dakota select mahogany granite. Thichness 7/8 inches, exterior face polished. A minimum of 4 additional covers to be provided to the Town. All attachments for covers to be of bronze, with special locking design to match existing columbarium. A tool shall be provided to the Town.

3.2.2.4 Interior Niche Cell: The interior is a one piece unit consisting of 48 compartments approximately 11.5 x 11.5 x 11.5 inches for interment of 2 cremations each. Each niche will also have secondary plastic cover. The interior is slightly beveled to eliminate any moisture condition. The complete cell structure consists of high impact concrete. The complete cell structure is coated with a plastic sealant to protect against moisture from climatic conditions.

3.2.2.5 Foundation: High strength concrete to size of granite base, plus 3 inch boarder all around for easy maintenance. The depth is 5 feet, to be below frost conditions.

3.2.2.6 Fabrication: All sections are joined together by a combination of stainless steel dowel pins, and cramps, with all joints sealed with high tencil epoxy type adherences for strength and all weather conditions.

3.2.2.7 Columbarium Installation: The total columbarium will be installed in one complete unit upon concrete foundation (utilizing best practices).

3.2.3 Bid and pricing to include supply of unit, all labour, materials, equipment and all

services to complete installation of the unit, F.O.B. Bracebridge. Site preparation and concrete are the responsibility of the successful bidder. Pricing is to include all applicable taxes.

3.2.4 Caution must be used with heavy equipment due to the existence of burial sites nearby.

3.2.5 Site must be graded but not landscaped.

3.2.6 Remove all debris, supplies, materials, etc, and restore the work site to the same or better condition; and,

3.2.7 Complete the project by September 15, 2017.

3.3 GENERAL

The general work specifications are as follows:

3.3.1 Installation of one (1) 48 niche columbarium matching the exact same specifications and appearance of the existing Columbarium (Lake Muskoka)

3.3.2 Foundation must be solid concrete and engineered to meet the requirements of the unit. It must be the same dimensions of the base of the columbarium, with a 3” protruding margin for ease of grass cutting/trimming. Foundation must be constructed to avoid the negative effects of frost.

3.3.3 Interior walls shall be constructed of high tensile concrete, or a material of similar (or better) strength and composition to ensure structural integrity.

3.3.4 Colour, shape, and quality of granite to be the same as the existing columbarium (Lake Muskoka).

3.3.5 Before any work is undertaken, the contractor must obtain utility locates and notify staff in the Corporate Services Department.

3.3.6 All debris must be removed and properly disposed of and the work site must be returned to the same condition or better than it was before the work commenced.

3.3.7 The successful bidder shall ensure that the dignity of the cemetery is maintained at all times throughout the installation (i.e. no storing materials on grave sites, etc)

3.3.8 No work may be undertaken during interments. Town staff shall provide the successful bidder with dates and times as they may be scheduled.

3.3.9 The project must be completed by September 15, 2017 – subject to unforeseen extreme weather conditions.

3.3.10 Project commencement shall be on a date mutually agreed upon by the Town of Bracebridge and the contractor.

3.4 WARRANTY

In addition to the manufacturers’ warranties, the bidder must indicate warranty for parts and labour in years.

3.5 NAME BRANDS AND SUBSTITUTIONS

As noted in section 2.4, where specific brands have been indicated, substitutions will be accepted provided that the bidder ensures that it is comparable or superior to the specified product. This office must be contacted and provide permission in writing before any substitutions are permitted.
