The SolutionThe Directors of Swap Australia Limited intend to sell the IP of Swap Australia to create a professional business model that will maintain the objectives and values of Swap Australia/Business
Swap. The IP would include the membership (database), policies and procedures manuals, website, trademarks etc.
Should we be unable to find an acceptable buyer by 30/6/09 we will proceed to dissolve Swap Australia Ltd and assist the individual
clubs in setting up to operate independently.

Some Key Issues1.Individual Clubs•If we don’t sell, we would assist clubs to operate individually, though they would not be able to call themeselves “Swap”•Privacy Laws•If we do sell, permission needed from each member to hand over their details to the new owner•Money•The constitution is clear. Upon winding up, the assets of Swap Australia may only be transferred to another not-for-profit with similar objectives. •Our intention is to use any remaining funds to benefit our members in line with our purpose of education, motivation and experience
