on behalf of the Malaysian investor relations association or Mira, i would like extend our sincerest appreciation to YB tuan Lim Guan eng for making the effort to grace our most significant event of the year. it is truly an honour to have you here today despite your busy schedule. it is also with great pleasure, that i welcome all the award nominees and corporate leaders at the ceremony today. today marks the 9th edition of the Mira ir awards, and we are extremely proud of your achievements and commitment to the ir profession. the very small Mira team has put a lot of effort over the past few months to put this event together and it is heartening to see you all here today.

To start off, I think it is important for us to highlight that we now have an even more robust process in filteringdowntheshortlistandwinnersthisyear.KPMGhasdoneafantasticjobinputtingtogetherfocusgroupswithstakeholderstofinetunethefactorstobeincludedintothescoringsystem.Basedon this feedback, recipients were scored based on a weighted 70:30 split between votes and diagnostic assessmentbyKPMG.Votingformsweresentto1,500votersandwereceivedaveryencouragingresponse. Details of the Awards process and criteria can be found on the MIRA website under IR initiatives.

The voting pool was increased this year, with nominations for a wider base of companies from different sectors and market capitalisation. It is very encouraging to see more Micro-Cap PLCs being nominated. This augurs well for Bursa Malaysia and the equity market as a whole with greater coverage by analysts, brokers and investors a result of more proactive and responsive investor relations. This is a win-win situation for both the companies and the investing community.

We are living in a very dynamic environment today. How quickly things have changed. The global business environment is evolving at a ridiculous pace with new socio-economic and political developments. Investorsnowdemandforupdatedinformationonstrategicdirections,financialindicators,operationalmatters and governance issues. Regular, consistent and proactive engagements with stakeholders are aprerequisitetoreinforcelevelsoftrustandconfidenceinmanagement.AsanIRpractitionermyself,I can assure you that these engagements are crucial and also allows for two-way discussions to listen to opinions and views from these stakeholders.

The new buzzword is “Sustainability”. We are seeing a massive surge in attention and focus on environmental, social and governance (ESG) issues in business and finance. The climate changeagendaishereandbecomingmorepronounced.Youwillfindgreaterscrutinyonyourcompanies’environmental awareness as the risks associated with your businesses become more apparent. This is the world we live in today, so I urge all of you to prepare yourselves.

ThisSupplementaryReport (“Report”) outlines the findings andhighlights of theMalaysian InvestorRelationsAwards2019byMalaysianInvestorRelationsAssociationBerhad(“MIRA”)forwhichanevaluationwasperformedthrough the following:

Themethodologyof theMalaysia InvestorRelationsAwards2019byMIRA isguidedby the followinganchorpoints:

• ThestratificationofcompaniesbytheirsizeclustersareguidedbytheparametersoutlinedinPage7ofthisReport.

• Companies which have been shrouded in any form of investor relations and corporate governance controversy are excluded from the nomination shortlist and the attendant diagnostic assessment.

• The diagnostic assessment primarily relies on the availability of information in the public domain to ascertain the institution of a predetermined investor relations practice within the company. Flowing from this, companies which are more transparent tend to fare better in the diagnostic assessment.

• Whilst the diagnostic assessment modality operates on an active scoring mechanism (points are awarded based on the presence of better practices), the nominated companies which fall short of complying with regulatory promulgations or instituting fundamental investor relations practices (e.g. availing investor relations contact details within the company) are penalised through the docking of points.

• In the outlier event of a deadlock due a tie in the overall scores (i.e. aggregate score gathered from popular voting and diagnostic assessment), an additional higher-order diagnostic assessment criterion will be applied to determine the winner.

introduction - exploring the strategic Value of investor relations

Effective communication is the sine qua non for companies and investors to facilitate informed decision-making. To this end, an investor relations (“IR”) function serves as the focal point for companies in delivering and gathering value-adding information through continuous interaction with the investment community. Morphing beyond the traditional unidimensional role, an IR functionnotalsocommunicatesthefinancialpropositionofacompanybutalsoincreasinglyacts as the custodian of a company’s image and in managing investors as well as management’s expectations from the facets of corporate culture, strategy, operations, corporate governance and sustainability. In communicating the “nuts and bolt” of the company and in addressing the

concerns of the investment community, it is imperative for the IR fraternity to be attuned to the pulse of the industry and developments in the marketplace that are changing at a dizzying rate.

In this regard, the biggest force to be reckoned with is indubitably the proliferation of technology. The enhanced connectivity and analytical capabilities brought about by technology have allowed the investment community to conveniently access and synthesise information. This is further accentuated by the fact that alternative data is gaining mass adoption amongst investors. To illustrate further, it should be pointed out that on the global front, almost 80% of institutional investors use social media with over 30% agreeing that the information provided directly impacts an investment decision.

The inherently more complex yet agile marketplace is also current faced with whipsawing macroeconomic challenges characterised by trade and political tensions that fuel risk of persistent fuel growth. Against this backdrop, the IR function is tasked with the monumental responsibility of extending its outreach and engaging in dialogueon“value-gap”issueswithaviewofrestoringbusinessconfidencethatwouldinturnreviveinvestment.

In addition, the evolving regulatory tapestry has reshaped the narrative in which the IR function operates. The heightened emphasis placed on disclosure and transparency is propelling the IR function to undertake measures so as to bridge the oft-cited bugbear of “information-asymmetry”. In this context, it is worth highlighting that in the calendar year, Bursa Malaysia Securities Berhad has reinforced the Main Market and ACE Market Listing Requirements with a focus on enhanced transaction disclosures and announcements, simplified corporatedisclosure policy and immediate announcements.

At the same time, the active role played by investors have heightened the level of scrutiny companies face, thus, necessitating expeditious response from the IR function. To this end, one can immediately and vividly chronicle the stewardship measures taken by our domestic institutional investors to shape the practices of their investee companies and these include voting against resolutions and “blacksheeping” of companies through active communication on key concerns.

All in all, the IR function is expected to continue to see a tremendous shift in relevance and role with ongoing developments in the marketplace and the varying base of investors.

summary of overall observations

The conduct of diagnostic assessment on the shortlisted companies has allowed MIRA to gather a honed perspective on the practices deployed by IR functions and the key trends in this regard. Salient themes that have emerged from the conduct of this exercise are summarised below:

ir is in-the-money

There is a growing recognition on the strategic enabler role assumed by the IR function and consequently, companies are becoming more receptive to establish a dedicated IR function. A significantly largeproportion of companies assessed have a dedicated in-house IR officerwith contact details laid out in the corporate website and/or annual report. The extent of IR programmes has also heightened with almost all of the companies assessed have engaged in at least four one-on-one investor interactions, analysts’ briefings, roadshowsand investorconferences. Co-sourcing of IR function is meanwhile observed in cases of back-end work or

speciallycommissionedprojectssuchasaperceptionstudyofinvestors.

As a form of improvement consideration, companies which have undertaken to partially or fully outsource their IR functions should undertake to avail an IR contact within the company for investors to reach out. This would aid inalleviatingthecommonlycitedconcernofdelayingatheringfirst-handresponsesfromthecompanieswhilstheeding the general push for companies to have their “own ears on the ground”.

insights from site

In tandem with the growing information needs of investors, selected progressive companies have ventured to accord shareholders and analysts the opportunity to observe their operations and production facilities with a view of availing information that cannot be obtained from analysingfinancialstatementsormorebroadly,annualreports.

During these site visits, investors are affordedwith a window to glean first hand insights on the operationaland research development activities besides being able to socialise with mid-level employees. The practice of organising site visits is typically observed across companies that are in operationally driven industries such as oil and gas and construction.

taking a Hard Look at the soft aspects

Companies are increasingly communicating their value creation story in a more holistic manner, transcendingfinancialimperativeswiththeincorporationofeconomic,environmentalandsocialconsiderations. It is becoming mainstream for the content of IR programmes to also discuss aspects such as compensation, shareholder rights, natural resource impact, human rights and

product safety.

In addition, companies are beginning to adopt a more permissive attitude towards disclosures that traditionally representdeviationfromnormssuchasadmissionoffinesandmisconductsandtheseareaccompaniedwithunequivocal commitment to improve from the top echelon as well as remedial action plan.

Publish or Perish

Whilst in general, improvements are noted in elucidating key information to investors (e.g. presence of dedicated Chief Financial Officer review section to highlight variance in keyfinancialheadlinenumbers),thereisstillheadroomforimprovementinrelationtodisclosureandtransparency. For instance, a notable number of companies have not uploaded announcements onitswebsite,pursuanttoreleasingthesametotheExchange.Asstatedinparagraph9.21(2)

(a) of the Main Market and ACE Market Listing Requirements, a listed issuer must publish all announcements made to Bursa Malaysia Securities Berhad on its website “as soon as practicable” after the same are released on the website of Bursa Malaysia Securities Berhad. This is further reinforced by Issuers Communication Note 1/2018 by Bursa Malaysia Securities Berhad which states that “as soon as practicable” in any event refers to no later than 1 day after the announcement has been released on Bursa Malaysia Securities Berhad.

Best investor relations for an initial Public offering (“iPo”) 2018

The high-performing companies in this category have recorded active and clear articulation of their respective business proposition as the focal component in their prospectuses. Statements of key risks and mitigation actions aswellaskeyfinancialcomparators (i.e. industrybenchmarks, targetsandanalyticaloverview)werecommonrevelations.

In order to accord convenience for analysts and investors, the prospectuses of the nominees were observed to contain direct contact information of the IR representatives and a clear overview of the IPO process. IR materials during this stage also typically include two forms of deck (i.e. a company presentation deck and earnings presentation deck). The company deck is essentially a pitch material that presents the company thesis in a succinct mannerwhilsttheearningspresentationdeckrevolvesaroundtheprimaryandsecondaryfinancialkeyfinancialindicatorsidentifiedduringtheIPOprocess.

Companies that did not fare well in this category were commonly observed to have excluded the IR contact information and had re-directed the queries to external parties which elongated the process to obtain essential information. Such companies also failed to maintain the momentum with limited IR interaction post-IPO.

Best Quality of one-on-one Meetings

The key differentiator of winners in this category is the provision of access to senior management for one-on-one meetings.Specifically,investorsandanalystshadvoicedthatthroughtheseinteractions,issuesweremeaningfullyaddressed from the proverbial “horse’s mouth”. Some companies have also ventured to accord access to the senior independent director who is typically regarded as the spokesperson for the company on any corporate governance issues.

In order to ensure that what actually goes on during these interactions does not remain largely elusive to outsiders, selected progressive companies have shared the content of these engagement sessions on their websites. A few companies have also taken the “extra mile” to disclose progress reports on the corporate websites so as to highlight developments that are relevant to the queries or concerns raised by investors and analyst during one-on-one meetings.

On a less upbeat note, a number of shortlisted nominees did not disclose a structured process on the scheduling of one-on-one meetings and the governance framework surrounding this engagement mode which is imperative to safeguard the sanctity of material and price-sensitive information.

A Company that was faced with several issues which stunted the company’s performance in recent years had undertaken a proactive measure of reaching out to current and prospective investors. The leadership of the Company had issued an “Open Letter” to outline the entrenched problems as well as the major transformationplans ingear.Themoveis seen as a bold action by the Company’s leadership to be transparent and in addressing issues on a head-on fashion. The Company has since recorded multiple thousands “hits” on its corporate website.

Best Business Knowledge and insight of investor relations team

Companies that fared well in this category were known for being proactive in curating and publishing materials that are useful for the investment community. For example, some companies have conducted specialised surveys on issues that are pertinent to shareholders and published the resultant findings. Such companies arealso commonly attempt to engage in a dialogue with investors so as to elicit feedback on areas of concerns and consequently, tailor their communication content accordingly.

In addition, enlightened companies which have been nominated in this category were observed to be proactive in media engagement, as evident through press clippings and interview excerpts.

In terms of headroom for improvement, the repository of knowledge contained in the IR section of selected companies’ websites should be kept current.

Best Quality of annual reports

It is interesting to note that leading companies in this category have adopted integrated reporting, thus allowing users to “connect the dots” and have a holistic understanding of the company’s value creation story including the strategic drivers. These companies typically articulate their business model proposition in a compelling manner withcontextualisationofexternalities.Thereisagoodmixoffinancialandnon-financialinformationforuserstoappreciate the underlying factors that drive the performance of these companies.

Companies that performed well in this category also have an annual report design that is reader-friendly with ease ofnavigationandvisualappealbeingkeyconsiderations.Value-addeddisclosurefeaturessuchascomparisonofsharepriceagainstbenchmarkindices,trendanalysisoffinancialheadlinefiguresandmovementinshareholdingstructure form part and parcel of the “new normal”.

In terms of improvement consideration, the cogency of the narrative on future business outlook can be enhanced, particularly as investors continue to place a premium on the forward-looking action plans by a company.

Most improved service from an investor relations team

Best companies for investor relations

TheassessmentunderthiscategoryrepresentsanevaluationontheoverallefficacyoftheIRpracticesacrosscompanies. It is encouraging to note that a large proportion of the shortlisted companies have established a dedicated IR function. Interestingly, selected progressive companies have undertaken to publish a financialcalendartooutlinekeyeventssuchastheplannedreleaseofquarterlyreportsandinvestorsandanalysts’briefingsdate.Inwhatisregardedabetterpractice,thesecompanieshavesettheinvestorsandanalysts’briefingdatestocoincide with the release of the quarterly reports, thus, enabling the investment community to timeously appreciate theunderlyingdriversof thefinancials.Asignificantnumberofshortlistedcompanieshavealsoavailedthe IRdecks on their corporate websites to reduce incidences of “information asymmetry”.

As mentioned at the onset of this Report, companies should undertake to upload announcements on their website pursuanttoreleasingthesameontheExchange.Giventhatthisisamandatoryrequirement,it issurprisingtonote that several companies have failed to undertake the said measure. It is also in the self-interest of companies to engage with investors prior to general meetings to gauge their receptiveness towards the proposed resolutions and gather any concerns.

In this category, companies at the forefront were observed to be attentive to the needs of investors and analysts by conducting regular engagement sessions with them. There is also active partnering with the “sell-side” analysts to clearly articulate the key aspects and differentiators so as to help investors understand and assess the company better.

Some companies continue to remain on the backfoot with the IR function being on the periphery characterised by limited engagement with investors and analysts. In such companies, the IR function is typically not positioned as one with the requisite standing and there is lack of clarity in its terms of reference.

A prominent company with a large number of shareholderswas identifiedtohavemobilised“operational booths” during the annual general meeting with a view of freeing-up the “order of the day” to be focused on mission-critical issues. This allows shareholders to gain clarifications on non-strategic issues via the“operational booth” platform whilst averting the annual general meeting proceedings from becoming protracted.

In this era of rapacious technological development, one would be precise to deduce that companies which emergedstronglyinthiscategoryhaveharnessedtheapplicationoftechnologyinanefficaciousmanner.Suchcompanieshaveundertakentodeployfeaturessuchasemailalertsubscriptionsandindicatorsoftraffictrendsaswell as frequency of visitors. Interactive features such as share price comparison over the years and dashboard are also becoming more commonplace. One company went as far as availing a web-based IR television to feature the proceedings of the Investors’ Open Day and present responses on frequently asked questions by investors. A substantial proportion of companies assessed also have a dedicated IR tab on its website with electronical avenues for the investment community to reach out to the company.

In terms of improvement consideration, companies should consider keeping their website updated and maintain anarchiveofkeyinformationaswellaspresentationmaterialsforanelapsedperiodofatleasttheprecedingfiveyears.

Best chief executive officer (“ceo”) for investor relations

As the primary designated spokesperson of the company, CEOs are typically at the forefront to articulate the company’s direction and initiatives. As noted from the diagnostic assessment undertaken, CEOs are becoming more forthcoming in tackling adverse news and communicating remedial measures. There is also a heightened awareness amongst CEOs to quell speculations and rumours that pertain to their respective companies. Such proactive behaviour is indeed encouraging as it will seek to provide clarity to market participants and avert inorganic share trading activity. Many companies have also leveraged on the annual report or corporate website as a forum for their CEOs to communicate the proposition of the company which they helm on a more personalised note. These communiqué by the CEO usually take the form of a “Letter by the CEO”.

As an upside consideration, it would be of greater value-add to witness an increased participation of CEOs alongsidethechieffinancialofficerandinvestorrelationsofficerduringinvestorsandanalysts’briefing.

Best chief financial officer (“cfo”) for investor relations

Leading CFOs in this category are known to transcend beyond their conventional confines to also play anintegral role in strategic communication. In a practice that is increasingly gaining traction, we are witnessing more enlightened companies incorporating a dedicated “CFO Review” section in the annual report whereby the CFOs undertake toexplain thevariance inheadlinefinancialfiguresand theunderlyingvaluedrivers.The releaseofannual reports and quarterly reports have also been largely expeditious, exceeding the window accorded provided by regulators, thus, indicating the meticulous planning by CFOs representing these companies.

As a potential enhancement area, it would be refreshing to witness CFOs being more proactive in communicating thefinancialturnaroundstrategiesofthecompanyaswellasinoutliningthefinancialimpactofadverseeventsimpacting the company, where possible.

Best investor relations Professional

It is perhaps worth reinforcing that the almost all of the shortlisted companies for this category have a dedicated IR officerwith only a select few having theCFOsor company secretaries dual-hatting as the IR official. It isheartening to note that a large proportion of these companies have engaged in at least four IR programmes in ayear (e.g.briefings, roadshows, investors’openday), ledby the IRofficer.Theambitofan IRofficer isalsoextending beyond meetings with investors and analysts to also include other stakeholders such as regulators and government agencies. In many of these leading companies, the IR professionals are accorded with the requisite standing and they closely interface with the board members.

In terms of improvement consideration, the content of IR presentation materials for selected companies could be enhanced to include more insightful perspectives on the company’s strategy rather an excessive focus on historicalfinancialfigures.

analysis from the Perspective of company size

Note: The remaining categories of the Malaysia Investor Relations Award are unidimensional (i.e. they are not stratified by market capitalisation). The stratification of nominees into the different clusters of market capitalisation are premised on the following parameters:

As noted from the heat maps, companies that are more largely capitalised have generally fared better by gathering accumulated points that represent the top end of the spectrum. This goes to reinforce that “size matters” - it is akeyfactorindrivingtheefficacyoftheIRfunctionthroughthenatureaswellasextentoftheIRprogrammesorganised. It was gathered from the diagnostic assessment that the IR function for large companies are more likely to be guided by formal terms of reference and a structured framework. There is propensity for large companies to provide reports on their IR activities to their respective boards, thus, promoting accountability. Stewardship activities (i.e. engagement with institutional investors) are also more likely to take place for the larger capitalised companies.

Looking further down the line, it should also be noted that the nominations received by large cap and mid cap companies far exceed that garnered by their smaller capitalised peers, thus, indicating the heightened visibility and coverage of the larger companies amongst investors and analysts.

Note: The following analysis is performed by dissecting the nominated companies based on the sectorial classification by Bursa Malaysia Berhad. The analysisfor micro cap companies is excluded due to its limited sectorial dispersion.

Large cap

As illustrated in Chart 1, companies in the “Financial Services” sector have received the highest share of awards with a recorded proportion of 46% and this is followed by the “Telecommunications and Media” industry.

It should be recognised that the “Financial Services” sector is capital-driven which requires large funding and this in turn creates an impetus for IR activities. In addition, the heightened supervision and higher-order regulatory standards put in place by Bank Negara Malaysia have driven disclosure and transparency practices amongst financialinstitutionstobe“aheadofthecurve”.

Mid cap

In the Mid Cap categories, companies across the “Consumer Products and Services” sector achieved a 46% share of the total awards (refer to Chart 2). This is in tandem with general sectorial representation of the mid-cap populace.

The “Telecommunications and Media” industry meanwhile emerged second with a 23% representation. Giventhenatureofthisindustry,itishardlysurprisingtonote that the companies in this sector have harnessed the application of technology to elevate their IR programmes.

“What is your purpose in life?”, a foreign fund manager asked the managing director of a publicly listed corporation (PLC) in a one-on-one meeting. The client was startled, not knowing how to approach this out-of-whack question.

In a way, the fund manager was trying to suss out the psyche of the management behind the company he was considering investing in. My client could have reacted by saying that his personal aspiration in life was irrelevant to the company’s pursuit.

That psychological question set me thinking about how the management’s mindset would impact shareholder value creation. I then examined the key management of about 200 companies across the past and present clients, looking for answers why some failed to deliver whilst few good ones flourished.

Of course, the stock exchange has numerous examples of failed companies that folded up or changed hands in a typical RTO. Whilesomefailureswerebonafidevictimsofastructuraldeteriorationintheirindustries,Itendtoopinethatmostfailuresweredue to mismanagement. From the onset, the corrupt mindset of key management was precursor to the collapse.

Yet,howwouldaninstitutionalinvestorsittinginaLondonoffice(orretailinvestorsinsuburbantownsbeyondKlangValley)knowthe management psyche of companies they are keen to invest in?

Social media today is an increasingly powerful news channel; case in point being the viral image of a few colorful ultra-luxury cars parked outside Bursa Malaysia during a company’s listing ceremony. The debutant’s key management obviously underestimated theinvestingpublic’sperception.Itdidnothelpthatthesharepricedidnotcloseonthefirstdayasimpressivelyastheluxurycarwould’vefinishedonaracetrack.

In our internal study of PLCs over the last 18 years, we assessed a management psyche in the following aspects:

Vision. A far-sighted management would determine the company’s direction, then map out a strategy to reach its goals. Should the company start to veer off its vision and lose focus, then investors should be beware of a ‘clouded’ management mind. For example,asuccessfulF&BcompanythatinvestedinaplantationinIndonesiafor“diversification”.

interest alignment. This applies especially to family-owned corporates, where the family typically holds a controlling stake. Often, the family members of such corporates ‘forget’ that they are managing a public company, and this misalignment with minority shareholders’ interests can often destroy shareholder value. For instance, a property company (now privatized) irked investors when the family’s private vehicle held prized assets outside the listed company, keeping the spoils to themselves. Another example involved a related party transaction to buy over the family’s stake of a loss-making subsidiary.

Wealth sharing. We often hear owners of corporates brushing off IR because they are not disposing of any shares. Being desensitized to how the market values their share price, they create a ‘valuation trap’ for the minority shareholders. A classic example of a wealth-hoarding management psyche: a Bursa-listed company with solid earnings of few hundred millions Ringgit paid very generous salaries to its executive directors, but distributed no dividends. Minority shareholders continue to suffer the depressed share price of 3x PE Ratio and 70% discount to book value!

Sustainability. To attract long term investors, any good management must also imbue sustainability measures in the company’s business model and embark on succession planning. Investors would do well if their investee companies outlive the founding members and management team. That requires careful planning by the current management to set the pace for future growth.

Jim Collins’ bestseller Good to Great elaborated that one of the seven characteristics of a great company is a management with great humility and passion to achieve the best. That is the management psyche that investors would want to see.

Therefore, the Investor Relations (IR) function is to strategically advise key management on the correct optics of the company intheeyesoftheinvestingpublic.GoodIRmusthelpconvincekeymanagementofthemeritsofsettingaclearvision,steeringclear of related party deals that will only dilute management reputation, being willing to share wealth with minority investors, and lastly creating an environment of continuity.

Back to the opening question “what is your purpose in life?”, the client replied that he would do his best to create prosperity for the company, so that he can contribute to society and adequately uphold the welfare of his family. And the fund manager was pleased.

Management Psyche andInvestor Relations

Itwasobserved thatAGMsofPublicListedCompanies (“PLCs”) takes longer this year.Thiscouldbedue to risingshareholder activism, to one or more of following reasons:-

i) poor performance of PLCsii) lower or no dividend declared iii) high Directors’ fees despite PLC not doing well iv) conflict of interest v) long tenure Directors seeking re-election

It was also noted that:-• many PLCs have seen increase in number of attendance of shareholders and proxies • some PLCs have done away with gifts during AGMs as cost cutting initiatives or abiding to no gift policy • some PLCs have set minimum shareholding to be entitled to gifts/vouchers• some PLCs have treated a person attending both as shareholder and/or proxy as one headcount being only entitled to one gift/voucher

How could this be managed better?

i) BetterengagementwithstakeholderspriortoAGMe.g.meetingwithkeyshareholders.ii) Some had set up booth/counter to offer assistance on issues raised related to PLC’s business operations. iii) Despite increase in attendance by shareholder and proxies, the number of shareholders or proxies who votedatAGMhavenotincreasedsignificantlyasmostshareholdersandproxieswillregistertheirattendance togetthegifts/vouchersonlybutnotattendtheAGMtoheartheproceeding,norvoteatAGM.iv) HybridAGMmayallowgreatershareholdersparticipationandengagementasitallowsvariousmethods and/orvotingatAGMonsiteoroffsitei.e.remotevotingorparticipationatAGMviavideoconference teleconferencewithoutattendingtheAGMinperson.Withthis,shareholdersandproxiesmayalsoraiseany questions to be addressed by the Board and/or Management, which can easily be done without attending AGMsortoqueuepriortovoting.v) Should a PLC pay Directors’ remuneration despite not doing well? Some Directors have offered to take a pay cut/waive their fees but surely they should be remunerated if they have contributed to Board’s deliberations or turnaround the PLC, otherwise there will be difficulty in recruiting talent Directors. Perhaps, a dedicated IR function to ensure a more robust engagement with all stakeholders in every step of the turnaround process may be able to gather the support on their contribution. Alternatively, better governance put in place will also be able to assure stakeholders that there are check andbalanceputinplacee.g.appointmentofGovernanceCommittee.vi) ShouldDirectorswithtenureofmorethan9yearscontinuetoseekre-election?Itwouldcertainlyhelpif a PLC can be seen to take serious steps in succession planning or have a pool of readily available candidates to be groomed as Directors with diverse skills and who are able to contribute to the Company’s performance for example, a director with plantation experience was appointed for a plantation company.

State of AGMs in 2019 & AGM Management

Certainty is to capital markets what yin is to the yang. What salt is to pepper. What rhythm is to music. It is inseparable, interchangeable, one that the other can’t do without. Certainty is the ingredient wanted and needed most in the trading world.

Yet unfortunately, it is perhaps the one we lack the most in today’s global markets.

But although it may seem that I’m writing this with a sigh, it is in fact to the contrary. According to him, yoga babble is when your yoga instructor “went into investor relations”. To put it simply, its when companies emphasise over-the-top rhetoric instead of focusing on the fundamentals of the business. This is familiar territory for all of us in ourlineofwork.Companiescanlosetheirwayortheymayormaynotbecomeprofitable.Ontheotherhand,wehavecompaniesthat are conservative, doing what’s safe and right but are not innovative.

Whatcompaniesshouldstriveforistohaveabalancebetweenloftyvisionsandfundamentals.Therearedefinitelygreatcompaniesout there, all we need to do is spot them. The investor-relations scene today is a lot more active compared to before but there is room for growth because there are still many fundamentally good companies that have not come to the attention of investors for a myriad of reasons.

Innovationalwaysbringstomindtechnology.Financialtechnologyhasbeendominatingheadlinesinrecentyearswithartificialintelligence(AI)evenmakingheadwayintothejobscopeofanalystsandfundmanagers.WhatweareseeinghereishowAIisbeing used to do deep-learning analysis and fund-management work. A notable example is the Morgan Stanley AI programme, whoseobjectiveistobeatthemarket.ItworksbyhavingtheAIfedwiththelatestaswellashistoricalanalystreportstogetherwith the correlations to company performance. The AI can predict future performance of companies by analysing analysts’ choice of words. There have been promising results showing that it can really beat the market.

Thegoodnewsisthatouranalystfriendsdon’treallyhavetoworryabouttheirjobsjustyetastheAIstillneedstheirreportsas a source of data to come up with the recommendations. But you never know, they may send Sophia the humanoid AI into a briefingsessiontostudyandanalysethechoiceofwordsandbodylanguageofthecompanyspokesperson!Itmayhappeninthe near-future as we are already witnessing how technology and in particular automation, has disrupted livelihoods or force us to rethink what it is to be human.

For now, we are blessed with knowing that we IR professionals as well as our analyst and fund manager friends can still be around to work in the old fashion way. Companies will still need to engage us or perhaps try a yoga instructor if they feel experimental.

I would like to take this opportunity to thank the respective authorities and MIRA for years of continuous effort to promote the IR profession. We are slowly but surely getting there, as we are acknowledged for what we do. I would also like thank my fellow practitioners for their contribution to the profession. Accountability to Investors at the Heart of Investor Relations

‘Investor relations’ primarily bridges gaps between a company and the investment community where it is the main provider of accurate information about a company, keeping investors constantly updated on the company’s latest developments.

Withinvestorrelationsessentiallybuildingupinvestors’confidence,intheprocesssustainingthecompany’svalue,themereprovisionandavailabilityofaccurateinformationisinsufficientinthisfast-movingworld.Timeisoftheessence. Timely dissemination of information is vital. Whilst more and more companies are embracing technology, there is still the question of whether the usage of technology is being optimised to disseminate such information efficientlyandquickly.

Based on the latest survey conducted by the Malaysian Communications Multimedia Commission, the internet is thesourceofinformationfor85%oftheinternetusers.93%oftheinternetusersusesmartphonesasthemaindevicetoaccesstheinternet.Thisratioinfacthasrisenbyover3percentagepointsfrom2016’s89.4%.

Usageofnotebooksoralsocommonlyreferredtoaslaptops,accountsforalower44%.Only28%oftheinternetusers utilise desktops to access the internet.

Thusdisseminatingfinancialandothercorporateinformationtoinvestorstodaythroughtheinternetmaynotbeenough. Creation of websites must take into consideration that internet users’ preference is the smartphone and no longer desktops which is fast becoming obsolete.

Some companies may over do the designing of the websites. Such extravagant designs may suit searching for information via desktops but not for smartphones. Pop ups may be the flavour of the day, gimmicks may look cool but if it not compatible with smartphones, such efforts may be counterproductive.

The more important data which an investor usually seeks should be clearly visible, easy to locate and able to download quickly.

Remember the number of times where we found ourselves feeling frustrated, having to wait for ages for information in the websites to be uploaded and time taken for the page to appear on our screens?

Companies may have all the necessary information in their domain but if it is not friendly to access, having such detaileddatainthedomainisjustasgoodasnothavingitatall.

It is imperative investors are able to access vital information easily to know the state of their investments. This buildsupinvestors’confidenceinthecompany.Confidencehereneednotbeconstruedaseverythingisbrightand positive but knows the situation of their investments at any one point in time.

Message to the respective IT departments is ensure that company’s website is user friendly and fast. There must be the initiative to keep up with trends even if the company’s principal activities are non-technology related. As investor relations is a two-way communication between the company and the investors, an avenue for feedback from investors should also be available that must be reciprocated with prompt responses.
