EXECUTIVE SUMMARY
The Nigerian capital market continues to build up momentum incrementally in several
service quality areas, despite obvious limitations/challenges in achieving a wholesomechange as desired.
In the month of January, we witnessed no IPO‟s nor were any plans announced of such forthe rest of the year and the absence of primary activity(ies) resonated loudly, acting as areminder of the challenges that lay ahead. Whilst other markets have started picking up,ours is yet to build traction and the reasons for this are both convoluted and clear for
discerning members of the investment community.
In this edition of The Nigerian Capital Market Service, we incorporate new market related
information to ensure that this „compendium‟ delivers a coverage that helps the tracking ofinnovation, development, confidence index and service levels in the market.
Some of the key inclusions include; updates on IPO‟s, Hybrid Offer, Rights Issue,
Memorandum Listing, Merger & Acquisition, Supplementary Listing and Change of Names
that have taken place in the market so far in the year.
Also, The Nigerian Stock Exchange received The Securities & Exchange Commission‟s (SEC)
approval for rule changes. These are Amendments to Rules Governing Dealing

Investors Complaints Summary
The investors‟ complaints summary shows that the Proshare Share Support Service Unit
received more enquiries at the end of July. The queries increased to 111 from 103 received
between Jan to July, 2014. 87 queries have been resolved by the SSS unit while 24 arepending.
We made formal enquiries to both SEC and NSE using their service level contacts and as atthe time of concluding this report, we have received a response from NSE while we await
formal acknowledgement and response from the apex regulator, SEC.
The NSE has so far received 139 complaints between 1 st Jan to 31st May, 2014 as against514 received in 2013. 121 complaints have been resolved within similar period of review as
against 429 complaints resolved in 2013 while a total 675 complaints are pending.
Further explanations from the Exchange reveal that it has carried a back log of legacy
complaints against firms that have become inactive or whose licenses have been revoked.
These back logs are responsible for high figure of 675 in pending complaints while The
Exchange hopes that the commencement of settlement of claims by the Board of theInvestors Protection Fund will help reduce the back logs and rebuild investors‟ confiden ce in
the Nigerian Capital Market.

Mergers & Acquisitions
Oasis Insurance Plc is on the verge of being acquired by FBN Life Ltd. A Take-Over Bidof I,872,911,465 Ordinary Shares Of 50k each was announced in June 2014.
During a mail conversation with Registrars in charge, we were made to understand that FBN
Insurance Limited has acquired 71.2% of the Paid-up Share Capital of Oasis Insurance Plcand now making a move to take-over the remaining 28.8% held by minority shareholders.
The take-over bid is a mandatory type because the company will eventually be delisted fromthe floor of Nigeria Stock Exchange (NSE) to become a Private company.
Furthermore, Greenwich Trust Limited has completed the acquisition of Union
Registrars Ltd, a subsidiary of Union Bank Plc. The divestment of the financial institutionfrom the registrars outfit is in line with the CBN directive to all banks to divest from their
non-banking subsidiaries and focus on their core areas of expertise.

ASEM MARKET UPDATE
Market activities in the Alternative Securities Market (ASeM) remained relative unchanged in
July, 2014 as the alternative board is yet to witness and attract any new listing as stated in
our last edition of The Capital Market Service Report
The Alternative Securities Market (ASeM) which was launched in April 2013 for emerging
businesses with high growth potential has less stringent and flexible listing requirements set
for admission.
The ASeM market currently has ten (10) companies listed in the sector with its market
