RESOLUTION 17-104

Resolution of the City of Westfield Authorizing theExecution of Deed

WHEREAS, the City of Westfield, ("City") is a duly formed municipal corporationwithin the State of Indiana, governed by its duly elected Mayor and Common Council("Council"); and,

WHEREAS, the Council has the duty and authority to maintain the integrity of allpropertyowned by the City of Westfield, as well as dispose of any real property ownedby the City; and,

WHEREAS, the City is in possession of certain real property located near the location ofRiverviewHospital, commonly known as 17600Shamrock Boulevard, Westfield, Indiana(the "Riverview Property");

WHEREAS, Riverview Hospital has need for and has requested said property grantedto the City for expansion and mutual benefits to both entities and thereforehas requestedthat a deed be executed by the City to carry out its functions that are mutually beneficial;and,

NOW, THEREFORE, BE IT RESOLVED by the Westfield City Common Councilmeeting in session as follows:

Section 1. That having been duly advised of the contents and the actions proposedbythe transfer ofCity property to RiverviewHospital, as outlinedby Exhibit"A", attached hereto, the Council finds the same should be transferred on

agreeable terms pursuant to I.C. 36-1-11-8.

Section 2. That the Mayor is hereby authorized, for and on behalfof the City toexecute and deliver the Deed and any contract, agreement, certificate orother instrument or to take any other action determined by them or any ofthem to be appropriate or necessary to carryout the purchase of the CityProperty, such determination to be conclusively evidenced by suchofficer's or officers' having executed such contract, agreement, certificateor other instrument or having taken such other action, and any executionof any such contract, agreement, certificate or otherinstrument andanytaking of any such other action heretofore effective is hereby ratified andapproved.
