RESOLUTION 17-104 Resolution of the City of Westfield Authorizing the Execution of Deed WHEREAS, the City of Westfield, ("City") is a duly formed municipal corporation within the State of Indiana, governed by its duly elected Mayor and CommonCouncil ("Council"); and, WHEREAS, the Council has the duty and authority to maintain the integrity of all property owned by the City of Westfield, as well as dispose of any real property owned by the City; and, WHEREAS, the City is in possession of certain real property located near the location of RiverviewHospital, commonly known as 17600Shamrock Boulevard, Westfield, Indiana (the "Riverview Property"); WHEREAS, Riverview Hospital has need for and has requested said property granted to the City for expansion and mutual benefits to both entities and therefore has requested that a deed be executed by the City to carry out its functions that are mutually beneficial; and, NOW, THEREFORE, BE IT RESOLVED by the Westfield City Common Council meeting in session as follows: Section 1. That having been duly advised of the contents and the actions proposed by the transfer of City property to Riverview Hospital, as outlined by Exhibit "A", attached hereto, the Council finds the same should be transferred on agreeable terms pursuant to I.C. 36-1-11-8. Section 2. That the Mayor is hereby authorized, for and on behalf of the City to execute and deliver the Deed and any contract, agreement, certificate or other instrument or to take any other action determined by them or any of them to be appropriate or necessary to carry out the purchase of the City Property, such determination to be conclusively evidenced by such officer's or officers' having executed such contract, agreement, certificate or other instrument or having taken such other action, and any execution of any such contract, agreement, certificate or other instrument and any taking of any such other action heretofore effective is hereby ratified and approved.
