Thank you for your interest in becoming a Trustee of the Board of the Lincolnshire & Nottinghamshire

Air Ambulance Charitable Trust (LNAACT). This Information Pack aims to give you a good overview of

the Charity, what is does and how being a Trustee can be a rewarding role.

I have been a Trustee at LNAACT for 5 years and it has been one of the most valuable and interesting

roles of my career to date. Not only is the role giving me an insight into prehospital emergency care,

but I also have the opportunity to help guide and support a much-loved local Charity during a time of

incredible change and growth. I have met many of our former patients who have both inspired and

humbled me in equal measures, as well as lots of volunteers who help to make our work possible.

This year we are celebrating our 25th Anniversary, marking the occasion with several events not least

of all acknowledging the wonderful achievement of being able to respond to over 20,000 missions

thanks to the fundraising support from our local communities. Our helicopter and crew respond to

an average of 3 missions a day, tending to patients in what is often their darkest hour.

This is an exciting and challenging period of growth and development at LNAACT, not least of all as we embark upon the road of clinical independence and CQC registration. This is where you could play a part. Read on to find out what being a Trustee for LNAACT involves.

The Air Ambulances across the UK It is only 30 years ago that the first air ambulance started in Cornwall. Now there are 21 air ambulance charitable services in the UK. The role, scope and mission of air ambulances since then has totally transformed, partly thanks to the addition in the last decade of doctors on board, bringing advanced skills and specialist pre-hospital emergency medicine training. The air ambulances are no longer just a ‘flying road ambulance’, but a flying accident and emergency department. The first night HEMS mission took place approximately five years ago and some air ambulance charities are now delivering critical care 24 hours a day. The Lincs & Notts Air Ambulance We are one of the UK’s leading Helicopter Emergency Medical Service (HEMS) Charities. If somebody is involved in a serious incident or suddenly taken ill, speed and time are of the essence. Giving a patient the best chance of making a full recovery, our Air Ambulance crew effectively take the hospital to the scene of the emergency. The aircraft can fly at approximately 160mph to any point in the two counties in less than 20 minutes, which is essential in getting patients to hospital as quickly as possible.

Our Ambucopter is on call 365 days of the year and we attend on average 3 missions a day. Each mission costs the Charity approximately £2,500. Right now, we are in transition to fly 24 hours a day, seven days a week. This means we need to raise £4m every year.

This year sees us celebrate our 25th Anniversary. Over the last 25 years we have undertaken over 20,200 missions, all funded through donations generously given by the communities we serve. We receive no direct Government funding for our day to day operations.

The Board of Trustees The Charity is governed by a Board of Trustees, all of whom are Volunteers. There are currently seven Trustees, the Chairman is Jack O’Hern. The Charity Staff The Charity team are currently based at two offices; HQ in Bracebridge Heath, Lincoln, just down the road from RAF Waddington where our Helicopter and crew are, and Colwick in Nottingham. We have a staff of 35, covering Finance, Fundraising, IT/Data, Communications, Administration, Volunteering, Retail, Air Operations and HR. The staff are led by the Management Team. Our Crew & Airbase Our crew and helicopter are currently located at our airbase at RAF Waddington. Our regular crew consists of two pilots, a doctor and a paramedic. The Charity is planning to combine its offices, helicopter and Air Operations Facility onto one site in Waddington (but outside of RAF Waddington). This relocation and planned development will deliver tremendous advantages for the Charity and the patients we tend to. The project is currently at Planning approval stage, with construction due to start in January 2020 and completion due at the end of 2020.

How we have helped – former patients tell their story

Tony Hoare – Motorcycle Racing Incident Tony had a motorcycle crash at Cadwell Park, Lincolnshire. Travelling at 100mph, the rider behind him had nowhere to go except his ribcage (Tony’s words!). Tony was left with serious shoulder and chest injuries and suspected head injuries. The Lincs & Notts Air Ambulance flew Tony to Hull Royal Infirmary. Upon meeting the crew who airlifted him, Tony said: “It’s the everyday situations in which I find myself most grateful for Lincs & Notts Air Ambulance. I met a fantastic, dedicated and knowledgeable team who made me feel honoured to have been one of their passengers.”

The Hagyard Family – Road Traffic Collision The Hagyard family was involved in a car collision near Grimsby. Adam was 5 years old at the time of the incident and was airlifted to hospital in just 6 minutes. The family has raised over £6,500 for the Charity since their encounter. Fiona Curtis – Horse Riding Accident Fiona was crushed under a horse at a village show near Lincoln, breaking her pelvis in four places. “As I lay on the ground, I knew I needed help fast. The Air Ambulance paramedics were able to attend and administer the lifesaving treatment I needed”. Fiona is now a dedicated volunteer for the Charity. George Bellars – Road Traffic Collision At the age of 8, George and his mum Joanne were in a car accident in Spalding. The car slipped on some ice and ended up in a drain. George was 12 miles from the nearest hospital and wasn’t responding to resuscitation at the scene. He was turning blue and would have died but for the prompt attendance of the Ambucopter. Now aged 16, he’s worked tirelessly to raise thousands for the Charity. His skydive raised £1,700 alone. Jo Morton – Road Traffic Collision The Ambucopter crew gave Jo Morton emergency treatment after she was involved in a head-on crash on the A156 at Fenton. Jo was travelling with husband Bob in their MGB GT when they rounded a corner and collided head-on with another car. She was flown to hospital, as her injuries were so severe. She broke both eye sockets, her nose, and her back in the three places, and also suffered broken ribs, a shattered pelvis, a broken right arm, open fractures to both legs, and a partially severed kidney.

In 2015 Jo was reunited with her Ambucopter paramedic heroes, Roger Linnell and John Whalen during a Charity fun day held at Wollaton Park. She handed over a cheque for £1,000! Jo says: “It was an emotional day, but I tried to compose myself – those two men saved my life. I can’t remember much from the accident, but I know that they saved me. I thanked them for putting plasters on my bruises. Roger said it was amazing to see me alive and doing well – I have a two-year-old daughter, Grace, now too – they weren’t expecting me to live through it, so I feel very lucky. It’s only through physio that I’ve been able to walk again – I’m still in pain but I’m alive.”

Trustee Recruitment 2019 The Lincolnshire & Nottinghamshire Air Ambulance Charitable Trust (LNAACT) is searching for a Trustee with clinical experience and background to join the Board. We wish to maintain a Board which reflects a variety of perspectives, views and experience and are looking to appoint a diverse range of Trustees. The role of Trustee is a voluntary position, but reasonable expenses incurred in fulfilment of the role will be reimbursed. Role Description

The Lincolnshire & Nottinghamshire Air Ambulance Charitable Trust (LNAACT) provides a Helicopter

Emergency Medical Service (HEMS) responding to patients who have suffered trauma or serious medical

emergencies. We are called upon on average 1,000 times each year to deliver prehospital care to the most

poorly patients in our region. Currently undergoing a stepped approach to 24/7 flying, we are in an exciting

yet challenging period of growth and development. Our daily helicopter crew is made up of two pilots, a

doctor and a critical care paramedic who deliver specialist medical care to the patient wherever they are in

Lincolnshire and Nottinghamshire. This may include anaesthetising, performing surgery and giving a blood

transfusion at the scene of the incident.

The rewards for contributing time and skills to LNAACT on a voluntary basis are considerable. This is an unremunerated role, but travel and other expenses will be reimbursed on request. Trustees have the assurance of knowing that they serve a charity that saves numerous lives each year and makes a significant difference to medical outcomes. The role of the Board includes maintaining focus on the charity’s mission, setting the strategic direction, supporting staff and ensuring sufficient financial and other resources to fulfil our purpose. The charity is at an exciting time of development, with a plan in place for the relocation and expansion of a new HQ, a stepped approach to 24/7 operations, as well as the transition to clinical independence. We are seeking to recruit a Trustee who will share the commitment and energy that is needed to fulfil our ambitious plans and who is willing to contribute to making bold, well informed decisions. He or she will work with the other Trustees to achieve the following:

• Ongoing development and delivery of our strategy.

• Support for the Chief Executive and leadership team in their pursuit of continuous improvement.

• Scrutiny of financial and income generation plans to ensure that we maintain the good financial position that has been achieved to date.

• Appreciation of the risks that we face and the ways in which these can be managed, supporting the Chief Executive in our risk management methodology.

• Compliance with all legal and regulatory requirements across the charity. Given the dynamic environment in which we operate, we need Trustees who can assimilate complex information, make constructive contributions to meetings and judge when to support and when to challenge. We appreciate that we are asking for a considerable commitment and, in return, endeavor to ensure that Board members enjoy their role and gain from new experiences.

Person Specification We are fortunate to have a strong Board of Trustees who provide substantial business and professional skills to support and guide the leadership team to deliver our mission. Following a skills audit, we have identified the need to recruit a new Trustee with current clinical experience who:

• Has patient focused role experience

• Has good knowledge of healthcare governance

• Has strong communication skills

• Experience in emergency or acute medicine would be advantageous

We seek representation from both counties we serve. In addition to providing specific skills and experience, all Trustees are expected to develop a good understanding of all aspects of the charity and to contribute to general discussions. We have Board Meetings every month, as well as an annual Strategy Away Day; Trustees are required to prepare for and attend all meetings. Role of the Board of Trustees The role of the Board of Trustees (the Board) of LNAACT is to optimize the charitable benefit achieved in fulfilment of the Trust’s charitable objectives. In order to help the Charity, achieve this aim the role of the Board is to:

• Provide strategic leadership for the charity and its charitable objectives

• Help formulate and agree the strategy, objectives and resource allocation for delivery

• Approve key performance measures, budgets and policies

• Review the organisation’s performance and hold the Management Team to account for delivery through both challenge and support

• Contribute to the reporting of the organisation’s performance (e.g. annual report and review)

• Appoint and support the CEO

• Promote the brand and reputation of the organisation

• Ensure compliance with all statutory and regulatory requirements

• Ensure appropriate consideration and management of risk

• Engage with and enlist support from a wide range of supporters and stakeholders The Board will generally comprise 7 to 12 Trustees. Trustees are appointed for three years which can be extended by up to three terms following a review and mutual agreement. There is also a review of Trustee engagement after the first year of service. The Board currently has two subcommittee, the Finance Committee and the Staff & Remuneration Committee.

The Role of a Trustee Trustees make up the governing body of LNAACT. This means they are both company directors and charity Trustees. In summary, the role of a LNAACT Trustee is as follows:

• With the help of the CEO and Management Team, to help formulate and review as required the Trust’s mission and long-term strategy as well as key policies and activities for the strategy’s delivery

• To hold themselves accountable to the Trust’s stakeholders for the Board’s decisions, the performance of the Board and the performance of the Charity as a whole

• To agree targets for delivery of the long-term strategy and evaluate performance against these

• To oversee the management of the Charity and its assets in the interest of current, potential and future beneficiaries

• To ensure that the Charity complies with its governing document (i.e. its Memorandum and Articles of Association), charity law, company law and other relevant legislation or regulations

• To exercise financial control in order to ensure the financial stability of the Charity and ensure the proper investment of the Trust’s funds

• To be familiar with and keep under regular review the governing documents of the Charity

• To safeguard the Trust’s good name and reputation

• To attend Board meetings, scrutinise Board papers, constructively challenge management on their content, contribute to the Board discussion, focus on key issues and support collegiate decisions

• To be a company director of the Trust. This involves ensuring that the Trust complies with company law Trustees as directors have specific duties under the Act which include to:

- act within powers - promote the success of the company - exercise independent judgement - exercise reasonable care, skill and diligence - avoid conflicts of interest - not accept benefits from third parties - declare interest in proposed transactions or arrangements

The Trust has one subsidiary trading company, the Ambucopter Trading Company. Guidance & Support If you are appointed as a Trustee you will be provided with a series of documents which will give context and explanation regarding the charity’s current position, live issues and future plans. You will also be asked to confirm that you have read and understood key policies. New Trustees will be provided with links to general resources for Trustees, such as those available on the Charity Commission website. Trustees will be expected to attend an Induction Day, which will include:

• A visit to the Charity’s main office, meeting staff

• A visit and tour of the airbase, meeting the Air Operations Manager, clinical crew and pilot

• Individual meeting with the CEO

• Meeting with the Chairman

• Meeting with the Charity’s senior managers

• Meeting with the Community Fundraiser for the Trustee’s home area

The deadline is 22nd September 2019. Trustees and the CEO will short-list candidates based on the Person Specification. A check will be made to ascertain if the applicant is barred from becoming a Director. The Board of Trustees will review and comment on or approve the shortlist. Shortlisted applicants will be invited to an interview with a number of Trustees and the CEO during the first 2 weeks of October. Selected candidates will then be invited to observe a Board Meeting in October or November. If there are no concerns and we consider you will be a good fit for our Board and able to contribute to our work, you will be invited to the next Board Meeting where you will be formally appointed; you will be asked to confirm your willingness to serve, in writing, ahead of this Board Meeting. Frequently Asked Questions Am I eligible to be a Trustee? You must be at least 18 years old to be a Trustee of LNAACT. You must not act as a Trustee if you are disqualified under the Charities Act, including if you:

a. have an unspent conviction for an offence involving dishonesty or deception (such as fraud) b. are bankrupt or have entered into a formal arrangement (e.g. an individual voluntary arrangement)

with a creditor c. have been removed as a company director or charity trustee because of wrongdoing

How much time is required? The Board meets monthly, usually on a weekday late afternoon for 2 to 3 hours. There will be papers to be read in advance of these meetings, which could be anything from 10 to 100 pages, depending on the agenda. In addition, you will be expected to keep up to date with changes in the expectations for Trustees and maintain a general awareness of what is happening in our sector and local area. You may be asked to contribute to certain projects or tasks; on occasion you will be invited to attend events, such as significant cheque presentations, awards ceremonies or national air ambulance events. How long do I need to commit to the role for? Each appointment term is 3 years, and we believe that a Trustee should commit to a full term when they apply. However, we know that things might change, and you can resign anytime. The maximum length of time you can serve as a Trustee is 9 years.
