Under UAE law, foreign entities interested in establishing a formal presence in the UAE have five options: create a permanent establishment, of which there are seven different types; establish a branch office; create an entity in a UAE free zone; create a civil company (only in Sharjah and Dubai); or enter into a commercial agency agreement.

In the UAE, regulation of the establishment and conduct of businesses is shared at the federal and emirate levels.We would like to present two main options in details:

Free Zone Company – Business that 100% owned by the foreigner. You don’t

require a sponsor or an agent to act as a liaison for managing the venture. There

is no restriction tying you down.

Offshore Company – this type of Dubai company registration refers to a business

operating outside its boundaries. Example, a business in Switzerland opens up a

similar enterprise in UAE.

Mainland companies are governed by the Federal Law. This law stipulates that a total equity of not less than 51% should be held by a U.A.E. National in any commercial company, except in the following:

Where the law requires 100% local ownership

In activities open to 100% AGCC ownership

Where wholly owned AGCC companies enter into partnership with U.A.E. nationals

In respect of foreign companies registering branches or a representative office (U.A.E.national service agent is required).

In professional companies where 100% foreign ownership is permitted (U.A.E. national service agent is required).

A free zone is a portion of clearly defined and isolated land or setting, with a special

tax, customs and imports regime, that is different from the mainland area (country) usually

involving a status of extra-territoriality

The main idea of establishing free zones in the UAE was for them to serve as a central business

hub for companies willing to conduct business with the outer world, not specifically in the UAE.

Therefore, UAE free zone companies are intended to operate within the corresponding free zone

as a hub for the worldwide operations and are not licensed to operate within the rest of the UAE.

As a result most of the free zone companies during the initial days were engaged in import and

re-export activities. But today, a large majority of such free zone companies do business with their

clients in UAE and GCC through their local distributors.

Economic Department) , who will issue you with a Dubai business license. This type of entity will

For a local business, an UAE national must be taken as a 51% partner who is called a local Sponsor. A local company provides the freedom to locate the business anywhere in the city. For a business startup UAE this is a boon because it affords the best choice of locations to suit your budget.

A Sponsor must be paid a yearly fee which can be negotiated. Do develop a rapport with your Sponsor so that he is ready to help you in sorting out any problems you may face along the way with the authorities.
