The role of the Independent Advisor is, in the firinstance, to assess the cash generating capability, operations anstructure of the TCL Group and make appropriarecommendations to the Creditor Committee. Upconsideration and acceptance of the recommendations ansubject to the approval of the Committee, the RestructuriPhase will commence with the involvement of the Advisor. ThCompany has retained the services of BroadSpan Capital LLC its Financial Advisor in the exercise.In this regard, a team from FTI Consulting Canada ULC led its Senior Managing Director, Mr Brock Edgar, is currently Trinidad having commenced their assignment on MondaFebruary 21 2011. The estimated duration of this phase of tassignment is one month and it will involve visits to the Groupmain operating subsidiaries.

    The debt restructuring is intended to improve the Groups loterm prospects and to provide for the full repayment of iindebtedness.
