INTRODUCTION

It is the intent of the City of Danbury ("City") by issuing this Request for Proposals (RFP) to lease the city property located at 3 Post Office Street in Danbury commonly known as Tuxedo Junction herein referred to as the property.

With this RFP, the City seeks to identify and select a partner that can establish a business which serves the Danbury community and help to bring this property back to its former glory. The City purchased the property in 2017. Built in 1920 this property has 6,890 square feet of space available with 6,616 on the first floor and an additional 274 on the second floor. The ceiling heights on the first floor are 12 feet high according to the assessor’s office.

The City is willing to negotiate lease terms with the respective tenant either providing a below-market rental rate or a market rental rate with capital improvements made by the City prior to occupancy. The tenant will be responsible for all utilities, as well as insurance naming the City of Danbury as an additional insured.

Interested parties are requested to submit five (5) copies of their proposal to the Office of the Purchasing Agent, 155 Deer Hill Avenue, Danbury, CT 06810, during normal business hours by no later than 2:00 PM on Wednesday, November 21, 2018.

The City will thoroughly review all responses and, as described in this RFP, the City will identify no more than four respondents/partnerships that it deems to be the most responsible and qualified as is described in the “Method of Evaluation and Selection” section of this RFP.

Section I General Terms and Conditions

1. Due Date and Delivery

Interested parties are requested to submit five (5) copies of their proposal to the Office of the Purchasing Agent, 155 Deer Hill Avenue, Danbury, CT 06810, during normal business hours by no later than 2:00 PM on Wednesday, November 21, 2018.

Envelopes should be marked: Bid #10-18-19-02 “Tuxedo Junction Lease”

Please allow ample time for receipt of responses. Responses received after this time will not be accepted or recognized. Postmarks do not determine actual receipt.

2. Additional Information

Any questions or requests for additional information should be addressed, in writing, to Mr. Charles J. Volpe Jr., Purchasing Agent, via mail to the address above or via email at [email protected] .

Reasonable requests will receive expeditious response. Requests for additional information or interpretations must be received by the RFI Due Date, as described in the timetable. Interpretations, corrections and changes to this RFP will be made by Addendum issued by the City. Interpretations, corrections and changes of the RFP made in any manner other than by such an Addendum will not be binding, and Respondents shall not rely upon them. Addenda will be issued no later than the Addenda Close Date, as described in the timetable. Addenda will be provided to all prospective Respondents that inform the City in writing of its desire to receive Addenda.

3. Walk-through

The City will conduct a walk-through of the property for all interested bidders at 10:00 AM on Monday, October 29, 2018. Interested parties are strongly encouraged to attend this walk-through.

4. Insurance Requirements

Bidders must provide $1 million general liability insurance, $5 million excess liability, and workers compensation in accordance with state statute. In addition, if alcohol consumption is to be allowed on the premises $10 million of liquor liability is required.

Section II Requirements

1) A letter of interest outlining the proposed use for the property.

2) A business plan for the property’s use complete with rental and capital improvement costs.

3) A demonstrated ability to acquire any necessary financing.

Section III Format for Responses

Responses to this RFP should be in the following format:

1. Instructions

The City of Danbury requests that all responding financial institutions follow the guidelines below. Each copy of the submission shall contain the following sections:

Section 1 A Letter of InterestSection 2 Project Proposal Section 3 Business Plan Section 4 Corporate Experience and Capacity

1. Letter of Interest

The cover letter must specify the following:

The name and address of the proposer.The name, title, e-mail address and telephone number of the individual whom the City of Danbury should contact regarding questions and clarifications.Expression of Interest Statement including a summary of intentions for the property.Certification that the firm will meet the primary qualifications identified in Section 2 of this RFP.

2. Project Proposal

Potential tenants include a full outline of the proposed venue and how it will fit with the downtown community. This should include primary clientele that will be served as well as hours of operation.

3. Business Plan

The business plan shall include detailed information regarding the proposed ventures future

objectives and strategies outlining how they will be achieved. This document shall include but

may not be limited to start up and fit out costs, proposed hours of operation, staffing requirements,

equipment requirements, necessary permits as well as soft costs such as architectural designs. In

addition, the plan must include pro-forma financial statements such as overall budget, current and

projected financing, a market analysis as well as a marketing strategy.

4. Corporate Experience and Capacity

This section shall include a summary of the prospective tenant business, operational and management experience. It shall include any and all business run to-date as well as the status of each business including any unsuccessful venture and reasons for their fail. In addition, all prospective tenants must affirm that they have never declared personal bankruptcy.

Proposed tenant must also share what if any other businesses a potential tenant will be operating and demonstrate capacity to take on a new venture.

Section IV Timetable for the RFP Process

The City anticipates proceeding in a manner consistent with the following timetable. This timetable is subject to change at The City's sole discretion.

RFP released: October 17, 2018

Walk-Through October 29, 2018, 10:00 AM

Section V Method of Evaluation and Selection

1. Responses will be opened in private, on the Response Deadline (as defined in this RFP).

2. Responses will first be evaluated to determine the experience and qualification of the firm and individuals who would be representing the City.

3. Responses from Respondents thus qualified will then be reviewed and evaluated. The City will be looking for comprehensive responses to items outlined in the RFP.

4. To the extent the City deems necessary, the City will invite no more than four Respondents to an interview (the “Qualification Interview”). The outcomes and impressions of any such interview, and any modifications or clarifications of a Response resulting from the same, may be considered by the City in the evaluation of Responses. Respondents should expect to have key members of their team who will handle proposed projects available and present at these interviews.

5. The City will, after deliberations, select one of the interviewed respondents to enter into lease negotiations.
