WHEREAS,themotor in thevehicle is no longeroperableand Blountville EmergencyResponseisrequestingtheSullivan CountyCommissionauthorizethe saleofthis vehicle.

WUEREAS on April 20, 2015. the Sullivan CountyBoardof CommissionerspassedResolutionNo. 2015—04—20 approving thc (‘ounty Mayor to Execute a First Amendment to FundingAgreementbetweenSullivan County, the City of Kingsport, the Bank of Tennessee.and theIndustrial DevelopmentBoard of the City of Kingsport. B. Pursuant to Lease Agreement dated August 23, 2011 (the “1-caseAgreement”)KFDB leasedthe 1’aeilitv to C & F ManufacturingUSA, Inc.(“C& N”) for the purposeof theilitaling C & F’s manufacturingoperationsatsuchFacility’.

I. Statusof TermLoan. TheTerm Loan is evidencedby KEDB’s PromissoryNotedated August 22, 2011, payableto Lender in the original principal amount of S3,500,000asamendedby the Modification to PromissoryNote datedApril 3, 2015 andSecondModificationto PromissoryNote dated____________________,2016 (collectivelythe “PromissoryNote”). ThePartiesacknowledgethat the currentoutstandingprincipal balanceunderthePromissoryNote is$3,090,303.85.

2. Continuationof Original InterestRate Formula. Interestunder the PromissoryNote shall continueto accrueat the original interestrateof4.68%per annumuntil August 22,2021 at which time the interest rate shall be adjustedaccording to the “Variable Rate” asspecifiedin thePromissoryNote asoriginally executed.

3. Modified PaymentSchedulefor PromissoryNote.

(a) April 22, 2016throughMarch 22, 2018. Paymentsunderthe PromissoryNote shall be due on the22ndday of eachcalendarmonth.Effective with themonthly paymentdueApril 22, 2016,andcontinuing throughthemonthly paymentdueMarch 22, 2018,principalamortizationrequiredunder the PromissoryNote shall be suspendedand paymentsof onlyaccruedinterestshall be dueandpayableon the22u1~~dayof eachcalendarmonth.

(b) April 22, 2018 through August 22, 2021. Effective with the monthlypaymentdueApril 22, 2018 andcontinuingon the 22nd dayof eachsucceedingcalendarmonththroughAugust 22, 2021, principal and interestshall be due andpayablein equalconsecutivemonthlyinstallmentsof $25,993.31each.

(c) September22, 2021 to Maturity. Effectiveasof August22, 2021, intereston the outstanding principal balance shall be adjusted according to the “Variable Rate” as setforth in the PromissoryNote asoriginally executedand the monthly payments of principal andinterestdue underthe PromissoryNote for September22, 2021andeachmonth thereaftershallbe adjustedaccordingly.

(d) Maturity Date. The final paymentof all remainingprincipal andaccruedinterestunderthePromissoryNote shall be dueon August22, 2031.

4. Reaffirmationof ContingencyFundingCommitmentby the City of Kingsport. Inconsiderationof the modification of the PromissoryNote as describedherein,the City herebyreaffirms its commitmentundertheFunding Agreementto pay to KEDB 50% of theamountbywhich therentpaymentscollectedby KEDB undertheLeaseAgreementare insufficient to makethepaymentsrequiredunder the PromissoryNote, as amendedby the SecondModification toPromissoryNote. All other termsand conditionsof the City’s funding commitmentremain asoriginally statedin theFundingAgreement.

5. Reaffirmationof ContingencyFunding Commitmentby Sullivan County. A. ENilA~’JCETRANSPARENCY OF DECISIONS BY WAY OF ANNUAL DEBT REPOR’r, ANNUALBUDDETS, AND SPECIFiC NEW SSUE REPORT

a. Annual debt reports shall be submitted to the county legislative body by June30

h of each yeareither with the annual budget document or separate. In addition to the outstanding debt andrequiements, it should also include:

i. Calculationsof percentage of total debt to assessed valueii. Calculationof debt to per capita incomeiii. Sullivan County shall prepare a multi-year debt budget for at least 5 years

b. Sullivan County shall comply with legal requirements for notice and for public meetings relatedto debt issuance. In the interest of transparency; all costs (including interest, issuance]continuing, and one-time) shall be disclosed to the citizens/members, governing body, and otherstakeholders in a timely manner.

c. Debt issuance shall comply with the State Form CT-0253, as well as, any other state requiredforms that detail all associatedcost for the issuanceof the proposeddebt. These records shallbe available for public and county commission inspection prior to the commission approval ofthe debt issuance.

B. ACQUIRING OF PROFESSIONAL SERVICES FOR THE ISSUANCE OF DEBT

a. Sullivan County shall require all professionalsengaged in the process of issuing debt to clearlydiscloseall compensationandconsiderationreceivedrelated to servicesprovidedin the debtissuance process by both Sullivan Countyand the lender or conduit ssuer, if any. This includessoft” costsor compensationsin lieu of direct payments.

b. Counsel: Sullivan County shallenter into an engagement letter agreement with each lawyer orlaw firm representingSullivan County in a debt transaction.(No engagement letters required forany lawyerwho is an employee of Sullivan County or lawyer or law firm which is under generalappointment or contractto sen ascounselto the County. The Countydoesnot riced anengagement letter with counsel not representing the County] such as underwriters’ counsel.)

c. FinancialAdvisor: If Sullivan Countychoosesto hire financial advisors.Sullivan Countyshallenter into a written agreement with each person or firm serving as financial advisor for debtmanagement and transactions,

d. Whether in a competitive or negotiated sale, the financial advisor shall not be permittedto bidon, privately place or underwrite an issue for which they are or have been providing advisoryservices.

e. Underwriter: If there is an underwriter, Sullivan County shall require the underwriter to clearlyidentify itself in writing as an underwriter and not as a firancial advsor from the earliest states ofits relationshipwith Sullivan County with respect to that issue. The underwriter must clarify itsprimary role asa purchaserof securitiesin an arm’s-lengthcommercialtransactionand that ithas financial andotherintereststhat differ from thoseof Sullivan County. The underwriter in a

G ‘~ C publicly offered, negotiatedsaleshall be required to provide pricing information both as tointerest rates and to takedown per maturity to the governing body or it’s designatedrepresentative in advance of the pricing of the debt.

C. ESTABLISHING STANDARDS TO ASSURE AGAINST CONFLICTS OF INTEREST FOR BOTHINTERNAL AND EXTERNAL PROFESSIONALS

a. Professionalsinvolved in a debttransactionhired or compensatedby Sullivan Countyshallberequired to disclose to Sullivan County existing client and business relationships be~eenandamong the professionals to a transaction(including but not limited to financial advisor,swapadvisor, bond counsel,swapcounsel,trustee,payingagent,underwriter, counterparty, andremarketing agent), as well as conduit issuers, sponsoring organizations sufficient to allowSullivan County to appreciate the significance of the relatonships.

b. Professionals who become involved in the debt transaction as a result of a bid submitted in awidely and publicly advertised competitive sale conducted using an industry standardelectronicbidding platformarenot subject to this disclosure. No disclosure is required that would violateany rule or regulation of professional conduct,

c. Review the representativesof the County Staff and the other representatives of the Countyinvolved in the decision making process and their adherence to knowledge of the County EthicsPolicy.

D. OTHER REQUIREMENTS FOR MANAGING AND ISSUING DEBT

a. The DebtService Fund(s) shall maintain minimum balances equal or greater than therequirements for the first half of the fiscal year less any designated recurring revenues for therespectivedebt.

b. Sullivan County shall service all debt principal and interest payments through the debt servicefund with the exception of leases for lessthan $100,000principal.

c. Sullivan County shall not utilize variable rate debt for any debt beyond 3 years without a specialadvertised public hearing before the issuance.

d. All debt repayment schedules shall use the straight-line method of repayment. Otherrepaymentschedulesmust be approved by the comptroller’s office in writing and fully disclosethe additional interestcostcomparedto straight-linerepaymentmethod.

e. Borrowing using capital outlay notes,the countyshall solicit a minimum of threeratesandissuancecostquotesand selectthe lowestand bestoffer. The countymayusethe Stateloanpool asoneof the three quotes.

f. All leases of amounts of $100,000 exceeding 1 year shall be compared to a quote for acapital outlay note for similar principal and duration to be reported to the CountyCommission before issuance.

g. In the caseof refinancing, an analysis report shall be provided which fully explainsthe reasonsfor the refinancing and the net savings and cost of the refinancing which will include not onlyinterestcharges but also the fees associatedwith thetransactions for the issuance.

h. Sullivan County shall not issue debt that exceeds the life of the capital asset funded by the debt.

i. All elected andappointed officials, aswell as,departmentheads should be knowledgeable thatthe Sullivan County Purchasing Laws govern the approval and signing of all contractualcommitments including lease agreements.
