Ulticlip Dealer Agreement & Minimum Advertised Pricing Policy(MAP)

This policy has been established to help ensure the reputation of ULTICLIP and to ensure resellers have

incentive to sell Ulticlip products with a guaranteed return on their investment. Please indicate your

understanding of this policy and your willingness to abide by its terms and conditions by signing and

listing the name of your business below.

The Dealer Agreement/MAP policy shall work under the following guidelines: 1. Ulticlip grants direct sales permission to its dealers. Direct sales are when a dealer sells via their

website, physical store or special events such as gun shows or expos. Third party sales are not allowed

without special permission. Examples of third party sales are: Amazon and Ebay

2. The manufacturer suggested retail price (MSRP) is: a. $11.99 for ULTICLIP, ULTICLIP3+, SLIM 3.3 & SLIM 2.2 b. $14.99 for Ulticlip XL c. $6.99 for UltiPlate d. $11.99 for 48pc Screw Kits e. $14.99 for Crux Concealment System

3. The minimum advertised priced (MAP) is:

a. $9.99 for ULTICLIP, ULTICLIP3+, SLIM 3.3 & SLIM 2.2 b. $11.99 for Ulticlip XL c. $4.99 for UltiPlate d. $9.99 for 48pc Screw Kits e. $11.99 for Crux Concealment System

4. Third Party Website MAP Policy - The minimum advertised priced (MAP) for authorized dealers on third

party website shall be the MSRP.

5. Dealers are required to purchase spend at least $300 per order. Quantity discount applies to total

number of clips per order. Accessories like the UltiPlate cannot be combined with clips to increase

quantity discount.

6. Ulticlip products without retail packaging cannot be sold as standalone products. Non-retail

packaged Ulticlip products can only be incorporated into dealer’s products and sold part of that

product.

7. The MAP policy applies to all advertisements of ULTICLIP products in any and all media, including, but

not limited to, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order

 

 

catalogs, email newsletters, email solicitations, Internet or similar electronic media, television, radio, and

public signage. The MAP policy is also applicable to any in-store advertising that is displayed only in the

store and not distributed to any customer(s).

8. The inclusion in advertising of free or discounted ULTICLIP products with a product covered by the MAP

policy would be contrary to the policy if it has the effect of discounting the advertised price of the

covered product below the MAP.

9. ULTICLIP's MAP policy does not in any way limit the ability of any dealer to advertise that “they have

the lowest prices” or, they “will meet or beat any competitors price”, that consumers should “call for a

price” or phrases of similar import as long as the price advertised or listed for the products is not less

than MAP.

10. Dealers/Resellers agree to hold the trademark of ULTICLIP as the property of Ulticlip. Utilizing the

Ulticlip trademark in flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail

order catalogs, email newsletters, email solicitations, Internet or similar electronic media, television,

radio, and public signage without authorization is prohibited.

11. ULTICLIP does not intend to do business with resellers who degrade the image of ULTICLIP and its

products. Intentional or repeated failure to abide by this policy will result in termination to purchase

as a reseller. ULTICLIP may elect not provide prior notice or issue warnings before taking any action

under this policy.
