Tonkon has been engaged by Debtor herein to act as its general bankruptcy

counsel in this case.

In the 12 months prior to the filing of this Chapter 11 case, Tonkon Torp

received payments totaling $29,126 for prepetition fees, costs, and expenses related to work

performed for Debtor, which includes the bankruptcy filing fee of $1,046. Tonkon Torp

holds $45,874.00 as a retainer in its trust account. The source of the retainer was Debtor.

The filing fee for commencing this Chapter 11 case is being paid in full.
