2. The University reserves the right to waive irregularities and informalities, to reject proposals from Contractors found not to be responsive according to the terms of the invitation, and the right to reject all proposals.

Each bidder shall submit with their response to this Request for Proposal proof of a bid bond in the amount not less than ten percent (10%) of the first year bid amount, payable to UNBC and issued by a corporate guarantee or surety company chartered in Canada, licensed to do business within the Province of British Columbia, and acceptable to UNBC. Upon request by UNBC, the original Bid Bond must be received by UNBC within 4 business days, at which time it would be held until a contract and requisite Performance Bond have been fully executed and delivered to UNBC after which any and all requested bid bonds will be returned to the respective proponents. The Bid Bond shall be in effect until January 31, 2017. If any Proponent declines to enter into a Contract within the period set out in the Request for Proposal, or a further agreed to period of time, the principal and surety will be required to pay to UNBC, a sum equivalent to the difference between the proponent's bid and the accepted bid or TEN PERCENT (10%) of the proponent's bid, whichever is the lesser.

Duly authorized officers of the Contractor(s) shall properly execute the Proposal as follows:If the Contractor is a corporation, the proposal shall be signed in the name of the corporation by a duly authorized officer of the corporation, with the designation of hislher official capacity, and attested properly. The proposal shall show the place in which the corporation is chartered.

If the Contractor is an individual, he or she shall sign the proposal in person or by representative and be witnessed, stating the name or style, if any, under which he or she is doing business. If the signing is by representative, his or her power of attorney or other authorization shall be stated, and a certified copy thereof shall be attached to the Proposal.

If the Contractor is a joint venture or partnership, the proposal shall be signed by each of the persons or firms, which is a party to the joint venture agreement. A certified copy of the joint venture agreement shall be attached to the Proposal. A joint venture will not be accepted unless the joint venture agreement or some other signed and legally binding instrument is certified and attached to the proposal, containing provisions for one of the parties to the joint venture to be in full direction of the project and to exercise this direction through a single individual, to be appointed Manager of Operations with the consent of all parties to the joint venture agreement.

APPENDIX INON-DISCLOSURE AGREEMENT

The following documentation will be expected to be signed by the successful proponent upon award of the RFP.

NON-DISCLOSURE AGREEMENT FOR SERVICE PROVIDERS OF UNBC

1. In consideration of being given access, or potential access, to confidential information (the “Information”) to complete duties of service for the University of Northern British Columbia (“UNBC”) detailed in ___________ (“the Contract”) the ___________________________ (“Recipient”) agrees to maintain the Information in confidence, and will not use, publish, release or disclose or permit to be published, released or disclosed to a party other than the Recipient, the Information, except insofar as permitted by section 33 of the Freedom of Information and Protection of Privacy Act RSBC 1996 c. 165 (“the Act”).

2. Paragraph 1 does not apply to any information that:(a) was already known by the Recipient prior to receiving it from UNBC, without being subject to

an obligation to maintain its confidentiality;(b) is or becomes generally known to the public without breach of this or any other confidentiality

agreement by the Recipient;(c) is also obtained by the Recipient from someone other than UNBC without an obligation to

keep such Information confidential;(d) is independently developed by the Recipient without use of confidential Information; or(e) is required by law to be published, released or disclosed.

3. The Recipient acknowledges that:

(a) the Information may contain third party business and personal information that may normally have been withheld under the provisions of the Freedom of Information and Protection of Privacy Act and will only be collected or retained for specific required purposes within the Contract.

(b) whether or not the information is encountered on purpose or by accident, the Recipient is responsible for maintaining the security and confidentiality of the Information and agrees not to share the Information with any other party, and except as reasonably required by section 33 of the Freedom of Information and Protection of Privacy Act, will not, either directly or indirectly, make any further copies of or otherwise reproduce the documents or Information in any manner or medium whatsoever without the prior written permission of UNBC;

(c) if there is a premediated need to use, publish, release or disclose the Information, UNBC will be consulted beforehand, and if there is an accidental incident of use, publication, release or disclosure of the Information, UNBC will be notified as soon as the incident occurs or is discovered.

(d) UNBC expects the Recipient will have safeguards in place within standard practices to ensure the above terms will be satisfied
