    ThereisonlyoneofficialdistributionsourceforthisRequestforProposals(RFP):Marcus&Millichap

    1. Preproposalsitevisitswillbeavailableuponrequestandwith72hoursnotice. Scheduledtours

    willbeheldbetweenMay19,2014June20,2014,attheFacility.Attendanceisstrongly

    recommended. OnlythoserespondentswhoregistertheirinterestwiththeLDCwillbeeligibleto

    arrangeapreproposaltourattendapreproposalmeetingandsubmitwrittenquestionstotheLDCfor

    formalwrittenresponse.

    2. ProposersareexpectedtodotheirduediligencebeforesubmittingaproposaltotheLDC. TheLDC

    willconductaPhaseIEnvironmentalSiteAssessment,prepareacopyofaplottedsurveyoftheproperty

    andhaveanuptodate titlesearchcompleted,eachofwhichshallbemadeavailabletothose

    submittingproposals. ThesuccessfulbidderagreestoreimbursetheLDCforthecostsassociatedwith

    thepreparationofthesedocuments.

    11. Anyawardshallbesubjecttotheexecutionofapurchaseandsalecontract(and,ifapplicable,

    AssignmentandAssumptionAgreement,BillofSale,EscrowAgreementandConfidentialityandNon

    disclosureagreement)betweentheProposerandtheLDC.NolegalliabilityonthepartoftheLDCshall

    ariseunlessanduntilacontractisexecutedbybothpartiesandfundsaredepositedbytheProposer.

    TheLDCshallhavenoresponsibilityorliabilityforanyofProposer'scostsrelatedtopreparationof

    proposals,attendanceatinterviews,etc.;allsuchcostsaresolelyatProposer'sriskandexpense. The

    LDCreservestherighttorequireoneormoreLettersofIntenttobeexecutedbypreferredbidder(s)

    priorandinordertofinalizethetermsofanPurchaseandSaleAgreement.

    12. Anysupplementalagreement(s)(e.g.licensingormaintenanceagreements)requestedbya

    ProposermustbeincludedintheproposalandaresubjecttothediscretionaryapprovalofCounselfor

    theLDC.

    13. TheLDCmaintainsaunilateralrighttocancelorextendthecontractinaccordancewiththeterms

    ofthisRFPandtheincorporatedcontracttemplate.IfaProposerfailstoperformorotherwisebreaches

    thecontractunderthisRFP,inadditiontoanyotherrightsandremediestheLDCmayhave,Proposer

    maybelistedasnonresponsible.

    14. TheLDCmakesnorepresentationsastothepresenceorabsenceofwetlandsoranyother

    environmentalconditionsonthePropertyortheFacility,andthesuccessfulProposer(s)assumesthe

    riskof

    any

    and

    all

    such

    conditions,

    it

    being

    clearly

    represented

    and

    understood

    that

    acondition

    of

    the

    saleisthatthePropertyandanyimprovementsthereonarebeingsoldintheir"ASIS,""WHEREIS"

    condition,withoutwarrantyorguaranteeofanynature,expressedorimplied.TheProposerselectedby

    theLDCacceptsandshallpurchasethePropertyinits"ASIS,""WHEREIS"Condition.Thesuccessful

    ProposerforthisProperty,afterclosingofTitle,shallberesponsibleforallpresentandfuturedefectsof

    anykindornatureinoronanypartoftheProperty.

    15. AResponsibilityQuestionnaireisincludedinthisRFP.Proposersmustcompleteandsubmitasigned

    1. TheminimumacceptablepurchaseproposalisEIGHTEENMILLIONDOLLARS($18,000,000).Only

    purchaseproposalsatorabove$18,000,000willreceiveconsideration. Allproposalsmustbe

    submittedwithacertifiedcheckintheamountofTwoHundredFiftyThousandDollars($250,000.00),

    payabletoOrangeValleyViewDevelopmentCorporationasanEarnestMoneyDeposit.

    2. AllProposerswillberequiredtoprovideevidenceofsufficientassetstopurchasetheProperty,and

    tooperateValleyViewatthesameorsimilarlevelofserviceoverthenextfiveyears.Sufficientevidence

    mayincludebutisnotlimitedto,copiesofbankstatements,firmlenderscommitmentsfromreputable

    lendinginstitutions,brokerageaccountsinthenamesoftheprincipalsoftheProposer,oracombination

    oftheaforementioneddocuments,evidencingsufficientassetstoclosethetransactionandoperate

    afterclosing,intheopinionoftheLDC. Personswhohavenotpresentedsuchcashorcertifiedcheckandwhohavenotprovidedevidenceofsufficientassetswillnotbepermittedtosubmitaproposal.3. The$250,000proposalsecuritywillbereturnedtoallProposers,exceptforthesuccessfulProposer,

    ifany,upontheacceptanceofawinningproposalbytheLDC. The$250,000Depositshallbeappliedto

    thesuccessfulProposersultimate,minimumtenpercent(10%)earnestmoneydeposit. TheLDCwill

    onlyacceptpurchaseproposalscallingforanallcashpurchaseoftheFacility.Fullpaymentofthe

    purchaseprice

    must

    be

    received

    within

    the

    time

    frames

    set

    forth

    herein

    and

    in

    the

    Contract

    for

    Sale.

    ThesuccessfulProposerwillberequiredtopay,byeithercashorbycertifiedcheck,adepositequaltoa

    minimumtenpercent(10%)ofthePurchasePrice,lesstheinitial$250,000depositwithinfive(5)

    businessdaysofacceptanceofthesuccessfulproposalandupontheexecutionoftheContractofSale,

    andrelateddocuments,withthebalancetobepaidbyeithercashorcertifiedcheckatclosing.Deposit

    PaymentsfollowingselectionandexecutionofPSAshallbenonrefundable,withthetotaldeposittobe

    creditedtothepurchasepriceatclosing.

    4. TheFacilitywillbesoldinasaletoasingleentityortoentitieswithrelatedownership. ThePSAwill

    notbeassignablewithoutLDCconsent.

    5.The

    the

    Facility.

    6. AnysaleissubjecttoapprovalbytheLDC.

    7. ClosingshallbemutuallyestablishedbyLDCandsuccessfulproposerandinaccordancewithtermsof

    agreedpurchaseandsaleagreement.

    8. ProposeragreesthatallpersonswhoareresidentsoftheFacilityasoftheClosingDateshallcontinue

    toberesidentsaftertheClosingDate,andnoresident,ingoodstanding,bothfinanciallyandotherwise,

    shallbetransferredbyPurchaser,unlessmedicallynecessary,toanotherfacilitywithouthisorher

    express,writtenconsent.

    9. ThesaleissubjecttotheLDCandProposercomplyingwithallmunicipal,County,StateandFederalrules,regulations,mandatesandlaws,relativetothesaleofthenursinghomeandrelativetothe

    presentnursinghomelaborforceandemployees. Proposershallbeartheburdenofobtaininganyand

    allapprovalsfortheoperationoftheFacilityfromtheappropriatemunicipal,county,stateorfederal

    governmentalagencies.TheProposershallalsobeartheburdenofobtainingandpayingforanyandall

    necessarypermits,connectionsand/orarrangementstoprovideforwater,electric,sewer,solidwaste

    disposalandanyagreementsorarrangementsnecessarytooperatetheFacility.

    10. Proposermustspecify its intent in regard to theemploymentofanyOrangeCountyemployee(s)

    employedattheFacility(CountyEmployees).ProposersarereferredtoNo.1oftheSPECIFICATIONS

    sectionof thisRFP for additional criteria regarding theextent towhich the Proposer should address

    retentionofcurrentemployees. PriortoorcontemporaneouslywiththeClosingDate,Proposershall

    considertheemploymentofanyfulltime CountyEmployeeswhoexpressaninterest(throughwritten

    applicationorothermeansprovidedbyProposer)inbeing employedbytheProposer.

    11. All costs relating to the sale and settlement of the Facility, shall be the sole obligation of the

    Purchaser,includingbutnotlimitedto,recordingthedeed,anyandalltransfertaxassociatedwiththe

    transfer(includingbutnotlimitedtoanymansiontax),allsearches,survey,alltitlecompanysettlement

    charges and title insurance costs, closing expenses, legal expenses of the LDC, settlement fees,

    environmental investigations,titlesearchfees, insurancefees,appraisalfees,surveyfees,andanyand

    allothercostsassociatedwiththeconveyance.

    12. ThePropertywillbesubjecttonormalrealestatetaxesfromandafterthedateofclosing.

    13. TheLDCshallreservetherightto,aspartoftheconveyanceoftheFacility,recordoneormoredeed

    restrictionssetting

    forth

    the

    various

    obligations

    and

    covenants

    set

    forth

    in

    this

    RFP

    and

    the

    purchase

    andsalecontract.

    14. ProposerswillprovideaplanandcommitmentagreetocontinuetheoperationoftheFacilityatthis

    locationandtonotseparatebysaleanyofthebedspurchased.

    15. By submitting aproposal, theProposer agreesnot tomake any claims fororhave any right to

    damagesbecauseofanymisunderstanding,misrepresentationorlackofinformation.

    16. Disclosure of professionals/consultant(s) utilized by Proposer(s). Proposer(s) will disclose, in

    writing, thenameofanyattorney,engineer, consultant,or licensedprofessional retainedeither in

    writingor

    orally,

    by

    such

    Proposer

    (or

    representative

    thereof)

    to

    seek

    to

    have

    the

    LDC

    or

    any

    member

    orconsultanttotheLDCoranyofficerofemployeeofCountygovernmentselectProposerornegotiate

    onbehalfofProposer,directlyor indirectly fromApril9,2014 forward. Suchobligationofdisclosure

    shallbecontinuousuntilProposersbidcheck iseitherreturnedoruntilasaleor leasetoProposer is

    consummated,whicheveroccurslater. Suchdisclosureshallbemadeinanyproposalandanyupdated

    information shall be made to the FOIL Officer of the LDC, Elaine DeLuca, at the Orange County

    LDCisseekingtohaveatransparentprocessandthatthedisclosuremadeshallbeofferedforfilingina

    government office to ensure that the public has knowledge of who is assisting Proposer(s) with

    TheValleyViewCenterforNursingCareandRehabilitationfacilitylocatedatGlenmereCove,

    Goshen,OrangeCounty,NewYork10924operatedbytheCountyofOrangeunderNYSDOHCertificate

    No.3523301Nasa360bedResidentialHealthCareFacility(theFacility),suchFacilitybeinglocated

    upononapproximately29acresdesignatedasaportionoftaxparcelno.20.00000110.211with

    appurtenantrights,buildings,furniture,fixtures,equipmentandcapitalassetsusedorusefulinthe

    operationoftheFacility.

    TheFacility isownedandoperatedbyOrangeCounty (theCounty)under itsDepartmentof

    ResidentialHealthCareServices,aCountydepartmentestablishedbyArticle23oftheOrangeCounty

    Charter,onrealpropertymorefullydesired intheattachedAppendix1(theProperty). OnMarch2,

    2005, theNewYorkStateDepartmentofHealthofficiallyapprovedaname change from theOrange

    CountyResidentialHealthCareFacilitytoTheValleyViewCenter forNursingCareandRehabilitation.

    ValleyView(ValleyView,togetherwiththeProperty,theFacility)currentlyoperatesunderprovisions

    ofArticle6oftheGeneralMunicipalLaw.AlthoughaCountydepartment,theoperationsoftheFacility

    are accounted for as an enterprise fundwithin the CountysGeneral Purpose Financial Statements.

    ValleyViewprovideslongtermskillednursing,customizedcareforpeoplewithAlzheimer'sdiseaseand

    other formsofmemory impairment, shortterm rehabilitation and specialized subacute services like

    wound care, restorative nursing, respiratory and IV therapies. The facility is staffed by County

    employees,mostofwhomaremembersofalocalcollectivebargainingunit. ValleyViewcontractswith

    numerousindependentcontractorstoprovideothernecessaryhealthcareservices.

    Valley

    View

    was

    founded

    in

    1830

    and

    is

    located

    on

    an

    approximately

    180

    acre

    rural

    campus

    in

    Goshen,NewYork.Themaincampusbeingofferedforsalesitsonapproximately29acres,andconsists

    offour(4)buildings:theSimonBuilding (Administration/TownCenter46,282square feet),theCouser

    Building(NursingUnitsandAdministrativeKitchen153,535squarefeet),theGlenmereBuilding(Nursing

    Units, 74,022 square feet) and the Parry Building (currently used for nonfacility purposes, 68,409

    squarefeet).Mostoftheremainingacreageisvacant. TheCountyisconsideringincludingpart,butnot

    all,ofthevacant land inthesale. (PleaseseeExhibitAforadditionaldetail). Abriefdescriptionof

    thefourfacilitybuildingsfollows.

    Built in1959,theSimonBuildingistheoriginalbuildingonthecomplex. Locatedinthecenter

    ofthecampus,thisonestorystructureconsistsofapproximately99,000grosssquarefeetandhouses

    themainentrancetothefacility,includingTownCenter,thekitchen,laundryandmajoradministrative

    offices.There

    are

    no

    residents

    in

    the

    Simon

    Building.

    The

    building

    was

    largely

    renovated

    in

    1997

    in

    conjunctionwiththeconstructionoftheGlenmereBuildingandhasafullyfunctioningsprinklersystem.

    Built in1970,theCouserBuildingconsistsofapproximately131,000grosssquarefeetandhas

    sixstairsandfourelevators. Itisatwostorystructurewithfourseparatewingsthathouses240beds.

    Thebedsareorganized in30bedunits. Thebuildinghasapartialsprinklersysteminitsbasement. In

    accordancewith themandatesof theBergerCommission,a full sprinkler systemmustbe inplaceby

    Builtin1997,Glenmereisthenewestbuildinginthecomplex. Itisathreestorystructurewith

    approximately 79,500 gross square feet, four stairs, three elevators and a fullyfunctioning sprinkler

    system. Thebuildingcontainstwo40bedwingsandtwo20bedwings,containing120bedsintotal.

    Built in 1980, the ParryBuilding is a twostory structure, consistingof approximately 68,500

    grosssquarefeetinarea. TheBuildingcurrentlyhousesvariousunitsoftheCountyClerksOfficeandis

    notoperationalaspartofthenursingand rehabilitationcenter. Ithassixstairs, twoelevatorsanda

    capacityof160bedswhenoperational. If reopenedaspartof thenursing servicesat theFacility, a

    fullyfunctioningsprinklersystemwillneedtobeinstalled.

    PursuanttoaresolutionadoptedApril9,2014(CountyResolution98of2014),theOrange

    CountyLegislatureauthorizedthedispositionofitsinterestsincertainportionsoftheland,buildings,

    equipmentandassetsoftheFacilitytotheLDCsubjecttotheCountyreservingaleaseholdinterestin

    theFacilitytherebyallowingtheCountytocontinueoperationofValleyViewuntilsuchtimeastheLDC

    transfersownershipoftheFacilitytoathirdparty.

    Tofacilitate

    the

    directive

    of

    County

    Resolution

    98

    of

    2014,

    the

    County

    and

    the

    LDC

    entered

    into

    aLeaseAgreementwiththeExclusiveOptiontoPurchase,datedonoraboutMay5,2014,wherebythe

    County leasedtheFacilitytotheLDC,whichwasestablishedonApril17,2014asanotforprofit local

    developmentcorporation inNewYork,fora leasetermofninetynine(99)years. Simultaneouslywith

    the lease agreement, theCountyentered intoaReservationofRightsAgreementwith the LDC,also

    datedonorabout May5,2014foratermoftwenty(20)yearsso itcouldcontinuetheoperationsof

    ValleyViewuntilsuchtimeastheLDCtransfersownershipoftheFacilitytoapurchaser.

    **InaccordancewithCountyResolution98of2014,theLDCisseekingtotransfertheFacilitytohighestqualifiedbidderwithconsiderationtoincludebidders:

    a. competencyandcharacter;b. historyofemployeerelationsandpractices;c. qualityofcareofresidents;d. recordofretainingfacilitiessubsequenttoacquisition;e. willingnesstoagreetobuildanewfacilityatthesiteortoexpandservices;f. willingnesstocontinuetocareforallexistingresidentsatthetimeofacquisition

    ** Bidders/Proposers should not interpret each and every element above to be an absolute

    requirementofsalebutratherasageneralguidelinetheLDCwillusetoevaluate in thesaleofthe

    Facility. TheLDCinalleventsisempoweredtonegotiatethetermsofdispositionandisnotboundto

    awardthesaletothehighestbidder. Notwithstandingtheforegoing,theLDCencouragesallbidders

    to structure offers that take into account additional consideration beyond price point, including

    SewerandWater:

    The Property is served by a municipal water supply. Sewer service is provided by an on-site wastewater

    ReciprocalEasementsandCountyRetainedLeaseholdInterest:

    AtClosing, thesuccessfulbidderandCountywillenter intooneormore reciprocaleasement

    agreements tomemorialize their respective utility, access and other property rights. In addition, a

    delineated portion of the Facility will be reserved for continued occupancy by the County for

    SUBMISSIONOFPROPOSALS SPECIFICATIONS

    Proposalsmustincludeanorganizednarrativeresponsetoallelementslistedinthefollowing

    specificationsintheordersuchquestionsareasked. Inconsideringanyproposal,theLDCsprioritiesare

    thesafetyandwellbeingoftheresidentsandemployeesofValleyView.

    1. OneoftheLDCsprioritiesistoretainasmanyofthecurrentValleyViewemployeesaspossible.

    Proposalsshouldaddresswhatprotectionsorpreferences,ifany,wouldbeprovidedwithregardtothe

    jobs,salary

    levels

    and

    benefits

    for

    current

    employees

    in

    various

    positions,

    and

    for

    what

    periods

    of

    time.

    Proposersshouldprovidedetailsastowhatcurrentsalaryandbenefitlevelsareprovidedtoemployees

    incurrentoperationsownedbytheProposer. Pleasedescribeyourexperienceswithexistingemployees

    inanypreviouspurchasesyouhavemade.

    3. Proposalsshouldincludeadiscussionoftheplansforcurrentresidents. TheLDChasaninterestin

    residentcontinuityandpreservingtheabilityofcurrentresidentstoremainwithintheFacilityafteritis

    sold. Proposersshouldindicatetheextenttowhichandunderwhatconditionscurrentresidentsat

    ValleyViewshallhavetherighttoremainintheFacilityinadditiontotheconditionssetforthinthis

    RFP. PastandpreviousexperiencewithresidentsinotherfacilitiesownedbytheProposersshallbe

    referenced.ProposersshalloutlinewhatcommitmentsinexcessoftherequirementsofthisRFP,ifany,

    theyproposetomaketocurrentresidentsandtheirfamiliesconcerningcoverageinaqualitysetting,

    andforwhatperiodoftime(includinghowtheyhavehandledanysimilarpurchasetransitionsinthe

    past).

    4. Proposersareencouragedtocommentonanyinnovationsinresident/patientcarewithwhichthey

    havecurrentexperienceandwhichtheymightwishtoconsiderimplementingshouldtheypurchase

    ValleyView. Additionally,ProposersmustoutlinefortheLDCtheplanstheyhavetoexpandthetypesof

    careandservicesofferedbytheFacility,includinganyadditionalexpansionofthecontinuumwith

    independentorassistedliving,ortheadditionofvarioushighacuitycareservicessuchasbariatric,

    woundcare,headtrauma,ventilatorcare,renalcare,outpatientrehab,andhowtheProposerhas

    implementedsuch

    services

    at

    its

    other

    nursing

    facilities.

    The

    Proposer

    will

    demonstrate

    how

    it

    has

    workedsynergisticallywithlocalhealthcareproviders(hospitals,doctors,andsoforth)inthemarkets

    wheretheyoperate.

    5. TheLDCprefersthattherebenocontingenciestoclosingexcepttheProposerhavingsecuredallappropriatelicensesandnecessaryregulatoryapprovalstooperatetheFacility.Totheextentthereare

    contingenciestoclosing,thosecontingencieswillcountagainsttheproposal,includinganyfinancing

    contingency.TheLDCrequiresthatthesuccessfulProposerdemonstratethatiteitherhastheentire

    purchasepriceinreadilyavailableassets,orthatitpossessescommittedfinancingfromalending

    institutionsufficienttoacquiretheFacility.

    PROPOSERQUALIFICATIONS

    ThesuccessfulProposermustbequalifiedtooperateaskillednursingfacility. Thiswillbebasedonthe

    ProposersexperienceandtheProposersfinancialstatements. Proposermustsubmitproofofitsability

    toobtainalllicensesandregulatoryapprovalsnecessarytooperatetheFacilityasitiscurrentlybeing

    operated. Pleaseprovidedetailedinformationregardingeachofthefollowingissues:

    1.Yourorganizationshistoryandmission,includingthenumberofyearsinbusiness,thetypeofentity

    (e.g.501(c)(3)),thenumberoffacilitiesownedand/oroperated,thelocationsofsuchfacilities,andany

    recentoranticipatedchangesinthesizeand/orscopeofyourbusinessorfacilities.

    submitted by bidder is submitted in connection with the offer for sale by the Orange Valley ViewDevelopment Corporation (OVVDC) of certain assets currently owned and operated by the

    County of Orange, New York (the County). By submission of this bid, each bidder and each

    person signing on behalf of any bidder certifies, and in the case of a joint bid, each party theretocertifies as to its own organization, under penalty of perjury, that to the best of knowledge and

    belief:

    The prices set forth within this bid have been arrived at independently without collusion,

    consultation, communication or agreement, for the purpose of restricting competition, as to anymatter relating to such prices with any other bidder or with any competitor;

    BIDDER HOLD HARMLESS AGREEMENT
