Vendor Registration Guidelines

1. Introduction

Haya Water vendor management system is endeavoring to maintain a list of approved vendors for the procurement of goods and services for its sewage treatment project throughout Oman. The registration of Vendors with Haya Water intends to ensure that Purchases are made from proven, technically capable and financially viable Vendors. The approved vendors will get intimation of Haya Water’s RFQ’s/Open Tender enquiries on their registered email address. You are welcome for applying to become an approved Vendor in Haya Water.

1.1. Purpose

The purpose of this guideline is to acquaint potential vendors with various steps involved in obtaining vendor registration with Haya Water.

1.2. Scope

This document defines vendor registration process of Haya Waterfor selecting vendors for the procurement of goods and supplies required to be engaged by Haya Water for its operations. Haya Water Corporate Support Division will be the process owner of this document.

1.3. Objective

To widen the base of vendors for the procurement of goods and services from the right vendors at the best value for money.

To select reliable and quality conscious vendors those who are willing to supply goods and services in required quality, quantity& who are willing to keep their delivery promise and who can be depended upon as a continuous source of supply under all conditions.

1.4. Definitions

Goods - means those raw materials or commodities which are available for general sale.

Services - means the provision of labour and work carried out by hand, or with the assistance of plant and equipment, including the input, as necessary, of knowledge based expertise.

2. Registration procedure

2.1. About Vendor Registration: In order to do business with Haya Water, vendors (prospective Suppliers and Contractors) shall apply for registration with Haya Water to take part in Haya Water Contracting and Procurement Processes; Types of Tenders: Request for Quotation (RFQ)/Closed/Limited Tender: Request for Quotations (RFQ)/Closed/Limited Tender shall be used for the procurement of goods and services (for minor value). This procedure shall be used for procurement of simple, uncomplicated goods of standard, firm specifications or very specifically defined and continuously used services. Based on analysis of quotations, the award is given to a vendor that meets specifications, delivery terms and lowest price. International companies participating in this tender must complete the registration formalities within one month of awarding of a contract. Haya Water invites all qualified companies (classified and given a vendor code) Local and international. Open Tender: Open Tender shall be advertised by floating Tender in News Papers and Haya Water webpage. This procedure shall be used for procurement of goods and services (for major value). Those vendors who have not registered with Haya Water are also eligible to participate in Open Tenders. However, those vendors will be considered for registration only for those items for which they qualify and award with the contract. Open Tenders applicable to all companies, be it local or international. International companies, those who don’t have any registration in the Sultanate of Oman; shall undertake necessary action to register the firm in accordance with the rules and regulations prevalent in the Sultanate of Oman within one month from the date of award of contract. The applicant shall submit an undertaking to that effect, along with the present registration documents and details of his firm in his home country. Conflict of Interest:

In pursuance to the Royal Decree no. 36/2008, Issuing the Tender Law: Article 6: Employees of entities subject to this Law shall not, directly or indirectly, submit tenders or offers to these entities. Further, and without prejudice to Royal Decree No. 39/82, and the interpretation thereof, no items shall be purchased from them nor shall execution of works or provision of services be assigned to them; provided that in the case of necessity the purchase of their writings and works of art or assigning to them execution of works or provision of services shall be in accordance with a reasoned decision of the head of the relevant entity within limits not exceeding five thousand Omani Rials and the decision of the Ministry of Finance if the sum exceeds that limit. Provided further, that they shall not in any manner, participate in the process of the assignment.

Based on the above, Haya Water will not register the said category. 2.1.1. Types of registration with Haya Water is as follows:

a. New registration b. Renewal c. Re-registration d. Change of grade / category / specialization e. Change of vendor information

a) New Registration A new registration is an application from a vendor that has not previously registered with Haya Water. The vendor must fulfil the registration criteria and requirements. The registration period is for three years and the vendor must fulfil the requirements according to their category or specialization.

b) Renewal Registration renewal is an application to extend the registration certificate. A vendor must apply at least one hundred and twenty (120) days before the expiry of the certificate. Vendors who do not apply for renewal on time will lapse. As and when, the vendor applies later; a fresh assessment will be done as per procedure for New Registration.

The following guidelines may be followed regarding the requirement of a visit to the premises of the vendor.

i. In case the vendor applies for renewal of registration for only that type of material/product/equipment for which it had been initially registered, and the performance of the vendor during the period of past

three years of initial registration remains satisfactory without any adverse feedback, the registration of vendor will be considered for renewal. In such cases, where there are no changes in the infrastructure, no visit to the vendor’s premises is required. In case there are infrastructure changes, it is up to the initiating/recommending authorities of Haya Water to take a view on whether a visit is necessary.

ii. In cases other than (i) above, where the vendor applies for additional types of material/product/equipment, or the performance of the vendor was not satisfactory for any or all the material/product/equipment for which the vendor was registered during the past three years, the vendor will be asked to submit all the documents afresh for considering their registration and a re-verification visit by the initiating/recommending authorities of Haya Water will be undertaken.

c) Re-registration Re-registration is an application made after the registration certificate has expired. Vendor must fulfil the registration criteria and requirements and be free from any disciplinary action. Haya Water reserves the right to re-evaluate the registration of the existing grade, category or specialization based on the documents or information submitted during the re-registration application.

d) Change of Grade An application for grade change is made by any vendor, either to upgrade or downgrade the existing grade. Vendor must fulfil the registration criteria and requirements and be free from any disciplinary action. If the registration is due to expire in less than one hundred and twenty (120) days, the application of grade change can be made together with the renewal application. For grade change applications, the validity period is as per the existing registration certificate. If the current certificate has not expired, the original registration certificate must be returned during the payment of the registration fee. For grade change application with renewal, the registration certificate is valid as per the approved period.

e) Addition of Category An application for category addition is made by a vendor to add a new category, aside from those stated in the existing registration certificate. Companies must fulfil the registration criteria and requirements and be free from disciplinary action. If the registration is due to expire in less than one hundred and twenty (120) days, the application of category addition can be made together with the renewal application. For category addition applications, the validity period is as per the existing registration certificate. If the current certificate has not expired, the original registration certificate must be returned during the payment of the registration fee. For category addition application with renewal, the registration certificate is valid as per the approved period. Additional category can be applied by the applicant by providing the following evidences;

The vendor has supplied goods/performed work in the specialization applied for by submitting work offer letter, proof of work completion, or confirmation letter from the client awarding the project.

Registration with other agencies.

f) Addition of Specialization An application for specialization addition is made by a vendor to add a new category, aside from those stated in the existing registration certificate. Companies must fulfil the registration criteria and requirements and be free from disciplinary action. If the registration is due to expire in less than one hundred and twenty (120) days, the application of specialization addition can be made together with the renewal application. For application of specialization addition, the validity period is as per the existing registration certificate. If the current certificate has not expired, the original registration certificate must be returned during the payment of the registration fee. For application of specialization addition with renewal, the registration certificate is valid as per the approved period. Additional specializations can be applied by the applicant by providing the following evidences;

The vendor has supplied goods/performed work in the specialization applied for by submitting work offer letter, proof of work completion, or confirmation letter from the client awarding the project.

g) Change of Vendor Information All vendors are required to notify Haya Water of any change of vendor information within thirty (30) days of the change. The registration with Haya Water will become invalid, if they fail to do so.

Application letter to dissolve the existing registration of the vendor and refer to the requirements for new application.

Valid copy of Commercial Registration Certificate issued by Oman Ministry of Commerce and Industry.

Valid copy of Commercial Registration Information from Oman Ministry of Commerce and Industry having commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

Valid Copy of Authorised signatory paper issued by Oman Ministry of Commerce and Industry.

b) Change of vendor’s registered address Application letter to dissolve the existing registration of the vendor and refer to the requirements for new application.

Valid copy of Commercial Registration Certificate issued by Oman Ministry of Commerce and Industry.

Valid copy of Commercial Registration Information from Oman Ministry of Commerce and Industry having commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

Valid Copy of Authorised signatory paper issued by Oman Ministry of Commerce and Industry.

c) Change of partner/Separation/withdrawal of partner and addition of new partner (if any).

Refer to the requirements for new application for Change of partner/Separation/withdrawal of partner and addition of new partner (if any).

Submit a copy of the partnership agreement bearing witness. The agreement must state the percentage of shares held by the partners.

Proof of new agreement of share ownership. Valid copy of Commercial Registration Certificate issued by

Oman Ministry of Commerce and Industry. Valid copy of Commercial Registration Information from Oman

Ministry of Commerce and Industry having commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

Valid Copy of Authorised signatory paper issued by Oman Ministry of Commerce and Industry.

2) Change of Classification Status

a) Change of vendor name

b) Change of vendor’s registered address

c) Change of directors

d) Change in the structure of equity / shareholders

e) Change in paid-up capital

Application letter to dissolve the existing registration of the vendor and refer to the requirements for new application.

Valid copy of Commercial Registration Certificate issued by Oman Ministry of Commerce and Industry.

3) Change of technical person / vendor nominee Submit names of the new technical person / vendor nominee with their contact details in vendor official letter head.

4) Change of mailing address / telephone or fax numbers Submit notice of address change. Valid copy of Commercial Registration Certificate issued by

Oman Ministry of Commerce and Industry. Valid copy of Commercial Registration Information from Oman

Ministry of Commerce and Industry having commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

All the vendors are requested to read the “Instructions to Vendors” listed below carefully before taking the vendor registration process. 2.2. Instructions to Vendors: 1. Vendor Registration forms shall be downloaded from Haya Water website: www.haya.om

2. Vendors may register, or request for updating of existing registration information by submitting hardcopies of the registration documents or by submitting softcopies (limit up to 4MB), electronically via e-mail to [email protected]

3. Any clarification with respect to procedure for registration shall be obtained from Vendor Management Section of Haya Water via e-mail to [email protected] (or) via Telephone Number +968 – 24116279 / 24116281.

4. The Vendor Registration Form – [Goods / Services] has three parts:

9. Incomplete forms will be strictly rejected and if any question is not applicable or relevant to the applicant, it has to be mentioned as not applicable by the applicant.

10. Please ensure that all required enclosures are attached with the filled up vendor registration form and list of enclosures is given as required.

11. The information submitted to vendor management section will be reviewed for compliance with Haya Water requirements.

12. All categories of vendors having valid commercial registration in the Sultanate of Oman shall apply for registration with Haya Water for those business activities (Goods and/or Services) mentioned in Commercial Registration Certificate (CR) issued by Ministry of Commerce and Industry.

13. On receipt of filled-up Vendor registration forms, Haya Water Vendor Management Team will scrutinize the forms and will assess all vendor applications against predefined Vendor Evaluation Criteria and shall give any of the following recommendations within the stipulated period. Note: Item/Product/Material/Services evaluation shall be recommended for registration based on the following conditions:

CONDITION TYPEC1 Vendor proposed Item/Product/Material/Technology/Service having approval from bench marking

companies in Oman namely PDO/ORPIC/PAEW/MRMWR/MEDC shall be given weightage for adding to the Haya Water Approved vendor list.

C2 Item/Product/Material/Technology/Service proposed by any vendor if it is already installed in Haya Water and found to be performing satisfactorily for atleast three to five years period without any major problem, shall be given weightage for adding to the Haya Water Approved vendor list based on Haya Water Operations & Maintenance and Projects Division feedback.

C3 Item/Product/Material/Technology/Service proposed by any vendor found to be qualified and recommended by Projects Division during the Bid Evaluation Stage, shall be given weightage for adding to the Haya Water Approved vendor list.

C4 Internationally well-known & quality reputed item/product/material/Technology/Service proposed by any vendor with established track record of 10 years in the field shall be given weightage for adding to the Haya Water Approved vendor list.

C5 Item/Product/Material/Technology/Service proposed by a vendor who doesn’t have any reference in Oman (nor) approval from bench marking companies in Oman namely PDO/ORPIC/PAEW/MRMWR/MEDC shall be evaluated strictly in accordance with Haya Water specifications.

14. Please note that mere submission of duly filled in registration form does not guarantee any vendor as

approved vendor of Haya Water, all vendors will be evaluated for technical and commercial capabilities to qualify them as approved vendor.

15. After completion and upon approval of registration by Haya Water, Vendors will be notified of their registration along with their unique Vendor Code.

16. Notification of Vendor Registration does not signify or confirm Haya Water’s qualification or pre-qualification of any entity or any type of commodity or scope of work.

17. Haya Water Registration is not a commitment by Haya Water to Purchase or award a contract from any

vendor. However, to create an equal opportunity to all vendors to make them participate in its Request for Proposal(RFP)/Request for Quotation(RFQ)/Tenders of Haya Water in accordance with its Policies and Procedures.

18. The award of any business by Haya Water will follow established procedures for Tendering, bidding, evaluation, and award.

3. VENDOR REGISTRATION FEE

Vendors applying for registration with Haya Water shall deposit a non-refundable fee as vendor registration fee to Haya Water account given below;

* Any or all costs and expenses incurred by the applicants for vendor registration including presentations, if required, shall be at the applicant’s expense and will not be reimbursed by Haya Water in any case.

* SMEs (Micro/Small/Medium Enterprises) are exempted from Vendor Registration Fees.

SME Eligibility Criteria:

Any enterprise engaged in an economic activity, which is 100% owned & managed by Omani Nationals, having valid commercial registration in the Sultanate of Oman and meeting the following criteria for SMEs as per the definition set by Ministry of Commerce and Industry (MoCI). The classification is as follows;

Micro enterprise: are defined as enterprises which employ one to five workers and annual sales of less than RO 100,000.

Small enterprise: are defined as enterprises which employ Six to 25 workers and annual sales of RO

100,000 – RO500, 000. Medium enterprise: are defined as enterprises which employ 26 to 99 workers with annual sales of

RO500, 000 – RO 3,000,000.

4. DOCUMENT REQUIREMENTS FROM ALL CATEGORIES OF VENDORS: Vendors, who are interested in registration with Haya Water for supply of goods and services, shall fulfill the following requirements: a) Mandatory Requirements b) Statutory Requirements c) Qualifying Requirements and d) General Requirements The following information shall be treated as Mandatory/ Statutory/ Qualification/General requirement. The vendor who does not meet these requirements will not be considered for further scrutiny and their application would be summarily rejected without any further correspondence. Hence it is the vendor’s responsibility to furnish the relevant document in order to comply with the requirements, at the first instance itself. For SMEs (Micro/Small/Medium Enterprises) a. Mandatory Requirements Valid copy of Commercial Registration Certificate issued by Oman Ministry of Commerce and Industry. Valid copy of Commercial Registration Information from Oman Ministry of Commerce and Industry

having commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

Valid Copy of Authorised signatory paper issued by Oman Ministry of Commerce and Industry. Valid copy of Registration Certificate issued by Oman Chamber of Commerce and Industry. Staff head count details, Omanisation details from Ministry of Manpower showing the registration of

employees, a detailed statement on the number of employees classified according to the types of their jobs, occupations, their wages and gender, Documentary evidences from Public Authority for Social Insurance showing registration of Omani employees.

b. Statutory Requirements Annual sales turnover for last three years, from audited balance sheet. (For enterprises established more

than three years) Newly established enterprises or the enterprises which do not yet have audited financial report shall

submit a self-declaration of income in the vendor letter head. Bank Account details of the vendor (Letter stamped by the Bank) c. Qualifying Requirements SME Registration Particulars issued by The Public Authority for Small and Medium Enterprises

Development (Riyada) / Copy of Riyada Identity Card. Valid Copy of Registration Certificate issued by Oman Government Tender Board. Previous work experience details showing (LOA/PO Copies from other clients, Performance Letter / Job

Completion Letter etc.) Details of the “Maximum value order (Single order)” executed for items for which the Applicant apply for

registration. The Turnover shall be 100% or more than the “Maximum value order” executed during anyone of the

three preceding years. Purchase order(s) of items for which, registration is sought for. d. General Requirements Enrollment as “Registered Vendors” in other firms Valid copies of ISO 9001/ ISO 14001 & OHSAS 18001 Certificates Quality, Health, Safety and Environmental Policy, Manual & Procedures.

For Authorized Agent /Dealer/Distributor a. Mandatory Requirements Authorization letter from the principal. Unpriced Purchase Order Copies of the Principal for the item applied for registration. Valid copy of Commercial Registration Certificate issued by Oman Ministry of Commerce and Industry. Valid copy of Commercial Registration Information from Oman Ministry of Commerce and Industry having

commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

Valid Copy of Authorised signatory paper issued by Oman Ministry of Commerce and Industry. Valid copy of Registration Certificate issued by Oman Chamber of Commerce and Industry. Staff head count details, Omanisation details from Ministry of Manpower showing the registration of

General Requirements Enrollment as “Registered Vendors” in other firms Valid copies of ISO 9001/ ISO 14001 & OHSAS 18001 Certificates Quality, Health, Safety and Environmental Policy, Manual & Procedures. Note: The Vendor seeking registration as Authorized Agent /Dealer/Distributor of more than one manufacturer/ principal, shall apply on separate application form with Agent/dealership certificate from each manufacturer principal as described above shall be submitted with the application. For Stockist/Trader a. Mandatory Requirements Valid copy of Commercial Registration Certificate issued by Oman Ministry of Commerce and Industry. Valid copy of Commercial Registration Information from Oman Ministry of Commerce and Industry having

commercial registration, Ownership/Partnership information/Authorized Managers, Signatories with ID Numbers, Nationality, and Percentage shares etc.

Valid Copy of Authorised signatory paper issued by Oman Ministry of Commerce and Industry. Valid copy of Registration Certificate issued by Oman Chamber of Commerce and Industry. Staff head count details, Omanisation details from Ministry of Manpower showing the registration of

employees, a detailed statement on the number of employees classified according to the types of their jobs, occupations, their wages and gender, Documentary evidences from Public Authority for Social Insurance showing registration of Omani employees.

For Manufacturer

In case the Manufacturer prefers to operate only through local representatives, then they may authorize the bonafide local representatives to apply for registration. At any point of time, if the Manufacturer wishes to change the local representative, the same shall be communicated to Haya Water. Based on the details submitted in the Vendor application, further assessment would be done by inspecting their shop floor capabilities and infrastructure available, by Haya Water and its authorized representatives, if required. Misinformation, if any, will make the registration liable for cancellation. a. Mandatory Requirements Certificate of incorporation of the firm. Factory Layout chart. Organizational structure, Hierarchy levels, Ownership details, Employee details. Manufacturing Process video in Flash/CD. Goods, Product, Equipment & Services list with their Drawings, Technical datasheets, Specification

sheets, Catalogues, Compliance Statement with reference to Haya Water specifications, with supporting documents/ test reports including qualification test reports of the product/equipment, for which the vendor is applying registration for.

5. EVALUATION OF APPLICATIONS

Haya Water’s vendor management team will evaluate the applications received with enclosures for meeting the minimum requirements and Haya Water’s decision will be final.

Any information / clarification required by Haya Water during evaluation must be given expeditiously.

6. CLARIFICATION OF APPLICATIONS

Haya Waters, at its discretion, ask any Applicant for a clarification of its application which shall be submitted within a stated reasonable period of time. If an Applicant does not provide clarifications of the information requested by the date and time set in the request for clarification, its application will be rejected. All clarification responses shall be submitted to Haya Water in writing. 7. RIGHT TO ACCEPT OR REJECT APPLICATIONS  

Haya Water reserves the right to accept or reject any application and to annul the approval process at any time without giving reasons and without any liability, financial or whatever nature.

8. VENDOR ASSESSMENT FEE

Haya Water’s vendor management team will conduct vendor survey / vendor site visit if required for capacity verification. In such case vendors will be asked to deposit a nonrefundable fee to Haya Water Finance Department as assessment fee;

Haya Water will bear all the expenses for its vendor management team involving in vendor survey / vendor site visit (which includes travel, lodging & local conveyances at vendor location).

9. VENDOR EVALUATION PERIOD

Status of vendor registration will be intimated by Haya Water vendor management team through email only.

Maximum 60 working days incase vendor survey/vendor site visit is not required. Maximum 90 working days following receipt of assessment fees incase vendor survey/vendor site visit

is required.

10. DELISTING PRODUCT / SERVICE

Registered vendors must participate in all RFQs/Tenders issued by Haya Water for those items for which they are registered. Non-participation for three (3) times within a year, without valid reasons, may entail de-listing of that particular item (Goods and/or Service) for which the vendor have failed to participate. An investigation will be carried out by vendor management team and will inform the vendor in writing explaining the reasons for delisting.

Delisted vendor can participate in bidding process for Open Tenders and should qualify for registration again with Haya Water. 11. VENDOR REGISTRATION STATUS

All vendors will be notified through email and/or vendor registration notification letter about the status of registration with Haya Water.
