DESCRIPTION

El documento que mostramos a continuación con el nombre “Quitclaim Deed” es una escritura que valida el supuesto traspaso de una porción de las tierras (unas 4,000 cuerdas; el 25%) del Oeste de Vieques, donde se ubicaba la antigua base de almacenamiento de bombas, a manos del Municipio de Vieques. Como verán al adentrarse en la lectura, el documento resulta ser sumamente humillante y colonial, manteniendo y priorizando el control de las tierras según los intereses de la Marina y el Departamento del Interior de los Estados Unidos [p. 25 – 28]. Es el primer documento donde la Marina deja clara su oposición sobre traspasar terrenos a Vieques e inauguró además su política engañosa y falsa, repetida por sus socios locales de que todo terreno bajo su jurisdicción está contaminado, no se debe entregar y si este fuera el caso, con usos limitados[p. 33 – 53]. Siendo entonces una escritura nefasta y contraria a los intereses de Vieques.

FIFTH: The conveyance is authorized pursuant to the authority of U.S. Public Law 106-398.

II. Easements. The MOV parcel is further subject to the following easements:

A. Retained Land Interests for Navy Operations. Pursuant to Section of 1506 of U.S.Public Law 106-398, the Govemment hereby constitutes the following described easements andinterests over the MOV parcel necessary for the operation and support of the ROTHR and theMount Pirata Telecommunication Site, as described herein. Government and Grantee furtheragree -that all easements and rights of way retained by the Government or for whose benefitsuch interests are constituted pursuantto Section 1506&X3) of Public Law 106-398, as moreparticularly described in II.A., subsections I to t herein, shall cease and terminate upon theoccrrrence of any of following events, whichever happens fust:

Ensuring the security of such properties; and

Ensuring effective maintenance and operations of such properties.

Government reserves access to and the right to use the MOVparcel in any case in which a remedial or corrective action is found to be necessary after thedate of the conveyance of the MOV parcel. In exercising this right of access, except in the caseof imminent and substantial endangerment to human health or the environment, theGovernment; (a) shall give the Grantee reasonable prior written notice of actions to be takenrelated to such remedial or corrective actions on the MOV parcel and (b) make reasonableefforts to minimize interference with the ongoing use of the MOV parcel. Furthermore, theGovernment and Grantee agree to cooperate in good faith to minimize any conflict betweennecessary environmental investigation and remediation activities and the Grantee's use of theMOV parcel. Any inspection, survey, investigation or other response, corrective or remedialaction undertaken by the Government will, to the maximum extent practicable, be coordinatedwith representatives designated by the Grantee.

4. Response Action Assurance [Section 120(hX3XC)(ii) of the Comprehensive EnvironmentalResponse, Compensation and Liability Act]:

a. Necessary Restrictions to Protect Human Health and the Environment [SectionI20(hX3XCXiiXI) of the Comprehensive Environmental Response, Compensatiln andLiability Act]. The environmental covenants, conditions and restrictions (hereinafter"environmental restrictions") set forth in paragraph II.B.I. - 12 above regarding the use of theMOV parcel have been determined by the Govemment in this Covenant to U. reasonablynecessary to protect present or future human health or safety or the environment as provided bythe Comprehensive Environmental Response, Compensation and Liability Act. Th;environmental restrictions made and accepted herein by Grantee shall be for the benefit of andenforceable by the Govemment herein, shall run with the land, and shall be binding on theGrantee, its successors and assigns. These environmental restrictions shall be released at suchtime as the Government has obtained written confirmation from Commonwealth of puerto Ricothat the appropriate regulatory agency has determined that in view of the selected reme,ly thecondition of the restricted Property is protective of present or future human health or safety orthe environment for the use that was formerly prohibited. Upon receipt of such writtenconfirmation, the Govemment shall deliver to the Grantee in recordable form, a release&ereinafter the "Release") relating specificatly to the environmental use restrictions set forth in

Govemment and Grantee agree that further investigations mayreveal site conditions that are more complex than those currently anticipated, which couldresult in a requirement for additional funding and time to complete restoration efforts. As partof its periodic budget preparation and submission process for the Environmental RestorationNavy program account, the Navy will update the budget submission information for these IRsites as necessary to account for any changes as a result of work conducted and changes madeto the site Management Plan.

d. Budget Requests [Section I20(hX3XCXiDGV) of the Comprehensive EnvironmentalResponse, Compensation and Liability Act]. The Government hereby provides assurances thatit will submit a budget request to the Director of the Office of Management and Budget thatadequately addresses schedules for investigation and completion of all necessary responseactions subject to congressional authorization and appropriations.

5. Grant of Covenant [Section 120(hX3XC)(iii) of the Comprehensive EnvironmentalResponse, Compensation and Liability Act]. When all response action necessary to protecthuman health and the environment with respect to any substance remaining on the prop.rty onthe date of transfer has been taken, the Government shall execute and deliver to the-Grantee anappropriate document containing a warranty that all such response action has been taken andthat the requirements of Section 120(h)(3)(a)(iD0 of the Comprehensive Environmental

In any case in which Government determines that it may be required to indemnifu anIndemnitee(s) for any suit, claim, demand, action, liability, judgment, cost or other fee arisingout of any claim for personal injury or property damage, Government may settle or defend onbehalf of that Indemnitee(s), the claim for personal injury or property damage.

3. If any Indemnitee(s) does not allow Government to settle or defend the claim, suchIndemnitee(s) will not be afforded indemnification with respect to that claim. Government willnot indemnifr the Indemnitee(s) unless such Indemnitee(s):

a. Notifies Government in writing within 90 days after after the Grantee has actualknowledge of such an indemnification claim. If Indemnitee(s) is served with a complaint orwritten notice of a claim by federal, state or local regulators, Indemnitee(s) will provideGovernment with a copy of such document no later than 15 days following service of thecomplaint. Indemnitee(s) right to indemnification shall not expire due to late notice unlessGovernment's ability to defend or to settle is materially and adversely affected;

b. Fumishes Government copies of pertinent papers the Indemnitee(s) receives; and

c- Fumishes, to the extent it is in the possession or control of Indemnitee(s), evidence or:f of any claim, loss, or damage covered by subparagraph a.; and

f- Government will not indemnify an Indemnitee(s) to the extent that any such release orthreatened release of any hazardous substance, pollutant, contaminant, petroleum or petroleumderivative from or on the MOV parcel occurred as the result of such Indemnitee(s) actions.Government is entitled to contribution from Indemnitee(s) to the extent Governnlgnt shows thatsuch release was a result of the Indemnitee(s) actions. However, the availability of contributionshall not aflect the requirement of Government to defend an Indemnitee(s), unless suchIndemnitee(s) is solely responsible for the release or threatened release giving rise to the claimfor indemnity, in which case the Government's duty to defend will not

D. Responsibilities of the Grantee.

1. Grantee covenants and agrees that for any release or threatened release of any hazardoussubstance, pollutant, contaminant, petroleum or petroleum derivative found on t}re MOV parcelfollowing the date of transfer that is determined to be a result of the Grantee's actions, theGrantee assumes responsibility for all remedial work determined to be necessary. The Granteefilrther covenants that to the extent any remedy includes land use restrictions agreed to by pREQB and/or EPA, that the Grantee wili enforce those restrictions. ,g2" Nothing in the Deed shall be interpreted as waiving any rights that the Government mayhave under the Comprehensive Environmental Response, Compensation and Liability Act(CERCLA) or any other Federal, Puerto Rico or local law, regulation or ordinance, includingany cost recovery authorized by law, against the Grantee, or the Grantee's successors andassigns, that may arise on account of or in any way connected with operations of the Grantee orthe Grantee's successors and assigns, on the MOV parcel after the date of the Deed, or onaccount of any condition at the MOV parcel or other prdperties, including without limitation toadjacent real properfy owned by the Government.

E' Unexploded Ordnance. Government and Grantee recognize that there is a potential forunexploded ordnance to be found on the MOV parcel. The Government hereby agrees that itwill remove and dispose of discovered unexploded ordnance to the extent required by then-applicable federal laws and regulations and pursuant to Navy and Department of Defensepolicies, and subject to Congressional authorizations and the availability of appropriated funds.

F. Lead Based Paint Notification. The Grantee is hereby informed and does acknowledgethat the MOV parcel include buildings and structures that are presumed to contain Lead BasedPaint. Lead from paint, paint chips, and dust can pose health hazards if not managed properly.

presence of any known ACM hazards in the buildings and structures on the Propertl,'" TheGrantee covenants that it will prohibit occupancy of buildings and structures, or portionsthereof, containing known ACM hazards prior to abatement of the hazards or demolition of thebuilding or structure

2. The Grantee covenants and agrees that in its use and occupancy of the Property, includingbut not limited to demolition of buildings containing ACM, it will comply with all applicableFederal, State, and local laws relating to ACM. The Grantee acknowledges that the Grantorassumes no liability for damages for personal injury, illness, disability, or death to the Grantee,or to any other person, including members of the general public, arising from or incident to thepurchase, transportation, removal, handling, use, disposition, or other activity causing orleading to contact of any kind whatsoever with ACM in the structures on the Property, whetherthe Grantee has properly warned, or failed to properly warn the persons injured.

H. Definitions and General Provisions.

1 . For the purpose of the provisions of this Section IV, the following terms have the meaningsindicated below:

@ ea. "Release", "threatened release", "hazardous substance", "pollutant", "contaminant",

"removal," "remedial action", and "response" have the meanings given such terms underCERCLA and U.S. Environmental Protection Agency regulations implementing CERCLA.

b. "Department of Defense aetivities" means the Department of Defense's construction,installation, placement, operation, maintenance, misuse, abandonment or failure to maintain thebuildings and equipment and land on the MOV parcel* or failure to satisfy any otherwiselegally applicable obligation to investigate or remediate any environmental conditions existingat the MOV parcel. "Department of Defense activities" does not mean the release or threatenedrelease of a hazardous substance, pollutant, contaminant, petroleum or a petoleum derivative,to the extent that Government shows that the release or threatened release is caused orcontributed to by the Grantee or successor in interest.

c. "Action arising out of any claim for property damage" includes, but is not limited to,any judicial, administrative or private cost recovery proceeding brought against the Grantee orGrantee's successors in interest (i) for response costs arising under CERCLA, (ii) for costsincurred to enjoin or abate the presence or migration of contamination from or on the MOVparcel under RCRA, or (iii) for costs incurred to comply with the requirements of similar

or state laws and regulations (or the laws of any political subdivision of theonwealth) which arise from the environmental conditions on the MOV parcel.

"Environmental condition(s)" means any hazardous substance, pollutant orhazardous waste or hazardous constituent, petroleum or petroleumreleased or existing in environmental media such as soil, subsurfacesurface water or subsurface geological formations at levels above

2. Prior to taking any action or reaching any final settlement under this Section IV. that couldadversely impact Grantee or Grantee's successors in interests use of the MOV parcel,Government shall consult with Grantee or its successors in interest to minimize any suchimpact.

3. Nothing in this Section IV. creates rights of any kind in any piltson eii Lntity other than:(i) the Government and (ii) the Grantee and the Grantee's successors in interest.
