Sample Template of Disclosure Schedules The following is a sample template of disclosure schedules that will often be required for an M&A transaction. Note that the exact scope and language of the schedules can be subject to extensive negotiation, and thus the final form of the disclosure schedules will often vary significantly from what is contained below. But this is a good starting point for the seller’s employees to prepare the first draft of the disclosure schedules. The disclaimers at the beginning of the disclosure schedules are important. DISCLOSURE SCHEDULE

Capitalized terms used but not defined in this Disclosure Schedule shall have the respective meanings ascribed to such terms in the Agreement and Plan of Merger (the “Agreement”), dated as of [•],____, by and among [Parent], a Delaware corporation (“Parent”), [Merger Sub], a Delaware corporation and a direct or indirect wholly owned subsidiary of Parent (“Merger Sub”), [Company], a Delaware corporation (the “Company”), and, with respect to Section __, Article ___, Article ___ and Article ___ only, [Stockholder Representative] as Stockholder Representative (the “Stockholder Representative).

This Disclosure Schedule is qualified in its entirety by reference to the Agreement.  The Company may, at its option, include in this Disclosure Schedule any items that are not material in order to avoid any misunderstanding, and any such inclusion, or any references to dollar amounts, shall not be deemed to be an acknowledgment or representation that such items are material, to establish any standard of materiality or to define further the meaning of such terms for purposes of the Agreement. 

This Disclosure Schedule has been arranged, for purposes of convenience only, as separately titled Schedules corresponding to certain sections of the Agreement.  Information disclosed in any Schedule shall constitute a disclosure for purposes of all other Schedules of this Disclosure Schedule notwithstanding the lack of specific cross-reference thereto, but only to the extent the applicability of such disclosure to such other Schedule is reasonably apparent.  In no event shall the inclusion of any matter in this Disclosure Schedule be deemed or interpreted to broaden the representations, warranties, covenants or agreements of the Company contained in the Agreement.  The mere inclusion of an item in this Disclosure Schedule shall not be deemed an admission by the Company that such item represents a material exception or fact, event, or circumstance or that such item would be reasonably likely to result in a Material Adverse Effect.  The information contained in this Disclosure Schedule is disclosed solely for the purposes of the Agreement, and no information contained herein shall be deemed to be an admission by the Company to any third party of any matter whatsoever, including of any violation of law or breach of any agreement. No reference in this Disclosure Schedule relating to any possible breach, non-compliance with or violation of any agreement, law or regulation shall be construed as an admission or indication that any such breach or violation exists or has actually occurred.  Nothing in this Disclosure Schedule shall constitute an admission of any liability or obligation of the Company or any other party to any third party or shall confer or give to any third party any remedy, claim, liability, reimbursement, cause of action or other right. Any item of information disclosed in this Disclosure Schedule shall be subject to the terms of the Non-Disclosure Agreement, dated as of ____, ___, between the Company and Parent.

Headings (other than numerical references to sections and subsections of the Agreement) have been inserted in some of the Schedules of this Disclosure Schedule for convenience of reference only, and such headings shall not have the effect of amending or changing the express description of such Schedule as set forth in the Agreement.

Reference herein to any contract or agreement shall, unless otherwise specified herein or unless the context otherwise requires, refer to such contract or agreement and any attachments, schedules, exhibits, statements of work, orders, or work orders thereto, provided that such attachments, schedules, exhibits, statements of work, orders, or work orders thereto, have been provided or made available to Parent and Merger Sub on or prior to the date of this Disclosure Schedule.
