INTRODUCTION & SCOPE OF WORK

Andhra pradesh Grameena Vikas Bank is a Regional Rural Bank, sponsored by State Bank of

India, and jointly established by Government of Andhra Pradesh and Government of lndia'

Our bank has 768 branches as of now and are operating in eleven regions viz. Ashoknagar/

Bhadrachalam, Khammam, Mahabubnagar, Nalgonda, Parvathipuram, Sangareddy,

Srikakulam, Viziangaram, Visakhaptnarn. and Warangal in the States of Telangana and

Andhra pradesh. All the 76g branches have been functioning in a computerized environment

on CBS platforrn,

2. As part of Financial Inclusion, Government of india has assigned 1867 Sub Service

Area(SSA) points in the operational areas of our bank. We have 1867 Bank Mithra appointed

at all these points and are operational. Few SSA points have weak singal strength causing

hindrance to the Bank Mithra activities. These areas are named as Grey areas and require

mobile signal boosters to bsost the signal strength for uninterrupted banking services. On

pilot basis we have tested Mobile signal boosters at few of these points and these boosters

are effective in increasing the signal strength. Now Bank proposes to procure mobile signal

boosters and power bank supporting mobile signal boosters at Grey SSA points in erstwhile

districts of Khammam, Mahabubnagar, Medak , Nalgonda, Warangal in Telangana(157

locations) and Srikakulam, Vizianagaram & Vishakapatnam (74 locations)

6. As you are aware, all the technical requirements and our usual terms, conditions and

procedure for submission of your offers are indicated in our Terms and Conditions which may

be amended from time to time.7. Bank will be deploying these devices at Grey SSA areas in Telangana State(at all kind oflocations like Rural, Semi Urban, Metro) and vendor needs to provide for installation,commissioning, maintenance, repair, replacement support with well defined uptime at allthese places.

8. Bank has planned to procure 231 mobile signal boosters and power banks with an

option to freeze the price for next one year and extend the order for more/less number ofdevices depending on the requirement and performance.

9. After technical evaluation (which will, in addition to other criteria as per specs/ necessarilyinclude successful demonstration of devices integrated with our Visiontek Micro ATMs), Bankwill select the vendor on L1 basis but reserves the option open to allocate the order tomultiple vendors subject to:

10. The Bank proposes to invite tenders from established organizations (hereinafter referredto as "Bidder") for empanelment to undertake supply, instaliation, testing, commissioning and

maintenance of equipment as per details listed out in this document.

12. 9. MODE OF TENDER SUBMISSIONT Tenders are to be submitted in three separatesealed covers;

1) First one for Demand Draft pertaining to the Earnest Money Deposit2) Second one for non-financial {Technical) bid3) Third for financial (Commenciai) bid.

The above three covers should be kept in ANOTHER sealed cover and to be dropped in theTender Box, or to be sent through Registered post or Courier to enable us to verify theEMD amount and technical qualifications before opening the time specified in this document.

Please note that the cover containinE EMD will be opened first, and if the Demand draftsubmitted is for the correct amount and in order, then only the non-financial (technical) bidwill be opened. New product: The Vendor warrants that the products supplied under the Contract arenew/ unused, of the most recent or current model and they incorporate all recentimprovements in design and I or features. The Vendor further warrants that all theProducts supplied under this Contract shall have no defect, arising from design orfrom any act of omission of the Vendor, that may develop under normal use of thesupplied products in the conditions prevailing in India.

Term of Warranty for Hardware Components: Onsite comprehensive warranty forall the hardware components including free replacement of spares, parts, kits as andwhen necessary will be 36 months from date of installation or 39 months from dateof delivery, whichever is earlier.

Performance Quarantee: The Vendor shall in addition comply with the performanceguarantees specified under the Contract. If, for reasons attributable to the Vendor,these guarantees are not attained in whole or in part the Vendor shall rnake suchchanges, modifications and / or additions to the Products or any part thereof as maybe necessary in order to attain the contractual guarantees specified in the Contract atits own cost and expense and to carry out further performance tests.

On-site comorehensive warrantv: The warranty would be on-site andcomprehensive in nature and back to back support from the OEM" The vendor willwarrant all the hardware and software against defects arising out of faulty design,materials and media workmanship etc. for a period of three years from the date ofacceptance of the hardware and software. The vendor will provide support forOperating Systems and other preinstalled software components during the warrantyperiod of the hardware on which these software & operating system will be installed.The Vendor shall repair or replace worn out or defective parts including all plasticparts of the equipment at his own cost including the cost of transport'

Maintenance during warranty: During the term of the contract, the VENDOR willmaintain the equipment in perfect working order and condition and for this purposewill provide the following repairs and maintenance services:

a) Qualified Personnel: Free maintenance services during the period ofwarranty. Professionally qualified personnel who have expertise in the hardwareand system software supplied by the vendor will provide these services.

b) Timings & Exigencies: The Bidder shall rectify any defects, faults and failuresin the equipment and shall repair/replace worn out or defective parts of theequipment during working hours i,e. from 8,00 A.M. to 8.00 P,M. on all workingdays (viz. Monday to Saturday). In case any defects, faults and failures in theequipment could not be repaired or rectified during the said period, theengineers of the VENDOR are required to accomplish their duties beyond thesaid schedules in case of any situation if it warrants. In cases whereunserviceable parts of the equipment need replacement, the VENDOR shallreplace such parts, at no extra cost to the BANK, with brand new parts or thoseequivalent to new parts in performance. For this purpose the VENDOR shallkeep sufficient stock of spares at Bank's premises and at the premises of TheVENDOR.

c) Response time: The maximum response time for a maintenance complaintfrom the site of installation (i.e. time required for Vendor's maintenanceengineers to report to the installations after a request call / fax /e-mail is madeor letter is written) shall not exceed 4 (four) hours.

d) Repair Time: The VENDOR shall ensure that faults and failures intimated byBank as above are set right within 6 (six) hours of being informed of the same.In any case the equipment should be made workable and available not laterthan the Next Business Day.

e) Up Time: The VENDOR shall ensure that the full configuration of the equipmentis available to the BANK in proper working condition viz. uptime of 95o/o of thetime on a 24x7x365 basis.

f) The VENDOR shall ensure that the meantime between failures (including anymalfunctioning, breakdown or fault) in the equipment or any part thereof, as

calculated during any and every quarter (period of three consecutive months) is

not less than 90 days

g) PENALTY FOR DELAY IN PREVENTM MAINTENANCE: During Warrantyperiod service support should be provided with in six hours of lodgingcomplaint. In case the rectification is delayed more than above stipulated timeor any part needs to be taken to the vendors lab for repair, the vendor shouldprovide standby equipment. Failure to do so, on the part of the vendor, shallmake the vendor liable ;

i) The VENDOR shall ensure that the meantime between failures (including anymalfunctioning, breakdown or fault) in the equipment or any part thereof, ascalculated during any and every quarter (period of three consecutive months) isnot less than 90 days.

j) Preventive maintenance: the VENDOR. shall conduct Preventive Maintenance(including but not [imited to inspection, testing, satisfactory execution of altdiagnostics, cleaning and removal of dust and dirt from the interior and exteriorof the equipment, and necessary repair of the equipment) once SffiEg-51gs-{5ggduring the currency of this agreement on a day and time to be mutually agreedupon. Notwithstanding the foregoing the VENDOR recognizes Bank's operationalneeds and agrees that Bank shall have the right to require the VENDOR toadjourn preventive maintenance from any scheduled time to a date and timenot later than 15 working days thereafter.

k) Changes at NO extra cost: All engineering changes generally adopted hereafterby the VENDOR for equipment similar to that covered by this AGREEMENT, shallbe made to the equipment at no cost to the Bank.

l) Qualified Engineers: Qualified maintenance engineers totatly familiar with theequipment shall perform all repairs and maintenance service described herein.

m) Maintenance of Register: The Bank shall maintain a register at its site inwhich, the Bank's operator I supervisor shall record each event of failure and /of malfunction of the equipment. The VENDOR's engineer shall enter the detailsof the action taken in such register, Additionally every time a preventive orcorrective maintenance is carried out, the VENDOR.'S engineer shall rnake,effect in duplicate, a field call report which shall be signed by him andthereafter countersigned by the Bank's official. The original of the field callreport shall be handed over to the Bank's official.

n) The VENDOR shall provide replacement equipment, if any equipment is out of thepremtses for repairs.

Ownership of the Equipment: Any worn or defective parts withdrawn from theequipment and replaced by the VENDOR shall become the property of the VENDOR andthe parts replacing the withdrawn parts shall become the property of Bank,

Access for Repair/Maintenance: The VENDOR's maintenance personnel shall begiven access to the equipment when necessary, for purpose of performing the repairand maintenance services indicated in this agreement.

Shifting/Relocation to other branch: However if Bank desires to shift theequipment to a new site and install it thereof urgently, the VENDOR shall be informedof the same immediately. THE Bank shall bear the charges for such shifting and theVENDOR shall provide necessary arrangement to Bank in doing so. The terms of thisagreement shall continue, after such shifting to the alternate site and reinstallation

10. NO term or provision hereof shall be deemed waived and no breach excused, unlesssuch waiver or consent shall be in writing and signed by the party claimed to havewaived or consented. Any consent by any party to or waiver of a breach by other,whether express or implied, shall not constitute a consent to or waiver of or excuse foranother different or subsequent breach.

11. Levy of Penalty & Right to Cancel Order: If, in a quarter, the VENDOR does notfulfill the provisions of clauses (b), (c), (d), (e) and (f), the penalties mentioned in (g)shall be levied and recovery of such amounts shall be made from the 10olo RetentionMoney held with the Bank, without prejudice to the right of the Bank to cancel thecurrent orders or stop placing of further orders.

72. Vendor' s Negligence / Indemnification of Loss: On account of any negligence,commission or omission by the engineers of the VENDOR and if any loss or damagecaused to the Equipment, the VENDOR shall indemnifylpay/reimburse the loss sufferedby the BANK.

13. Future additions of Hardware / Software:

13.1 The Bank would have the right to:a) Shift supplied systems to an alternative site of its choice.b) Disconnect / connect / substitute peripherals such as printers, etc. or devices or

any equipment / software acquired from another vendor.c) Expand the capacity / enhance the features / upgrade the hardware /software

supplied, either from the vendor, or another vendor, or developed in-house.Provided, such changes or attachments do not prevent proper maintenance from beingperformed, or unreasonably increase the VENDOR cost of performing repair andmaintenance service.

13.2 The warranty terms would not be considered as violated if any of (a), (b) or (c) abovetake place, should there be a fault in the operations of the system, the vendor, wouldnot unreasonably assume that the causes lie with those components / software notacquired from them.

14,1 PAYMENT TERMS

Advance Payment: NO advance amount shall be paid along with the purchaseOrder/Letter of Intent.'i 9O o/o Payment shall be made only after successful installation & successful

14.2 A suitable undertaking letter will also be obtained apart from the usual lien undertakingietter

15.1 CONFIDENTIALITY:

The VENDOR acknowledges that all material and information which has and will comeinto its possession or knowledge in connection with this agreement or the performancethereof, whether consisting of confidential and proprietary data or not, whosedisclosure to or use by third parties may be damaging or cause loss to Bank will alltimes be held by it in strictest confidence and it shall not make use thereof other thanfor the performance of this agreement and to release it only to employees requiringsuch information, and not to release or disclose it to any other party. the VENDORagrees to take appropriate action with respect to its employees to ensure that theobligations of non-use and non-disclosure of confidential information under thisagreement are fully satisfied. in the event of any loss to the Bank in divulging theinformation by the employees of the VENDOR, the bank shall be indemnified. TheVENDOR agrees to maintain the confidentiality of the Bank's information after thetermination of the agreement also.

75.2 The VENDOR/Bank will treat as confidential all data and information about theVENDOR/Bank/Contract, obtained in the execution of this tender including anybusiness, technical or financial information, in strict confidence and will not reveal suchinformation to any other party.

15.3 Force Majeure

The parties shall not be liable for default or non-performance of the obligations under thecontract, if such default or non-performance of the obligations under this contract iscaused by any reason or circumstances or occurrences beyond the control of the parties,i.e. Force Majeure.

For the purpose of this clause, Force Majeure shall mean an event beyond

the control of the parties, due to or as a result of or caused by acts of God, wars,insurrections, riots, earth quake and fire, events not foreseeable but does not include anyfault or negligence or carelessness on the part of the parties, resulting in such asituation.

In the event of any such intervening Force Majeure, each party shall notify the otherparty in writing of such circumstances and the cause thereof immediately within fivecalendar days. Unless otherwise directed by the other party, the party pleading ForceMajeure shall continue to perform/render/discharge other obligations as far as they canreasonably be attended/fulfilled and shall seek all reasonable alternative means forperformance affected by the Event of Force Majeure.

In such a case/ the time for performance shall be extended by a period/s not less thanthe duration of such delay. If the duration of delay continues beyond a period of threemonths, the parties shall hold consultations with each other in an endeavor to find asolution to the problem.

Notwithstanding above, the decision of the Bank shall be final and binding on the Vendor.

16.1 Resolution of Disputes

The Bank and the Vendor shall make every effort to resolve amicably, by direct informalnegotiation, doy disagreement or dispute arising between them under or in connectionwith the contract. If after thirty days from the commencement of such informalnegotiations, the Bank and the Vendor have been unable to resolve amicably a contractdispute; either party may require that the dispute bearbitration

AII questions, disputes or differences arising under and out of , or in connection with thecontract, shall be referred to two Arbitrators: one Arbitrator to be nominated by the Bankand the other to be nominated by the Vendor. In the case of the said Arbitrators notagreeing, then the matter will be referred to an umpire to be appointed by the Arbitratorsin writing before proceeding with the reference. The award of the Arbitrators, and in theevent of their not agreeing, the award of the Umpire appointed by them shall be final andbinding on the parties.
