    All of Debtor's right, title and interest of any and every kind whatsoever (whether now owned

    or hereinafter acquired, whether direct or indirect, whether legal, beneficial or economic and whetherfixed or contingent) in and to all of the following:

    (A) all plans, schematics, drawings, specifications and documents evidencing governmentalapprovals or partial approvals; permits; environmental documents; soil, engineering and planning

    studies; construction drawings and working drawings and the like, pertaining to the Project (as defined

    below) which is intended to be constructed upon that Leased Land (as defined below), and

    (B) the agreements between Debtor and Debtor's contractors, architects and/or engineers

    pertaining to any element of the Project which is intended to be constructed upon the Leased Land.

    As used herein, the term "Project" shall mean that certain project commonly known as "West Village"

    which is intended to comprise (x) approximately three hundred forty-three (343) single family

    residences, and (y) a mixed use residential and retail development which is intended to incorporate(i) apartment buildings containing apartment style sleeping units housing between one thousand eight

    hundred (1,800) and one thousand nine hundred eighty (1,980) sleeping units, some of which will belocated above retail space, and (ii) mixed use buildings containing approximately forty five thousand

    (45,000) gross square feet of mixed use office and retail space located beneath floors containing some

    of the sleeping units described in, and comprising a portion of, the figures set forth in the precedingitem (i), and (z) infrastructure improvements and amenities related to the preceding items (x) and (y).

    As used herein, the term "Leased Land" shall mean that certain real property located in the County of

    Yolo, State of California, more particularly described as follows:
