Terms and Conditions 1.Aboutthisagreement1.1ApplicationoftheagreementThis agreement for the sale of electricity appliesbetween:(a) the owner or owners corporation or
embeddednetworkownerofyourbuildingorcomplex (as seller, referred to as "we" or"us");and
(b) the person or entity described in seene’scustomer registration portal (as customer,referredtoas"you"),
if:(c) you own or occupy premises in a building or
complex which has been established with anembeddednetworkmanagedbyseene;and
(d) either:(i) you have entered your details into
seene’s customer registration portal andacceptedthesetermsandconditions,andyour registration has been confirmed byseene;or
(ii) youhaveotherwiseacceptedthesetermsand conditions, such as through startingtoreceiveasupplyofelectricityfromus.
1.2RoleofseeneYou acknowledge that seene acts as agent andfacilitator for the on-selling of electricity to yourpremises,butseeneisnotitselfsellingelectricitytoyou. It is the owner or owners corporation orembedded network owner of your building orcomplex that is the seller under this agreementwithyou,withseeneadministeringthisagreementonitsbehalf.1.3DocumentscomprisingtheagreementThis agreement for the sale of electricity iscomprisedof:(a) thesetermsandconditions;and(b) all details and documentation presented or
entered throughseene customer registrationportal,including:(i) theEnergyPlanSchedule(whichsetsout
yourratesandcharges);(ii) your details and the details of your
premises;and(iii) thewrittendisclosurestatement.
Wewill send you copies of these documents in awelcomepack.1.4CustomerrightsandacknowledgmentsWe (that is, your building owner or ownerscorporation or embedded network owner) arepermitted to sell you electricity (by on-sellingelectricityboughtforthebuildingorcomplex),butthrough a process of regulatory exemption ratherthanasafullyauthorisedretailer.Accordingly,weare not subject to the same obligations as anauthorised retailer, and therefore you do notreceive the same protections as if you werepurchasing froman authorised retailer. However,through the regulatory exemption process thereare still obligations with which we must comply.For example, in States or Territories in which theNational Energy Customer Framework applies, wewill comply with the applicable exemptionconditions imposed by the Australian EnergyRegulator (see https://www.aer.gov.au/retail-markets/retail-exemptions).This agreement is also covered by Australianconsumerprotectionlaws.Youhave the right to elect to purchaseelectricityfrom an authorised electricity retailer of yourchoice, instead of purchasing electricity from us.Your meter may need to be reconfigured tofacilitatethis.2.Term2.1SupplystartdateWewillstartsupplyingelectricitytoyourpremisesonorascloseaspossibletothedaterequestedbyyou, or otherwise in accordance with thetimeframeagreedwithseene. Usually thiswillbewhenyoumoveintothepremises.2.2SupplyenddateYoucanceasebuyingelectricityfromusatanytime.Usuallythiswillbewhenyoumoveoutofthepremises.Ifyouplantomoveoutofthepremises,youmustnotifyusoftheproposeddate,throughfillinginandsubmittingtoseeneaMove-Outapplication.Thesupplyofelectricitytoyouunderthisagreementwillceaseonceyoumoveout.Youcanalsoceasebuyingelectricityfromusifyoudecidetopurchaseelectricityfromanauthorised

electricityretailerofyourchoice,insteadofpurchasingelectricityfromus.Asindicatedabove,yourmetermayneedtobereconfiguredtofacilitatethis.Inthissituation,youwillalsoneedtofillinandsubmittoseeneaMove-Outapplication(eventhoughyouarenotmovingoutofthepremises),indicatingontheformwhenyouproposetocommencepurchasingelectricityfromtheelectricityretailer.Thesupplyofelectricitytoyouunderthisagreementwillceaseonceyoustartreceivingelectricityfromthatelectricityretailer.Ifanotherpersonorentitythatalsoownsoroccupiesyourpremises(withoutyoumovingout)wishestotakeoverresponsibilityforpayingelectricitybillsatyourpremises,thiscanalsobearranged,throughaMove-Outapplication(eventhoughyouarenotmovingoutofthepremises).Thesupplyofelectricitytoyouunderthisagreementwillcease(andthesupplyofelectricitytothenewcustomerwillcommence)ontheagreeddatefromwhichthenewcustomertakesoverresponsibility.Ifyourpremisesaredisconnected,andtheconditionsforreconnectionhavenotbeenmetattheendofaperiodof10businessdayscommencingonthedayyourpremisesaredisconnected,thesupplyofelectricityunderthisagreementwillcease.2.3NetworkchargesEvenifwearenot,orarenolonger,supplyingyouwithelectricityunderthisagreement,becauseyouchoose topurchaseelectricity from an authorisedelectricity retailer instead,we can still charge youfornetworkchargesunderthisagreement,andthenetworkchargeswillreflectthechargesthatwouldbechargedbyyourlocaldistributorifyouwerenotin an embedded network. In this situation, yourauthorised electricity retailer will charge you onlyforretailelectricitycharges(notnetworkcharges).3.Generalobligations3.1Concessions,rebatesorassistanceIfyouareeligibletoreceiveagovernmentornon-government energy rebate, concession orassistanceunderareliefscheme,pleasecontactusto have your entitlement details applied to youraccount. Ifyoureligibilityforarebate,concessionorassistance isvalidated,anydiscountsorrebateswill be applied to each bill. Please let us know if
you need us to make a claim for the relevantenergy rebate, concession or assistance under areliefschemeonyourbehalf.3.2LifesupportIfapersonlivingatthepremisesrequireslifesupportequipment,youmustregisterthepremiseswithusduringyourregistrationdetailingtherequirementforlifesupportequipmentatthepremises.Youmustnotifyusifthelifesupportequipmentisnolongerneededatthepremises.4.Charges4.1ChargesThe tariffs, chargesand fees (collectively, charges)applicabletoyourelectricitysupplyaredetailedinyourEnergyPlanSchedule.We may amend our charges, or introduce newcharges, at any time. If we do so, you will benotifiedof theneworamendedchargeseitheronthe bill immediately before or after theamendmentstakeeffect.4.2GSTAll charges specified in the Energy Plan Scheduleandanyadditionalretailchargeswillincludegoodsandservicestax(GST)whereapplicable.5.BillingandPayment5.1.Calculatingusageseenewill,onourbehalf,calculateusage foreachbilling period (usually monthly) by reading, orarrangingforthereadingof,therelevantmetersateach supply point. This can occur through aphysical inspectionofameter,orby receiving theprocessed data received from an interval meter,which indicates at apoint in time the quantity ofelectricitythathaspassedthroughthemeter.5.2.BillingFor each billing period seenewill, on our behalf,emailabilltoyouattheemailaddressprovidedtoseene. Whereyourequestyourbillstobesentbypost,wewillchargethefeeoutlined intheEnergyPlanSchedule.5.3DuedateandlatepaymentYou are required to pay the bill by the due datelistedonthebill. Alatepaymentfeemayapplyin

theeventthatyoudonotpayyourbillbytheduedate.5.4PaymentmethodsMultiple payment methods are available asdetailed and agreed during your registration aspresentedoneachbill.5.5UnderchargingandoverchargingWewillcomplywithrelevantregulatoryrequirementsregardingthecircumstancesinwhichwecanrecoverfromyouamountsthatwemayhaveundercharged,ormustprovidereimbursementorcreditifwehaveovercharged.6.CustomerService6.1MeteringforelectricitysupplyservicesWewill use our best endeavours to provide a billbasedonanactualmeterread.Ifweareunabletoobtain an actualmeter read, wemay issue you abill based on an estimated read. Where a bill isbasedonanestimated read, thiswillbedisplayedonyourbill.You may request us to obtain additional meterreads to validate usage, and test themeter if youbelieve it tobe faulty. Youwillbe responsible forthe cost of additional meter reads and areplacementmeterwhereameter is foundnot tobefaulty.6.2FaultsandemergenciesIfyouexperienceanyservicefailure,pleasecontactthe faults and emergencies contacts displayed onthebill.6.3DifficultiesinpayingIfyouhavedifficultiespayingyourbill,youshouldcontactusassoonaspossible.We’llprovideyouwithinformationaboutpaymentoptions.Dependingonthecircumstances,wemaybeabletoprovideyouwithapaymentplanorotherrelieforassistance.6.4ComplaintsIfyouhaveacomplaintabouttheelectricitysupplyservices provided to you, you may lodge acomplaint with us in accordance with seene’sstandard complaints and dispute resolutionprocedure,orbycallingseeneon1300609387.
seene will respond to the matter on our behalfwithinthetimeframesoutlinedinseene’sstandardcomplaints and dispute resolution procedure andprovidereasonsforthedecision.If the complaint relates to the amount billed toyou,anyundisputedamountsmustbepaidbytheduedateonthebill.Wherewe areunable to resolve the complaint ordisputeoryouarenotsatisfiedwithourresponse,you may refer the complaint to the energyOmbudsmaninyourarea,whereavailable.6.5DisconnectionWemay,wherepermittedbyandinaccordancewithregulatoryrequirements,arrangeforthedisconnectionofyourpremisesif:(a) yourequestdisconnection;(b) youdon’t pay your bill by thepay-bydateor
youfailtocomplywiththetermsofanagreedpayment plan, and we have given anyreminders and warning notices and followedprocedures under relevant regulatoryrequirements;
(c) continuityofsupplytothepremiseswouldbeunsafe;
(d) your right of occupation of the premises hasendedandyouarevacatingthepremises;or
(e) we’reotherwiseentitledor required todo sounderanylaw.
Thisissubjecttorelevantregulatoryrequirements,whichincludeprohibitionsondisconnectionduringcertainperiodsorincertainothercircumstances.Adisconnectionchargemayapply.6.6ReconnectionWewillorganisetoreconnectyourpremisesif,within10businessdaysofyourpremisesbeingdisconnected:(a) youaskustoarrangeforreconnectionofyour
premises;(b) you rectify the matter that led to the
disconnection;and(c) you pay any reconnection charge (if we ask
youtodoso).Ifyoudon’tmeetthoserequirementswithin10businessdaysofyourpremisesbeingdisconnected,thesupplyofelectricityunderthisagreementwillcease.

7.PrivacyWe’llcomplywithallrelevantprivacylegislationinrelationtoyourpersonalinformation,andensurethatseenedoesso.YouconsenttousandseeneusingyourpersonalinformationandsendingyouinformationinaccordancewithseenePrivacyPolicy,asamendedfromtimetotime.Thismayincludeusingyourpersonalinformationinordertosell,deliverandmarketenergytoyouandforcustomeranalysispurposes.Weorseenemayalsoprovideyouwithinformationonotherproductsandservicesavailabletoourcustomers.Personalinformationissharedwithinseene’sgroupofcompaniesanddisclosedtootherserviceproviders,includingcreditreportingbureaus,totheextentrequiredtoundertaketheseactivities.Youcantellseeneifyoudon’tconsenttoitsuseofsuchinformation,orifyoudon’twishtoreceivesuchinformation,bycallingseeneon1300609387.Youcanalsofindseene’sPrivacyPolicyonseene’swebsite.Ifyouhaveanyquestions,youcancontactseene’sprivacyofficer:ThePrivacyOfficer,seene,LockedBag14060,MelbourneCityMailCentre8001.8.EventsbeyondourcontrolIf an event or a circumstance occurs which isbeyond our or seene’s reasonable control, andprevents us from complying with any of ourobligationsunderthisagreement,thoseobligationsare suspended to the extent they are affected bytheevent.9.LiabilityYouacknowledgethatitistheelectricitydistributorwhosupplieselectricitytothebuildingorcomplex,and not us or seene, who is responsible for thephysical supply of electricity to the building orcomplex and for the reliability and quality of theelectricitysosupplied.Accordingly,neitherwenorseenemakeanyrepresentationsorwarranties,andaccept no liability, regarding the reliability orqualityofthatsupply.Even for the supply to your premises through theembedded network, the quality and reliability ofthat electricity supply is subject to a variety of
factors beyond the control of either us or seene,including accidents, emergencies, weatherconditions, vandalism, system demand, thetechnical limitationsof the systemand theactsofother persons, including at the direction of arelevantauthority.Neither we nor seenewill be liable for failure tosupplyelectricityifthefailureisdueto:(a) eventsbeyondourorseenecontrol;or(b) any loss or damage to equipmentwhichmay
impactthesupplyorservicesprovided.Neitherwenorseene willbeliabletoyouforanyconsequential or indirect loss arising out ofperformance of this agreement, any failure tocomply with this agreement, in contract, tort orotherwise.10.AmendingthisagreementWemayamend this agreement to reflectchangesto laws,or tomakevariations thatare reasonablynecessarytoachieveoptimalbusinessefficiencyorprotectourlegitimatebusinessinterests.Youagree tous amending this contractbynotice.The amendments will take effect following noticetoyou.11. Transferring this agreement: new buildingownerWhere the ownership of the building or complex(not having an owners corporation) or theembedded network ownership is transferred to anewentity,andthatentitybecomesentitledtosellyou electricity, you consent to our rights andobligationsunderthisagreementbeingtransferredtothatnewowner,andusbeingreleasedfromanyfurtherobligationsunderthisagreement.ReferencestoseeneinthisagreementarereferencestoTheEmbeddedNetworksCompanyPtyLtdABN32119677431tradingas‘seene’andwillapplyforaslongasseenecontinuestoactasouragent.
