CREDIT INSTITUTIONSDomestic and foreign natural persons and legal entities may start a credit institution (banks, savings institutions, and building societies). Credit institutions may only be established as joint-stock companies that exclusively issue registered shares. Thus, most of the provisions applying to the establishment, operation, and closure of any joint-stock company apply also to credit institutions, unless otherwise provided by the Credit Institutions Act (OG 117/08 and 74/09).Business licenceThe Croatian National Bank (CNB) issues a business licence for a credit institution at the founder's request.Authorized capitalThe minimum authorized and paid-up capital is HRK 40 million.Branch officeA foreign credit institution may set up a branch in Croatia. The business licence for the branch is issued by the CNB. A branch office is not a legal entity, but it may conduct business within the scope of the founding credit institution's authority, which is also responsible for all liabilities assumed by the branch office. The name of the foreign credit institution's branch office must contain the name of the founding credit institution in the appropriate case and form, the word branch, and the place where the branch is based.Representative officeA foreign credit institution may open a representative office in Croatia. This type of office may perform neither banking nor other financial transactions. It may only engage in market research and represent the founding credit institution. The CNB licences and sets other special requirements for the establishment and operation of representative offices. It also supervises their operation.INSURANCEInsurance activities must be performed by insurance companies. An Insurance company can be registered as a joint-stock company or mutual insurance company.Business licenceThe Croatian Financial Services Supervisory Agency issues business licences and checks company operations for compliance with the Insurance Act (OG 151/05, 87/08 and 82/09) and other relevant regulations. Foreign legal entities and natural persons may establish an public limited insurance company on their own or together with domestic entities/persons in order to provide insurance as their main business object. In order to jointly cover extraordinary risks, two or more public limited insurance companies may establish an economic interest association to provide co insurance and re-insurance. If the Insurance Act makes no provision for a matter concerning an public limited insurance company, the general provisions regulating public limited companies apply.Authorized capitalThe minimum authorized paid-up capital, in cash and in local currency is: HRK 15 million for insurance operations restricted only to certain sorts of non-life insurance; and HRK 22.5 million for the remaining insurance operations including non-life insurance, life insurance, and re-insurance. The appointment of management board members of an insurance company requires prior approval by the Croatian Financial Services Supervisory Agency (HANFA).Branch officeA foreign insurance company licensed for insurance or re-insurance in the country where it is based (registered office) may establish a branch office in Croatia.AIR TRANSPORTServices in public air transport may be performed by legal entities registered for this activity, on condition that both general requirements and the requirements under the Air Transport Act (OG 69/09) and its secondary legislation are met, as well as other relevant requirements under the International Civil Aviation Organization (ICAO) and EU regulations. Air carriers in scheduled and charter air transport may be organized as companies registered in Croatia for providing air services as their main activity, holding an operating licence and air operators certificate (AOC); and fully or majority-owned by a domestic legal entity or natural person, or by a natural person of any of the European Common Aviation Area (ECAA) parties. Air carriers must have at least one owned or leased (dry lease) aircraft of adequate category registered with the Croatian Register of Civil Aircraft, and must meet economic, financial, and other requirements, depending on the type of transport. The Ministry of the Sea, Transport and Infrastructure (MSTI) and the Croatian Civil Aviation Agency (CCAA) have full responsibility in this area. Air carriers providing commercial air transport services other than the transport of persons and goods (e.g. air transport for the provision of health services, air transport for personal needs) must be registered for such services, have adequate equipment and trained staff, and meet other requirements. CCAA issues the necessary licences and certificate of qualification.ROAD TRANSPORTApproval is required to start business activities in: (1) in-country public road transport for scheduled passenger transport, chartered passenger road transport, taxi car passenger transport and cargo transport, (2) international public road transport for scheduled passenger transport, cargo transport, and (3) service stations. The certificate of approval for activities under items 1 and 3 is issued by county offices and the City of Zagreb office competent for transport activities; and for activities under 2 by MSTI (i.e. its head and regional offices), provided the requirements of the Road Transport Act (OG 178/04 and 63/08, as amended) have been met.ENERGY ACTIVITIESEnergy companies require a licence; this is issued by the Croatian Energy Regulatory Agency upon receipt of an opinion from the Ministry of the Economy, Labour and Entrepreneurship (MELE). A licence is required for all energy-related activities except: production of electrical power exclusively for the producer's own needs or in plants with power of less than 5 MW; retail trade in petroleum products; and storage of petroleum and petroleum products for own needs.

ELECTRONIC COMMUNICATIONS SERVICESUnder the Electronic Communications Act (OG 73/08) and in the Ordinance adopted by the Croatian Agency for Electronic Communications and Post (Articles 31-34 ), any natural person or legal entity is entitled to install, use, and make available an electronic communications network and provide electronic communications services in the territory of Croatia without obtaining a special authorization (general authorization). It entitles the operator to provide electronic communications networks and services; build, install, and use electronic communications infrastructure; nationally and internationally negotiate and agree upon access and interconnection; and be designated an operator of one or more universal services. Licences for use of radio frequency spectrum are granted by the Agency Council to any operator who fulfils the requirements and obligations set out in the Act.

PRODUCTION OF AND TRADE IN TOBACCO AND TOBACCO PRODUCTSThe processing of tobacco, production of tobacco products, and trade in tobacco and tobacco products may be performed by legal entities with a registered office in Croatia that have met the requirements set out in the Tobacco Act (OG 69/1999) and that have consequently been entered in the relevant register held by the Ministry of Agriculture, Fisheries and Rural Development.SECURITY SERVICESOnly general and limited partnerships may provide security services. Only a natural person having approval for the provision of security services, issued by the Police Administration depending on the place of residence, may be a founder i.e. partner. The Ministry of the Interior issues the certificate of approval for the provision of security services depending on where the company is based.CHARTERED INTERNATIONAL FORWARDERAgency in submitting documents for customs clearance may be performed by companies or sole traders that meet the requirements specified in the Requirements for the Performance of Agency in Customs Clearance Procedures Act (OG 92/01) and that have obtained approval from the Customs Administration of the Ministry of Finance.STATE SURVEYING AND REAL ESTATE CADASTER ACTIVITIESThe certificate of consent for the performance of state surveying and real estate cadaster activities is issued by the State Geodetic Administration on condition that the requirements and standards applying to legal entities and natural persons are met.PRODUCTION OF AND TRADE IN EXPLOSIVESThe certificate of consent for the production of explosive substances is issued by the Ministry of the Interior following an opinion from the Ministry of Defence and MELE. The Ministry of the Interior issues decisions allowing trade in explosive substances. The purchase and sale of pyrotechnical devices are possible for legal entities and natural persons that have obtained a purchasing licence from the Police Administration. Mining, i.e. ore excavation as defined by the Mining Act, may be performed by legal entities that have obtained a permit from the Ministry of the Interior. The Act on the Export and Import of Military and Non-Military Lethal Goods (OG 86/08) applies to export and import of explosives.PRODUCT COMPLIANCE TESTINGA compliance testing system is implemented to check products, processes and services for compliance with basic requirements. The system includes testing, certification, supplier's statement of compliance, technical supervision and authorization (accreditation) of laboratories and legal entities for the performance of certification, and of legal entities for the performance of technical supervision. Any legal entity, or its part, or natural person running tests in the certification procedure under the Technical Requirements for Products and Conformity Assessment Act (OG 158/03 and 79/07), Standardization Act (OG 163/03), Accreditation Act (OG 158/03 and 75/09), Metrology Act (OG 163/03, 194/03 and 111/07), and General Product Safety Act (OG 30/09), must meet legal requirements for the performance of specific tests. The Croatian Accreditation Agency issues a certificate confirming the compliance of legal entities and laboratories with legal requirements.PROTECTION AND PRESERVATION OF CULTURAL HERITAGEAfter obtaining an opinion from MELE, the Ministry of Culture prepares ordinances that set out the requirements for a legal entity or natural person that wishes to obtain a permit for activities in the field of protection and maintenance of cultural heritage, e.g. research, study, preservation, restoration, protection, and renovation. TRADE IN AND PRODUCTION OF MEDICINAL PRODUCTS AND MEDICINAL DEVICESThe activity of testing, trading, producing, preparing, and assessing the quality of medicinal products and medical devices may be performed by legal entities that meet special requirements set by the Minister of Health and Social Welfare. The Agency for Medicinal Products and Medical Devices requires: manufacturing and marketing authorization for medicinal products, wholesale distribution authorizations for medicinal products and medical devices, and retail sale authorization to stores specialized in the retail sale of medicinal products and medical devices. PRODUCTION, REPAIR OF AND TRADE IN ARMAMENTS AND MILITARY EQUIPMENTArmaments and military equipment may be produced by legal entities and natural persons registered for production for special purposes and listed as manufacturers of armaments and military equipment approved by the Government of Croatia following a proposal by the Ministry of Defence. The company name or name of the producer or its branch need not contain the description of production for special purposes. Manufacturers must have a registered office in Croatia. Legal entities registered for the import and export of armaments and military equipment may also engage in import and export for commercial purposes. Permits for exports intended for the Armed Forces and Ministry of the Interior are issued by the Ministry of Defence and Ministry of the Interior. Permits for import and export for commercial purposes are issued by MELE upon obtaining approval from the Commission consisting of representatives of the Ministry of Defence, Ministry of the Interior, Ministry of Foreign Affairs and European Integration, and MELE.PRODUCTION OF AND TRADE IN ARMS AND AMMUNITIONCompanies manufacturing arms and/or may be started by legal entities and natural persons meeting the requirements of the Armaments Act (OG 63/07, as amended) after the activity has been approved. The certificate of approval is issued by the Ministry of the Interior in consent with the Ministry of Defence. Companies trading in arms and ammunition may be started by legal entities and natural persons that meet the requirements of the Armaments Act after they have obtained approval for the activity from the Ministry of the Interior. Trade in arms and ammunition implies the purchase of arms and ammunition for the purpose of sale, warehousing and storing, and also wholesale and retail sale thereof. Companies repairing and modifying arms may be started by legal entities and natural persons meeting the requirements of the Armaments Act after they have obtained consent from the Ministry of the Interior.PROFESSIONAL ACTIVITIES OF ENVIRONMENTAL PROTECTIONLegal entities registered for professional environmental protection activities and engaging in environmental monitoring, in the preparation of environmental protection studies, project reports and environmental impact studies, and providing professional training in methods for the implementation of environmental protection may may pursue these activities after obtaining consent from the Ministry of Environmental Protection, Physical Planning and Construction.

PHYSICAL PLANNING ACTIVITIESUnder the Physical Planning and Construction Act (OG 76/07 and 38/09), the professional activities of physical planning include the preparation of spatial plans and expert reports needed for the issuance of location permits required for interventions in an area. The certificate of consent is issued by the Ministry of Environmental Protection, Physical Planning and Construction.TAX CONSULTANCYTax consultancy includes the provision of advice on tax issues, representation in tax procedures before tax authorities, and the preparation of tax returns, bookkeeping, preparation of financial reports, and other similar services may also be provided. As provided by the Tax Consultancy Act (OG 127/00), self-employed tax advisors and general partnerships for tax consultancy may provide tax consultancy services. A person meeting the general and special requirements under the Act obtains a business licence from the Croatian Chamber of Tax Advisors.AUDITINGAudit services can be provided by companies that have obtained a licence from the Croatian Audit Chamber, as well as by independent auditors, as established under the provisions of the Audit Act and licensed by the Croatian Audit Chamber. Foreign audit companies may perform audits in Croatia after establishing a branch, as provided by the Companies Act. The provisions of the Audit Act (OG 146/05 and 139/08) apply to the operation of foreign audit companies, based on the condition of reciprocity between Croatia, EC member countries and third countries.MINE CLEARANCEThe certificate of approval to perform mine clearance is issued by the Ministry of the Interior, provided the requirements of the Mine Clearance Act (OG 153/05 as amended) are met.VETERINARY ACTIVITIESUnder the Veterinary Activities Act (OG 41/07 and 155/08), legal entities and/or natural persons may form a veterinary organization, provided an opinion from the Croatian Veterinary Chamber has been obtained and the requirements under the Act have been met.EMPLOYMENT INTERMEDIATIONBesides the Croatian Employment Service, legal entities and natural persons meeting the criteria and obtaining approval from MELE may also engage in employment-related activities. Legal entities having obtained licence from the Ministry of the Sea, Transport and Infrastructure may also engage in activities related to the recruitment and placement of seafarers on ships in international navigation regardless of the ships' flag (Ordinance on recruitment and placement of seafarers, OG 120/07).
