1. BACKGROUNDThe Cotswolds as a destination is a recognised brand both nationally and internationally. It is currently ranked 6th nationally by VisitEngland in terms of performance as a destination. The area is a unique combination of many different high quality offers from vibrant towns and cities, picturesque villages, local limestone, a comprehensive retail offer, full calendar of events, heritage attractions, locally sourced food and drink, the natural environment and much more. While the Cotswolds is a well performing destination, with high awareness and appreciation, there is great potential for economic growth in the whole area through increased tourism activity and product development leading to a better visitor’s experience.

In 2015, the Partnership’s primary objective is to improve Cotswolds Tourism’s online presence, beginning with the redevelopment of the official tourism website for the Cotswolds, www.cotswolds.com . A new interactive website, with a modern design will enable both national and international visitors to find out about the accommodation and attractions on offer, as well as a plethora of other information to help increase visitor numbers, overnight stays, which in turn will help increase visitor spend and help improve the local economy.

Until recently Cotswolds Tourism was run by the Local Enterprise Partnership for Gloucestershire (GFirst), but is about to transfer into a private company run by and on behalf of members of Cotswold Tourism, which also involving local authorities across the Cotswolds and the Cotswolds Conservation Board. In the interim Cotswold District Council is taking the lead on behalf of the Partnership which is predominantly a marketing organisation to grow tourism in the Cotswolds. As the official Destination Management Organisation (DMO) we will also be the recognised link to the national tourism authorities VisitEngland and VisitBritain.

The new Partnership has a Partnership Manager who reports to the new Cotswolds Tourism Board, and a recently appointed Digital Marketing Manager. Other staff will be employed when funding allows. For now the important thing is to concentrate on growing the membership of Cotswold Tourism, raising more revenue and setting up the new membership structure, which will be heavily based on what the website can provide.

Cotswolds Tourism will be a not-for-profit company with any surplus revenue paying for marketing campaigns and initiatives to promote the Cotswolds and the Cotswolds Tourism Partnership Member’s.

2. PROJECT SCOPEThe current website does not inspire visitors to visit the Cotswolds, or to even use the website; with its dated design, heavy text content, weak navigation,

poor imagery and minimal functionality, a new website is urgently required.

www.cotswolds.com will be the key marketing tool for the new DMO to raise the profile of both domestic and international tourism in the Cotswolds. It needs to innovate and offer creative ways to meet the needs of an industry which has the potential for huge growth in the hands of the new Cotswolds Tourism Partnership.

We need a cost effective technology solution with an innovative and entrepreneurial approach with in-built flexibility. The system must provide increased efficiency and operational effectiveness which has a significant impact on tourism growth and the visitor economy, creating sustainable revenue streams and providing increased availability and distribution of the area’s tourism product.

The website needs to be redeveloped in order to improve its functionality, its design, its navigation, its Search Engine Optimisation, as well as providing additional features that will increase a visitor’s time spent on the website. We also want to increase the number of page views for Cotswolds Tourism member listings and website referrals, therefore strengthening the Cotswolds Tourism membership scheme.

SCHEDULE 1 – Tender rules and process1. Introduction1.1. Unless otherwise indicated, all words and expressions used in these

instructions to Potential Providers with an initial capital letter shall have the meanings set out in the Conditions of Contract. A definitions schedule is included at Paragraph 30 of this document.

1.2. Cotswold District Council (the “Council”) is seeking to award a Contract for the Design, Build, Implement and Hosting of a new website for the Cotswolds Tourism Partnership (the “Contract”). This contract is being procured under the open procedure.

1.3. The Council is looking for one Provider to be appointed to the Contract, although bids from consortia (with a lead Provider for contractual purposes) or Providers proposing to use sub-contractors for any part of their solution will be considered.

1.4. Potential Providers are (in accordance with the provisions set out below) invited to submit Tenders no later than [12 noon] on 1st July 2015.

1.5. The Council will not enter into detailed discussions of the requirements at this stage.

1.6. All material issued in connection with this Invitation to Tender (ITT) shall remain the property of the Council and shall be used only for the purpose of this procurement. All Due Diligence information shall be either returned to the Council or securely destroyed by the Potential Provider (at the Council’s option) at the conclusion of the procurement.

1.7. The Potential Provider shall ensure that each and every sub-contractor, consortium member and adviser abides by the terms of this ITT and the Conditions of Tender.

1.8. This ITT describes the Council’s requirements for the Works the tendering process and the commercial terms on which the Council will contract in due course with the successful Provider.

1.9. This ITT also sets out details on the form and content and the timetable and other administrative arrangements for the tendering process.

1.10.Prior to commencing formal evaluation, Tender Responses will be checked to ensure that they are fully compliant with the Conditions of Tender. Non-compliant Tender Responses may be rejected by the Council. Tender Responses which are determined by the Council to be fully compliant will proceed to evaluation. These will be evaluated

1.11.Following evaluation of the compliant Tenders and approval of the outcome the Council intends to appoint one Provider to enter into the Contract.

1.12.Potential Providers should read this ITT carefully before completing the Tender documentation. Failure to comply with the requirements set out in this ITT for completion and submission of the Tender Response may result in the rejection of the Tender. Potential Providers are required therefore to acquaint themselves fully with the extent and nature of the Services and the Contract. This ITT constitutes the Conditions of Tender. By Participating in the tender process the Potential Provider acknowledges and represents that it accepts these Conditions of Tender and acts in full knowledge that the Council shall rely on that representation.

1.13.Potential Providers shall not make contact with any other employee, agent or consultant of the Council who are in any way connected with this procurement during the period of this procurement, unless instructed otherwise by the Council.

1.14.The Council shall not be committed to any course of action as a result of:1.14.1. Issuing this ITT or any invitation to participate in this procurement; or1.14.2. An invitation to submit any response in respect of this procurement; or1.14.3. Communicating with a Potential Provider or a Potential Providers

representatives or agents in respect of this procurement; or1.14.4. Any other communication between the Council (whether directly of by

its agents or representatives) and any other party.1.15.The Council will not reimburse any costs incurred by Potential Providers in

connection with the preparation and submission of Tender Responses including Cotswold District Council Page 3 www.cotswold.gov.uk

without limitation any cost in the event the Council exercises its right to alter or terminate this procurement.

1.16.No information contained in this ITT or any communication made between the Council and any Potential Provider in connection with this ITT shall be relied upon as constituting a Contract, agreement or representation that any contract shall be offered in accordance with this ITT. The Council reserves the right subject to the Regulations, to change without notice the basis of, or the procedures for, the tendering process or to terminate the process at any time. Under no circumstances shall the Council incur any liability to any Potential Provider in respect of the ITT or any supporting documentation. The Council shall be under no obligation to accept the lowest-priced Tender or any Tender at all.

2. Confidentiality2.1. The contents of this ITT are being made available by the Council to Potential

Providers on condition that:2.1.1. Potential Providers shall at all times treat the contents of the ITT and

any related documents (together called the ‘Information’) as confidential, save in so far as they are already in the public domain;

2.1.2. Potential Providers shall not disclose, copy, reproduce, distribute or pass any of the Information to any other person at any time or allow any of these things to happen;

2.1.3. Potential Providers shall not use any of the Information for any purpose other than for the purpose of submitting (or deciding whether to submit) a response to this ITT; and

2.1.4. Potential Providers shall not undertake any publicity activity within any section of the media.

2.2. The Tender documents and all other documentation issued by the Council relating to the Contract shall be treated by the Potential provider as private and confidential for use only in connection with the Tender and any resulting contract and shall not be disclosed in whole or in part to any third party unless:2.2.1. Information has been disclosed for the purposes of obtaining quotations

from proposed insurers and/or sub-contractors as required for the Tender Submission; or

2.2.2. The Potential Provider obtains the prior written consent of the Council in relation to such disclosure, distribution or passing of Information; or

2.2.3. The disclosure is made for the sole purpose of obtaining legal advice from external lawyers in relation to the procurement or to any contract arising from it; or

2.2.4. The Potential Provider is legally required to make such a disclosure.2.3. In paragraph 2.1 and 2.2 above the definition of ‘person’ includes but is not

limited to any person, firm, body or association, corporate or incorporate.

2.4. The Council may disclose detailed information relating to Potential Providers to its officers, employees, agents or advisers and the Council may make any of the documents and / or Information and / or other information as tendered or otherwise made available for the purposes or in any way whatsoever related to this ITT for private inspection by, without limitation, its officers, employees, agents or advisers. The Council also reserves the right to disseminate information that is materially relevant to the procurement to all Potential Providers, even if the information has only been requested by one Potential Provider, subject to the duty to protect each Potential Providers commercial confidentiality in relation to its ITT submission (subject to the provision of Document 4 (FOIA) of this ITT).

2.5. The copyright in all the documents that constitute the Contract shall vest in the Council and all such documents and all copies thereof are and shall remain the property of the Council and must be returned to the Council upon demand.

3. Freedom of information and environmental information regulations

3.1. The Freedom of Information Act 2000 (“FOIA”) and the Environmental Information Regulations 2004 (“EIR”), make provision for the disclosure of information held by public authorities or by persons providing services for them. The FOIA/EIR provides that anyone can ask the Council for any information and, unless an exemption applies, the information must be supplied. This means that all the information that a Potential Provider provides to the Council under this tendering process will be subject to the FOIA/EIR disclosure provisions.

3.2. If a Potential Provider believes that any of the information contained in its Tender, or otherwise supplied to the Council as part of this tendering process, is either confidential, commercially sensitive or constitutes a trade secret it should make a statement to that effect in a schedule to its Tender (marked “FOIA/EIR Schedule”), with a brief description of each item of information affected and the reasons why it has been included in the schedule. It is the Potential Provider’s responsibility to keep this schedule updated as the tendering process progresses, for example where further information is elicited from Potential Providers through clarification questions.

3.3. Potential Provider should appreciate that the simple marking of information with words such as “commercial in confidence” only has the effect of identifying to the Council that an exemption could potentially apply under the FOIA/EIR. The issue will not simply be whether information is marked as confidential but whether, for example, a duty of confidence in fact applied in law to that piece of information or whether release would be likely to prejudice the Potential Providers interests.

3.4. Potential Providers are advised to read the Code of Practice issued by the Department for Constitutional Affairs under Section 45 of the FOIA, which gives guidance to public authorities on the handling of requests for information the disclosure of which may affect the interests of third parties. The code can be

3.5. Where Potential Provider identifies information as commercially sensitive under the FOIA/EIR, the Council will use its reasonable endeavours to maintain confidentiality. Potential Providers should note, however, that, even where information is identified as commercially sensitive, the Council may be required to disclose such information in accordance with the FOIA/EIR. In particular, the Council is required to form an independent judgement concerning whether the information is exempt from disclosure under the FOIA/EIR.

3.6. Potential Providers should bear in mind that the listing by them of information in an FOIA/EIR schedule cannot provide automatic guarantee that the Council will not disclose such information (or the fact that it holds it) since the Council cannot fetter the application of the FOIA/EIR.

4. Canvassing4.1. Any Potential Provider who directly or indirectly canvasses any officer,

member, employee or agent of the Council concerning this procurement or who directly or indirectly obtains or attempts to obtain information from any such officer, member, employee or agent concerning any other Potential Provider, Tender or proposed Tender concerning this procurement shall (without prejudice to any other remedy available to the Council) and unless specifically permitted in this ITT for the purposes of clarifying the procurement process, be disqualified.

5. Consortia and sub-contracting organisations5.1. Where a consortium or sub-contracting approach is proposed, all information

requested should be given in respect of the proposed prime consortium leader. Relevant information should also be provided (as indicated in the ITT) in respect of consortium members or sub-contractors who will play a significant role (being 25% or more of the value) in the delivery of the requirements under Contract. Responses must enable the Council to assess the overall consortia or core supply base.

5.2. Where the proposed prime contractor is a special purpose vehicle or holding company, information should be provided of the extent to which it will call upon the resources and expertise of its members.

5.3. The Council recognises that arrangements in relation to consortia and sub-contracting may (within limits) be subject to future change. Potential Providers should therefore respond in the light of the arrangements as currently envisaged. Potential Providers are reminded that any future change in relation to consortia and sub-contracting must be notified to the Council so that it can make further assessment by applying the selection criteria to the new information provided.

5.4. Multi-disciplinary organisations and/or specially formed consortia may tender for the Contract.

5.5. The Council’s approach will be, in circumstances where two or more organisations form a consortium or a joint venture, to either :5.5.1. Enter into the Contract with one of the organisations (who acts as a lead

partner) (with the Council reserving the right to require the prime consortium leader to procure collateral warranties from the other organisations that form part of the consortium or joint venture); or

5.5.2. Enter into a Contract with all of the organisations on condition that each organisation is jointly and severally liable for the performance of the Contract; or

5.5.3. If the organisations have formed a legal entity such as a limited company, to enter into the Contract with that legal entity.

5.6. Potential Providers must be able to satisfy the Council as to their ability to perform the Works to the Contract Standards. Nevertheless, the Council will consider proposals for the Potential Provider for part of the Works to be performed by sub-contractors provided that:5.6.1. The proposed part of the Works and the sub-contractors are approved

by the Council which may include the prior approval of the terms of the sub-contractor’s appointment or contractual arrangements to be entered into between the Provider and any such sub-contractor; and

5.6.2. Upon request by the Council the Provider procures a collateral warranty (in a form approved by the Council) from the proposed sub-contractors to the Council in respect of the performance of the relevant part of the Works.

5.7. Potential Providers should refer to the Conditions of Contract as they relate to sub-contracting.

6. Collusive behaviour6.1. Any Potential Provider who:

6.1.1. fixes or adjusts the amount of its Tender by or in accordance with any agreement or arrangement with any other party; or

6.1.2. communicates to any party other than the Council the amount or approximate amount of its proposed Tender or information which would enable the amount or approximate amount to be calculated (except where such disclosure is made in confidence in order to obtain quotations necessary for the preparation of the Tender or insurance or any necessary security); or

6.1.3. enters into any agreement or arrangement with any other party that such other party shall refrain from submitting a Tender; or

6.1.4. enters into any agreement or arrangement with any other party as to the amount of any Tender submitted; or

6.1.5. offers or agrees to pay or give any sums or sums of money, inducement or valuable consideration directly or indirectly to any party for doing or having done or causing or having caused to be done in relation to any other Tender or proposed Tender, any act of omission, shall (without prejudice to any other civil remedies available to the Council and without prejudice to any criminal liability which such conduct by a Potential Provider may attract) be disqualified.

7. No inducement or incentive7.1. This ITT is issued on the basis that nothing contained in it shall constitute an

inducement or incentive nor shall have in any other way persuaded a Potential Provider to submit a Tender or enter into the Contract or any other contractual agreement.

8. Safeguarding8.1. Everybody has the right to be safe no matter who they are or what their

circumstances. Safeguarding is about protecting children, young people and vulnerable adults from abuse or neglect.

8.2. We are all responsible for the safety of children, young people and vulnerable adults. We must ensure that we are doing all we can to protect the most vulnerable members in our society.

8.3. The Council expects that any organisation wishing to provide Services where staff are employed to do work directly or indirectly with children, young people or vulnerable adults are to demonstrate standards of safeguarding commensurate with those expected of statutory organisations.

9. Social value act 9.1. The Council has considered how this Contract might improve the economic,

Social and environmental well-being of the area where it exercises its functions and how it might act with a view to securing that improvement.

9.2. Accordingly, the subject matter of the contract has been scoped to take into account the priorities of the Council relating to economic, social and environmental well-being. These priorities are described in the ITT and are reflected in the environmental and social characteristics of the evaluation criteria for the award of the Contract.

10. Health and safety10.1.The Council has a duty to provide and maintain, where practicable, a working

environment for its employees and members of public that is safe and without risks to health. As a condition of this contract, the Council requires that any Provider or sub-contractor that may be employed to perform a service on behalf of the Council will at all times identify and exercise all necessary precautions for the health and safety of all persons including employees, Council employees, contractors and the public who may be affected by the Services.

10.2.The Provider must comply with and ensure that its employees, sub-contractors and agents comply with all health and safety legislation and associated approved codes of practice and guidance which are in any way applicable to this Contract or the performance of Services under this contract.

11. Right to reject / disqualify11.1.The Council reserves the right to reject or disqualify any Tender submitted by

a Potential Provider in respect of which the Potential Provider:11.1.1. fails to comply fully with the requirements of this ITT or is guilty of a

serious misrepresentation in supplying any information required in this document; or expression of interest; and / or

11.1.2. is guilty of serious misrepresentation in relation to its Tender; expression of interest and/ or the Tender process; and/ or

11.1.3. there is a change in identity, control, financial standing or other factor impacting on the selection and/ or evaluation process affecting the Potential Provider; and / or

11.1.4. discloses to any third party prices shown in its Tender except where such disclosure is made in confidence in order to obtain quotations necessary for the purposes of financing or insurance; and / or

11.1.5. enters into any agreement with any other person that such other person shall refrain from submitting a Tender or shall limit or restrict the prices to be shown by any other Potential Provider in its Tender; and / or

11.1.6. fixes prices in its Tender in accordance with any arrangement with any person or by reference to any other Tender; and / or

11.1.7. offers or agrees to pay or give any sum of money, inducement or valuable consideration directly or indirectly to any person for doing or having done or causing or having caused to be done in relation to any other Potential Provider or any other person’s proposed Tender any act or omission; and / or

11.1.8. in connection with the award of the Contract commits an offence under the Bribery Act 2010 or gives fee or reward the receipt of which is an offence under Section 117(2) of the Local Government Act 1972; and / or

11.1.9. has directly or indirectly canvassed any member or official of the Council concerning award of the Contract or who has directly or indirectly obtained or attempted to obtain information from any such member or official concerning any other Potential provider or Tender submitted by any other Potential Provider; and / or

11.1.10. has done anything improper to influence the Council during the Tender period; and / or

11.1.11. has put any name or mark on the envelope in which the Tender is contained identifying the Potential provider; and / or

11.1.12. has failed to use English language; and / or11.1.13. has failed to return fully completed and signed tender

deliverables.11.2.The Council also reserves the right to reject a Tender:

11.2.1. from a Potential Provider if another Potential Provider has to the knowledge of that first named Potential Provider named that first named Potential Provider as a sub-contractor;

11.2.2. from a Potential Provider if that Potential Provider has named as sub-contractor another person who to the knowledge of the first named Potential Provider has submitted or intents to submit a Tender;

11.2.3. from a group company of another Potential Provider;11.2.4. from a person who is a member of a partnership or consortium which

has submitted or intends to submit a Tender; or11.2.5. from a Potential Provider where the Council believes that there has

been any form of co-operation or collusion with another Potential Provider.

11.3.For the avoidance of doubt any non-acceptance or rejection in accordance with paragraphs 11.1 and 11.2 above shall be without prejudice to any other civil remedies available to the Council or any criminal liability that such conduct by a Potential Provider may attract.

12. Non consideration of tender12.1.The Council may at its absolute discretion refrain from considering any Tender

if:12.1.1. it is not in accordance with this ITT and all other instructions issued by

the Council during the Tender period; and/or12.1.2. The Potential Provider does not submit a Tender for the provision of

the whole of the Services.

13. Right to cancel, clarify or vary the process13.1.The Council reserves the right to:

13.1.1. cancel or withdraw from the tender process at any stage; and/or13.1.2. amend the terms and conditions of the tender process; and/or13.1.3. require the Potential Provider to clarify its Tender in writing and/or

provide additional information (failure to respond adequately may result in the Potential Provider not being selected); and/or

13.1.4. not to award the contract (no costs will be refunded or liability will be accepted by the Council in this instance)

14. Tender validity14.1.Tenders are to remain open for acceptance for a minimum period of 90 days.

A tender valid for a shorter period may be rejected.

15. Contract term15.1.The Contract shall be for three years with a further two year extension option.

Any extension of the Contract shall be on the Terms and Conditions agreed in the initial period of Services provision, subject to any modifications that may be required.

15.2.The Contract term is 16th July 2015 to 17st July 2018.

16. Acceptance and admission to the contract16.1.The Potential Provider in submitting the Tender undertakes that in the event of

the Tender being accepted by the Council and the Council confirming in writing such acceptance to the Potential Provider, the Potential Provider will within 30 days of being called upon to do so by the Council execute the Contract in the form set out in Schedule 4. It is important that the requirements of the open procedure under the Regulations are complied with, and the open procedure prohibits negotiations during the procurement process. Given this, the Contract will not be subject to negotiation. By submitting the Form of Tender, Potential Providers will be confirming that they are willing to enter into the Contract as set out in Schedule 4 to this ITT. The Council reserves the right to reject a Potential Provider who does not accept the Contract.

16.2.The Council shall be under no obligation to accept the lowest or any Tender.16.3.Any acceptance by the Council of a Tender shall be notified to the successful

Provider in writing (the “Acceptance Letter”). Until the execution of the formal Contract, a successful Tender (including any agreements in writing), together with the Councils Acceptance Letter, shall form a binding agreement between the Council and the successful Provider on the terms set out in the Contract.

16.4.The successful Provider will be required to commence the provision of the Works on17th July 2015 (or such other date to be advised) being the Commencement Date.

17. Instructions for completion17.1.Potential Providers must obtain for themselves at their own responsibility and

expense all information necessary for the preparation of the Tender Response. Potential Providers are solely responsible for the costs and expenses incurred in connection with the preparation and submission of their Tender Response and all other stages of the selection and evaluation process. Under no circumstances will the Council or any of their advisers, be liable for any costs or expenses borne by the Potential Providers, sub-contractors, suppliers or advisers in this process.

17.2.Potential Providers are required to complete and provide all information required by the Council in accordance with the Conditions of Tender and the

ITT. Failure to comply with the Conditions and the ITT may lead the Council to reject a Tender Response.

17.3.The Council may require Potential Providers to clarify answers in the Tender Response or to supply additional information if it considers this appropriate including conducting reference site visits; asking for demonstrations; and/or presentations.

17.4.The Council relies on Potential Providers own analysis and review of information provided. The Council does not warrant the accuracy nor sufficiency of any information provided and all information provided has been provided for information purposes only. Consequently, Potential Providers are solely responsible for obtaining information which they consider is necessary in order to make decisions regarding the content of their Tender Response and to undertake any investigations they consider necessary in order to verify any information provided to them during the procurement process.

17.5.Potential Providers should notify the Council promptly of any perceived ambiguity, inconsistency or omission in this ITT, any of its associated documents and/or any other information issued to them during the procurement process.

17.6.Potential Providers must adhere to the format of this ITT when answering the questions. Where questions cannot be answered fully, please provide relevant explanation and details. Where a question is not relevant to your organisation, write/type “Not Applicable” in the appropriate place.

17.7.Potential providers are asked to include a single point of contact in their organisation for their response to the ITT. The Council will not be responsible for contacting the Potential Provider through any route other than the nominated contact. The Potential Provider must therefore undertake to notify any changes relating to the contact promptly.

17.8.If a Potential Provider considers that any of the information included in their Tender Response is commercially sensitive, it should identify it and explain (in broad terms) what harm may result from disclosure if a request is received, and the time period applicable to that sensitivity.

17.9.Potential Providers should be aware that, even where they have indicated that information is commercially sensitive, the Council may be required to disclose it under the FOIA and / or EIR if a request is received.

17.10.Potential Providers should also note that the receipt of any material marked “confidential” or equivalent by the Council should not be taken to mean that the Council accepts any duty of confidence by virtue of that marking.

17.11.If separate sheets are needed, these should be clearly marked on the top right hand corner with the number of the question to which it relates and the name of the Potential Provider. In addition, please indicate under the relevant question that this has been done. Answers to the questions and any accompanying documentation must be in English.

17.12.If the Potential Provider reproduces the ITT, the paragraph numbering, content or wording of the questions must not be changed in any way.

17.13.Potential Providers are asked not to supply general marketing, promotional or similar material in answer to a question, unless such information is specifically requested or the material supplied is particularly relevant to the question. If such material is specifically requested it should be marked clearly to show the Potential Providers name, the number of the question to which it relates and, if appropriate, the page number of the section of the material which is relevant.

17.14.A Partner or other authorised representative of the Company/Organisation must sign the Tender Response on behalf of the Potential Provider.

17.15.If the Potential Provider is a member of a group of companies (e.g. sister organisation, subsidiary etc), the Tender Response should be completed on behalf of the individual Potential Provider and not on behalf of the group as a whole (except where group information is specifically requested by the question).

17.16.In the event that none of the responses are deemed satisfactory, the Council reserves the right to terminate the procurement and where appropriate re-advertise the procurement.

17.17.Potential Providers must be explicit and comprehensive in their responses to this ITT as this will be the single source of information on which responses will be scored and ranked. Potential Providers are advised neither to make any assumptions about their past or current supplier relationships with the Council nor to assume that such prior business relationships will be taken into account in the evaluation procedure.

17.18.Price and any financial data provided must be submitted in or converted into pounds sterling. Where official documents include financial data in a foreign currency, a sterling equivalent must be provided.

17.19.Potential Providers are reminded that this is the EU open procedure and that Potential Providers must be capable of acceptance in their own right without negotiation.

18. Questions and clarifications18.1.All requests for clarification about the requirements or the process of this

procurement exercise shall be made in accordance with paragraph 18.3. No approach of any kind in connection with this ITT should be made to any other person within, or associated with the Council.

18.2.The Council will endeavour to answer all questions as quickly as possible, but cannot guarantee a minimum response time. The Council has designated a specific window of time to deal with clarification requests from Potential Providers.

18.3.Clarification requests should be submitted via the South East Business Portal from 10th June 2015

18.4.No further requests for clarifications will be accepted after 5pm on 17th June 2015

18.5.Should a Potential Provider wish to avoid disclosure of its question, or the Council’s response to it (for example on the basis that the request or response contains commercially confidential information or may give another Potential Provider a commercial advantage), the request must be clearly marked “in confidence – not to be circulated to other Potential Providers” and the Potential Provider must set out the reason(s) for the request for non-disclosure to other Potential Providers. The Council will consider any such request for non-disclosure on its merits, and in particular whether any regulations or considerations of probity require it to be denied. Where the Council decides that the question or request, and its response, cannot be withheld from circulation, the Potential Provider will have the opportunity to withdraw the question or request to represent it in a different format.

19. Amendment of tender documents19.1.At any time prior to the deadline for the receipt of Tender Responses, the

Council can modify the ITT by amendment. Any such amendment will be numbered and dated and issued by the Council to all Potential Providers. In order to give Potential Providers reasonable time in which to take the amendment into account in preparing their Tenders, the Council shall aim to issue any such amendments by 19th June 2015 failing which the Council may, at its sole discretion, extend the deadline for receipt of Tenders (unless such extension is mandatory to comply with the Regulations, in which case an extension shall be made).

19.2.Potential Providers may modify their Tender Response prior to the deadline. If modification is made, the Potential Provider should submit any such modification in writing as per paragraph 20.4. No Tender may be modified subsequent to the deadline for receipt.

19.3.Potential Providers may withdraw their Tender Response at any time prior to the deadline for receipt of Tender submissions. The notice to withdraw the Tender must be in writing and to the address detailed in paragraph 18.3.

20. Return of the tender response20.1.The Tender Response must be submitted in the form specified in paragraph

20.4. Failure to do so may render the response non-compliant and it will be rejected.

20.2.The completed Tender Response must be returned no later than 12 noon on 1ST July 2015

20.3.It is the responsibility of Potential Providers to ensure that submissions are received by the closing time on the closing date. The Council’s constitution states that any Tender Response received after the deadline will be rejected and not considered for evaluation.

20.4.Failure to comply with these instructions may affect your eligibility for the competition.

20.5.Tender Responses will be received any time up to the deadline stated above.

21. Disclaimers21.1.Whilst the information in this ITT, Due Diligence Information and supporting

documents have been prepared in good faith, it does not purport to be comprehensive nor has it been independently verified.

21.2.Neither the Council, nor any advisors, officers, members, partners, employees, other staff or agents:21.2.1. makes any representation or warranty (express or implied) as to the

accuracy, reasonableness or completeness of the ITT; or21.2.2. accepts any responsibility for the information contained in the ITT or

for their fairness, accuracy or completeness of that information nor shall any of them be liable for any loss or damage (other than in respect of fraudulent misrepresentation) arising as a result of reliance on such information or any subsequent communication.

21.3.Any persons considering making a decision to enter into contractual relationships with the Council following receipt of the ITT should make their own investigations and their own independent assessment of the Council and their requirements for Works and should seek their own professional financial and legal advice. For the avoidance of doubt the provision of clarification or further information in relation to this ITT or any other associated documents (including the schedules) is only authorised to be provided following a query made in accordance with paragraph 18.3 of this invitation to tender.

21.4.Any Contract concluded as a result of this ITT shall be governed by English Law.

22. Notification of award22.1.Contract award is subject to the formal approval process of the Council and

subject to Contract. Until all necessary approvals are obtained, and the standstill period completed, no agreement will be entered into.

22.2.The Council will notify the successful Provider of their decision to award the Contract in writing.

23. Debriefing23.1.Following conclusion of the procurement all unsuccessful Potential providers

will be afforded the opportunity of a debrief.

25. Tender evaluation criteria25.1.The tender evaluation process will be conducted to ensure that Tenders are

evaluated fairly to ascertain the most economically advantageous tender.25.2.The Council shall evaluate tenders against the following:

25.9.The different criteria and sub-criteria together with the detailed scoring mechanism detailed below will be used to score each Tender Submission. A weighting is attributed to each evaluation heading reflecting its relative priority. Scores will be aggregated under each heading to give an overall score for the Tender.

25.10.The Council reserves the right to reject any Tender that does not achieve a score of 2 (see clause 26.1) for any question regardless of whether, for example, it has achieved a good or the best or winning score overall.

25.11.The Council shall not be bound to award the Contract to the Potential Provider with the lowest price structure.

25.12.The Council reserves to itself the right in its absolute discretion:25.12.1. to award the Contract to the successful Potential Provider; and /

or25.12.2. to award a Potential Provider either the whole of the Contract or

part thereof; and / or25.12.3. not to award the Contract to any of the Potential Providers or at

all.25.13.The Council also reserves the right to hold clarification meetings with

Potential Providers concerning the Councils questions arising from the Tender documents after the submission of Tenders.

25.14.The Council also reserves the right to invite Potential Providers to submit second or subsequent round Tenders.

26. Scoring methodology26.1.Save for questions that are not scored or are assessed as pass/fail, a score will

be awarded for each response on a system of 0-5 points as detailed in the table below. The council reserves the right not to select a Potential Provider who has been assessed as having a score of 2 (two) for any one or more questions, notwithstanding acceptable or even strong responses in all other areas.

26.2.Potential Providers response to each question will be scored as above and the total pro-rated to give a percentage score out of the maximum percentage for that section.

27. Tender Clarification Interview (Not Scored)

The tender clarification interview may take place on the date as stated in the timetable, if required. Interviews will be at Cotswold District Council’s office. You will be notified of your appointment time after the tenders have been received.

27.1.Financial Criterion Scoring System27.1.1. Each Tender will be awarded a weighting based on its relationship with

the lowest priced Tender on the basis of the submitted lump sum fee. The Tender with the lowest lump sum fee will be awarded the full weighting available. Each of the remaining Tenders will be awarded a weighting on a pro-rata bases according to the following calculation:Lowest Tender Price

27.2.The Potential Provider who achieves the highest overall score shall be held to have submitted the most economically advantageous Tender.

28. The Contract28.1.Included as part of the ITT (Schedule 4) is the form of Contract to be entered

into between the Council and the successful Provider.28.2.Every Tender received by the Council shall be deemed to have been made

subject to the conditions of Contract. Any alternative terms or conditions offered on behalf of a Potential provider shall be deemed to have been rejected by the Council.

28.3.The successful Provider will be required to execute a formal Contract which embodies the terms of all the Tender documents. The Contract will be executed as a deed.

28.4.The Successful Provider will be required to execute the Contract promptly and shall not commence the provision of the Services nor be entitled to any remuneration whatsoever until it has done so unless otherwise expressly agreed at its discretion by the Council.

29. Potential providers warranties29.1.In submitting a Tender the Potential Provider warrants, represents and

undertakes to the Council that:29.1.1. it has complied in all respects with this ITT; and29.1.2. all information, representations and other matters of fact

communicated (whether in writing or otherwise) to the Council by the Potential Provider or its staff in connection with or arising out of the Tender are true, complete and accurate in all respects; and

29.1.3. it has carried out its own investigations and research, has satisfied itself in respect of all matters relating to the Tender documents and that it has not submitted the Tender and has not entered into the Contract in reliance upon any information, representations or assumptions (whether made orally, in writing or otherwise) which may have been made by the Council; and

29.1.4. it has full power and authority to enter into the Contract and carry out the Services and will if requested produce evidence of such to the Council; and

29.1.5. it is of sound financial standing and the Potential Provider and its directors, officers and employees are not aware of any circumstances (other than such circumstances that may be disclosed in the audited accounts or other financial statement of the Potential Provider) submitted to the Council that may adversely affect such financial standing in the future; and

29.1.6. it has, and has made arrangement to ensure that it will continue to have, sufficient working capital, skilled staff, equipment, machinery and other resources available to carry out the Services in accordance with the Contract and for the duration of the Contract.

30. Announcements30.1.The Council reserves the right to publish the amounts of tenders and the name

of the successful Provider and to publish such other information regarding Tenders as it may be required to publish in accordance with the EU or other procurement rules with which the Council must comply.

31. Definitions

Term Meaning

“Appendix” Means an appendix to this ITT

“Authorised Officer” Means the principle contact of the Council or such representatives that may be notified by the Council.

“Conditions of “Tender”

Means the terms and conditions set out in this ITT relating to the submission of a tender.

“Contract” Means an agreement to be entered into on behalf of the Council and by one or more Potential Providers for the provision of all or part of the Services.

“Commencement Date”

Means the date when the contractor must begin the work on the site

“Council” Means Cotswold District Council

“Council premises” Means any premises owned, occupied or used by the Council.

“Due diligence information”

Means the background and supporting documents and information provided by the Council for the purpose of better informing the Potential Providers response to this Invitation to Tender.

“FOIA”/”EIR” Means the Freedom of Information Act 2000 and Environmental Information Regulations 2004 and any subordinate legislation made under such Act from time to time together with any guidance and / or codes of practice issued by the Information Commissioner or relevant Government department in relation to such legislation.

Works Means the whole or any part of the work to be executed under this Contract including any goods or materials to be supplied by the Provider in accordance with the Specification.

“Invitation to Tender” or “ITT”

Means this invitation to tender document and all related documents published by the Council and made available to Potential Providers and includes the due diligence information.

“Location” Means any location or site where work under the Contract is to be executed or where the Services are to be performed by the Provider.

Term Meaning

“Order” Means an order for Services served by the Council on the Provider.

“Provider” Means the organisation admitted to the Contract.

“Potential Provider” Means the organisations being invited to respond to this invitation to tender.

“Site” Means any location or site where work under this Agreement is to be executed or where the Services are to be performed by the Provider.

“Specification” Means the description of the Services, and any modification thereof or addition thereof as may from time to time be furnished or approved in writing by the Authorised Officer or otherwise duly made under the Contract.

“Sub-Contractor” Any contractor carrying out work on behalf of the Council which is being overseen by the Provider.

“Tender”, “Response”, “Tender Response”, Tendered Response” or “ITT Response”

Means the Potential Providers formal response to this invitation to tender.

“Tenderers” Means the organisation being invited to respond to this invitation to tender.

“Term” Means the period from the Commencement Date to Termination Date, subject to any extension pursuant to paragraph 15.

“Termination Date” Means the date the contract is no longer valid

“CDC” Means Cotswold District Council (the “Council”).

“Working Day” For the Council, when the offices are open to the public i.e. means between 09.00 and 17.00 Monday to Friday (excluding English Bank Holidays). Except where contract specification indicates Sunday or Bank Holiday working.

SCHEDULE 2 – SPECIFICATION2.1 OBJECTIVESThe current website does not inspire visitors to visit the Cotswolds, or to even use the website; with its dated design, heavy text content, weak navigation, poor imagery and minimal functionality, a new website is urgently required. www.cotswolds.com will be the key marketing tool for the new DMO to raise the profile of both domestic and international tourism in the Cotswolds. It needs to innovate and offer creative ways to meet the needs of an industry which has the potential for huge growth in the hands of the new Cotswolds Tourism Partnership. We need a cost effective technology solution with an innovative and entrepreneurial approach with in-built flexibility. The system must provide increased efficiency and operational effectiveness which has a significant impact on tourism growth and the visitor economy, creating sustainable revenue streams and providing increased availability and distribution of the area’s tourism product. The website needs to be redeveloped in order to improve its functionality, its design, its navigation, its Search Engine Optimisation, as well as providing additional features that will increase a visitor’s time spent on the website. We also want to increase the number of page views for Cotswolds Tourism member listings and website referrals, therefore strengthening the Cotswolds Tourism membership scheme.

CapacityWe need to ensure that we have enough future web space to allow for future expansion including new micro-sites and functionality etc. We also need to have the capacity to host a large number of 72dpi images within the system for CMS and dynamic driven pages, as we do not want a large number of images to affect the download speed for website users or the uploading speed for administratorsBandwidthThere needs to be sufficient bandwidth in order to accommodate current and future traffic. The website and e-newsletter design needs to be visually and functionally compatible with various Internet browsers including Internet Explorer, Chrome, Firefox and Safari.Content MigrationThe successful applicant would need to have experience in content migration, particularly from an archaic bespoke database which is currently feeding the website.InteroperabilityWe require one system that will allow the Cotswolds Tourism team to effectively manage the website, the data, e-newsletters and online booking.

2.3 ACCESSIBILITYBoth the design and actual website must be fully accessible (Compliant to WCAG 2.0 Level A or above and the relevant HTML standard) which will be assessed by an external accreditor.We are aiming for Double-A standard as a minimum but would welcome the opportunity to discuss the benefits of achieving a higher level and the restrictions that may place on design and functionality. The Council is also reviewing British Standard 8878 for accessibility so the designer should be aware of the guidance contained within.In addition, working templates must have undergone rigorous testing for cross browser compatibility (compliant with WCAG 2.0 guidelines) and also from mobile devices.

2.4 SERVICE LEVEL AGREEMENTThe organisation who takes responsibility for providing the Content Management System and online booking will need to adhere to a Service Level Agreement where both parties are in an understanding of how problems will be categorised, prioritised and how long they will take to fix. The Service Level Agreement will also need to include the scope for future development work including an idea on the time delivery of projects and costs.The agreement with the online booking provider will also need to include terms and conditions detailing commission taken from bookings including the level of commission Cotswolds Tourism makes from a booking, the supplier as well as the bookings taken via multiple channels.

2.5 WEBSITE DESIGNThe website needs to be in a responsive design with a clean and simple design and be easy to use and navigate with a modern look and feel to it and not be too

The Councils recognises the growing trend towards customers accessing websites using devices such as smartphones and tablets as well as those using traditional browsers. While it is possible to display any website on a mobile device, the sites which work best have dedicated mobile site templates for use on such devices and it is therefore essential that this requirement is built into the new site.The design should easily allow alternative layouts for different pages and easily be able to amend the majority of the layout, as and when new pages or layouts are required.To ensure uniformity across the website, it is crucial that all static and dynamic areas of the website complement each other in design including the Visitor/Members/Media/Groups/Events/Weddings sections.
