1. We the undersigned Bidder, having read and examined in details the specifications and other documents of the subject Tender, do hereby propose to execute the contract as per terms & conditions as set forth in your Bid-Documents. 2. PRICE AND VALIDITY:

2.1 All prices stated in the bid are FIRM during the entire period of contract irrespective of date of completion and not subject to any price adjustment as per in line with the Bidding documents. All prices and other terms and conditions of this proposal are valid for a period of 120(one hundred twenty) days from the date of opening of the bid. We further declare that prices stated in our proposal are in accordance with your terms & conditions included in Tender documents.

2.2.1. We confirm that our bid prices include all taxes and duties and levies applicable as on

the date of bid and confirm that any such taxes, duties and levies etc. additionally payable shall be to our account. However, the service tax will be payable extra as applicable.

2.3. Any future variation in service tax structure service tax will be paid accordingly (inclusion or reduction) by the Deptt. on submission of documents.

3. CONSTRUCTION OF THE CONTRACT:

We declare that we are making the offer on the basis of a complete Contract on a single source responsibility basis. The total work of the Contract will relate to the requirement of WBSETCL and as defined in Bid Documents.

We have studied relevant clauses under the Conditions of Contract and we hereby declare that if any Income Tax, Surcharge on Income Tax or any other corporate tax, Works contract tax, is attracted under the law, etc. we agree to pay the same.

4. BID GUARANTEE:

We have enclosed Bid Guarantee/Earnest Money in the form of Bank Draft/Pay Order/Banker

Cheque/Bank Guarantee on any scheduled Bank for a sum of Rs. 2,00,000/-(Rupees Two lakhs

only.) drawn on any scheduled Bank payable at Kolkata in favour of “West Bengal State Electricity

Transmission Company Ltd.” along with Tender (Cover-I).

5. DEVIATIONS:

5.1 We declare that contract shall be executed strictly in accordance with the specifications and bid

documents in volume irrespective of whatever has been stated to the contrary any where else in

our proposal.

Further, we agree that additional conditions, deviations, if any, found in the proposal documents

save that pertaining to any rebates offered, shall not be given effect to.

6. WORK SCHEDULE:

If this proposal is accepted by you, we agree to provide services and complete the entire work, in

accordance with schedule indicated in the proposal. We fully understand that the work completion

schedule stipulated in the proposal is the essence of the contract, if awarded. The completion

schedule of the work will be as per time Schedule submitted by us and approved by WBSETCL in

order to maintain the time schedule of bid documents i.r.o. completion of the work in totality.

7. QUALIFICATION REQUIREMENTS:

We confirm having submitted the qualification data as required by you in your E.O.I. In case you

require any further information in this regard, we agree to furnish the same in time.

I/We have read and understood the instructions and the “Terms & Conditions” mentioned in the

N.I.T. No. CETR (O&M)/Tender/2014-15/EMC/04 Dated 27.02.2015. I/We hereby declare that the information(s) furnished in the application and the supplementary sheets are correct & true to the best of my/our knowledge and belief.

within 1 (One) month from the date of Letter of Award/Order.

that this proposal is made without any connection with any other persons, firm or party likewise

GUIDELINES FOR SUBMISSION OF TENDER FOR ENGAGING OF CONSULTANT FOR PROVIDING ARCHITECTURAL & ENGINEERING CONSULTANCY SERVICES

1 Tender document (in duplicate) shall be submitted in sealed envelopes superscripting

“Consultancy Services of Design, Preparation of BOQ and Supervision Work for construction of a ‘Green’ (G+6) Office Building of WBSETCL at Plot No. AH/3 within Action Area-I, New Town, Kolkata.”

2 The application shall be submitted strictly in the format as mentioned along with the

supporting documents.

3 The application shall be signed by the person(s) on behalf of the organization having necessary Authorization/Power of Attorney to do so. Each page of the application shall be signed and copy of Power of Attorney/Memorandum of Association wherever applicable shall be furnished along with application.

4 If the space in proforma is insufficient for furnishing full details, such information may be

supplemented on separate sheets stating therein the part of Proforma and serial number. Separate sheet may be used for each part of application.

5 The ability and competence of the applicant to render required services within the specified

time frame will be a factor while deciding engaging of Architect/Consultant.

6 The applicant should ensure that the application is delivered at the given address within prescribed date and time as mentioned in the advertisement.

7 Cost of tender paper is nil.

8 Bid Guarantee/Earnest Money amounting to Rs. 2, 00,000/- (Rupees two lac only)

will have to be submitted along with the tender in the form of Bank Draft/Pay Order/Banker’s Cheque drawn on any scheduled Bank in favour of “West Bengal State Electricity Transmission Company Limited”, payable at Kolkata. In lieu of the above instruments, Bank Guarantee of Rs. 2, 00,000/- (Rupees two lac only) on any scheduled Bank may be submitted along with the Bid. The detail of Bank Guarantee and format is given in the Bid document. The Bid Guarantee should be submitted in a separate sealed envelope to be specifically superscribed as “Bid Guarantee/E.M.D.” which will be opened first. All the envelopes as detailed in the bid documents should be superscribed with the Name of the Work, Tender Notice No., Due Date of Opening of tender and Name & Address of the bidder.

9 Tender will not be accepted without the requisite amount of Bid Guarantee/Earnest

Money in the form as described above and will not be considered for evaluation purpose. Validity of the Bank Guarantee for Bid Guarantee/Earnest Money shall be of 240(two hundred forty) days from the next day of the final bid submission date i.e. bid deadline and with a claim period of another 9o days.

or applications received after the closing date and time will not be accepted for evaluation.

11 Tenders will be received only by hand (by authorised person having ‘Letter of

Authorisation’) only against due receipt at the office of the Chief Engineer, Transmission (O&M), 10th. Floor, Block - ’D’, Vidyut Bhavan, Block–DJ, Sector II, Bidhannagar, Kolkata-700091, West Bengal. No tenders will be received by post or Courier. The person reached the office with the tender to get it received at the above office late than the date & time mentioned will be not be entertained.

12 Conditional tender and/or tender with extraneous clause(s) will not be accepted.

INSTRUCTION TO BIDDERS 1. RESPONSIBILITY OF BIDDERS.

1.1 WBSETCL will not assume any responsibility regarding information gathered, interpretations or conclusions made by the bidder or regarding information, interruption or deductions the bidder may derive from the date furnished by the WBSETCL. Verbal agreement or conversation with any officer, employee of WBSETCL either before or after the execution of the contracts, shall not affect or modify any of the terms or obligations contained in the contract.

1.2 It shall be responsibility of the bidders to determine and to satisfy themselves by such means as they consider necessary or desirably as to all matters pertaining to this contract including in particular all factors that may affect the cost, duration and execution of the works. It must be understood and agreed that such factors have properly been investigated and considered while submitting the bid.

1.3 Claim, whatsoever, including those for financial adjustment to the contract awarded under these specifications and documents will not be entertained by the purchaser. Neither any change in time schedule of contract nor any financial adjustments arising thereof shall be permitted by the purchaser, which are based on the back of such clear information of its effect on the cost of the contract to the bidder.

1.4 The bidder is expected to examine carefully all instructions, conditions, forms schedules terms, annexure, specifications and drawings in the bidding document, failure to comply with the requirements of bid submission will be at the bidder’s own risk. Bids, which are determined to be not substantially responsible to the requirement of the bidding document, will be rejected.

2. SCOPE OF WORK:

The scope of work for the selected Architect and Engineering Design Consultant includes

providing a complete and comprehensive Architectural concept, design, detailing, engineering

design consultancy, periodical site visit during construction period (as and when required) and

detailing for all requirements for construction of A ‘Green’ (G+6) Corporate Office Building

of WBSETCL AT Plot No. AH/3 within Action Area –I, New Town, Kolkata. on a land of

0.987 acres.

Conducting site survey and geo-technical, preparation of architectural plan with all other utility parts (viz. Boundary Wall, Gate, Security Post, Pavement/Walkway, Land scaping etc.), preparation of tender drawing , tender documents, technical specification and planning for entire Civil, Electrical, Air-conditioning and Mechanical scope including Boundary Wall, Road, Security Post, Car Parking, Pavement/Walkway, Land Scaping & Beautification, Interior Decoration, Interior Fitting & Furnishing system, False walling/ceiling, Fire-fighting System, Security System ,Over Head & Under Ground Reservoirs, Water Supply with Pumps, Water Purification System, Electrical Installation including indoor & outdoor Illumination System, Communication & Audio/Video System, Acoustic System, Energy Efficiency System, Diesel Generator, Sanitary & Plumbing System, Surface & Storm Water Drainage System, Sewerage System, etc. required for the complete project, evaluation of tender for placement of order by WBSETCL on suitable construction agency , providing all construction design and drawing, progress review and monitoring and necessary consultancy at site as and when required to accord the relevant clarification / decision as sought for by WBSETCL for smooth progress and completion of construction work , preparation of as-built drawing, obtaining required clearance during period pre and post-construction , from all concerned regulatory authority , providing all men & materials , taxes, levy, duty, statutory and non-statutory, all incidentals, as may be found

applicable during entire period of execution.

3. COST OF BIDDING:

All costs and expenses direct / incidental to preparation and submission of the bids shall be on account of the bidders. WBSETCL will, under no circumstances, be responsible or liable for these costs / expenses regardless of the conduct or outcome of the tendering process.

4. COST OF TENDER DOCUMENTS:

Free of cost and may be downloaded by the shortlisted Architect from the website www.wbsetcl.in. However, hard copy of the same is also being sent to the shortlisted Architects through currier for bidding and submission.

5. BID DOCUMENTS 5.1 The services required, bidding process, contract terms and technical requirements are prescribed

in the bid documents. The bidder is expected to examine all instructions, forms, schedules, terms, specifications and other information provided therein. Failure to provide all requisite information or submission of a bid not substantially responsive to the bid documents will be at bidder’s risk and may result in rejection of the same.

5.2 The bidder is advised to examine the bid documents and fully inform himself regarding all the

terms and conditions which may in any way affect the performance of the contract or the cost thereof. If any bidder finds any ambiguity, discrepancies or omissions in the bid, he may notify WBSETCL in writing, by fax or email who will respond in writing, by fax or email to any request for clarification of the bid document, which it receives at least 7 (seven) days prior to the deadline for submission of bids. A written copy of WBSETCL’s response (without identifying the source) will be sent to all prospective bidders who have purchased the bid documents. All such interpretations and clarifications shall form part of specifications and documents and accompany the bidder’s proposal. No verbal communications / information provided by WBSETCL or the Staff / Consultants of WBSETCL shall in any way be binding on WBSETCL.

6. CLARIFICATION OF BIDDING DOCUMENT.

Should there be any discrepancy or obscurity in the meaning of any clauses of the bid document or if there be any query of the intending bidder, the bidder shall set forth in writing such discrepancies, doubt, obscurity or queries and submit the same to WBSETCL, marked to the Chief Engineer, Transmission (O&M), WBSETCL, 10th. Floor, Block - ’D’, Vidyut Bhavan,

Bidhannagar, Sector-II, Kolkata-700091, WBSETCL 7 (seven) days prior to the last date of submission of bid.

7. AMENDEMENT 7.1 WBSETCL reserves the right to issue amendments, clarifications etc. to the bid documents to all

the bidders who have purchased the Bid documents, providing reasonable time prior to the opening of the bid. Such amendments / clarifications etc. shall be given due consideration by the Bidders while they submit the Bids and invariably enclose such documents as a part of the bid. All such amendments, clarifications etc, shall be mailed by WBSETCL to the prospective bidders at the address provided in the letter of request for issue of Bid documents. WBSETCL shall not be responsible or liable for non – receipt of the same in time or otherwise.

7.2 In order to afford prospective Bidders reasonable time in which to take an amendment into consideration in preparing their bid, WBSETCL may, at its discretion, extend the deadline for submission of bids.

8. PREPARATION OF BIDS 8.1 DOCUMENTS COMPRISING THE BID 8.1.1 Bid submitted by the bidder shall comprise the following documents:

a) Enclosed bid forms duly completed and signed by the bidder, together with all attachments identified in the information to bidders.

b) Price Schedules duly completed by the bidder.

8.1.2 Each bidder shall submit with its bid the following attachments:

(a) Attachment 1: Power of Attorney. A power of attorney, duly attested by a Notary Public, indicating that the person(s) signing the bid has the authority to sign the bid and that the bid is binding upon the bidder during the full period of its validity in accordance with format and signing of the Bid. (b) Attachment 2: Bidder’s Qualifications.

The documentary evidence established in accordance with the information to bidders that bidder is qualified to perform the contract if its bid is accepted. It shall establish to WBSETCL’s satisfaction that the bidder has the financial, technical and other capabilities to perform the contract and in particular meets the experience and qualification.

8.2 BID FORM AND PRICE SCHEDULE

The bidder shall complete the enclosed bid forms and the appropriate Price Schedules as contained in the technical proposal and financial proposal of the bid documents, following the requirements of the information to bidders.

8.3 BID PRICES 8.3.1 Bidders shall quote for the entire services on a “single responsibility” basis such that the total bid

price covers all the consultant’s obligations mentioned in or to be reasonably inferred from the bid documents in respect of consultancy for evaluation of rendering consultancy services for the “Engagement of Architect & Engineering for rendering consultancy services for planning, designing, preparation of tender drawings & construction drawings, including fire fighting, energy efficient system, landscaping and estimation of project cost and preparation of tender documents etc. and supporting expertise at construction stage as and when required basis for the total work.

8.3.2 Price quoted Package-wise by the bidder shall be fixed and not subject to adjustment during

performance of the contract to reflect any changes in the cost. 8.4 CURRENCY OF BID Price shall be quoted in Indian Rupees only.

8.5 LANGUAGE OF BID The bid prepared by the bidder and all correspondence and documents relating to the bid exchanged by the bidder and WBSETCL shall be written in English.

8.6 BID VALIDITY PERIOD 8.6.1 Bids should be kept valid for acceptance for a period of 120(one hundred twenty) from the date

of opening of bid. The bids valid for a period shorter than specified period shall be rejected as being non-responsive.

8.6.2 In exceptional circumstances, prior to expiry of the original bid validity period, WBSETCL may request the bidder for a specified extension in the period of validity. The request and the responses thereto shall be made in writing, through a letter and/or by fax. A bidder agreeing to the request will neither be required nor permitted to modify his bid.

9. BID GUARANTEE/EARNEST MONEY DEPOSIT 9.1 Bid Guarantee/Earnest Money amounting to Rs. 2, 00,000/- (Rupees two lacs only) will have

to be submitted along with the tender in the form of Bank Draft/Pay Order/Banker’s Cheque drawn on any scheduled Bank in favour of West Bengal State Electricity Transmission Company Limited, payable at Kolkata. In lieu of the above instruments, Bank Guarantee of Rs. 2, 00,000/- (Rupees two lacs only) on any scheduled Bank may also be submitted along with the Bid. Bid Guarantee should be submitted together with the tender, but in a separate sealed envelope to be specifically superscripted as “Bid Guarantee/E.M.D.” along with the name of work, N.I.T. no. with date and bidder’s name & address. No tender will be considered without requisite Bid Guarantee/Earnest Money Deposit. Validity of the Bank Guarantee for Bid Guarantee/Earnest Money shall be of 240 (two hundred forty) days from the next day of the final bid submission date i.e. bid deadline and with a claim period of another 9o days.

9.2 In case the bidder withdraws his offer during the validity period or after placement of order or fails to execute the order as per terms of the contract, the Bid Guarantee/EMD shall be forfeited. EMD of the unsuccessful bidders shall be returned to them in due course after the finalization of the tender on receipt of application for refund of EMD. No interest shall be paid on EMD. EMD of the successful bidder, on whom the order shall be placed, will be refunded on submission of the “Performance Guarantee” in the form of “Bank Guarantee” as per stipulation defined in clause no. 10 below and elsewhere in this tender document, in prescribed format annexed here in this tender document. No interest for EMD will be paid.

10 CONTRACT PERFORMANCE GUARANTEE

10.1 The consultant shall furnish contract Performance Guarantee for the proper fulfillment of the Contract in form of Bank Guarantee in any scheduled Bank.

10.2 Period of Validity: The Performance Guarantee shall be valid until the Consultant has executed, completed the works in accordance with the Contract. No claim shall be made against the Performance Guarantee after the issue of Defects Liability Certificate and the Performance Guarantee shall be returned to the Consultant within ninety (90) days after receipt of application for release of Performance B.G. along with authenticated copies of the Completion Certificate. However, no interest shall be paid on the Bank Guarantee by the Employer (Irrespective of date of release).

10.3 The Consultant shall furnish a Bank Guarantee with a claim period of six (6) months

beyond validity period of Bank Guarantee towards Performance Guarantee for faithful and due fulfillment of all obligations under the terms and conditions of the Contract within fifteen (15) days from the receipts of letter of award. Bank Guarantee shall be furnished in

line with enclosed Proforma as per Annexure' B-9 ' for an amount equal to 10% of the contract value payable to WBSETCL from a scheduled Bank.

10.4 The Bank Guarantee shall provide for payment of any damage to WBSETCL for failure of the Contractor to meet his obligations under the Contract. The Bank Guarantee shall be valid for ninety (90) days after expiry of Defect Liability Period (Warranty Period) of the work.

10.5 There will be no reduction in the value of Contract Performance Guarantee due to phase-

wise taking over of the work and the Validity of the Contract performance Guarantee shall be 90 (Ninety) days after the Defect-liability Period/Warranty Period of the work (as per Cl.no.6 of GCC) and taken over by the owner with further claim period for six (6) months thereafter as per Cl. (i) and (ii) above.

10.6 If required validity period and claim period of Bank Guarantee may have to be extended in consideration of extension of completion time of the contract.

10.7 The performance guarantee is liable to be invoked on demand of WBSETCL when any of

the following conditions arises:

a) The Consultant is in breach of the Contract and fails to remedy the breach within fourteen (14) days after receiving written notice from WBSETCL requiring him to do so. The notice shall state the intention to claim under the Performance Guarantee, the amount claimed and the nature of breach or

b) The Consultant has gone into liquidation or in bankrupt, or c) Any other reason which may affect the contractual obligations of the consultant. In every case WBSETCL shall, when making the claim, send a copy thereof to the Consultant. Performance Guarantee is intended to secure the satisfactory performance by the Consultant of the entire contract. However, it is not to be construed as limiting the damages under "Maintenance and Defects Liability (Warranty) Period”.

On receipt and acceptance of performance guarantee by WBSETCL the earnest money/bid guarantee, so retained, shall be refunded to the successful bidder by WBSETCL against application. The Bid Guarantee/Earnest Money shall be refunded to the unsuccessful bidders against application, after finalization of the contract.

No interest shall be payable by WBSETCL on the above performance guarantee and

Earnest Money/Bid guarantee. 11 SIGNING OF BIDS.

11.1 The original and copy of the bid shall be typed or written in indelible ink and shall be signed by a person/persons duly authorized by the bidder. The proof of authorization shall be furnished in the form of a written power-of-attorney which shall accompany the bid. The name and position held by each person signing, must be typed or printed below the signature. All pages of bid and where entries or documents/amendments have been made shall be initiated by the person or persons signing the bid.

11.2 The complete bid shall be without alternations, interlineations or erasures, except those to accord with instructions issued by WBSETCL, or as necessary to correct errors made by the bidder, in which case such corrections shall be initialed by the person or persons signing the bid.

11.3 The bidder’s name stated in the Bid proposal shall be exact legal name of the firm.

12 MODIFICATION AND WITHDRAWAL OF BIDS

12.1. The bidder may modify or withdraw his bid after the bid submission but before the last date of submission, provided that written notice of the modification/withdrawal is received by WBSETCL prior to the deadline for submission of bids.

12.2 The notice for modification shall also be prepared, sealed and marked with name of work,

tender notice no. etc. with the outer and inner envelopes additionally marked

“modification” or “withdrawal”, as appropriate.

12.3 No bid shall be modified after the deadline for submission of bids. 12.4 No bid shall be allowed to be withdrawn in the interval between the deadlines for

submission of bids and the expiration of the period of bid validity specified by the bidder on the Bid Form. Withdrawal of a bid during this interval shall result in the bidder’s forfeiture of his bid security/earnest money.

13 BID PRICES

13.1 Unless stated otherwise in the bidding documents, the contract shall be for the whole works as described in bidding document, based on the rates and prices submitted by the bidder and accepted by WBSETCL.

13.2 Prices must be filled in format for ‘Schedule of Rates’ enclosed as part of bidding

document. If quoted in separate typed sheets and any variation in item description, unit or quantity is noticed; the bid is liable to be rejected.

13.3 Bidder shall quote rates after careful analysis of cost involved for the performance of the

completed item considering all parts of the bidding document. In case any activity though specifically not covered in description of item under ‘Scope of Works’ but is required to complete the works in totality, Scope of supply, Specifications, Standards, Drawings, General Conditions of Contract, Special Condition of Contract or any other part of bidding document, the prices shall be determined on mutual agreed upon terms & prices between the entrusted Consultant & the Company for such activity. Once the rate is quoted by the bidders, it shall be considered that the quoted rate(s) deemed to have been covered for all items & prices, whatsoever and shall be deemed covered by the rates for other items and prices in the S.O.W.

13.4 Rates should be inclusive of all taxes, duties, cess and levies etc., as applicable as on the

date of submission of bid. However, the service tax will be payable extra as applicable as on the date of submission of bid. Any future variation in service tax structure, service tax will be paid accordingly (inclusion or reduction) on submission of documents.

13.5 Prices quoted by the bidder shall remain firm and fixed and valid until completion of the contract.

13.6 The bidder shall quote the prices both in figures as well as in words. There should not be

any discrepancies between the price indicated in figures and the price indicated in words. In case of any discrepancies, the price indicated in words will be final and accepted. Any

overwriting, correction should be duly authenticated by the bidder. 13.7 Alternative bids shall not be considered.

13.8 Discount, if any, must be clearly indicated. Conditional discount, if offered, shall not be considered for evaluation.

14 FORMAT AND SIGNING OF BID:

14.1 The original and all copies of the bid shall be typed or written in indelible ink (in the case of copies, photocopies are also acceptable) and shall be signed by a person or persons duly authorized to sign on behalf of the bidder. The name and position held by each person signing, must be typed or printed below the signature. All pages of the bid except for unamended printed literature where entries or amendments have been made shall be initialed by the person or persons signing the bid.

14.2 The bid shall contain no alterations, omissions, or additions, unless such corrections are initialized by the person or persons signing the bid.

15 PREPARATION OF BID 15.1 The Bidder shall prepare and submit the bid in two separate envelopes containing the following

documents:-

COVER-I.

Bid Guarantee in sealed envelope and Tender document including unpriced-bid and conceptual drawing in the form of CD. COVER-II Bid proposal and price bids. COVER-III The envelope should contain sealed COVER-I and COVER- II .

15.2 The bidder shall prepare an original and 1 (One) copy/set of the bid clearly marking each one as “Original Bid” and “Duplicate”. In the event of any discrepancy between them the original shall govern.

15.3 The original and all copy of the bid, each consisting of the documents listed (Documents

comprising Bid), shall be typed or written in indelible ink and shall be signed by the Bidder or a person or persons authorized to sign the Bid.

15.4 The name of all person or persons signing the bid should also be typed or printed below the

signature. The person or persons signing the Bid shall initial all pages of the bid, except for un-amended printed literature.

15.5 Bid by a partnership firm must be furnished with full names of all partners and be signed with the partnership name, followed by the signature(s) and designation(s) of the authorized partner(s) or other authorized representative(s) (Authenticated copy of Partnership Deed shall be furnished along with the Bid).

15.6 Bid by Corporation/Company must be signed with the legal name of the Corporation/Company

by the President, Managing Director, or by the Secretary or other person or persons authorized to sign bid on behalf of such Corporation/Company in the matter.

15.7 A bid by a person who affixes to his signature the word ‘President’, ‘Managing Director’,

‘Secretary’, ‘Agent’, or other designation without disclosing his principal will be rejected. 158 Satisfactory evidence of authority of the person signing on behalf of the Bidder shall be furnished

with the bid in the form of a Power of Attorney, duly attested by a Notary Public, indicating that the persons signing the bid have the authority to sign the bid and that the bid is binding upon the Bidder during the full period of its validity. This shall be submitted as per Attachment 2 to the Bid and Power of Attorney.

15.9 The Bidder’s name stated on the proposal shall be the exact legal name of the firm. 15.10 Any interlineations, erasures or overwriting shall only be valid if they are initialed by signatory

(ies) to the bid. 15.11 Bid not conforming to the above requirements of signing may be disqualified.

16 BID EVALUATION CRITERIA

The agencies are required to submit all requisite documents and filled-up formats as given in this bid document. To qualify for further processing the bidder must fulfill the minimum eligibility criteria as detailed in this bid document.

17 TIME SCHEDULE

“Zero date” shall be calculated from the date of placement of L.O.I/ L.O.A. whichever is earlier. Time of completion of work under this contract shall be 24 (twenty-four) months from the zero date as detailed below:- i) Completion of pre-tender scope & Floating of tender for construction work – 2.5 ( two point

five ) months for preparation of specification, tender drawing, construction drawing (as applicable for tender purpose) & tender documents including schedule of work / BOQ.

ii) Finalization of tender for construction work and placement of Award to the Construction Agency - 5 ( five ) Months

iii) All final construction drawings are to be submitted within 7 (seven) months from the Zero Date by the Consultant.

iv) Consultancy Time for functionally completion of scope up to completion of Construction contract by construction Agency – 21 (Twenty-one) months from the zero date. v) Submission of all As-built Drawings -24 (twenty-four) months from the zero date.

18 PREPARATION OF TECHNICAL PROPOSAL 18.1 In preparing the Technical Proposal, consultants are expected to examine the documents

constituting the bid documents in detail. Material deficiencies in providing the information requested may result in rejection of a proposal.

18.2 While preparing the Technical Proposal, consultants must give particular attention to the

following:

(i) It is desirable that the majority of the key professional staff proposed should be permanent employees of the firm or has an extended and stable working relationship with it.

(ii) Proposed key professional staff must have adequate experience in related area, preferably

working under conditions similar to those prevailing in the area of the assignment. (iii) Alternative professional staff shall not be proposed, and only one curriculum vitae (CV)

may be submitted for each position.

(iv) Reports to be issued by the consultants as part of this assignment must be in English. It is desirable that the firm’s personnel have a working knowledge of English.

18.3 The Technical Proposal shall provide the following information using the attached Standard

Forms: (i) A description of the methodology and work plan for performing the assignment. (ii) The list of the proposed staff team by specialty, the tasks that would be assigned to each

staff team member, and their timing. (iii) CVs recently signed by the proposed professional staff and the authorized representative

submitting the proposal. Key information should include number of years working for the firm/entity and degree of responsibility held in various assignments during the last five (5) years.

(iv) Estimates of the total staff input (professional and support staff; staff time) needed to

carry out the assignment, supported by bar chart diagrams showing the time proposed for each professional staff team member.

(v) Any additional information which may be required by WBSETCL.

18.4 Overall, it should contain proposal for planning & methodology for “Providing Architectural &

Engineering Consultancy Services in connection with the Package-I, Package-II & Package-III in all possible details (as deem fit at this stage) including all utility parts substantiating with master plan, drawings, calculations, as far as practicable. It should clearly indicate the planning proposed for all requirements as detailed in the head “Basic Requirements of the Project”. With the basis of planning and detailed calculation of area provided, to arrive at the total covered area based on FAR, open & covered area ratio etc. defining reasons for such planning with optimal utilization of space. The planning will be strictly as per detail defined under the head “Basic Requirements of the Project”. The area in sq.m. in each floor of the bldgs. should be indicated to arrive at the total floor space of the entire buildings of the scheme including all utility parts.

19 PREPARATION OF FINANCIAL PROPOSAL 19.1 In preparing the Financial Proposal, consultants are expected to take into account the

requirements and conditions outlined in the Bid documents. The Financial Proposal should follow Standard Forms. The financial proposal should include all costs associated with the assignment, including (a) Manpower Costs and (b) Other Costs. The applicable taxes and duties,

cess should also to be taken into consideration. The successful bidder shall have to submit break-up of total quoted price for the purpose of assessing reasonability of rate, if asked for by the Client.

19.2 Commissions and gratuities, if any paid or to be paid by consultants and related to the

assignment will be at consultant’s cost and WBSETCL will not be responsible for the same. 19.3 The proposal must remain valid for 120(one hundred twenty) days from the date of opening of

the bid. During this period, the consultant is expected to keep available the professional staff proposed for the assignment. WBSETCL will make its best effort to award the work within this period.

19.4 The cost for each part of the project should be furnished in segregated manner to arrive at the

total project cost. 20 SUBMISSION OF BIDS 20.1 SEALING AND MARKING OF BIDS 20.2 The bidder shall seal the original and each copy of the bid in separate envelopes duly marking

envelopes as “Original Bid” and “Duplicate“. The envelopes shall then be sealed in an outer envelope.

20.3 COVER I to III shall

(a) be sealed and addressed to the Chief Engineer, Transmission (O&M), WBSETCL, 10th. floor, Block - ’D’, Vidyut Bhavan, Bidhannagar, Sector-II, Kolkata-700091 and

(b) bear the following identification:-

i) COVER-I: “Bid Guarantee/Earnest Money Deposit (EMD)” in one envelope and tender document including soft copy of conceptual drawings in 3 D format and unpriced schedule for “Consultancy Services of Design, Preparation of BOQ and Supervision Work for Construction of a ’Green’ (G+6) Corporate Office Building of WBSETCL at Plot No. AH/3 within Action Area –I, New Town, Kolkata”

ii) COVER-II: Bid proposal and price bids of two types, for “Green” and “Other than ‘Green’” Building.

iii) COVER-III: containing COVER –I & II.

20.4 The inner envelopes shall also indicate the name and address of the Bidder so that the Bid can be

returned unopened in case it is declared “LATE”. 20.5 If the outer envelope is not sealed and marked as required by WBSETCL, WBSETCL will

assume no responsibility for the bid’s misplacement or premature opening. If the outer envelope discloses the bidder’s identity, WBSETCL will not guarantee the anonymity of the bid submission, but this disclosure will not constitute grounds for bid rejection.

20.6 DEADLINE FOR SUBMISSION OF BIDS 20.7 Bids must be received in the office of the Chief Engineer, Transmission (O&M), WBSETCL, 10th.

floor, Block - ’D’, Vidyut Bhavan, Bidhannagar, Sector-II, Kolkata-700091 on or before 14:30

hours of 16.03.2015 In the event of the date of submission of bids being declared as holiday for WBSETCL, the bids will be received upto the appointed time on the next working day.

20.8 The bidder is to submit the bid “In person” with letter of authorisation. Bids submitted by

registered post/courier /fax/telegram/telex letter/e-mail shall not be accepted. 20.9 WBSETCL may at its discretion, extend the dead line for submission of bids by issuing an

amendment , in that case all rights and obligations of WBSETCL and the bidders previously subject to the original deadline shall thereafter be subject to the new deadline as extended.

20.10 LATE BIDS

Bids submitted after the time and date fixed for the receipt of bids shall be rejected and such bids if so desired by the said Bidder may be permitted to be collected back by such Bidder provided such requests are received by WBSETCL within fifteen (15) days from the date of bid opening.

21 SUBMITTAL CONTENTS Other than BID GUARANTEE/EMD, as specified in Clause no.8, price bid, the following documents are to be submitted with the proposal, as specified in this bid document:

22 BID OPENING AND EVALUATION 22.1 OPENING OF BIDS 22.1.1 Bid shall be opened at the office of the Chief Engineer Transmission (O&M), WBSETCL, 10th.

floor, Block - ’D’, Vidyut Bhavan, Bidhannagar, Sector-II, Kolkata-700091, by the officer(s) duly

authorized by the WBSETCL for this purpose at 3:00 P.M. on 16.03.2015 in the presence of the Bidders authorized representatives (upto two persons) who may wish to attend. In the event of specified date of bid opening being holiday for WBSETCL, the bids shall be opened at the appointed time and location on the next working day.

22.1.2 Bidder’s authorized representative (up to two persons) may attend the bid opening and they have

to sign a register provided by WBSETCL for evidencing their participation. No electronic recording device/mobile phones etc. shall be permitted during the bid opening.

22.1.3. The second envelope of only those Bidders shall be opened whose first envelope shall found to

contain (after opening) the Bid Guarantee/EMD of requisite value in acceptable form. Bids with

Bid Guarantee/EMD deficient in value and/or form will not be opened further and bid envelopes of such bidders will be returned unopened.

22.1.4 The officer(s) of the WBSETCL authorized for opening of bids will announce the Bidder’s

names, the presence or absence of the requisite Bid Guarantee/EMD and any other details such officers at their discretion may consider appropriate.

22.1.5 Bids that are not opened and read out at bid opening will not be considered for further

evaluation, regardless of the circumstances. 23 CLARIFICATION OF BIDS

To assist in the examination, evaluation and comparison of bids the WBSETCL may at its discretion ask any bidder for clarification of his bid, including break-up of rates. The request for clarification and the response shall be in writing, through a letter and/or by fax but no change in the price or substance of the bid shall be sought, offered or permitted as required to confirm the correction of arithmetic errors discovered by WBSETCL during the evaluation of the bids.

24 PRELIMINARY EXAMINATION OF BIDS 24.1 WBSETCL will examine the bids to determine whether they are complete, whether any

computational errors have been made, whether required processing fee has been furnished, whether the documents have been properly signed, and whether the bids are generally in order.

24.2 The WBSETCL may waive any minor infirmity, nonconformity or irregularity in a bid that does

not constitute a material deviation and that does not prejudice or affect the relative ranking of any Bidder as a result of the technical and financial evaluation.

25 DETERMINATION OF RESPONSIVENESS 25.1 Prior to the detailed evaluation, the WBSETCL will determine whether each bid is of acceptable

quality, is generally complete and is substantially responsive to the bid documents. For purposes of the determination, a substantially responsive bid is one that conforms to all the terms, conditions and specification of the bid documents without material deviation, objections, conditionality or reservations. A material deviation, objection, conditionality or reservation is one (i) that affects in any substantial way the scope, quality of performance of the contract; (ii) that limits in any substantial way and/or is inconsistent with the bid documents or the WBSETCL’s rights or the successful bidder’s obligations under the contact; or (iii) whose rectification would unfairly affect the competitive position of other bidders who are presenting substantially responsive bids.

25.2 If a bid is not substantially responsive, it will be rejected by the WBSETCL, and may not

subsequently be made responsive by the bidder by correction of the non-conformity. 26 CORRECTNESS OF ERRORS 26.1 The errors/discrepancies in respect of the specified amount in Price Bid of Bid Proposal Sheets

for an individual item and / or sub-total of a schedule and/or in the Grand total of a schedule and/or in the lump sum price of the package either due to discrepancy between figures and words and/or simple arithmetical error while adding and/or multiplying and/or to wrong extension of rates etc; the error will be rectified and computed by WBSETCL as per the following method:-

(i) In case of discrepancy between figure and words, the value specified in the words will be considered for computation.

(ii) Firstly, the rates in words will be considered for computation. (iii) In case rates are not indicated in words then unit rates indicated in figure will be

considered and will be used for deriving the amount from the quantities specified in the bid documents.

(iv) In case error is due to wrong extension of quantities, the quantities as specified in the bid

documents will be considered and multiplied by the quoted unit rates to obtain the amount. The amounts will be computed as per the extension of amount of individual item, sub-total of a schedule, grand total of a schedule and lump sum price of the package based on the above consideration.

26.2 After computation of the amounts as above, the values as computed and as quoted will be

compared and higher of the two will be considered for the purpose of evaluation of bid and lower values will be considered for the purpose of award/payment (in case of successful Bidder). If the Bidder does not accept the above consideration, his bid will be rejected.

27 EVALUATION, COMPARISION OF BIDS The bids will be evaluated by WBSETCL to ascertain the lowest evaluated, technically and

commercially responsive bid for the complete scope of work, as detailed in the Bid documents. The evaluation shall be carried out as per the method/criteria mentioned in “Method for Evaluation of Bid documents” in the relevant part of this tender document.

28 PROCEDURE OF EVALUATION

The bid should consist of 3(three) covers. COVER –I should contain the Earnest Money and the tender document including UNPRICED SCHEDULE, CD containing conceptual design of the building in 3 –D format. The NIT No. , name of the work and name of Architect should be indicated on the envelope and superscribed with the word “EARNEST MONEY AND TENDER DOCUMENT”. COVER-II should contain the bid proposal and the price schedules duly filled in. The NIT No. , name of the work and name of Architect should be indicated on the envelope and superscribed with the word “PRICE BID”. COVER-III should contain all the three sealed Covers (COVER-I & COVER-II).The NIT No. , name of the work and name of Architect should be indicated on the envelope. Evaluation of bids will be done in the following steps: Step-1 COVER –I shall be opened first. The Bid Guarantee/EMD will be examined. The

mode and amount of deposit must be in conformity with requirements set forth in the “Bid Guarantee/EMD” clause, failing which the bid is liable for rejection without opening other covers.

Step-2 Only those bids meeting the requirements of previous step will be examined and

assessed. The conceptual drawings submitted in the form of CD in 3D Format shall then be examined by the competent authority of WBSETCL and should be

demonstrated on a mutually agreed date and time. Respective architect will be allowed to explain the various intricacies, features, and specialties of their designs. Three best designs will be selected by WBSETCL. The choice of designs by WBSETCL shall be final and the Company do not bind itself to explain the reasons of selection/rejection of any particular design. The bidders will be required to confirm compliance with all the conditions of bidding document. Bids, which do not satisfy the same, will not be considered for evaluation. No clarification will be asked from the bidder in this regard. However, the decision regarding selection of “Green” or “other than ‘Green’ Building” will be communicated to the Architect after presentation.

Step-3 The financial evaluation will be done on price offer of the bidders who have

successfully made the requirements of previous steps. The price bids (COVER-II) of the above referred selected three designs shall only be opened for evaluation and the lowest price of the respective “Green” or “other than ‘Green’ Building” will be considered. Out of the three designs the lowest price offered by the architectural firm for their design (“Green”/”other than ‘Green’ Building” as the case may be) shall be considered for placement of LoA.

29 CONTACTING WBSETCL

29.1 Subject to the Clarification of Bids, no bidder shall contact WBSETCL on any matter relating to its bid, from the time of the opening of bids to the time the contract is awarded.

29.2 Any effort by a bidder to influence the WBSETCL in its bid evaluation, bid comparison or

contract award decisions may result in rejection of the bidder’s bid. 30 RIGHT TO ACCEPT OR TO REJECT BIDS

WBSETCL reserves the right to accept or reject any bid, and to annul the bid process and reject all bids at any time prior to award of contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidders or bidder of the grounds for WBSETCL’s action. The WBSETCL also reserves the right to split the work Package-wise among the bidders.

31 NEGOTIATIONS Negotiations will include a discussion with the successful bidder of the Technical Proposal,

proposed methodology (work plan), staffing and any suggestions made by the bidder to improve the project implementation & methodology. WBSETCL and the successful bidder will then work out final process of implementation & methodology for the project. The agreed work plan and final process of completion & methodology of the project will then be incorporated to form part of the contract.

32 SITE VISIT

The bidder may visit and examine the site of work and their surroundings and obtain for themselves on their own responsibility all information that may be necessary for preparing the bid and submission of offer. The cost of visiting the sites shall be borne by the bidder. WBSETCL may assist interested bidders to see and inspect the site of work whenever and wherever possible. It must be understood and agreed that such factors have properly been investigated and considered while submitting the proposals. No claim for financial adjustment to the contract awarded under these specifications and documents will be entertained by the owner. Neither any change in the time schedule of the contract nor any financial adjustments, arising therefore shall

be permitted by the owner, which is based on the lack of such clear information or its effect on the cost of the works to the bidder.

33 SIGNING THE CONTRACT AGREEMENT 33.1 Within one (1) month of award of contract, the successful bidder or his authorized representative

shall enter into a Contract Agreement with WBSETCL on the prescribed format as annexed in this tender specification.

33.2 Failure on the part of the successful bidder to comply with the requirements of this clause will

constitute sufficient grounds for the annulment of the award. 34 PROCESS TO BE CONFIDENTIAL 34.1 The information relating to the examination, clarification, evaluation and comparison of tenders

and recommendations for the award of a contract shall not be disclosed to bidders or any other persons not officially concerned with such process.

34.2 The contractor shall not communicate or use in advertising, publicity in any other medium

photograph or other reproduction of the works under this contract, or other information, concerning the works.

34.3 All documents, correspondence, decisions and other matters concerning the contract shall be

considered of confidential and restricted nature by the contractor and he shall not divulge or allow access to these to any unauthorized persons.

35 CORRUPT AND FRADULENT PRACTICES 35.1 It is the WBSETCL’s policy to require that bidders observe the highest standard of ethics during

the selection and execution of such contracts. In pursuance of this policy, the WBSETCL: (a) Defines, for the purposes of this provision, the terms set forth below as follows:

(i) “Corrupt practice” means offering, giving, receiving, or soliciting of anything of value to influence the action of a public official in the selection process or in contract execution; and

(ii) “Fraudulent practice” means misrepresentation of facts in order to influence a selection process or the execution of a contract to the detriment of the WBSETCL, and includes collusive practices among consultants (prior to or after submission of proposals) designed to establish prices at artificial, noncompetitive levels and to deprive the WBSETCL of the benefits of free and open competition.

(b) will reject a proposal for award if it determines that the firm recommended for award has

engaged in corrupt or fraudulent activities in competing for the contract in question; (c) will cancel the firm’s contract if it at any time determines that corrupt or fraudulent

practices were engaged in by representatives. (d) will declare a firm ineligible, either indefinitely or for a stated period of time, to be

awarded a WBSETCL contract if it at any time determines that the firm has engaged in corrupt or fraudulent practices in competing for, or in executing, a WBSEDCL contract; and

(e) will have the right to get the firm audited by auditors appointed by the WBSETCL.

(f) will cancel the contract if at any stage it comes to know that the firm has any relation with

any of the employees of the WBSETCL. 35.2 Bidders shall not be under a declaration of ineligibility for corrupt and fraudulent practices

issued by the WBSETCL. 35.3 Bidders shall furnish information as described in the Financial Proposal submission form on

commissions and gratuities, if any, paid or to be paid to agents relating to this proposal, and to execute the work if the firm is awarded the contract.

35.4 Consultants shall be aware of the provisions on fraud and corruption stated in the Contract

under the clauses indicated in the bid document. 36 INSURANCE

The Consultant at his own cost shall arrange, secure and maintain all insurance as may be pertinent to the Work and obligatory in terms of law to protect his interest and interests of the Owner against all perils detailed herein. The form and the limit of such insurance as defined herein together with the under writing in each case shall be acceptable to the Owner. However, irrespective of such acceptance, the responsibility to maintain adequate insurance coverage at all times during the period of Contract shall be Consultant’s alone. The Consultant’s failure in this regard shall not relieve him of any contractual responsibilities and obligations. The insurance cover to be taken by the Consultant shall be in the joint names of WBSETCL and the Consultant, where WBSETCL will be the first party, wherein the beneficiary

will be WBSETCL and the Consultant will be the custodian. The Consultant shall, however, be authorized to deal directly with the Insurance Company or Companies and shall be responsible in regard to maintenance of all insurance covers. Further, the insurance should be in freely convertible currency.

Any loss or damage or injury or accident (fatal or non-fatal) to the equipments and/or persons during the period of contract shall be to the account of the Consultant. The Consultant shall be responsible for preference of all claims and make good the damages or loss by way of repairs and/or replacement of the equipment, damaged or lost, free of cost. The transfer of title shall not in any way relieve the Consultant of above responsibilities during the period of Contract. The Consultant shall provide the Owner with copy of all insurance policies and documents taken out by him in pursuance of the Contract. Such copies of documents shall be submitted to the WBSETCL immediately after such insurance coverage. The Consultant shall also inform the

WBSETCL in writing at least sixty (60) days in advance regarding the expiry/cancellation and/or change in any such documents and ensure revitalization, renewal etc. as may be necessary well in time at his cost, risk and responsibility.

All cost on account of insurance liabilities covered under the Contract will be on Consultant’s account and will be included in Contract Price. However, the Owner may from time to time, during the tendency of the Contract, asks the Consultant in writing to limit to insurance coverage, risks and in such a case, the parties to the Contract will agree for a mutual settlement, for reduction in Contract Price to the extent of reduced premium amount. The Consultant, while arranging the insurance, shall ensure to obtain all discounts on premium, which may be available for higher volume or for reason of financing arrangement of the Project.

General Conditions of Contract

1. Definition of Terms: 1.1 In this CONTRACT (as here-in-after defined) the following words and expressions shall have the meanings hereby assigned to them except where the context otherwise required.

1.1.1 The EMPLOYER/COMPANY/WBSETCL means West Bengal State

Electricity Transmission Company Limited, a Govt. of West Bengal Enterprise.

1.1.2 The CONSULTANT/CONTRACTOR/AGENCY means the person or the persons, firm or company whose tender has been accepted by the EMPLOYER for rendering Consultancy Services for the work and includes their legal Representatives, his successors and permitted assigns.

1.1.3 The ENGINEER/ENGINEER-IN-CHARGE shall mean the person designated from time to time by the WBSETCL and shall include those who expressly authorized by him to act and on his behalf for operation of this CONTRACT.

1.1.4 The "WORK" shall mean and include all items and things to be

supplied/ done and services and activities to be performed by the CONTRACTOR in pursuant to and in accordance with CONTRACT or part thereof as the case may be and shall include all extra, additional, altered or substituted works as required for purpose of the CONTRACT.

1.1.5 The "PERMANENT WORK" means and includes works which will

be incorporated in and form a part of the work to be handed over to the EMPLOYER by the CONTRACTOR on completion of the CONTRACT.

1.1.6 "CONTRACTOR’S EQUIPMENT" means all appliances/equipment

and things whatsoever nature for the use in or for the execution, completion, operation, or maintenance of the work or temporary works (as hereinafter defined) but does not include materials or other things intended to form or to be incorporated into the WORK, or camping facilities.

1.1.7 "CONTRACT DOCUMENTS" means collectively the Tender

Documents, Designs, Drawings, Specification, Schedule of Quantities and Rates, Letter of Acceptance and agreed variations if any, and such other documents constituting the tender and acceptance thereof.

1.1.8 The "SUB-CONTRACTOR" means any person or firm or Company

(other than the CONTRACTOR) to whom any part of the work has been entrusted by the CONTRACTOR, with the written consent of the CHIEF ENGINEER, and the legal representatives, successors and permitted assigns of such person, firm or company.

1.1.9 The "CONTRACT” shall mean the Agreement between the EMPLOYER and the CONTRACTOR for the execution of the works including therein all contract documents.

1.1.10 The PROGRAMME shall mean the programme to be submitted by

the Contractor/Consultant and any approved revisions thereto.

1.1.11 The "SPECIFICATION" shall mean all directions the various technical specifications, provisions attached and referred to the Tender Documents which pertain to the method and manner of performing the work or works to the quantities and qualities of the work or works and the materials to be furnished under the CONTRACT for the work or works, as may be amplified or modified by the WBSETCL or CHIEF ENGINEER during the performance of CONTRACT in order to provide the unforeseen conditions or in the best interests of the work or works. It shall also include the latest edition of relevant Standard Specifications including all addenda/corrigenda published before entering into CONTRACT.

1.1.12 The "DRAWINGS" shall include maps, plans and tracings or

structural drawings or detail drawings of each utilities/part of the utilities or schematic diagram or prints or sketches thereof with any modifications approved in writing by the CHIEF ENGINEER and such other drawing as may, from time to time, be furnished or approved in writing by the CHIEF ENGINEER.

1.1.13 The "TENDER" means the proposal along with supporting

documents submitted by the CONTRACTOR for consideration by the EMPLOYER.

1.1.14 The "CHANGE ORDER" means an order given in writing by the

CHIEF ENGINEER to effect additions to or deletion from and alteration in the works.

1.1.15 "SITE" shall mean the land and other places on, under, in or

through which the permanent works are to be carried out and any other lands or places provided by the EMPLOYER for the purpose of the CONTRACT.

1.1.16 “EMPLOYER’S REPRESENTATIVE” means any representative of

the Employer appointed from time to time by the Employer to perform the duties of Employer.

1.1.17 The "COMPLETION CERTIFICATE" shall mean the certificate to

be issued by the CHIEF ENGINEER when the works have been completed entirely in accordance with CONTRACT DOCUMENT to his satisfaction.

1.1.18 The "FINAL CERTIFICATE" in relation to a work means the

certificate regarding the satisfactory compliance of various provision of the CONTRACT by the CONTRACTOR issued by the

CHIEF ENGINEER/EMPLOYER after the period of liability is over.

1.1.19 “DEFECT LIABILITY PERIOD/WARRANTY PERIOD” in relation

to a work means the specified period from the date of COMPLETION CERTIFICATE up to the date of issue of FINAL CERTIFICATE during which the CONTRACTOR stands responsible for rectifying all defects that may appear in the works executed by the CONTRACTOR/CONSULTANT in pursuance of the CONTRACT and includes warranties against design, drawings, rendering consultancy services for various part(s) of the project covering all aspects complete up to the final commissioning/functioning of the all Packages.

1.1.20 The "APPOINTING AUTHORITY" for the purpose of arbitration

shall be the MANAGING DIRECTOR or any other person so designated by the EMPLOYER.

1.1.21 "PLANS" shall mean all maps, site plan, master plan, structural

drawings, detail drawings, drawings of utilities, sketches and layouts as are incorporated in the CONTRACT in order to define broadly the scope and specifications of the work, and all reproductions/prints/copies thereof.

1.1.22 "NOTICE IN WRITING OR WRITTEN NOTICE" shall mean a

notice in written, typed or printed characters sent (unless delivered personally or otherwise proved to have been received by the addressee) by registered post to the latest known private or business address or registered office of the addressee and shall be deemed to have been received in the ordinary course of post it would have been delivered.

1.1.23 "APPROVED" shall mean approved in writing including

subsequent written confirmation of previous verbal approval and "APPROVAL" means approval in writing including as aforesaid.

1.1.24 "LETTER OF INTENT/LETTER OF AWARD” shall mean

intimation by a Letter to Tenderer(s) that the tender has been accepted in accordance with the provisions contained in the letter.

1.1.25 “FORMAL ORDER” means the order awarded by the Employer of

the bid incorporating all adjustments or variations to the bid agreed between the Employer and the Contractor to be issued.

1.1.26 “PERFORMACE GUARATEE/WARRANTY” means the security to

be provided by the Contractor as explained in the relevant Clause for the due performance of the Contract.

1.1.27 "DAY" means a day of 24 hours from midnight to midnight

irrespective of the number of hours worked in that day.

1.1.28 "WORKING DAY" means any day which is not declared to be

holiday or rest day by the EMPLOYER. 1.1.29 "WEEK" means a period of any consecutive seven days. 1.1.30 "METRIC SYSTEM" -All technical documents regarding the

construction of works are given in the metric system and all work in the project should be carried out according to the metric system. All documents concerning the work shall also be maintained in the metric system.

1.1.31 "VALUE OF CONTRACT” or “TOTAL CONTRACT PRICE” shall

mean the sum accepted or the sum calculated in accordance with the prices accepted in tender and/or the CONTRACT rates as payable to the CONTRACTOR for the entire execution and full completion of the work, including change order.

1.1.32 "LANGUAGE FOR DRAWINGS AND INSTRUCTION" All the

drawings, titles, notes, instruction, dimensions, etc. shall be in English Language.

1.1.33 "MOBILIZATION" shall mean establishment of sufficiently

adequate infrastructure by the CONTRACTOR at "SITE" comprising of necessary equipments, aids, tools tackles including setting of site offices with facilities such as power, water, communication etc. establishing manpower organization comprising of Resident Engineers, Supervising personnel and an adequate strength of skilled, semi-skilled and un-skilled workers, who with the so established infrastructure shall be in a position necessary for rendering consultancy services as per site requirement at site office of the Consultant/Contractor related to the Project Work in accordance with the agreed Time Schedule of Completion of Work. "MOBILISATION" shall be considered to have been achieved, if the CONTRACTOR is able to establish infrastructure as per Time Schedule, where so warranted in accordance with agreed schedule of work implementation to the satisfaction of ENGINEER-IN-CHARGE/ EMPLOYER.

1.1.34 “COMMISSIONING/FUNCTIONAL” shall mean pressing into

service of the system including start functioning of the ‘Green’ (G+6) Corporate Office Building of WBSETCL at Plot No. AH/3 within Action Area –I, New Town, Kolkata. "COMMISSIONING/FUNCTIONAL" can be either for a completed system or a part of system of a combination of systems or sub-systems and can be performed in any sequence as desired by EMPLOYER and in a manner established to be made suited according to availability of pre-requisites. Any such readjustments made by EMPLOYER in performance of "COMMISSIONING/FUNCTIONAL" activity will not be construed to be violating CONTRACT provisions and CONTRACTOR shall be deemed to have provided for the same.

1.1.35 “TIME OF COMPLETION” shall mean the time stated in the “Time Schedule” for completing the work and passing the Tests on Completion calculated from the Commencement Date unless extended, otherwise by the ordering authority.

1.1.36 “VARIATION ORDER” shall mean any written order, identified as

such, issued to the Contractor by the Employer. 1.1.37 “RISK TRANSFER DATE” shall mean the date when the risk of loss

of or damage to the works passes from the Contractor to the Employer.

1.1.38 “GROSS MISCONDUCT” shall mean any act or omission of the

Contractor in violation of the most elementary rules of diligence which a conscientious Contractor in the same position and under the same circumstances would be followed.

1.1.39 “GOVERNMENT” means in general, Government of West Bengal. 1.1.40 “INSTITUTE” shall mean the EDC and “Adm. Bldg” means

Administrative Building. 1.1.41 “FLOOR AREA” means the covered area of a building at any floor

level. 2.0 CONTRACT DOCUMENTS:

The following documents shall be deemed to form an integral part of the contract-

a) ‘Invitation for bids & Instruction to bidders’, ‘Project Requirement’ and ‘General Condition of contract’.

b) ‘Contractor’s bid including letters of clarification exchanged between the contractor and Company prior to award of contract.

c) Technical specification (if any) and approved drawings in respect of equipment/materials/services to be furnished under this contract.

d) Letter of intent issued by the Company and it’s acceptance by the contractor. e) Detailed order placed by the Company and it’s acceptance by the Contractor.

In the event of any dispute, terms and conditions laid down in the detailed order read with this specification shall prevail.

3.0 CONTRACT AGREEMENT:

3.1 The successful bidder has to submit acceptance of the order within 10 days from the date of issue of the order. The successful bidder shall be required to execute an Agreement on a non-judicial stamp paper of Rs 50/- with the company with all related documents for satisfactory execution of the work. Agreement shall be signed on a date and time to be mutually agreed upon in the office of the Ordering Authority of the work and the same has to be signed by both the parties within 30 days from the date of acceptance of the order Power of attorney of the authorized representative of the consultant who will sign the contract on behalf of the consultant is to be submitted before signing of the agreement.

3.2 The agreement shall be signed in original and six xerox copies of the agreement shall be distributed to all concerned Offices. The original agreement shall be retained by the Company and a copy will be handed over to the Consultant.

4 VARIATION:

In case of any variation, if needed, from the requirements as defined in the Bid documents in respect of any reduction or addition in the scope of work, the same have to be taken into consideration within the Time for functionally completion of the contract (construction time + wind-up period) which is 24 months after awarding of contract with the Construction Agency as per clause under sub head “Time Schedule” in Cl. No 17 of ‘Instruction to Bidders’. In case of increase of this time-period attributed to WBSETCL , whatsoever be the reason , proportionate increase in consultancy fee may be considered beyond 24 months, as mentioned in clause sub head “Time Schedule” sl. no. (iv). However, the financial effect for such reduction or inclusion may be decided as will be mutually agreed upon.

5 TERMS OF PAYMENT

6 DEFECTS LIABILITY PERIOD / WARRANTY PERIOD:

Defects liability period / Warranty period is one year from the date of taking over of the site by the Deptt. after completion of the total work by the executing agency and taking over of the same by WBSETCL.

6.1 MAKING GOOD DEFECTS :

The Consultant shall be responsible for giving all sorts of assistance to the client for making good any defects or damage to any part of the work which may appear or occur, in the work of executing agency, during defect liability period. If the defects are caused due to the fault of consultant total cost for making good of the defects will be deducted from the consultant’s account up to the “Defect Liability Period” of the construction work.

6.2 DEFECTS LIABILITY CERTIFICATE:

When the defect liability period / warranty period has expired and the consultant has fulfilled all

his obligations under the contract for defects in the work, the employer shall issue to the consultant “Defects Liability Certificate”. To that effect within next 28 (twenty- eight) days against application of the consultant.

7 LIQUIDATED DAMAGES

If the agency fail to complete the work within the prescribed time or extended time for completion, then they have to pay to the Department a sum equivalent to ½% of the contract

value as liquidated damage for such default for every week or part thereof which shall elapse between the time prescribed or extended time as the case may be and the date of completion of the work subject to a maximum of 10% of the contract value. The Department may without prejudice, to any or all other method of recovery, deduct the amount of such damage from any money in their hand due or which may become due to the agency and / or from any existing Bank Guarantee. The payment or deduction of such damages shall not relieve the agency from their obligation to complete the work or from any other of their obligation under the contract.

8 FORCE MAJEURE :

The Consultant shall not be liable to pay any liquidated damage for delay/failure to perform the contract for reasons of force majeure such as acts of God, acts of the public enemy, acts of Governments, fire, flood, epidemics, quarantine restriction, strikes, freight embargos and provided that the consultant shall within 10(ten) days from the beginning of such delay notify the Company in writing of the cause of delay. The Company shall verify the facts and grant such extension as found to be justified without imposing liquidated damage.

9 EXTENSION OF TIME:

If the work is suspended due to reasons beyond the control of the consultant, the consultant shall immediately give notice in writing within seven days to the Ordering Authority for each occasion. On receipt of such notice, the controlling officer may verify the matter and agree to extend the completion period as may be reasonable but without prejudice to other terms and conditions of the contract as the case may be if the reasons behind the suspension of work are found to be justified.

10 TERMINATION OF CONTRACT

10.1 In the event of the consultant’s inability/non-response to accept and take up the work as per the order & Contract Agreement, WBSETCL reserves the right to terminate the contract with forfeiture of earnest money and deploy any separate agency to complete residual portion of this contract. If the contract is terminated in the above manner, the consultant will have no claim for compensation against WBSETCL. WBSETCL will have the right to engage any other consultant to complete the work and any extra cost incurred by WBSETCL to the get the work completed in all respect will be realized from the pending bill(s) and/or security deposit/Bank Guarantee of the original consultant for this contract or any other contract under WBSETCL.

10.2 If the consultant finds it impracticable to continue operation owing to force majeure

reasons or the Company finds it impossible to continue operation, then prompt notification in writing shall be given by the party affected to the other.

10.3 If the delay or difficulties so caused are not expected to cease within a reasonable time or

if operations can not resume within 3 (three) months, then either parties shall have the right to terminate the contract upon 30 (thirty) days written notice to the other. In the event of such termination of the contract, payment to the consultant will be made as follows:

12.3 The consultant shall be paid for all Construction/service delivered/executed and

for any other legitimate expenses due to him.

12.4 The Company shall also release all bonds and guarantees at it’s disposal except in cases where the total amount of payment made to the Consultant exceeds the final amount due to him in which case the consultant shall refund the excess amount within sixty (60) after termination and the Company thereafter shall release all bonds and guarantee. Should

the consultant fail to refund the amount received in excess within the said period, such amounts shall be deducted from the bonds or guarantee.

12.5 On termination of the consultant for any cause the consultant shall see to the orderly suspension and termination of operations, with due consideration to the interest of the Company with respect to completion, safe-guarding or storing of equipment produced and delivered for the performance of the contract and the salvage and resale thereof.

11 SUB-LETTING OF CONTRACT:

The consultant shall not, without the written consent of the Company, assign or sublet his contract or any part thereof, other than for raw materials, or for any part of the work provided that any such consent shall not relieve the consultant form any obligation, duty or responsibility under the contract.

12 BANKRUPTCY:

If the Consultant shall become bankrupt or have a receiving order made against him or compound with his creditors, or being a corporation commence to be wound-up, not being a voluntary winding up for the purpose only of amalgamation/reconstruction or carrying its business under a receiver for the benefit of its creditors or any of them, the Company shall be at liberty.

12.1 to terminate the contract forthwith by notice in writing to the consultant or to liquidator or receiver or to any person with whom the contract may become vested and to act in the manner provided in appropriate clause, as though the last mentioned notice has been the notice referred to in such clause and the equipment has been taken out of the Consultant’s hands.

12.2 to give such liquidator, receiver or other person the option of carrying out the contract to his providing a guarantee for the due and faithful performance of the contract upto an amount to be determined by the Company.

13 REPLACEMENT:

If any drawing/material etc. or any portion thereof is damaged or lost during transit or during progress of work, the replacement of such material/equipment shall be effected by the consultant within a reasonable time to avoid unnecessary delay in the commissioning. The replacement of material/equipment damaged shall be made good free of cost by the consultant.

14 REJECTION:

In the event any work carried out by the consultant is found defective not in conformity with the requirements of the specification, the Company shall reject the work and request the consultant in writing to rectify the same. The consultant on receipt of such notification shall either rectify or replace the defective work, free of cost to the Company. If the consultant fails to do so, the Company may:

a) at his option, replace or rectify such defective work and recover the cost involved plus 30(thirty) percent from the consultant or

b) Terminate the contract for default.

15 SUPERVISION:

All work under this contract shall be carried out under the direction and to the reasonable satisfaction of the Controlling Officer/Ordering Authority. The Consultant shall be responsible for the correctness of the positions, levels and dimensions of the works according to the

approved drawings and/or directions of the Ordering Authority, notwithstanding that they might have been assisted by the Controlling Officer/Ordering Authority in setting out the same.

16 DECISION OF THE CONTROLLING OFFICER/ORDERING AUTHORITY:

16.1 Ordering Authority/Controlling Officer’s decision is final in respect of all matters which are left to the decision of the Ordering Authority/Controlling Officer including the granting of with-holding of certificates.

16.2 If, in the opinion of the consultant, a decision made by the engineer is not in accordance with the meaning and intent of the contract, the consultant may file with the engineer, within 15 (fifteen) days after receipt of the decision, a written objection to the decision. Failure to file an objection within the allotted time will be considered as an acceptance of the engineer’s decision and the decision shall become final and binding.

17 LIABILITY OF ACCIDENTS AND DAMAGE:

17.1 The Consultant shall be responsible for the loss, damage or depreciation of the Company’s materials, drawings etc. while in their custody and until the same is taken over by the Company.

17.2 Until the completed work is taken over by the Company the contractor shall also be liable for and shall indemnity the Company in respect of all injury to person or damage to properly resulting from the negligence of the consultant or his engineers/architects/supervisors or his workmen or from defective workmanship etc.

18 WORKMEN’S COMPENSATION FOR ACCIDENT OR INJURY TO WORKMEN:

The company shall not be liable for damage or compensation payable as per provision of law in respect or consequence of any accident or injury to any workmen or other person in the employment of the consultant or any member of public. Consultant shall have to pay all claims, demands, proceedings costs, charges and expenses whatsoever in respect there of or in relation there to.

19 COMPLIANCE OF LABOUR LAWS: The consultant shall comply all statutory labour laws to protect the laborers engaged, if any, by them.

20 CONSULTANT’S REPRESENTATIVES & WORKMEN:

The authorised representative(s) of the consultant (whose name or names shall have to be communicated in writing to the Controlling Officer/Ordering Authority by the Consultant) to supervise the work shall be present at the site during working hours with prior intimation. Any written order or instruction which the Controlling Officer/Ordering Authority or his duly authorized representative may give to the said representative of the consultant shall be deemed to have been given to the consultant.

20.1 The Controlling Officer/Ordering Authority shall be at liberty to object to the presence of any representative or person employed by the Consultant for supervision of work or otherwise in the site of work, who in his opinion is found to have misconduct himself or be incompetent or negligent and the consultant shall remove the person so objected to, upon receipt from the Controlling Officer/Ordering Authority a notice in writing requiring him to do so and shall provide in his place a competent representative at the consultant’s risk and expense.

20.2 All disputes concerning question of fact arising under the contract shall be decided by the Company or receipt of written appeal by the consultant. Company’s decision in this respect shall be final.

20.3 Any dispute or difference including those considered as such by only one of the parties arising out of or in connection with this contract shall be to the extent possible settled amicably and

where settlement can not be reached then such disputed issues shall be settled by competent court of law.

21 ACCEPTANCE Acceptance and approval of design, drawings or of any part of work related to the consultant by

WBSETCL will not relieve the consultant from his/their contractual obligation. In case of any defect arises at any time and in construction work during or within the defect liability period for any faulty design, drawing or consultancy services, as a whole, the responsibility will solely lie on the consultant and WBSETCL in no way will be held responsible for the same. The decision in this regard taken by WBSETCL will be obligatory and binding on the consultant, whatsoever.

22 LANGUAGE AND MEASUREMENT:

All documents pertaining to the contract including specifications, schedule notices, correspondences, operating and maintenance instruction, drawings or any other writings be written shall in English language. The metric system measurement shall be used exclusively in this contract.

23 CORRESPONDENCE

23.1 Any notice to the consultant under terms of the contract shall be served by registered mail or by hand at the consultant’s principal place of business.

23.2 Any notice to the Company shall be served at the Company’s principal office in the same manner.

24 LAW AND PROCEDURE The law applicable to the contract and under which the contract is to be constructed shall be Indian Law and shall be under the jurisdiction of Kolkata High Court.

25 DISPUTES

25.1 Any dispute(s) or difference(s) arising out of or in connection with the contract shall, to

the extent possible, be settled amicably between the parties. 25.2 If any dispute or difference of any kind whatsoever, shall arise between the Employer (i.e.

WBSETCL) and the Agency (i.e. Architectural Consultant), arising out of the contract for the performance of the works whether during the progress of the works or after its completion or whether before or after the termination, abandonment or breach of contract, it shall, in the first place, be referred to and settled by the Engineer (may be an Employee of WBSETCL) to be appointed by the Employer, who within a period of 30 (Thirty) days after being requested by either party to do so, shall give written notice of his decision to the Employer and the Agency.

25.3 Save as hereinafter provided, such decision in respect of every matter so referred shall be

final and binding upon the parties until the completion of the entire work under the contract and shall forthwith be given effect to by the Agency who shall comply with all such decisions, with all due diligence.

25.4 Disputes with reference to this contract shall not relieve the Agency of his obligation to proceed with the work in accordance with the Employer’s decision or instruction, nor relieve the Employer of any of his obligations under the contract.

26 TAXES, DUTIES AND OTHER LEVIES

The consultant shall be solely responsible for the taxes that may be levied on his persons or on earnings of any office employee and shall hold WBSETCL indemnified and harmless against any

claims that may be made against WBSETCL. WBSETCL does not take any responsibility whatsoever regarding taxes under Indian Income Tax Act, for the consultant or his personnel. If it is obligatory under the provisions of Indian Income Tax Act, deduction of Income Tax at source shall be made by WBSETCL. The consultant shall be solely responsible for all taxes, duties, service tax, levies, license fees; all types of statutory Govt. obligation including cess as per The Building and Other Construction Workers’ Welfare Cess Act, 1996 etc. incurred until completion of the total work and handed over to WBSETCL. WBSETCL shall pay only the Service Tax in due course on submission of documents.

27 SUBMISSION OF DRAWINGS After completion of the execution work, the consultant will have to submit 6 (Six) copies of “As

Built” drawings in hard copies along with soft copies to WBSETCL within a period of 15 (Fifteen) days from the date of actual completion of the execution work, in totality. The contractual obligation of the consultant will not be relieved without submission of these drawings to WBSETCL and acceptance thereby by WBSETCL.

28 LITIGATION AND DISCLOSURES

a. The bidder has to provide litigation history for any claims filed by or against his firm related to the provision of architectural and/or engineering design services in the last five (5) years. Firms should also provide:

b. Disclosures: If any of the following has occurred, the bidder has to describe in detail:

(1) Failure to enter into a contract or professional services agreement once selected. (2) Withdrawal of an E.O.I./Tender/ Bid as a result of an error. (3) Termination or failure to complete a contract. (4) Termination by any municipal, state, federal or local agency. (5) Involvement in litigation, arbitration or mediation. (6) Conviction of the firm or its principals for violating a state or federal antitrust law by

bid or proposal rigging, collusion, or restrictive competition between bidders or Firms, or conviction of violating any other federal or state law related to bidding or professional services performance.

(7) Knowing concealment of any deficiency in the performance of a prior contract. (8) Falsification of information or submission of deceptive or fraudulent statements in

connection with a contract. (9) Willful disregard for applicable rules, laws or regulations.

Information regarding any of the above may be deemed to indicate an unsatisfactory record of performance at the sole discretion of WBSETCL. Failure to disclose any of the above may be deemed to indicate an unsatisfactory record of performance at the sole discretion of WBSETCL.

29. CONSULTANT’S /CONTRACTOR'S DEFAULT: 29.1. Notice of Default:

If the Consultant/Contractor is not executing the Work in accordance with the Contract or is neglecting to perform his obligations thereunder so as seriously to affect the Programme for carrying out of the Work, the Employer may give notice to the Consultant/Contractor requiring him to make good such failure or neglect.

29.2. Nature of Consultant’s/Contractor's Default :

If the Consultant/Contractor: a) fails to comply within a reasonable time or b) assigns the Contract or subcontracts the whole or part of the Work without the

Employer's written consent, or c) becomes bankrupt or insolvent, has a receiving order made against him or

compounds with his creditors, or carries on business under a receiver, trustee or manager for the benefit of his creditors or goes into liquidation.

The Employer may, after giving 15 days’ notice to the contractor, terminate the Contract and expel the Consultant/Contractor from the work. Any such expulsion and termination shall be without prejudice to any other rights or powers of the Employer, or the Consultant/Contractor under the Contract.

The Employer may upon such termination complete the Work himself or by any other Consultant/Contractor. The Employer or such other Consultant/Contractor may use for such completion any Consultants/Contractor's materials which is at the Site as he or they may think proper. The excess cost incurred for completion of such work by other agencies shall be recoverable from Consultant/Contractor.

29.3. Valuation as on Date of Termination:

The employer shall, as soon as possible after such termination, certify the value of the Work and all sums then due to the Consultant/Contractor as at the Date of termination.

29.4. Payment after Termination:

The Employer shall not be liable to make any further payment to the Consultant/Contractor until the Work have been completed. When the Work are so complete, the Employer shall be entitled to recover from the Consultant/Contractor the extra cost, if any, of completing the Work after allowing for any some due to the Consultant/Contractor. If there is no such extra cost, the Employer shall pay any balance due to the Consultant/Contractor.

29.5. Removal of Consultant’s/Contractor's Equipment:

On such termination, the Consultant/Contractor shall be entitled to remove immediately all Consultant’s/Contractor's Equipment which is on the Site but with due permission and in presence of Employer's representative.

BASIC REQUIREMENTS OF THE PROJECT

The West Bengal State Electricity Transmission Company Limited owns a plot No. AH/3 within Action Area –I of New Town, Kolkata measuring approximately 0.987 Acre of area and intends to construct a ‘Green’ G+6 Corporate Office Building therein.

To portray an immaculate architectural layout, the landscaping with gardens, greeneries, fountains should be well fitted. The fire fighting system covering the entire campus with provision of sufficient quantity of water during fire hazards should have to be taken care of. The drainage system should also be well designed and preferably the campus should avoid any open drain as far as practicable. The storm water drainage system and the sewerage lines should be well designed with proper invert level to connect to the catchment area’s gully pit and sewerage system respectively.

The buildings should be well protected against lightening and shock. The wind and seismic factors should be properly taken care of. The campus and outside illumination of the building should be such as to create a centre of attraction with feeling of smoothness in the eye as well as power saving module but not to create any problem for security, clarity and equal lighting at required areas.

CORPORATE OFFICE BUILDING:

The ‘Green’ (G+6) Corporate Office Building of WBSETCL should contain but not limited

to the following: 1 no. - Library 1 no. - Medical Unit 1 n0. - Canteen with Kitchen for staffs

- All these rooms should be suitably decorated, well furnished, spacious, tidy. The following space planning for utility services are to be provided viz.

Electrical Maintenance Room,

Electrical Control Room, D.G. area and cabinet, Water Purification Room,

Fire Protection Control Room Conservancy Service Room, Toilets of adequate capacities.

RECEPTION: - The reception should have one lobby well-furnished and well decorated with most

modern concept with sitting arrangements of at least 10 people. The reception desk should be computer and telephone linked securely. There should be one close circuit camera with monitoring in the internal security room elsewhere in the campus.

CONFERENCE ROOM: - There should be five conference rooms each of which should be capable to

accommodate 30 people. The floor should be thickly carpeted. The hall should have well decorated sound-proof walls, with false ceiling, LCD projectors and screen, microphones with sound boxes, one computer, one LCD TV, projector and writing white interaction board. The hall should have highly comfortable modern revolving chairs with central table. A space outside the hall should be provided for taking refreshments.

One Board Room is to be provided at the corporate floor for holding Board meetings by the members of the BoD.

BASEMENT:- The car parking facility may be provided in the basement. In other parts, store

room, caretaker room, electrical control and maintenance room, fire protection control room, DG set room, water purification room etc. Sufficient emergency exit

should be provided. Smoke and fire detection arrangements should also be pro9vided. “Building Management Set Up” of the project would have to be looked into with great importance for day to day maintenance of the same after total completion of the project.

ROLE OF THE SELECTED ARCHITECTURAL AND

ENGINEERING DESIGN CONSULTANCY FIRM

Role of the selected architectural & engineering consultancy firm is to provide a complete and comprehensive architectural concept, design, detailing, engineering design consultancy, periodical site visit during construction period (as and when required) and detailing for all requirements for completion of the project, including but not limited to the following:

1. Conducting survey & geo-technical investigation and preparation of detail master plan.

2. Preparation of architectural concept plan, landscaping in line with the requirement of WBSETCL and further modification as per client’s comment and supply of detailed data/information as per requisition of WBSETCL.

3. Submission of concept planning 3D Power Point and presentation of the same in front of the

departmental officials with submission of sample hard copies. No payment will be given for this 3D Power Point presentation. The cost of each part of the project scheme should be furnished in segregated manner to arrive at the total project cost.

4. The planning should include space planning, interior designing, acoustics, design and

positioning of electrical fittings and electronic gadgets, communication system (including LAN/WAN, where applicable), A.C. system/inactive installation system, sewerage and drainage system, mechanical equipment installation system, storm water drainage system, U/G & O.H. Tank installation, road, water supply system, plumbing and sanitary system, elevator, fire water etc. Separate detail drawing for every possible system design should have to be made and submitted to client.

5. Preparation of detail architectural drawings on the basis of approved concept plan and

submission to WBSETCL for approval.

6. Preparation of detail structural drawings with detail design, wherever necessary (including all utilities, as applicable) and submission to WBSETCL for approval.

7. Seeking necessary clearances and approval from the concerned authorities and government

agencies and liaisoning, incorporating changes in the scheme as per guideline, norms etc. and getting the scheme approved by such authorities.

8. Getting the plan etc. sanctioned from the concerned body/Municipality after preparation of

detail design – drawing as per statutory rules.

9. Preparation and submission of detail specification, tender drawings, detail design and construction drawings, estimate, B.O.Q., schedule of works, cost estimate and tender document for construction work after due approval of WBSETCL.

10. “Building Management Set Up” of the Project would have to be looked into with great

importance for day to day maintenance of the same after total completion of the Project.

11. Extending help and service in the tendering process for execution of the work.

12. Monitoring & supervision of work, as and when desired by the client for quality control or for any other purposes such as rendering advice for any site problems and for other services considered necessary for making various buildings complete and functional etc.

13. To assist the owner (i.e. WBSETCL) for settlement of any claim, disputes of the executing

agency (or agencies). 14. Submission of completion report along with “As Built” drawing (as triplicate) to the client –

both in hard and soft copy total six copies.

The proposed buildings/structures etc. should be as per strict provisions of Bureau of Indian Standards (BIS), ECBC norms and concerned Municipality/WBHIDCO authority’s rules & regulations.

The interested Architects/Consultants responding to the tender will be required to submit the

“Hard Copy” of the concept planning along with the COVER -II (Techno-commercial) bid along with all other requisite documents.

Tender specification, Tender drawing, terms & conditions of the contract, detail drawing etc. for execution of the work will have to be prepared by the consultant and to be submitted for approval by the Competent Authority of WBSETCL. All kind of architectural views, planning, design, specification etc. have to be got approved from WBSETCL. If required, WBSETCL may ask for modification of the same or may suggest for any sort of modifications/incorporations/changes and tenderer will have to comply the requirement of WBSETCL as per desire of WBSETCL without any additional charges. Bidders will have to submit the breakup estimated construction cost of different components within the scope of tender as follows:

i) Construction cost of the Corporate Office building including foundation (with basement).

ii) All interior decoration, interior fittings & furnishing system, false walling/ceiling etc.

iii) Construction cost of each utilities (viz. boundary wall, road, pavement/walkway, car parking, sanitary & plumbing, drainage system, sewerage system, Rain & Storm water drainage system, etc.).

iv) Land scaping.

energy efficiency system. ix) Electrical installation including Indoor & outdoor illumination systems. x) Communication system, audio/video System. xi) Acoustic system. xii) Others, if any.

WBSETCL reserves the right to make variation of the construction area as per actual requirement. The relevant design, drawing etc. are to be provided by the Architect/Consultant for total completion of the project as per requirement of area of WBSETCL to be indicated in the final amendment before opening of the “Price Bid”. The bidder shall have to provide the total

construction area for Corporate Office Building and shall quote their rate as mentioned in schedule of price bid considering the total construction area. But the final decision of the construction area shall be decided by WBSETCL. Detail calculations are to be submitted separately in support of total floor area requirement. The quoted price shall include all the items whichever is necessary to complete the project. These will include utility parts (viz. Air Conditioning System, Interior Decoration, Furniture Layout, D.G. Set, Illumination, Sanitary & Plumbing, Sewerage, Water Supply & Purification System, Fire Fighting, Energy Efficiency System, U.G. & O.H. Reservoir, Car Parking, Roads, Boundary Wall, Land Scaping, Security Post, etc.) No separate payment for all sorts of the above items for all utility parts as per requirement of WBSETCL and for any other covered spaces (if required) whichever is to be accommodated in the Plot area shall be admissible in any case, whatsoever

Decision of WBSETCL in regard to the final construction area to arrive at the total bid price of the bidder shall be final and binding on the bidder. The quoted rate shall be firm throughout the contract period with the successful bidder to whom the contract will be awarded even if the total construction area may vary from stipulated area in the LOA/Firm Order in course of finalisation of planning, design etc. by the Architect/Consultant and in such case no extra payment will be admissible to the successful bidder.

AIR CONDITIONING

The Building should not be centrally Air conditioned. Bidders are encouraged to use the concept of 'Green’ Building to minimize the use of air conditioners. If, however, air conditioners are provided, detail drawing and design are to be submitted to the owner for approval. FIRE FIGHTING SYSTEM The firefighting system for the individual units like Computer Rooms, Server Room, Conference Halls, Office Units, Lecture Halls, Electrical Room, Hostel rooms etc. may be suitably designed and introduced.

The design, drawing & specification etc. are to be prepared by the Architect/Consultant as per specification, norms & standard of the concerned authority, Govt. of West Bengal. Necessary provisional NOC has to be arranged by the Architect/Consultant.

ENERGY EFFICIENCY SYSTEM

The requirements are as follows: a. Installation of ‘Lighting Energy Savers’ at floor wise DBs (Lighting voltage Controller). b. Installation of Energy Efficient (BEE Star labeled) 28 Watt Fluorescent Tube Light (T5)

along with fittings. c. Selection of Energy Efficient Luminaries like CFL / LED etc. as necessary for effective

illumination level as well as reduction in electricity consumption. d. Installation of Energy Efficient (BEE Star labeled) 60 watt Ceiling Fans with electronic

type regulators. e. Installation of Energy Efficient (BEE Star Labeled) Pump / Motor. f. Installation of Energy Efficient (BEE Star Labeled) AC machines not below 3 Star rating

as per BEE. g. Installation of Solar water heating System for Canteen to save use of LPG for the purpose

of huge water heating.

h. Provision as laid down in Energy Conservation Building Code (ECBC) & ECBC User Guide published by Bureau of Energy Efficiency (BEE): MoP: Govt. of India is to be followed for effective implementation.

i. Insulate the wall – the options for insulation material may be extruded polystyrene, expanded polystyrene etc.

j. The heat ingress through the roof can be as high as 12 – 15%. Insulation of roof may substantially reduce the heat ingress. However safety of structural consideration safety in this regard has to be ensured.

k. To consider shading devices for window openings. l. To install Occupancy Sensors. m. To maintain Energy Performance Index (EPI), i.e., Kwh / Sq. M/Year as per BEE. n. Consultant will explore the possibilities for any other best techniques for making it an

Energy Efficient Building. SECURITY MEASURES

Broad Requirements as the case may be are elaborated below:

a. CCTV camera may be installed in each floor of the building in addition to the outdoor cameras which will focus on the movements of persons / vehicles at the gates. There will be a control room with panels for monitoring the slides / pictures taken by the installed cameras. b. All the employees posted in the EDC may be issued Photo identity cards which are to be swiped at gate for getting access to the premises through Turn-Style to be installed at gate. In addition to the above provision, the Biometric System may also be installed at the main gate of the building. Depending upon necessity, separate cards for visitors/outsiders may be issued from gate. Digital cameras and computers may be used for capturing photos and storing the same whenever necessary. c. Barriers may be installed at gate for controlling entry and exit of vehicles. Each vehicle of the company may be fitted with tag, which may be identified by barriers which will lift up automatically for entry of the vehicle inside EDC campus. The other vehicles which do not have these tags may be stopped at gate and may be allowed to gate in after thorough checking.

WBSETCL shall have the fullest liberty, without affecting this guarantee to postpone from time to time the exercise of any powers vested in them or of any right which they might have against Contractor and to exercise the same any time and any manner, and either to enforce or to forbear to enforce any covenants, contained or implied in the Contract between WBSETCL of its liberty with reference to the matters aforesaid or any of them or by reasons or any other acts of omission or commission on the part of WBSETCL or any other indulgence shown by WBSETCL by any other matter or thing whatsoever which under the law would but for this provisions have the effect of relieving the Bank.

The Bank also agrees that WBSETCL at its option shall be entitled to enforce this guarantee against the Bank as a Principal debtor, in the First instance without proceeding may have in relation to Contractor’s liabilities.
