This letter serves to underline that Caterpillar Marine Power System support, in all as-

pects, Barloworld´s initiatives to follow an action plan, which includes the implementation

in BW territories of a concept equal to our existing Marine Excellence Center concept.

In this concept, it is intent that Barloworld´s Power Division appoints Finanzauto S.A. as

the technical partner and establishes a support structure in the marine segment, with the

goal to provide technical and project management capabilities to Barloworld´s territories

in Southern Africa. The concept is intended to follow the vision of contributing to solving

the needs of the local marine branches through the development of products, packages and

partnerships, delivered with the advantages of economies of scale not necessarily present

in the individual sales region. In addition to the service provision, it is the intent that this

support structure will also provide quotations for products as well as marine solutions on

a market-segmented basis, with the goal to better position Barloworld´s Power division to

increase market coverage, quote content quality and PINS. It is the intention of Barloworld

that Finanzauto S.A., with its head office in Madrid, Spain, is to provide said service with

the goal of obtaining incremental units sales.

We consider that Finanzauto S.A., as one of the most qualified Caterpillar marine dealers

worldwide, is the ideal partner for this challenge. Thus Caterpillar Marine Power Systems

recognizes the benefits of such structure and, therefore, intend to provide all necessary

support through the EAME sales and marketing representatives. Finanzauto S.A. have,

over the past years, continuously proven their in depth technical and sales expertise and

support excellence in the marine segment and their team is believed to be the ideal partner

to further drive Barloworld´s success in this growing industry.

Caterpillar Marine Power Systems would, despite of the above, like to point out again, that

the branding of our existing global Marine Excellence Centers is unique to those entities

and shall not be used for Barloworld´s initiatives.

We believe this should not have any disadvantages to the concept itself.
