SEKILASPERUSAHAANCOMPANY IN BRIEF
PT Bank Commonwealth (selanjutnya disebut
sebagai Commonwealth Bank) merupakan anak
perusahaan Commonwealth Bank of Australia,
penyedia jasa keuangan terpadu terbesar
di Australia.
Kehadiran Commonwealth Bank merupakan bagian
dari strategi jangka panjang Commonwealth Bank
of Australia untuk mengembangkan bisnisnya di
Asia Pasifik. Di Indonesia, hal ini ditandai dengan
dibukanya kantor perwakilan Commonwealth Bank
of Australia pada tahun 1990.
Pada tahun 1997 Commonwealth Bank of
Australia membentuk perusahaan patungan untuk
menyediakan layanan perbankan korporat bagi
entitas bisnis Indonesia. Di tahun 2000, perusahaan
tersebut menjadi Commonwealth Bank, dengan
Commonwealth Bank of Australia sebagai
pemegang saham utama.
Sebagai bagian dari rencana pengembangan
pasar Usaha Kecil Menengah (UKM), di tahun
2007 Commonwealth Bank mengakuisisi saham
Bank Artha Niaga Kencana (ANK) yang berbasis
di Surabaya dengan penguasaan pasar yang
dominan di wilayah Jawa Timur dan kemudian ANK
digabungkan ke dalam Commonwealth Bank. Selain
memperluas jaringan Bank di di Indonesia Bagian
Timur, akuisisi ini membantu Commonwealth Bank
memperkuat bisnis di sektor UKM.

Commonwealth Bank senantiasa fokus pada
penyediaan layanan perbankan yang lengkap.
Dengan posisinya sebagai penyedia layanan
(i) Wealth Management terkemuka, Bank juga
mengembangkan fokus usahanya pada layanan (ii)
Perbankan UKM, (iii) Perbankan Ritel yang ditujukan
pada segmen kelas menengah, dan (iv) Perbankan

PT Bank Commonwealth (hereinafter referred to
as Commonwealth Bank) is a subsidiary of the
Commonwealth Bank of Australia, the largest
integrated financial services provider in Australia.
The development of Commonwealth Bank is part
of Commonwealth Bank of Australia’s long term
strategy to expand its business in Asia Pacific.
In Indonesia, this began with the opening of the
Commonwealth Bank of Australia’s representative
office in 1990.
In 1997 the Commonwealth Bank of Australia
established a joint venture company to provide
corporate banking services to Indonesian business
entities. In 2000, the joint venture company became
Commonwealth Bank, with the Commonwealth
Bank of Australia as its majority shareholder.
In 2007, as part of an expansion plan and to develop
the Small and Medium Enterprise (SME) market,
Commonwealth Bank acquired the Surabaya-
based Bank Artha Niaga Kencana (ANK), which
had a strong presence in the East Java region, and
subsequently merged ANK into Commonwealth
Bank. In addition to establishing a broader reach
across Indonesia’s Eastern Region, the acquisition
strengthened the Bank’s SME business.
COMPREHENSIVE BANKING THROUGH THE FOUR-PILLAR STRATEGY
Commonwealth Bank has continued to focus on
providing a full range of banking services. The Bank
is well positioned as a leading provider of (i) Wealth
Management Services, and has also widened its
business focus to include (ii) SME Banking, (iii) Retail
Banking for the middle class, and (iv) Commercial
Banking. The focus on these four business areas is
embodied in the Bank’s four-pillar business strategy,

ANAK PERUSAHAAN:COMMONWEALTH SECURITIES
Pada tanggal 23 Desember 2008, Commonwealth
Bank mendirikan PT Commonwealth Securities,
suatu perusahaan efek dan perantara pedagang
efek. Bank Indonesia telah menyetujui penyertaan
saham di PT Commonwealth Securities tanggal
9 Mei 2009.
PT Commonwealth Securities kemudian memperoleh
ijin operasi dari Badan Pengawas Pasar Modal dan
Lembaga Keuangan (“Bapepam-LK”) (sekarang
Otoritas Jasa Keuangan), melalui surat No. KEP-01/
BL/PPE/2009 tanggal 27 Oktober 2009.
Pada tahun 2012, PT Commonwealth Life dan
Commonwealth Bank, selaku pemegang saham
pengendali PT Commonwealth Securities,
memutuskan untuk mengembalikan ijin usaha
sebagai perusahaan efek dan perantara pedagang
efek kepada Bapepam-LK (sekarang Otoritas Jasa
Keuangan). Bapepam-LK, memberikan persetujuan
“Pencabutan ijin usaha perusahaan efek sebagai
perantara pedagang efek” pada tanggal
6 Agustus 2012.
Pada tanggal 8 Oktober 2013, para pemegang
saham PT Commonwealth Securities mengambil
keputusan untuk membubarkan dan melikuidasi
perusahaan dan menunjuk Bastaman Enrico Bagus
– Attorney at Law sebagai Likuidator. Keputusan
ini dituangkan dalam Akta Pernyataan Keputusan
Rapat No. 69 tertanggal 11 Oktober 2013 yang
dibuat dihadapan Notaris Sugito Tedjamulja, S.H.
Selanjutnya, pada tanggal 24 Januari 2014, PT
Commonwealth Securities telah mengajukan
permohonan pencabutan NPWP (Nomor Pokok
Wajib Pajak). Sampai dengan diterbitkannya laporan
tahunan ini, proses likuidasi masih berlangsung.
Likuidasi Anak Perusahaan tidak mempunyai
dampak yang signifikan terhadap laporan keuangan
konsolidasian Commonwealth Bank pada dan untuk
tahun yang berakhir 31 Desember 2013 dan 2012.
SUBSIDIARY: COMMONWEALTH SECURITIES
On 23 December 2009, Commonwealth Bank
established PT Commonwealth Securities,
a securities and stockbroker company.
Bank Indonesia gave the approval for investment in
in PT Commonwealth Securities on 9 May 2009.
PT Commonwealth Securities then obtained an
operational license from the Capital Market and
Financial Institution Supervisory Agency (Bapepam-
LK) through its letter No. KEP-01/BL/PPE/2009
dated 27 October 2009.
In 2012, PT Commonwealth Life and
Commonwealth Bank, as the controlling shareholder
of PT Commonwealth Securities, decided to return
the Company’s license as a securities company
and stock-broker to Capital Market and Financial
Institution Supervisory Board (“Bapepam-LK”),
and received approval “Revocation of operating
license as securities company and as a stock-
broker” on 6 August 2012.
On 8 October 2013, PT Commonwealth Securities’
shareholders decided to dissolve and liquidate the
Company, and appointed Bastaman Enrico Bagus
Attorney at Law as PT Commonwealth Securities’
liquidator. This decision is stated in the Deeds of
Resolution No.69 dated 11 October 2013 of Notary
Sugito Tedjamulja, S.H.
Further, on 24 January 2014, PT Commonwealth
Securities has submitted the application for tax
registration number (NPWP) revocation. Up to the
date of this consolidated financial statements, the
liquidation process is still going on.
The Subsidiary’s liquidation does not significantly
impact the Commonwealth Bank’s consolidated
financial statements as at and for the year ended
31 December 2013 and 2012.

Dengan gembira saya laporkan bahwa tahun
2013 merupakan tahun yang sangat positif bagi
Commonwealth Bank, dengan pertumbuhan
LabaBersihPerusahaansebesar127%mencapai
Rp 206 milyar di akhir tahun. Kami juga berhasil
meraih pertumbuhan kredit yang signifikan
melampaui tingkat pertumbuhan pasar, serta terus
memperluas basis nasabah Bank.
Pertumbuhan konsisten dan berkelanjutan ini
merupakan keberhasilan eksekusi strategi usaha
empat pilar Bank, dengan fokus kepada: Perbankan
Ritel, Wealth Management, Perbankan UKM
dan Perbankan Komersial. Mulai diperkenalkan
tahun 2010, strategi utama ini merupakan refleksi
pemahaman Commonwealth atas faktor-faktor
pendorong utama ekonomi Indonesia.
Strategi tersebut didasarkan kepada jutaan
generasi muda kelas menengah Indonesia yang
membutuhkan berbagai solusi perbankan,
serta sektor bisnis UKM dan Komersial yang
membutuhkan institusi perbankan yang dapat
membantu mereka meraih target pertumbuhannya.
Di bidang tata kelola, kami terus bekerja keras
membangun praktek tata kelola Bank dan cukup
gembira dengan berbagai upaya yang dilakukan
manajemen dan kerja sama mereka dengan Dewan
Komisaris, serta dukungan penuh dari pihak
regulator. Kami siap membangun hubungan positif
dengan Otoritas Jasa Keuangan (OJK) sebagai

I am pleased to report that the year 2013 was a very
positive one for the Bank, with a record Net Income
growth of 127% to Rp206 billion by year-end.
We also recorded a significant increase in our
lending book, exceeding market growth and at
the same time significantly expanding the Bank’s
customer base.
This consistent and continuous growth was due to
the successful execution of our four-pillar business
strategy, which focuses on : Retail Banking,
Wealth Management, SME Banking and
Commercial Banking. Introduced in 2010, this key
strategy is a reflection of what Commonwealth Bank
sees as the primary growth drivers of the Indonesian
economy. It relates to Indonesia’s millions of young
and upwardly mobile middle class population
requiring a wide range of banking solutions and
the country’s SME & Commercial businesses
seeking banks that can help them achieve their
growth aspirations.
On governance, we continued to work hard to
improve the Bank’s governance practices and are
very pleased with management efforts and their
cooperation with the Board of Commissioners, as
well as with the full support of the regulators. We
look forward to continue our positive relationship
with the Indonesian Financial Services Authority (or
Otorita Jasa Keuangan/OJK) as the new financial

Memulai karir perbankan di Commonwealth Bank of
Australia pada tahun 1975, Geoffrey David Coates
menyelesaikan program MBA di Sydney pada
tahun 1996. Geoffrey telah menjabati beberapa

Guy Martin Harding (Guy) adalah seorang spesialis

kinerja yang sangat positif. Laba Bersih Perusahaan
setelahpajaktumbuhsignifikansebesar127%dari
Rp91 miliar menjadi Rp206 miliar di akhir 2013.
Kinerja tersebut diraih di tengah kondisi pasar yang
cukup menantang. Di pertengahan tahun 2013,
kekhawatiran akan kemungkinan pengurangan
stimulus moneter oleh Federal Reserve Amerika
Serikat telah mendorong keluarnya modal asing
dari Indonesia. Selain itu, keputusan Pemerintah
untuk mengurangi subsidi bahan bakar, yang telah
mendorong terjadinya kenaikan inflasi. Faktor-faktor
tersebut, ditambah dengan makin melebarnya defisit
neraca berjalan, telah memberikan tekanan pada
mata uang Rupiah. Bank Indonesia merespons
dengan menaikkan tingkat suku bunganya mencapai
7,5%gunamengendalikanpertumbuhanekonomi
dan menjaga nilai tukar Rupiah, serta meluncurkan
peraturan Loan to Value baru bagi kredit kepemilikan
rumah guna mendorong praktek penyaluran kredit
yang berhati-hati. Akibatnya, industri perbankan
menghadapi perlambatan pertumbuhan kredit,
makin ketatnya likuiditas dan menurunnya tingkat
marjin bunga bersih.
Kinerja positif Commonwealth didukung oleh
pertumbuhankredityangsignifikansebesar35,2%
mencapai Rp13.482 miliar, dengan pertumbuhan
positif di semua segmen pasar utamanya.
Kreditkomersialtumbuhsebesar81,1%,
sedangkan kredit Konsumer dan UKM tumbuh
masing-masingsebesar34,1%dan19,8%.
Pertumbuhan kredit ini didukung dengan
pengelolaan risiko yang berhati-hati, sehingga rasio
kredit bermasalah (bruto) tetap terjaga di level
0,72%.Danapihakketigajugatumbuhsebesar
25%mencapaiRp14.229miliartahun2013,
dimanaprodukCASAmenyumbang52,9%dari
total dana pihak ke tiga.
Dear Shareholders,
I am pleased to report that Commonwealth Bank
ended 2013 with a remarkable performance.
Our Net Income after tax grew strongly
by 127% from Rp91 billion to Rp206 billion
by year end.
This result was delivered amidst a challenging
market environment. In mid-year, concerns over
a possible tapering of the US Federal Reserve’s
monetary stimulus lead to foreign funds leaving the
country. In addition, the Government’s decided to
cut the fuel subsidy, thus pushing up inflation.
All this combined with the widening of the
country’s current account deficit put the Rupiah
under considerable pressure. Bank Indonesia
responded by raising its benchmark rate to 7.5% to
slowdown the economy and shore up the Rupiah,
implementing a new reserves requirement and
introducing a new Loan to Value (LTV) policy for
housing loans to ensure prudential lending.
The end result is a slower loan growth, tighter
liquidity and narrower net interest margins for
the banking industry.
Commonwealth Bank’s positive result was driven
by a significant loan growth of 35.2% to Rp13,482

market segments. Commercial loans recorded an
81.1% loan increase, whilst Consumer and SME
loans grew by 34.1% and 19.8% respectively. This
high loan growth was well supported by prudent risk
management, resulting in a low non-performing loan
ratio (gross) of 0.72%. Third party funds also grew
strongly by 25% to Rp14,229 billion in 2013, with
Current Accounts and Savings Accounts (CASA)
accounting for 52.9% of our total deposits.

By year end, our Return on Assets (RoA) improved
from 0.88% to 1.65%, while Return on Equity (RoE)
increased from 5.16% to 6.28%.
This positive performance clearly demonstrates the
soundness of the Bank’s business strategy to focus
on four business areas: Retail Banking,
Wealth Management, SME Banking and
Commercial Banking. It is also a reflection of our
execution capability, as well as the amount of time,
thought and efforts that our people put into building
up the Bank’s growth platform.
CONTINUE BUILDING FOR THE FUTURE
Along with delivering good financial results,
we continued to invest significantly in various areas
to strengthen the Bank’s capacity for future growth.
To fund this investment, Commonwealth Bank of
Australia made another capital injection of AU$200
million in 2013, raising the Bank’s CAR from 16.17%
in 2012 to 25.78% by year end. This is the third
capital injection in the past two years, underlining
Commonwealth Bank of Australia’s commitment to
support the Bank’s growth.
During the year, we have started to implement
the COMPASS (or Commonwealth Bank Platform
Advancement for Superior Sales and Services)
initiative, a major project to install a new core
banking system, with the first phase scheduled
to be finalized by early 2015. In parallel, we also
launched an extensive productivity campaign that
involves the reengineering of end-to-end processes
across the Bank. Together, these two projects will
greatly transform the Bank’s organization, allowing
us to deliver faster turnaround time, improved
operation risk controls and ultimately better banking
experience for our customers. We also completed
the second development phase of our new treasury
system to support the Bank’s growing trade
finance services.
Our human capital development programs remain
a priority. Our human resources unit continued to
actively organize training programs to enhance
and refresh our employees’ skills and banking
knowledge. In 2013, we held over 19.390 man days
training attended by 13.275 participants.

will face slower loan growth, higher competition for
liquidity and a slight increase in the NPL ratio.
In the longer term, Indonesia remains an ideal
market for banking and for Commonwealth Bank.
As the fourth most populous country in the world
with an economy growing at a steady pace,
Indonesia offers great opportunities for our business
to prosper.
Commonwealth Bank will continue building its
banking infrastructure and resources to provide even
better banking experience to the customers. We

Setelah menyelesaikan program MBA di McGill
University di Kanada, Antonio Da Silva Costa
(Tony Costa) memulai karir perbankannya pada
tahun 1979 di Bank of Montreal, dan hingga saat ini
beliau tetap aktif mengembangkan karirnya di sektor
jasa keuangan. Pada tahun 1989 beliau bergabung
dengan Credit Lyonnais (Canada) dan lima tahun
kemudian pindah ke Indonesia untuk melanjutkan
karir di Credit Lyonnais Indonesia sebagai General
Manager/Marketing Director.
Selama 32 tahun berkarir di industri perbankan,
termasuk menempati posisi sebagai direktur
pada tiga bank internasional yang beroperasi di
Indonesia, Tony telah mengembangkan keahlian dan
pengalaman khusus pada bidang kebijakan kredit
dan restrukturisasi kredit, selain pengalaman sebagai
anggota komite kredit.

After completing his MBA Program in McGill
University, Canada, Antonio Da Silva Costa
(Tony Costa) began his banking career at the Bank

In 1989 he joined Credit Lyonnais (Canada) and
five years later he moved to Indonesia to continue
working for Credit Lyonnais Indonesia as General
Manager/Marketing Director.
Throughout his 32 year career in the banking

international banks operating in Indonesia, Tony has
developed skills and experience specifically in credit
policy and credit restructuring as well as by being a
member of credit committees.
In 1998 he joined Citibank, assuming the role as

Banking Head. Prior to joining Commonwealth Bank
Indonesia, in 2002 he took up the responsibility of
leading Rabobank Indonesia as President Director.

Pada tahun 1996, Mia bergabung bersama Bank

Commonwealth Bank terus meraih kinerja yang menggembirakan di tahun 2013, dengan kinerja usaha yang positif di seluruh bidang. Pencapaian tersebut merupakan refleksi dari kemampuan manajemen untuk secara konsisten melaksanakan strategi Bank dalam beberapa tahun terakhir, yang mentargetkan pada empat segmen pasar penting Indonesia: Wealth Management dan Segmen Kelas Menengah, serta Perbankan UKM dan Perbankan Wholesale.
Commonwealth Bank continued to deliver a remarkable performance in 2013, with strong business results in all areas of the Bank. This performance reflects management’s ability to consistently execute the Bank’s strategy over the last few years that targets Indonesia’s four key market segments: Wealth Management and Emerging Affluent as well as SME Banking and Wholesale Banking.

sebelumnya, refleksi berlanjutnya pertumbuhan
kredit UKM, Wholesale dan Konsumer Bank. Selain
itu, di tahun 2013 terjadi peningkatan kontribusi
kredit produktif dalam buku kredit Bank. Kredit UKM
dan Wholesalemenyumbangsebesar88,3%dari
portofolio kredit, refleksi komitmen Bank terhadap
pertumbuhan sektor riil Indonesia. Dana pihak ke
tigatumbuh25%mencapaisebesarRp14.229
miliar, dengan komposisi pendanaan
yang baik, di mana produk Giro dan Tabungan
(CASA)menyumbanglebihdari52.9%daritotal
dana pihak ke tiga.
Pencapaian-pencapaian ini merupakan bukti bahwa
Commonwealth Bank telah berada pada posisi
yang tepat untuk meraih peluang pertumbuhan di
Indonesia dengan menawarkan layanan finansial
terbaik dengan layanan nasabah yang unggul.
Net Income rose by 127% to Rp 206 billion, a result
that is well aligned with the Bank’s key objective
to become “Better, Faster, Stronger”. Total lending
reached Rp 13,482 billion, 35.2% higher compared
to last year, reflecting continuing growth in the
Bank’s SME, Wholesale and Consumer lending.
