On a recent earnings call, I heard that Pinnacle isn’t going to pay the discretionary 401(k) match this year. Why? Actually, we’re still participating in our discretionary 401(k) retirement fund matching program. Pinnacle has had one of the more generous 401(k) programs in our industry, and is still matching the first 25 cents of participating employees’ pretax contributions up to the first 5 percent of eligible compensation. Given the prolonged recession, however, we have opted not to make the additional 25 percent discretionary match this year at this time. Because of the ongoing economic downturn, many gaming companies, including Wynn Resorts, Boyd Gaming and Harrah’s Entertainment, have cut or eliminated their 401(k) matching programs. Although they’re discretionary, we believe these programs are important to our employees, and will revisit this issue as the economy recovers. We prefer to trim costs and watch our expenses carefully during the recession, which helps us to preserve jobs and avoid broad-scale layoffs.

Boomtown Bossier Receives $2.5 Million Hotel Renovation

River City Employment Center Now Accepting Applications The search is on for a cast of characters to join River City Casino, the newest addition to Pinnacle Entertainment’s growing St. Louis family, scheduled to open in spring 2010, pending final approval from the Missouri Gaming Commission. River City will fill more than 1,300 positions over the next several months, including hundreds of casino positions and jobs in facilities, food and beverage, security and finance. Belterra Casino Resort & Spa is opening a new restaurant called Burger Brothers, which the property believes will become the most popular restaurant in its market for those who like their beef between two buns. The restaurant accommodates approximately 40 patrons in the dining area with counter service for

those who want grab-n-go grub. It will also provide guests and local patrons with a casual atmosphere and an entertaining place to dine seven days a week, including late night. Plus, at Burger Brothers, every burger is cooked to order; there are no heat lamps or microwaves. Belterra is currently hiring for all Burger Brothers positions at www.belterrajobs.com.

Belterra Opens Burger Brothers Excitement is building at Boomtown Bossier with its $2.5 million hotel renovation now underway. The improvement project includes a new pool and hot tub, a workout room and renovating the hotel’s 187 rooms. Boomtown Bossier Vice President and General Manager Barry Regula said the infrastructure investment signifies Pinnacle Entertainment’s ongoing commitment to the Bossier City-Shreveport market. Construction began on the property’s new outdoor pool and hot tub in late August. Featuring an in-ground pool, attached hot tub, extensive seating area and tiki bar, the project will be a welcome amenity for hotel guests and a new venue for special events. The room renovations began in early November and are on schedule to be complete by the end of December. Each room will be stripped down and rebuilt with new carpet, ceiling treatments, televisions, furniture, lighting, beds, bedding and fixtures. The rooms will have a bolder, more modern feel reinforcing the property’s new advertising campaign, Boom Happens.

Seven extraordinary Pinnacle Entertainment employees and their guests traveled to Las Vegas for the 2008 Employee of the Year celebration Oct. 7-10. The trip proved once again that becoming an Employee of the Year is the greatest honor an employee can achieve at Pinnacle Entertainment.

The property employees were treated like VIPs during the trip, which started with limousine service before their flights. Once they arrived, the employees were escorted to The Palazzo Las Vegas all-suite resort on the Strip. An exciting evening followed with a dinner at the Eiffel Tower Restaurant. The employees and their guests were then given the chance to explore Las Vegas, exactly the way they wanted. From helicopter rides to the Grand Canyon to horseback riding in the Nevada Mountains to jaw-dropping Las Vegas shows, each employee’s trip was tailored especially for them. The 2008 Employees of the Year are Louise Rose (Belterra), Courtney Oney (Boomtown Bossier), Misty Billiot (Boomtown New Orleans), Jose Diaz-Garcia (Boomtown Reno), Pam Siverand (L’Auberge du Lac), Justin Jacobsen (Lumière Place), and Shane Wright (President Casino).

Taste of St. Louis Showcases Chefs and Culinary Skills Employees from Lumière Place and River City Casino served up some tasty treats during the annual Taste of St. Louis, where festival attendees feasted on a variety of culinary delights from Burger Bar, SLeeK, Asia, House of Savoy and The Kitchen; plus, a sampling of classic foods introduced at the 1904 World’s Fair. The excitement also carried over to the chef showcases, where Lumière Place’s Celebrity Chef Hubert Keller charmed the audience with his demonstration of classic French cuisine. House of Savoy Chef Mark French whipped up

two specialty dishes; and Jeff Ruby, with Corporate Chef Jeremy Lieb of Jeff Ruby’s Steakhouse, made their first official public appearance on behalf of River City, giving the audience a sneak peek

and free samples of the succulent steaks that will be offered in his new restaurant. The weekend festivities culminated in Blue Ribbon awards for both Lumière Place’s and River City’s food

and booth displays. Thank you to all the employees who participated in this memorable event!

Boomtown New Orleans Volunteers Support Hospital Fifty-one Boomtown New Orleans employees volunteered at the Golden Oldies Festival on Oct. 17, to benefit West Jefferson Medical Center. A staple on the Westbank of New Orleans for 50 years, the center serves Boomtown New Orleans employees daily through its emergency center, medical offices and fitness center. As major contributors to the festival, Boomtown New Orleans General Manager Lance George and Director of Community Affairs Charlie Frederick were recognized for the property’s support and generosity toward the center.

Baton Rouge Project Receives Timeline Approval

On Oct. 20, the Louisiana Gaming Control Board approved an amended timeline for Pinnacle Entertainment’s Baton Rouge project, which calls for the company to enter into a construction contract by March 31,

2010. The project has been delayed by the turmoil in the global credit markets, which has made it difficult to raise construction financing at a reasonable cost. Jack Godfrey, executive vice president and general counsel, and Carlos Ruisanchez, executive vice president of strategic planning and development, told regulators that Pinnacle has made progress in securing financing for its Sugarcane Bay project in Lake Charles, Louisiana, and that the company believes it can secure financing for its Baton Rouge project in a reasonable timeframe. The Baton Rouge project is expected to cost at least $250 million.

PNK T-Shirt Challenge Benefits Cancer Society Thanks to the PNK Employee T-Shirt Challenge, Pinnacle Entertainment was able to raise more than $2,000 for the American Cancer Society. The challenge began in March 2009 when Pinnacle employees were asked to

submit their most creative t-shirt designs. Once the submissions were narrowed down to the Top 5, employees then voted online for their favorite t-shirt. The winning t-shirt was designed by Corporate Guest Services Associate Maria Banz, who chose the American Cancer Society as the beneficiary of the t-shirt sales. More than 250 t-shirts were sold overall. Pinnacle plans to present a check for the raised amount to the society’s affiliate in Las Vegas by the end of the year.

Bosses Go ‘Over the Edge’ To Help Special Olympics

How much would you pay to send your boss over the edge of a 19-story, 200-foot building?

Apparently, the going rate is $1,000. Thanks to Over the Edge, a company that specializes in creating unique fundraising events for non-profit organizations, employees were given the chance to encourage, or force, their bosses to rappel off the roof of the Four Seasons Hotel at Lumière Place on Oct. 2. All the employees had to do was raise $1,000 or more to see their bosses take the

plunge. One hundred bosses were given the chance to participate in the one-of-a-kind fundraiser, with proceeds going toward sports training and athletic competitions for the more than 15,000 children and adults who participate in Special Olympics Missouri. Corporate Vice President of Food & Beverage Win Person was one of the lucky hundred whose

employees raised more than $1,000 for him to rappel down the hotel. In addition, River City Casino Vice President and General Manager Todd George and Four Seasons St. Louis General Manager Thierry Kennel were given the opportunity to rappel as representatives of the properties.

Three Louisiana Properties Share $1.289 Million Training Grant The Learning and Performance Institute recently hit its own jackpot, when the State of Louisiana awarded Pinnacle Entertainment a $1,289,403.50 training grant for 2010. The grant is through the Incumbent Worker Training Program, which is a partnership between the Louisiana Workforce Commission, business and industry, and training providers. The program is designed to benefit business and industry by helping in the skill development of existing employees. The funds will be used to improve training programs and employee skill sets at Boomtown Bossier, Boomtown New Orleans and L’Auberge du Lac, while helping jumpstart new programs and identifying vendors that can further improve our business skills. Historically, each individual property would apply for the grant. For example, Boomtown Bossier received nearly $550,000 for 2009. However, through this collective effort, all three properties can now be more cost-effective and share in the funds. Corporate Director of Organizational Development & Training Nancie O’Neill would like to thank the Human Resources Directors and Learning & Performance Specialists for their time and effort during the application process, especially Joyce Smith at Boomtown Bossier who was instrumental in gathering and coordinating the necessary information. Pinnacle would also like to thank Julie Sinkule of Training Logic for her professional grant-management skills.

River City Casino To Feature Jeff Ruby’s Steakhouse

Adding yet another award-winning restaurant to its culinary portfolio, Pinnacle Entertainment announced that River City Casino in St. Louis County will feature

Jeff Ruby’s Steakhouse as its fine dining restaurant. The partnership marks the second location for the Cincinnati-based restaurant at a Pinnacle property. The first opened at Belterra Casino Resort & Spa in 2004. The menu will offer a tantalizing array of hand-selected USDA Prime dry-aged steaks cooked to

perfection, the freshest seafood, a sit-down sushi bar, and an extensive selection of signature salads, steakhouse potatoes, vegetables and desserts. Jeff Ruby’s Steakhouse will be among a variety of other dining options at River City that include a buffet with seating for more than 350, a 100-seat tavern, a 100-seat contemporary café, and a classic burger joint. River City Casino is scheduled to open in spring 2010, pending final approval from the Missouri Gaming Commission. Donning hard hats and construction vests, members of Pinnacle Entertainment’s Board of Directors recently went on a site tour of River City Casino. The project is currently scheduled for a spring 2010 opening, pending final approval from the Missouri Gaming Commission. Employees can view the progress of River City Casino by visiting the Pinnacle Pipeline website and clicking the Webcam tab on the top toolbar.

L’Auberge Celebrates Housekeeping Olympics

How well can you make a bed or toss a roll of toilet paper? At L’Auberge du Lac, there are employees who train for these activities each year. On Oct. 11, the property’s Housekeeping, Building & Grounds and Laundry employees competed in the Fourth Annual Housekeeping Olympics. Creative competitions included the Fastest Bed Maker, Mop Relays, Mummy Wrap, TP Toss and Polish Pad Toss. The Housekeeping Olympics has proven to be a great way to thank these employees for their hard work behind the scenes. Winners received trophies, and all of the employees were awarded gift cards, t-shirts and a special menu for dinner.

Pinnacle Recognizes First Corporate Employee of the Year

Pinnacle Entertainment honors the Employee of the Year annually at each

property. But something was missing, or rather, someone. To acknowledge the hard work and contributions of its corporate employees, Pinnacle Las Vegas adopted the Employee of the Year program and recognized its first recipient on Sept. 23 at a Night of Stars. Congratulations to Director of Brand Services Kori Kloberdanz, who was named the first Corporate Employee of the Year.

To commemorate the inaugural event, the Employee of the Year finalists and members of the Executive Team mingled during a cocktail hour and dined at Sensi at the Bellagio. Following the meal, Chief Operating Officer Alain Uboldi and Sr. Vice President of Human Resources Humberto Trueba announced the winner. As the Corporate Employee of the Year, Kori received a trip anywhere in the continental United States up to $2,500, paid time off and $500.

Boomtown New Orleans Learns Art of Brilliance

Boomtown New Orleans is the latest Pinnacle Entertainment property to embark on The Art

of Brilliance training. Similar to the Love the Yes training Lumière Place launched earlier this year, the initiative will focus on increasing guest service levels at the property level by creating extraordinary encounters with each and every guest. Starting in November, the Learning & Performance Institute and Boomtown New Orleans trainers will work together to train the more than 800 employees at the property by the end of the year. Another large part of the training will be a focus on the smaller things that have the biggest impact on our guests. Once The Art of Brilliance training is complete at Boomtown New Orleans, the institute plans to successfully administer the initiative at other Pinnacle properties to improve our service scores companywide.

Don’t let the flu take control of your life this winter. There are several ways Pinnacle Entertainment employees can protect themselves

from the flu. The U.S. Department of Health & Human Services has created a website, Flu.gov, which is designed to educate you on what to do about the flu. The website has flu myths and facts, common symptoms, tips on how to decrease your chance of getting the flu, an H1N1 self-evaluation, frequently asked questions, and information on vaccinations and flu shot locations. The Center for Disease Control is another resource for employees. Each week the center analyzes information about this illness and publishes important findings on its website at www.cdc.gov. You can also call (800) CDC-INFO for additional help. If you have any additional

questions regarding the flu and what you should do, please contact your property’s Human Resources Department.

Ways You Can Avoid the Flu:1) Cover your nose and mouth with a tissue when you cough or sneeze. Throw the

tissue in the trash after you use it. 2) Wash your hands often with soap and water, especially after you cough or sneeze.

Alcohol-based hand cleaners are also effective. 3) Avoid touching your eyes, nose or mouth. Germs spread that way.4) Stay home if you get sick. The center recommends that you stay home from work or

Welcome back to another Diversity

Dialogue! I hope you’ve been doing your homework by asking your fellow employees how we can build a more diverse, welcoming

and inclusive environment at Pinnacle Entertainment. After all, we can’t wait for someone else to make it happen. We all have the responsibility to create the kind of workplace where differences are welcomed and inclusion is encouraged, supported and recognized. If we do this, there are no limits to our success as a company. You can almost compare our need for diversity to a football team. Without a diversity of players, experience and skills sets, each team would be one dimensional. It’s only when you include everyone and build off each other’s strengths that you can have a winning team year after year. So we need to embrace our differences, use them to our advantage, and build teamwork that is unstoppable. During my inclusion journey, the greatest area of success for me has been to ask, “Who is missing?” As we grow Pinnacle Entertainment as quickly as possible, it is easy to forget to ask this question. Just taking a few minutes to consider whose voices or ideas might be missing helps me keep a big-picture perspective. It can help you, too. Several of you have shared your successes, and your frustrations, in building inclusion around you at work. Remember, it is a journey. Sometimes the steps are small; sometimes we have to backtrack to move forward. Above all, we have to keep our eyes on the horizon and remember the goals we’ve set. Are You Ready for the Flu?

Pinnacle Entertainment announced promotions and management changes that will help manage the company’s continued growth and development. Todd George has been named vice president and general manager of River City Casino, which is scheduled to open in spring 2010 pending regulatory approvals. Previously, he was the vice president and general manager of Lumière Place in downtown St. Louis and was part of the property’s opening team. Kim Townsend is the new vice president and general manager of Lumière Place. She was previously the head of Pinnacle Atlantic City, but she will continue to oversee Pinnacle’s Atlantic City investments from St. Louis. The Atlantic City project remains on indefinite hold, reflecting both the constrained financial markets and the weak Atlantic City environment. Jeff Babinski is the new general manager of Boomtown Reno. Before joining the Boomtown Reno team, he was the senior director of casino operations at Lumière Place since its opening. He reports to David Williams, regional vice president, who also oversees operations at Boomtown New Orleans.

Connie Kelley-Jones, a barista at Belterra, sees art as her passion that is energizing and soothing all at once. She is also an avid history lover who enjoys scouring antique shops to find used materials, recycled goods and old furniture to create one-of-a-kind works of art. So when she heard about the remodel, she wanted to be a part of it. And she wasn’t looking to simply add a coat of paint; she wanted to paint a beautiful mural that mirrored the Tuscany theme employees had chosen for the employee dining room. The end result was a landscape of Tuscany homes seated in the rolling hills of Italy.

“The exposure of having my work out there is the biggest accomplishment,” she says. “It’s exciting. People knowing my name and associating it with my work is huge.” Kelley-Jones is currently going to school for Interior Design and looks forward to taking advantage of Belterra’s tuition reimbursement program once she celebrates her one-year anniversary of employment. She is also working on another mural for the walls of Belterra. “I love to get off work, come down to the EDR, turn on my music and paint,” she says. “It’s a relaxing way to end my day.”

Lumière Place Allows Dealer to Live Her Dream

As soon as Ashley Guillory heard the distinctive sounds of a casino, she

wanted to be a dealer. The problem was she didn’t have any dealing experience. What she did have, however, was a way to get closer to her goal. She joined Pinnacle Entertainment as a hotel front desk clerk at L’Auberge du Lac in her hometown of Lake Charles, Louisiana. “When I worked at the front desk, I could always hear the sounds of the casino and people having fun. But I couldn’t see it,” Guillory says. “Then one day I saw an advertisement about Lumière Place in St. Louis and saw the property was offering a free dealer school.” She immediately applied for the dealer school, which was offering eight weeks of free training to anyone who was interested in a table games career. When she was later called to schedule an interview, she was so determined to secure a spot that she booked a flight to be in St. Louis the next day. Her persistence paid off. Guillory earned a spot in the dealer school and was also hired as a human resources representative during the day; the school was offered at night. Now Guillory hears the casino sounds of Lumière Place Casino & Hotels as a dealer, and she loves every minute of it. “I meet so many people from everywhere and there’s always excitement. It’s like another way of breathing,” she says. “I’m so happy, and I love Pinnacle. (The company) really cares about you.”

Career Opportunities Abound for L’Auberge Employee

After Pinnacle announced it was building a multimillion-dollar

casino resort in her hometown, Leslie Thibodeaux started digging. She wanted to research the company’s culture to see if there were job openings for her and her family. She had no idea that researching Pinnacle was a first step toward a successful career at L’Auberge du Lac Casino Resort.

“I never thought I would pursue employment at a casino, but when the opportunity came, I could not pass it up,” Thibodeaux says. “Pinnacle really wants to see its employees succeed, and L’Auberge has given me exposure I would never have received elsewhere.” Working as a human resources representative and as a casino host, Thibodeaux has quickly made the most of her opportunities. The diverse positions have given her first-hand interactions with employees and guests, which she says have educated her on their differing perspectives. Learning both of them has also led to her greatest opportunity, so far. She is the Talent Manager for the Ladies & Gents of L’Auberge Program. “My vision is to raise this program above anyone’s expectations, especially in the community,” she says. “The Ladies & Gents are our first impressions and we need to spread the word about our culture. We’re a great company; I don’t know where I would be without it.”

The wallet had more than $900 inside. The guest was so excited he went to the Missouri Gaming Commission so Quinard would be recognized. Benefit Open Enrollment

Boomtown Bossier Open EnrollmentNov. 23 – Dec. 18 The Boomtown Bossier Health Plus plan will end Dec. 31, 2009. However, we are pleased to announce that starting Jan. 1,2010, medical benefits will be covered by Coventry Health. In addition, vision coverage will now be insured by Davis Vision. Details on the plan will be available during Open Enrollment meetings, which are scheduled for Nov. 23-24 in the Riverside Room (times to be announced). You must attend a meeting to be considered for coverage. Plus, as part of the enrollment process, each employee will be required to do the following:

• Attend a Benefit meeting. Your attendance is required.

• Complete a new Benefit Enrollment form.

• Complete a Health Assessment survey.

You must complete all three steps in order to ensure coverage on Jan. 1, 2010.

The choices you make during this period will cover you and your family until Dec. 31, 2010. You won’t be able to make any changes to your enrollment levels unless you experience a qualified life event. Therefore, it is important to consider your choices. The Flex Dependent Daycare program also requires you to re-enroll each year during Open Enrollment. You need to complete a new enrollment form if you want to continue to participate in this program.

2010 Benefit and Vendor ChangesOpen Enrollment Nov. 23 – Dec. 18, 2009

Open Enrollment for Health Benefits (Medical, Dental, Vision and Prescription) comes only once a year. This is your chance to take a closer look at your current medical benefit elections and decide if you need to make changes, such as

adding or dropping dependents from your medical plan, or adding to or dropping your current coverage. Any changes you make now will become effective Jan. 1, 2010 and will be in place until Dec. 31, 2010. If you do not want to make changes to your current medical benefit elections, your current elections will continue and you are not required to re-enroll. However, the Flex Dependent Daycare program requires you to re-enroll each year during Open Enrollment. You need to complete a new enrollment form if you want to continue to participate in this program.

New 2010 Benefit VendorsWhile we are not making changes to our Medical and Dental plans, we are changing coverages and vendors for the following, which become effective Jan. 1, 2010:

• Vision – Davis Vision will become our new plan for vision coverage.• Prescriptions – CatalystRx will become our new prescription vendor.• Claims Administrator – The Loomis Company will be your new third-party

administrator who will process all your Medical and Dental claims.

You will also receive a Benefit Packet, which will include your new insurance card and Davis Vision and CatalystRx information. This is a great time to update your address with Human Resources. Beginning Jan. 1, 2010, your old insurance card will no longer be valid, so please make sure you destroy your old card and begin using your new one. If you continue to use your old card, claims will be denied.

Elevator Use Policy Change We are pleased to announce a change in the guest elevator policy on the Miss Belterra. If employees need to use an elevator, they no longer need to have permission from Human Resources. However, employees are to use the Port Side elevator (the high-limit side) and only when necessary. If employees use this elevator, they must display the utmost respect and courtesy to our guests and any authority figures who also may be using the Port Side elevator. Please see the following key points below:

• Guests should never have to wait behind employees to board an elevator.

• While entering, riding and departing the elevator, use of the Six Core Service Standards are expected.

• Any Security escorts using the elevator have priority and employees may be asked to wait or depart the elevator during these operations.

• Employees traveling between floors may use the escalator as a part of work-related activities. These are the only type of work-related activities that are appropriate for using the escalator. Employees going to or returning from break should use the stairs or the designated elevator if needed.

• Use of the guests’ facilities is not a right; it is a privilege and can be amended any time based on our customer service feedback. We will continue to monitor our customer service feedback and make adjustments to the policy as necessary.

Marketing Promotions Announcement Employees of Belterra Casino Resort & Spa, their subsidiaries, advertising agencies, employees of Jalan Enterprises (dba Top City Laundry), employees of Burns Janitorial Services, employees of Intec Building Services, and/or employees or members of the Indiana Gaming Commission are not eligible to participate in any promotion or gaming tournament held at Belterra. Immediate family members of the aforementioned are not eligible to participate. Immediate family is defined as spouse (other than a spouse who is legally separated from the individual under a decree of divorce or separate maintenance), parent, child, sibling, father-in-law or mother-in-law, whether by whole or half blood, marriage, adoption, or natural relationship.

Diamond Club Appreciation

One of the ways Belterra recognizes its employees is through the Diamond Club recognition program. To become

a member of the Diamond Club, an employee must be recognized by a director, manager or supervisor outside of the employee’s department. As an extra perk, Belterra awarded its Diamond Club honorees with a paid day off and arranged for a limo to pick them and their guests up and take them to a Cincinnati Reds baseball game on Aug. 31. While at the baseball game, one of our winners, Tell Schuler, caught a game ball!

Coney Island Employee Appreciation Event More than 2,000 Belterra employees and family members enjoyed the summer weather at Coney Island this past August for the

property’s annual employee appreciation event. The two-day event allowed time for swimming, roller coasters, games, face painting and caricatures. Employees also received a Belterra beach bag in appreciation for their hard work and dedication. It was a great time and we look forward to offering this employee event next year!

Director of Security Honored By Local Newspaper

Congratulations to Director of Security Ken Bennett who was recognized by the River Times as the “Person of the Month” for October 2009. The

local newspaper featured him for being a long-standing member of the community, his career in the U.S. Air Force, thespian performances and volunteer work. Belterra would like to thank Ken for representing the property and the community well!

I) Professionalism and Integrity: All Pinnacle Employees shall at all times demonstrate a commitment to professionalism, diligence and integrity in the performance of his or her duties.

II) Conflicts of Interest: Pinnacle Employees shall not engage in any illegal, dishonest or unethical conduct, or any activity that would constitute a conflict of interest. A “conflict of interest” occurs when an individual’s private interest interferes in any way – or even appears to interfere – with the interests of the Company as a whole. A conflict situation can arise when an Employee takes actions or has interests that may make it difficult to perform his or her Company work objectively and effectively. Conflicts of interest also arise when an employee or a member of his or her family receives improper personal benefits as a result of his or her position in the Company.

III) Reporting of Ethical Violations: Each Pinnacle Employee shall, upon becoming aware of the appearance of impropriety or the observance of the violation of any of these principles, promptly report such impropriety or violation to his or her supervisor or manager or other appropriate personnel. Employees may always report any impropriety or violation anonymously, if desired, to the Company’s General Counsel Jack Godfrey at (702) 784-7777 or the Company’s Vice President of Corporate Compliance and Internal Audit Ron Reigle at (775) 345-8662. Employees may also use the Company’s hotline for this purpose. This Company will not permit punishment or retaliation for any report or inquire made in good faith.

IV) Best Interest of the Company: All Pinnacle Employees shall, in the performance of his or her duties, always act in the best interests of the Company.

V) Company Property: Pinnacle Employees shall not take for personal use any property, monies or anything else of value that belongs to the Company. Employees should protect the Company’s assets and ensure their efficient use. Theft, carelessness and waste have a direct impact on the Company’s profitability. All Company assets should be used for legitimate business purposes.

VI) Confidentiality: Pinnacle Employees shall not divulge any proprietary information to any outside source and/or competitor, unless authorized by the Company or required by law. “Proprietary information” includes marketing information, accounting information, personnel information, computer information or any other information that is deemed private or might be of use to competitors or harmful to the Company or its customers if disclosed.

VII) No Disparagement: All Pinnacle Employees shall take care to avoid any disparaging or defamatory remarks that would tend to damage the reputation or the property of the Company.

VIII Corporate Opportunities: Pinnacle Employees are prohibited from (a) taking for themselves personally opportunities that are discovered through the use of Company property, information or position; (b) using Company property, information or position for personal gain; and (c) competing with the Company. Employees owe a duty to the Company to advance its legitimate interests when the opportunity to do so arises.

IX) Fair Dealing: All Pinnacle Employees shall endeavor to deal fairly with the company’s customers, suppliers, competitors and employees. No Employee should take unfair advantage of anyone through manipulation, concealment, abuse of privileged information, misrepresentation or any other unfair-dealing practice.

X) Kickbacks or Gratuities: Pinnacle Employees shall not offer or accept kickbacks, bribes or gifts of substantial value.

XI) Payments to Governmental Personnel: Pinnacle Employees shall not make illegal payments to government officials of any city, county, state or country. In the case of federal, state and local government employees, all Pinnacle Employees must comply with the stringent rules specifying the business gratuities that such government employees are permitted to accept.

XII) Compliance with Laws: All Pinnacle Employees shall respect and obey the laws, rules and regulations of the cities, states and countries in which the Company operates. The gaming and liquor industry is strictly regulated by the various gaming laws and agencies that oversee the Company’s business. Each Pinnacle Employee is expected to be well-versed in the laws and internal controls that impact and control his or her specific duties with the Company. Each Pinnacle Employee is expected to understand and comply with the Company’s insider trading policy and applicable laws and regulations.

XIII) Public Disclosures and Communications: Pinnacle has ongoing responsibilities to make filings, reports and other disclosures to the Securities and Exchange Commission (SEC) as well as various gaming authorities. To the extent that an Employee is involved in preparing such filings or submissions, or in making other public communications, the Employee must act to ensure that the disclosures made in reports and documents filed or submitted to the SEC or gaming authorities, as applicable, and in other public communications, are full, fair, accurate, timely and understandable.

Pinnacle Code of EthicsWhen you became a Pinnacle Entertainment employee, you read and signed the Pinnacle Code of

Ethical Business Conduct. Annually, every employee must be reminded of this code.
