MEMPHIS ANNUAL TRUCKING EXPO

Memphis, Tennessee is known for its historical landmarks, people, and events yet, many people

are unaware that Memphis is known as "Americas Distribution Center." Saturday, October 13,

2012, Memphis will be the host city of a nationwide trucking exposition.

Memphis Annual Trucking Expo, presented by the National Association for Minority Truckers

(NAfMT), will be the catalyst to showcase innovative, cutting edge products, and services. It

will also provide an opportunity for exhibitors, business owners, and individuals, to connect and

exchange knowledge and ideas regarding industry standards, regulations, and compliance.

Attendees can look forward to a variety of entertainment, career fairs, educational seminars,

influential speakers, kids zone,healthy truckers pavilion, truckers forum and truck showcase!

2012 has been declared as The Year Of The Trucker by NAfMT. This campaign called 2012

The Year Of The Trucker is an effort to engage and appeal to our target market of truckers,

which includes a truckers appreciation rally which will be a major focus of the truckers forum.

This segment of the forum will be held in the amphitheatre of the Agricenter International as part

of the Memphis Annual Trucking Expo. This is a grassroots campaign to create a national

awareness and appreciation of those who are truly our nations Driving Force! A massive media

campaign will be launched to ensure that the multitude of female drivers, company drivers,

owner operators and the like are aware of this opportunity so that they may be in attendance.

Admission to the expo is FREE and is a family event which caters to the Transportation &

Logistics industry with expected participation from individuals & companies, but not limited to,

the following areas: Carriers, Driver Recruitment, Factoring Companies, Freight Brokers, Fuel &

Additives, GPS Systems & Electronics, Insurance Specialists, Telecommunication Products,Truck Accessories and Truck/Trailer Equipment Sales.

MEMPHIS ANNUAL TRUCKING EXPOEXHIBITOR TERMS AND CONDITIONS

1. Exhibitor Space: Show management reserves the right to: a) reject any applicant for booth selection b) to assign and

designate each exhibitor space.

2. Exhibitor MoveIn/MoveOut: Movein times are listed as: 7am-1pm, Friday, October 12, 2012. Moveout times are

listed as 5:01 pm9pm, Saturday, October 13, 2012. All advertising vehicles and showcase trucks will be the last to move-

out. Upon arrival, Exhibitors must check in at the Registration desk to pick up their exhibitor packet. Exhibitors must be

completely assembled and ready by 8:30 am on the day of the show. Exhibitor shall not begin disassembling its exhbit(s)

before 5:01 pm, at the end of the show, without prior written permission from show management.

3. Payment for Space: All exhibits must be paid in full at the time of exhibit reservation. Approved methods of payments are

included in the Exhibitor Agreement. Subsequent charge-backs will be assessed with the original amount of the charge-back

as well as a $35 return fee and $100 inconvenience fee. However, if payment cannot be collected from the Exhibitor and

the Memphis Annual Trucking Expo were to enter legal proceedings, Exhibitor agrees to be responsible for both the principal

amount owed and any attorney fees incurred by show management of The Memphis Annual Trucking Expo.

4. Operation of Exhibit Space: Exhibitor agrees that the show manager may remove any exhibits that it deems as disruptive orinappropriate in nature. Exhibitor displays and advertising materials must not protrude into the aisles and interfere with the

movement of visitors at the show.

5. Sub-leasing: No Exhibitor shall exhibit or permit to be exhibited in their specified allocated space, any merchandise other

than that noted in this Agreement.

6. Identification: All Exhibitors are required to wear their Exhibitor badge during the show.

7. Exhibitor Behavior: Exhibitors are expected to behave in a professional and ethical manner at all times. No inappropriate

language or body contact will be permitted. Show Management reserves the right to ask Exhibitors to leave the premises

due to any unprofessional, unethical, or unacceptable behavior that exemplifies gross disrespect for another person and/or

their property. If Exhibitor is asked to leave, all fees, and payments are forfeited and they may be prohibited from

participating in future shows.

9. Security: Show Management will provide security services during show hours. Show Management requests that

Exhibitors refrain from leaving personal property unattended. The Exhibitor booth must be staffed at all times. The

Memphis Annual Trucking Expo is not responsible for any losses the Exhibitor may incur during the show, before the show or

during the move-in/move-out process.

10. Liabilities and Security Waiver: Exhibitor agrees to obey all fire and safety rules of the show and venue. Exhibitor Agrees

that the Memphis Annual Trucking Expo, Show Management and Niki Brown will be held harmless from and against any

loss, damage, expense or penalty arising from any action based on complete fault or negligence. If the Memphis Annual

Trucking Expo is held liable for an occurrence from the Exhibitors action (s) or failure to act, Exhibitor will defend the

Memphis Annual Trucking Expo, Show Management and Niki Brown for damages and cost resulting from incident, including

any attorney fees and damages. In the event that a show becomes unusable or cancelled due to causes not within our

control, Exhibitor releases the Memphis Annual Trucking Expo, Show Management, and Niki Brown from all claims,

damages, or loss. Refunds will be issued on a pro-rated basis, less all expenses incurred by the show.

Memphis Trucking Expo Magazine is printed in full color on high quality, glossy coated stock.

The trim and bleed sizes are as follows:

Trim size: 8 x 10.75

Bleed Size: .125

Bleed ad dimensions include .125 which is removed from all four sides during final binding and

trim. Illustrations or type not intended to trim should be kept at least .375 from all bleed

edges. For two page spread, .25 gutter safety required on each page. All print ready

submissions should be in four color (CMYK) and 300dpi. Please send a printout proof with your

digital ad.

File formats accepted: PDF, TIFF, JPG, GIF, PSD

Storage media accepted: DVD-ROM, JUMP DRIVE

Ad Requirements: All ads are due on or before the deadline date unless otherwise agreed upon.

Changes to ads prior to the deadline is the sole responsibility of the advertiser. A new ad must

be submitted by the issuedeadlineand approved by the publisher. If the ad is not available on

or before the deadline date, advertiser will forfeit his payment.

Liability: Publisher is not liable for delays in delivery and/or nondelivery in the event of an Act of

God, action by any governmental or quasi-governmental entity, fire, flood, insurrection, riot,

explosion, embargo, strikes whether legal or illegal, labor or material shortage, transportation

interruption of any kind, work slowdown or any condition beyond the control of publisher

affecting production or delivery in any manner.

Advertiser agrees to indemnify, defend and save harmless the publisher from any and all

liability for content of advertisements printed (including text, illustrations, representations,
