YEAR FOUNDED: 1989
WHO WE ARE: PWS has approximately 40 members. PWS members include but are not limited to entrepre-neurs, accountants, insurance agents, attorneys, education professionals, sales and marketing professionals, small business owners, and real estate agents.
OUR MISSION: To promote a spirit of cooperation and understanding among members; to provide a strong network of professional contacts; to contribute to the mutual education and encouragement of members; and to achieve recognition of the contribution of women to the community.
NETWORKING OPPORTUNITIES: PWS members network at monthly programmed meetings over lunch, pro-fessional development workshops, and community events.
MEMBER SPOTLIGHTS: Each lunch meeting begins with a Member Spotlight, an opportunity for a member to speak about her business or company for 3 minutes. Members sign up in advance to speak at a particu-lar meeting, which gives each member the option to choose the monthly meeting that works best for her business. We feature one member per month. Most lunch meetings also feature a guest speaker (often one of our own members) who provides professional development and community education opportunities.
SCHOLARSHIP: Each year, PWS awards $2,500 in scholarships to two deserving young women seeking to further their education at Ogeechee Technical College, East Georgia College and/or Georgia Southern Uni-versity.
DUES: Annual dues are $225. Dues may be paid quarterly. If paid in one lump sum before January 30, mem-bers receive a $25 discount.
OUR MEETINGS: PWS meets for lunch between 12:00pm - 1:00pm on the third Wednesday of every month except June and July at the Holiday Inn. Members are encouraged to bring guests who could potentially be interested in becoming a member. After a guest has attended a meeting, we will invite them to apply to become a member.

RATIFIED NOVEMBER 16, 2013ARTICLE I—Name
The name of this organization shall be Professional Women of Statesboro, hereinafter referred to in these Bylaws as PWS.
ARTICLE II—Objectives and Organization
Section 1 ObjectivesA. To promote a spirit of cooperation and understanding among members.B. To provide a strong network of professional contacts.C. To contribute to the mutual education and encouragement of members.D. To achieve recognition of the contribution of women to the community.
Section 2 Financial Purposes and PowersA. Conduct its affairs, carry on its operations, and have offices.B. Have and exercise all powers necessary or convenient to affect any or all of the purposes for which this organization is structured.C. Make contracts and incur liabilities as they relate to the normal operations and activities of PWS.D. Receive by gift, or otherwise acquire, hold, own, improve, use or deal in real or personal property, or any interested there wherever situated.E. Sell, convey, mortgage, pledge, lease, exchange, transfer or otherwise dispose of all or any part of its property and assets.F. Make donations for the public welfare of charitable, educational or similar purposes. G. Open and maintain bank accounts and power to invest funds.
Section 3: PWS is self-governing, non-partisan, non-sectarian and non-discriminatory.
Section 4: The fiscal year of PWS shall be January 1 thru December 31.
Section 5: PWS shall function in the state of Georgia of the United States of America.
Article III—Members
Section 1: The membership of PWS shall be accorded only to such individuals that fulfill the require-ments and qualifications set forth in Article III, Section 2 and the adopted standards of the organization.
Section 2: New MembersA. A new member is one that has attended at least one meeting as a guest of a current member, and has expressed interest in joining the organization. Guests are limited to two meetings and are then asked to make a decision on becoming a member or not. B. Application for Admission shall be filled out and sent to the Vice President of Membership and kept on file to be recorded in the Organization’s Roster. C. Application for Admission shall also include a check for quarter/annual dues (whichever is selected on the application). D. Previous members wishing to join again are asked to only attend one meeting as a guest in order to get reacquainted with the organization.
BY-LAWS
Article IV—Board of Officers
Section 1: The Board of Officers shall consist of President, Vice President, Programs, Treasurer, Secretary, Philanthropy/Scholarship Chair, and Immediate Past President.
Section 2: Term of Office:A. Officers shall take office immediately after installation and serve until successors have been elected. B. President, Vice President, Programs and Immediate Past President will serve a progressive term, and rotate up to the next office in the following order: Programs->Vice President->President->Immediate Past PresidentC. Treasurer, Secretary, Charitable Donations/Scholarship Chair and Programs will be nominated positions and voted upon by the organization.
Section 3: Elections:A. Elections will be held at the November meeting. B. Nominations will be accepted beginning at the September meeting and close after the October meeting. Nominations will be accepted by the Immediate Past President either verbally or written. C. The Immediate Past President will present a list of Slated Offices to be voted on at the November meeting. D. Installation of new officers will take place at the December meeting.
Section 4: Eligibility:A. Any member in good standing may run for an officer position. a. Good Standing is considered when all financial obligations to the organization have been met, and the member shows a general interest in the organization by way of attendance to more than half of the year’s meetings. B. All candidates for office must have been a member of PWS in good standing for at least one (1) full year.
Section 5: Vacancies:A. If a vacancy occurs in the office of President, the Vice President shall fill the unexpired term as voted by the existing Officers. B. If vacancy occurs in any other elected or progressive office, it shall be filled by recommendation and appointed by majority vote of the existing Officers. C. Assuming any office and completing the unexpired term for any period shall not affect eligibility to run for that office or progress to that office in the succeeding year.
Section 6: Duties: A. President a. Presides at monthly meetings; b. Plans, announces and facilitates Board meetings and corresponds with officers following such meetings; c. Creates and prints agenda for monthly meetings; d. Agrees to serve as Immediate Past President the following year.

B. Vice President a. Presides at monthly meetings in the absence of the President; b. Captures guest information at each monthly meeting and follows up with prospective members; c. Forwards new member information to the Secretary for inclusion in the Newsletter and minutes; d. Forwards new member information to the Treasurer for inclusion in the membership roster and for invoicing purposes; e. Plans membership events; f. Assists the Programs Chair and Charitable Contributions/Scholarship Chair when necessary.C. Programs a. Plans monthly meetings to include a.i. Securing Speakers and coordinates their program a.ii. Chooses a venue for the meeting; a.iii. Chooses a menu for the meeting; a.iv. Maintains the RSVP list to include members and their guests; a.v. Works together with the Philanthropy/Scholarship Chair to plan the Scholarship Banquet and any other charitable meeting.D. Treasurer a. Maintains membership roster; b. Sends invoices and collects money for dues annually or quarterly, based on the member’s selection; c. Works with the Secretary to ensure all new members are added to the membership roster. d. Pays vendors and caterers for lunch meetings held monthly; e. Keeps up with the organization’s bank account and budget; f. Reports to the organization on at least a quarterly basis the financial standing of the organization.E. Secretary a. Records minutes at monthly meetings and emails them to the Programs Chair to include in the next month’s meeting reminder; b. Compiles the monthly newsletter to be distributed monthly to each member and any guests; c. Collects information regarding member news and special events newsworthy to be included on the website and social media.F. Scholarship Chair a. Plans and executes annual Scholarship Banquet; b. Works with the Scholarship Committee to distribute, collect and review applications and select scholarship recipients.G. Immediate Past President a. Serves as an advisory Board member; b. Works with the Vice President to assist Programs Chair and Philanthropy/Scholarship Chair; c. Manages the Nomination process during upcoming Elections.
Article V—Committees
Section 1: A. Membership Committee a. Works together with Vice President to coordinate membership events; b. Works with the Vice President with recruitment events.B. Scholarship Committee a. Help update and maintain membership roster and information for the Membership Directory. b. Assists the Scholarship Chairman in reviewing applications and selecting a scholarship winner; c. Works together with the Scholarship Chairman and Programs Chair to coordinate the Scholarship Banquet.

C. Additional Committees a. Additional committees may be established as deemed necessary by the Board of Officers and shall be appointed by the President with Officer approval.
Article VI—Dues and Fees

Article VII—Quorum
General membership quorum is sixty-six percent (66%) of the membership of PWS. Board of Officers quo-rum is a majority of the total Officer members.
Article VIII—Parliamentary Authority
Robert’s Rules of Order Newly Revised shall govern the proceedings of PWS in all cases not provided for in these Bylaws.
Article IX—Dissolution
Upon dissolution of PWS, the assets, after all claims against those asses have been satisfied shall be contrib-uted to a charitable organization selected by majority vote of the remaining executive board.
Article X—Notices
Any notice required to be given in these bylaws shall be given not less than ten (10) days in advance of any meeting or proposed action and may be given either through the regular US Postal system or via email.
Article XI—Amendments
These Bylaws in their entirety or any portion thereof may be amended or rescinded at any regular or special meeting of the Association by majority vote of the members present, provided notice of the meeting and the purpose thereof is given in accordance with Article X.
