DEADLINE: OCTOBER 16, 2020
Volunteers are the heart of The IIA’s success by helping to identify trends, programs and services to ensure that The IIA continues to guide the profession into the future. They also assist in the development of tools and providing support to IIA members, chapters and affiliates to enhance the practice of internal auditing and raise the visibility of the profession with stakeholders. In December 2015, the Board of Directors appointed of a Governance Task Force (GTF) to provide guidance on ways to enhance the effectiveness of our governance structure. The proposed governance structure resulted in new Bylaws, policies, and processes requiring transformational changes in the conduct of business for The IIA. Once the new board was seated in July 2019, it was envisioned that phase 2 of the project would include an objective review of the global committee structure to ensure it was properly configured and aligned to address future strategic needs, given all of the other organizational changes over the past several years. The NA Board went through a similar process and evaluated the North American committee structure through the work of the North American Governance Task Force (NAGTF) whose recommendations were effective in July 2019, establishing a nimble structure that supports the NA Strategic Plan. In July 2019, The Global Committee Task Force (GCTF) was appointed to assess the global committees and how they align to the current structure and with the 2019-23 Global Strategic Plan (GSP). The GCTF considered options working with committee chairs and staff to establish an agile, streamlined and modern committee structure which would effectively support the strategic plan and future business needs. The objective included recognizing the need to create a sustainable dynamic culture of volunteer engagement, in which volunteers can adjust their level of commitment based on their schedules in alignment with The IIA opportunities. As a result, the GCTF proposed maintaining the Institute Relations Committee, International lnternal Audit Standards Board, and the Professional Certification Board with Exam Development as a subcommittee and the creation of two virtual global advisory councils 1) Advocacy Advisory Council and 2) Content Advisory Council. The newly created Councils will be focused on the Global Board’s strategic goals related to a Stronger Profession (Advocacy) and Competent Professionals (Content). Advisory Councils exist to provide the strategic link between the Global Board and IIA staff initiatives in support of the GSP. In addition, the structure included transitioning the remaining committees to virtual Professional Knowledge Groups. Use of virtual professional knowledge groups will continue to support operations in areas as needed and will be managed by business units directly to allow for flexibility and adapt to plans and schedules. The new structure enables The IIA to direct resources to create more value for members and allow for more focused engagement.

VOLUNTEER OPPORTUNITIES
COUNCIL AND COMMITTEE SUMMARIES
The primary function of IIA volunteer engagement is to provide subject matter expertise, advice and counsel on an ongoing basis in different aspects of the organizational operations. Terms are usually for two years, with half of the members’ terms expiring each year. Members may be replaced annually if not effectively contributing to volunteer activities and should not serve more than two consecutive terms on the same council or committee. Members are expected to have funding for travel and expenses to at least two meetings per year.
Following are brief summaries of the volunteer opportunities, composition and any special requirements for participation:
ADVOCACY ADVISORY COUNCIL Mission: To advocate and promote the value of internal auditing in alignment with the IIA Strategy and specific advocacy goals. Composition: Members knowledgeable/experienced in current government regulations and practices with established networks within their stakeholder community. CIAs preferred. May only meet in-person one time per year.
CONTENT ADVISORY COUNCIL Mission: To advance the content strategy of The IIA to ensure members are competent, confident, and courageous to deliver on stakeholder expectations and demonstrate the value of the profession. Composition: Members representing a cross-section of The IIA membership. May only meet in-person one time per year.
CANADIAN BOARD (Canada Only)* Mission: To ensure that volunteer and staff activities of IIA Canada adequately address the needs of Canadian membership through continuous monitoring of programs, services and budgets relating to Canadian members and Chapters.
Composition: Selected for special expertise with a National perspective and broad mix of regions or industries to help balance the Board diversity. CIAs preferred. A maximum of one non-CIA could be considered.
CHAPTER RELATIONS COMMITTEE* Mission: To assist chapter leadership as a resource and liaison to The IIA in enabling chapters to meet their objectives: that the professional practice of internal auditing is effectively promoted through a full range of quality services to members; and that effective strategies are developed to address issues and opportunities at the chapter level.
Composition: Restricted to elected District Representatives and District Advisors. Must be CIAs.
COMMITTEE OF RESEARCH AND EDUCATION ADVISORS Mission: To provide the internal audit profession with the information needed to anticipate and react to important external and internal factors that could have a material impact on the practice of internal auditing. Composition: Members representing a cross-section of IIA membership.
INSTITUTE RELATIONS COMMITTEE Mission: To promote and facilitate the development and maintenance of a global strategy that fosters good communication, collaboration, and cooperation among The IIA and all Affiliates; to oversee the global presence and expansion of The IIA.
Composition: Number of members as needed to ensure a balanced committee with global competencies and representation from all areas of the world.
INTERNATIONAL INTERNAL AUDIT STANDARDS BOARD Mission: To provide authoritative, relevant, timely and globally recognized standards, a code of ethics, and related implementation guidance, essential to the delivery of consistent and high quality internal auditing.
Composition: Members representing a broad range of experience at senior levels of an internal audit function. CIA required.
PROFESSIONAL CERTIFICATIONS BOARD Mission: To govern and promote The IIA’s global certification programs that are recognized as the global benchmark for the profession.
Composition: Must be CIAs.
Subcommittee of the PCB
Exam Development Committee
Mission: To ensure that the content of The IIA’s certification exams is continuously aligned with and reflects the current global practice of internal auditing, including the International Professional Practices Framework (IPPF).
Composition: Members with a broad range of competencies and experience that is globally diverse and represents a cross-section of industry sectors. CIA required; CRMA and/or QIAL strongly preferred.

VIRTUAL PROFESSIONAL KNOWLEDGE GROUP REQUIREMENTS AND RESPONSIBILITIES
VIRTUAL PROFESSIONAL KNOWLEDGE GROUP SUMMARIES
Professional Knowledge Group members are selected based on skills, competencies and availability. Their work will be accomplished mostly through virtual means unless otherwise scheduled, on a project bases focused on topics such as general guidance, industry specific content, training, information technology, public sector, academic relations, etc. lead by their staff liaison in accordance with the Strategic Plan. .
Following are brief summaries of the virtual group’s missions and composition and any special requirements for participation:
ACADEMIC RELATIONS Mission: To forge relationships among students, academics, practitioners, administrators, and others to promote the role of internal auditing and internal audit education within college/university curricula globally.
Composition: Members represent both academe and practitioners.
Working Groups: Student Outreach and Resources – Support student growth and professional development initiatives.
Faculty/Educator Outreach and Resources - Educator support and resource development.
Affiliate and Academic Relations Chair Support – Work with AR leaders to grow academic relations efforts with local universities.
IAEP Program Quality & Review – IAEP applications, annual reporting, program reviews.
Note: These are virtual groups that may meet in-person once a year (outside the standard committee meeting times).
GUIDANCE AND THOUGHT LEADERSHIP (4 Groups) Mission: To strategically direct the development of content in support of internal auditors globally by identifying, prioritizing, and commissioning guidance and thought leadership specifically geared to the unique needs of internal auditors.
Composition: Members with a broad range of competencies and experience that is globally diverse and represents a cross-section of industry sectors. CIA strongly preferred. Should have experience at a senior level of their organization. Prefer prior experience as a global guidance contributor.

BENEFITS AND REQUIREMENTS OF IIA VOLUNTEER SERVICE
BENEFITS You’ll have the opportunity to:

GENERAL REQUIREMENTS / INFORMATION In order to serve, you should:
Be an IIA member in good standing.
Have specific relevant competencies.
Be able to commit time.
Have funding for your travel and meeting expenses, if not a virtual group.
Agree to comply with The IIA’s Annual Conflict of Interest Declaration.
Certain boards/committees require that a majority of their members be Certified Internal Auditors (CIA). A self-nomination should be submitted and, if possible, endorsed by the member’s affiliate, chapter or another IIA leader.
GENERAL TIME COMMITMENT
Excluding virtual knowledge groups, all terms are one or two years, depending on the position. However, members may be replaced at the end of any nomination year due to lack of participation or changing needs.
Attendance is expected at in-person and teleconference meetings: o Chapter Relations Committee (NA only) meets in April in
conjunction with Leadership Academy. o Global committees meet in June/July in conjunction with
the International Conference (locations vary). o All committees meet in November/December typically in
Orlando, Florida, USA. o Some committees hold additional or alternate meetings
during the year or communicate via teleconference between meetings.
o Virtual groups will meet via teleconference scheduled as needed.
Attendance is encouraged at seminars/conferences in support of IIA activities.
Work time, other than the above meeting times, averages 50–100 hours per year. However, some board and committee members’ time may exceed 100 hours per year.
CONFLICT OF INTEREST Note that all volunteer leaders must sign the Annual Conflict of Interest Declaration to ensure that members act in the best interest of The IIA.

THE IIA NOMINATING PROCESS
The IIA has two nominating committees. The North American Nominating Committee (NANC) meets in November/December 2020 to select the slate of nominees for the NA Board and the District Advisors and Representatives. The Global Nominating Committee (GNC) meets in November/December 2020 and January 2021 to select the slate of nominees for the Global Board of Directors and Internal Audit Foundation Board of Trustees. Committee Chairs are appointed in late January 2021 by the Chairman of the Board Nominee and help select the members to serve on their committees. Committee appointments are completed in late February/early March, with committee terms beginning in April or June 2021.
IIA COMMITTEE PROCESS The appointed committee chairmen work with the assigned global board member nominees and staff liaisons to review and select candidates of their committees. Efforts are made to ensure that each committee has a broad cross-section of members, certification, geographical representation, industry, experience, skills, and any specific requirements of the committee are taken into consideration.
New committee members are appointed by early March to fill terms beginning in April or June 2021. The committee meetings are usually held twice a year, with the first meeting immediately following the International Conference which is scheduled to be held in June in Singapore next year and the second in Orlando, FL, USA in November/December 2021. Terms are for one or two years, although committee chairmen may replace members who have not effectively contributed to committee work. Appointments may also be made to fill vacancies as needed.
CANADIAN BOARD PROCESS (Canada Only)
A Canadian Nominating Committee shall be responsible for selecting the slate of nominees for the Canadian Board, subject to approval by the Canadian Membership.
CHAPTER RELATIONS COMMITTEE (North America Only)
The NANC selects the slate of candidates for the open District Advisor and District Representative positions in North America. District Advisors and District Representatives serve on the Chapter Relations Committee (CRC).
The slate of NA District Advisor and District Representative Nominees is announced to members via The IIA website and candidates are elected during an annual NA Membership Meeting held in April 2021 in conjunction with The IIA’s annual Leadership Academy. The CRC meets at the Leadership Academy in April and at Midyear in November/December.
VIRTUAL ADVISORY COUNCILS
Advisory Councils exist to provide the strategic link between the Board and IIA staff initiatives in support of the strategic plans. Members are selected as needed for tactics supporting the Strategic Plan – may be through the nominations process, from Professional Knowledge Groups or other committees/task forces based on expertise, specific background or competency needed. A balance across industries, size of organizations and diversity will be considered, but will rely upon more detailed analysis of the strategic plan tactics. Members should be continually rotated for diversity of thought and meet the strategic initiatives of The IIA.
VIRTUAL PROFESSIONAL KNOWLEDGE GROUPS
Professional Knowledge Groups exist at the tactical level to achieve KPIs. Members can be selected through the nomination process or by other means as needed based on subject matter expertise, skills, competency and diversity and will be determined by the staff liaison to align with business plans and projects. Each new project should consider new Subject Matter Experts to ensure engagement across a broad global spectrum. Members would not formally meet in-person at IC or Midyear, but could if necessary.
