The purpose of the European Petrochemical Association (EPCA) is to organize each year one or more reunions in Europe

which facilitate legitimate networking and meetings between companies and open debate to the long term sustainable

development of the petrochemical industry. Members are parties having a business interest in or with the European

petrochemical industry.

To that effect EPCA offers and provides the logistics for:

- A quality platform to meet. This is implemented via :

• the EPCA Annual Meeting organized for EPCA members;

• the organization of seminars, round table sessions, working groups, think tanks

and such other activities as decided upon by the EPCA Board and organized for

EPCA members and stakeholders.

- A platform for communication, exchange of information as well as transfer of

learning between members and stakeholders. EPCA in this connection works on

increasing its visibility via the web, co-operation with the press, newsletters,

publications and other communication tools.

- A huge global network connecting members and stakeholders.

All EPCA activities are focused on delivering a message shared with the attendants of an

EPCA reunion in the form of a presentation during a business session, expert advice in a

workshop, publication, film or other communication mode.

EPCA is a service provider for its members, driven by customer satisfaction. Company member representatives

participate in the Board, Supply Chain Program Committee, think tanks and working groups in accordance with the

EPCA statutes.

In order to optimize resources and avoid overlap EPCA co-ordinates its activities with Cefic, APPE, Plastics Europe and

other industry associations such as NPRA, APLA, APIC and GPCA.

Through its activities EPCA endeavors to contribute to the improvement of the public image of the chemical industry

but EPCA is not a lobby body nor involved in lobby activities. Lobbying is explicitly excluded from the EPCA statutes.

EPCA and its members are committed to strict competition law compliance, not only to ensure that every EPCA

activity complies with the law, but also that there can be no misunderstanding about such activities. For example,

EPCA is providing to its members a check list for meetings (Do’s and don’t’s) reminding them of the importance of

compliance with the competition law.

Initiate, facilitate and promote ideas and projects that are of interest to the long term sustainable development of the

petrochemical industry, its business partners and service providers.

R2009 has been a difficult year for all EPCA member

companies and stakeholders. The global economic downturn

had a negative impact on the chemical business community

wherever located on the globe. Against this backdrop of the

economic recession EPCA has reduced its budgeted

operating costs as well as the costs of the 43rd Annual Meeting

whilst maintaining the quality of services and of the business

session program to the usual high standard. In 2009, the EPCA

Annual Meeting fee was set at the lowest level of the last 20

years in order to allow the maximum of delegates to attend

the meeting regardless of the economic circumstances.

Whatever the challenges of the moment, the 43rd Annual

Meeting organized in Berlin was a great success with a

number of attendants in line with the budget, despite the crisis.

Renown speakers and provocative panel debates featuring

Edouard Croufer, Director Arthur D. Little, Leader of the

Global Chemicals and Health Care Practice; Joschka

Fischer, Foreign Minister and Vice-Chancellor of Germany

(1998-2005); Dr. Gerd Leipold, Executive Director

Greenpeace International; Nikhil Meswani, Executive

Director Reliance Industries; Hervé Montjotin, Transport

Division Executive Vice-President, Norbert Dentressangle;

Steve Pryor, President of ExxonMobil Chemical; Frank

Rinderknecht, CEO Rinspeed and Dr. Ulrich von

Deessen, BASF President Competence Center Environment,

Health & Safety. Delegates have qualified this meeting in the

appreciation forms as “one of the best meetings ever”.

In 2009 the EPCA Board has reviewed EPCA’s strategy and

mission statement with the support of the Young EPCA Think

Tank (YETT). The Board confirmed that EPCA’s clear focus is

on global networking and providing a platform in Europe for

the chemical business community to meet, communicate and

exchange information and transfer learning. EPCA’s role in

contributing to the improvement of the public image of the

chemical industry and encouraging open debate on the long

term sustainable development of the petrochemical industry

has also been agreed.

EPCA’s focus and purpose as described above results from

the vision and constant practice in the past ten years. Indeed,

since 2000 EPCA has put at the forefront of its Annual

Meeting business session programs a theme showing how the

chemical industry contributes to sustainable development in

one or the other aspect of sustainability. Sustainable

development and corporate social responsibility as a

whole were addressed in the meetings of 2000 and 2002,

whilst in 2005 we promoted and demonstrated that chemical

products improve our daily life and human well being.

The economic dimension of sustainability was challenged

in 2001 by examining the competitive advantage of

concentrations in the chemical industry and in 2003 by

looking at the global competitiveness of the European

chemical industry.

In 2004 we focused on the human aspect of sustainability

by promoting how our industry recognizes the value of

people and the need to constantly develop them and in

2007 we showed that our industry takes advantage of the

diversity in the workforce and of the different,

complementary skills of the people employed by the many

international companies that form part of our membership.

Energy and hydrocarbons were at the heart of the

debate in 2006 and 2008, with attention for hydrocarbons as

building blocks for the chemical industry. The latter has been

clearly positioned as an enabler of solutions for

sustainable development in the 2009 meeting.

In our supply chain and logistics activities, which consist

of the former logistics meetings, the workshops and best

practices seminars as well as supply chain think tanks, we have

constantly stressed the need for building trust and

partnerships between producers and service providers in

order to optimize supply chains both for economic and

environmental impact reasons, whilst ensuring strict

compliance with competition law. In our “cluster” think

tank of 2007, we even promoted the use of multi-

stakeholder partnerships not only between producers

and service providers, but also between producers, service

providers, customers and even authorities in order to evolve

to a different and more sustainable business model. The

chemical clusters already demonstrate impressive energy

efficiencies and emission reductions but can be improved

substantially through enhanced multi-stakeholder co-operation,

further integration and connectivity between clusters, beyond

different national borders and interests.

With the above business session approach and reporting

of the results of discussions as broadly as possible after the

meetings, EPCA has and will continue to contribute to the

improvement of the public perception of our industry both

within and outside the chemical community.

We aim to maintain the momentum this year, in the 44th

EPCA Annual Meeting that will take place in Budapest from 2

to 6 October 2010. The choice of Budapest as the meeting

venue is a potent symbol of integration between Eastern and

Western Europe, which is very apparent in the chemical

industry. Special attention has been given to safeguard

competitive prices for meeting rooms and bedrooms in order

to match the requests expressed by EPCA delegates in the

numerous meeting appreciation forms that we have collected

last year. The 44th Annual Meeting theme is “Nine Billion

People in 2050” and positions the chemical industry as an

enabler of solutions to allow these nine billion people access

to food, drinkable water, energy, decent housing, health and

education, both from a general business perspective and from

a supply chain point of view. Appealing speakers and panel

members of international renown are already confirmed for

the business sessions and closing lunch, promising “mind

opening” opinions and exciting debates.

1 EPCA governingstructures

Since January 2009, the EPCA Board and the EPCA

Logistics Committee have merged into one entity with up

to one third service providers present in the Board.

Much attention has been given by the Board to the esta-

blishment of a new EPCA strategy and mission statement

paper as well as to the development of a clear EPCA

Board composition policy, in alignment with the reformula-

tion of the EPCA membership criteria and policy. The

Executive Committee has been given a well defined role.

The activities of the Logistics Committee have continued in

the form of the Supply Chain Program Committee

(SCPC), which, together with the Young EPCA Think Tank

(YETT), assists EPCA in the development of the Supply

Chain part of the Annual Meeting business session pro-

grams and in the organization of one or several yearly

Supply Chain workshops dedicated to specific and focused

topics as well as projects of relevance to the chemical busi-

ness community and its stakeholders. Detailed information

on the activities of the SCPC and of the YETT can be

found in points 7 and 8 of this report.

2 EPCA membership andparticipation strategy

EPCA is a global network, connecting members and

stakeholders as well as providing a quality platform to meet and

to communicate, exchange information and transfer of learning.

Members are parties having a business interest in or with the

European petrochemical industry. EPCA Annual Meetings are

restricted to EPCA member companies with the exception of

invited academics, authorities or experts, occasionally other

associations, with whom EPCA has special links.

The success of our approach is substantiated by the fact

that in 2009 EPCA managed to maintain its membership

base notwithstanding the downturn. The number of

attendants at the Annual Meeting in Berlin in 2009 was

on budget despite the economic circumstances and

shows the importance of EPCA as a network and

platform to meet on a global scale.

3 EPCA accountsOn 31.12.2009, EPCA’s net assets reach 4.500.321,13 €,

taking into account a negative result of 149.338,03 € for

the calendar year. This negative result is lower than

budgeted because in the course of 2009 EPCA has cut the

costs of the Annual Meeting by more than 500.000 € by

reference to budget, whilst keeping the Brussels office

expenses on budget, which means a reduction of 60.575 €

by reference to the office expenses of 2008.

The 2009 Annual Meeting has generated a loss of

279.554,44 €. Income of the meeting was lower than

budgeted because of less than expected sponsorship

income. In order to allow a maximum of delegates to

attend the meeting, we decided to charge the lowest

Annual Meeting fee in the last twenty years. Meeting

expenses were drastically lower than budgeted as we have

adapted to the crisis.

Statistics show that between 1995 and 2007 EPCA

generated surpluses on its Annual Meetings. That trend has

been reversed since 2007.

Attendance statistics:

With 1892 registered delegates, EPCA reached an excellent

record registration number, on budget, notwithstanding the

economic downturn. As usual, more associate than full

EPCA member representatives were present, with a total of

69 % coming from Europe. Germany was the most

important country for Annual Meeting attendance in 2009,

followed by the USA and The Netherlands. Delegates

registered from 53 different countries in the world whereas

EPCA member companies have their registered address in

54 countries. Belgium, the Netherlands and Germany, taken

as a whole, stand for 37 % of total attendance.

Business sessions

The theme of the meeting “Turbulent times for chemicals:

Coping with Challenges through Sustainable Development”

was well received.

On Monday 29 September the business session program

was opened by Dr Albert Heuser, President of EPCA. He

underlined that keeping focus on implementing sustainable

development in the way the chemical industry operates is

key to cope with today’s and tomorrow’s challenges. The pro-

gram featured Stephen Pryor, President, ExxonMobil

Chemical. Mr. Pryor explained that to be successful, the che-

mical industry must be sustainable. He underlined his belief in

the continued investment in petroleum-based technology

and production capacity, whilst pursuing alternative sources of

energy. This speech was followed by an animated panel dis-

cussion during which the ideas of the captain of industry

were debated by Joschka Fischer, Foreign Minister and

Vice-Chancellor Germany (1998-2005), Dr. Gerd Leipold,

Executive Director Greenpeace International, Nikhil

Meswani, Executive Director Reliance Industries and Frank

Rinderknecht, CEO Rinspeed. The panel tackled issues

such as the double challenge of coping with the severe effects

of the economic crisis and embracing sustainability to fight cli-

mate change.

The business session in the morning of Tuesday 6 October

was dedicated to a workshop called “Turbulent Times for

Chemicals: Coping with Challenges through Sustainable

Supply Chains”. Phil Browitt, Chairman of the EPCA

Supply Chain Program Committee opened the session and

underlined the fact that the industry needs global solutions

to cope with present and future global challenges.

Dr. Ulrich von Deessen, BASF President Competence

Center Environment, Health & Safety, gave the introductory

speech on sustainable supply chain management. Dr. von

Deessen took the example of BASF to explain that achie-

ving higher economic and ecological performance along

the supply chain with all partners is at the very core of

BASF’s goals and development plans. After Dr. von

Deessen’s keynote speech a panel composed of Dr. von

Deessen, Edouard Croufer, Director Arthur D. Little,

Leader of the Global Chemicals and Health Care Practice;

Joschka Fischer, Foreign Minister and Vice-Chancellor

Germany (1998-2005) and Hervé Montjotin, Transport

Division Executive Vice-President Norbert Dentressangle,

discussed about practical solutions on how to implement

sustainable supply chains. Panel members believed that the

industry needs optimization of its supply chains also out-

side the factory fence, searching for operational excellence

and increasing their supply chains’ competitive edge via

technology and environmental standards. Panelists also

underlined that the industry should make its supply chains

more transparent and more flexible. The debate conclu-

ded that building trust and reinforcing alliances are key

issues in order to develop sustainable supply chain mana-

gement. It is important to give to transportation and

logistics providers the opportunity to address real partner-

ship solutions to improve sustainability.

Nadine Dereza, BBC journalist, moderated the 2009

Annual Meeting business session program.

Closing Lunch

To close the Annual Meeting, EPCA offered its delegates

the opportunity to attend a lunch featuring Prof.

Condoleezza Rice, US Secretary of State (2005-2009).

632 delegates registered for this event and listened to Prof.

Rice’s views on “How to achieve Global Sustainable

Development in an Economic Downturn and Geopolitical

Uncertainty”. Prof. Rice voiced her opinion that open trade,

common standards and the private sector’s creativity will

drive economic recovery. Efforts to protect the environ-

ment and combat poverty amongst others through

education for all, have to be intensified.

EPCA Informal Meeting Lounge, Meeting

Tables, Meeting Rooms.

As usual EPCA offered to its delegates the possibility to

have access to an informal meeting lounge spread out over

the Marlene Bar, the Wintergarten, the Potsdam Foyer and

the Garden Lounges on the ground floor of the

InterContinental Hotel. These formed the EPCA reserved

area accessible only to registered badge-holders.

In addition, EPCA delegates had the opportunity to rent

meeting tables located in the Pavilion area of the

InterContinental Hotel (ICH) Berlin. Break-out or meeting

rooms could be hired in the ICH and in the different

EPCA hotels at walking distance from the ICH.

Social events

The opening event on the Sunday evening organized at the

Mercedes World venue, near Charlottenburg, enjoyed very

high attendance and received an excellent appreciation

score among the attendees.

Sports events

With regard to the very low number of participants, in

proportion to the total attendance at the Annual Meeting,

of the various sports and cultural events previously organi-

zed, the EPCA Board has decided that EPCA should not

continue to organize sports events and accompanying

partners programs. However, to cope with delegates’ indi-

vidual requests, a Berlin Destination Management

Company, Schäfer Event & Kommunikation, staffed a desk

in the lobby of the InterContinental Hotel in order to help

attendants interested in their assistance in organizing

sports, touristic or social activities.

EPCA reconfirmed its interactive stance. More than

20% of the attendants responded via the EPCA “apprecia-

tion forms”. These forms are used, amongst others, as a

constant improvement tool for EPCA meetings.

Comments and recommendations are examined in depth

by the EPCA Board and are, after due consideration, taken

into account in the organization of future events to

increase customer satisfaction. The ratings received in the

appreciation forms by the EPCA team as well as the ove-

rall rating of the 43rd Annual Meeting were very positive.

5 EPCA - Cefic Exhibition Mercedes World

3 – 7 October 2009

In 2009 EPCA has for the first time organized, together with

the European Chemical Industry Council, Cefic, an exhibition

in the Mercedes World venue in Berlin where the opening

cocktail and buffet took place. The theme of the Exhibition

was “Sustainable Cars: Chemicals as Part of the Solution”,

directly linked to the theme of the 43rd Annual Meeting. The

main focus of the Exhibition was the sustainability impact of

the interaction between the car dusting and the chemical

industries in three aspects: economical, ecological and human.

Besides the meeting delegates, EPCA had invited German,

Berlin and EU authorities, the international press and Berlin

schools to visit the Exhibition that showed a total of 12 cars,

each of them representing a milestone in the 125 years

(1885-2010) of evolution of the car industry. Descriptive

panels were placed next to each car in order to explain why

such particular car was a milestone. As pedagogical support

dedicated to the general public and to the youngsters, an

Exhibition Brochure has been realized, explaining that the

car and the chemical industries are team players for

sustainability.

In the same context a transparent car was exhibited in the

InterContinental Hotel lobby that showed the important

part of plastics, fuels and additives supplied by the chemical

industry to the car industry for making lighter, energy

efficient, safer and more comfortable cars reducing

emissions and energy consumption.

6 EPCA Press DayEPCA organized a Press Day at the EPCA offices in

Brussels on 12 June 2009. Representatives from the

specialized press as well as representatives from EPCA and

ECTA attended the meeting. The purpose of this meeting

was to open debate on the current and future

cooperation between EPCA and the press.

7 EPCA Centre of SupplyChain Expertise. EPCASupply Chain ProgramCommittee (SCPC)

The EPCA SCPC is formed of experts in chemical supply

chains active in or for the global chemical industry and

recognized by their peers as being “best in class”. This was

already the case for the former Logistics Committee, which

was dissolved on 31 December 2008 due to the merger

of the EPCA Logistics Meeting with the EPCA Annual

Meeting since 2006 and resulting fusion of Board and

Logistics Committee on 1 January 2009.

Contrarily to the former Logistics Committee meetings,

EPCA SCPC meeting dates are disconnected from EPCA

Board meetings and the SCPC operates in a much more

flexible and less formal way than the Logistics Committee.

The objectives of the EPCA SCPC are:

- to assist the Secretary General in the organization of the

supply chain part of the EPCA Annual Meeting program

- to propose to the EPCA Board projects of interest to

the Industry in the field of chemical supply chains

- to help organize and contribute to, within set budgets,

EPCA supply chain workshops, in order to challenge

“business as usual” chemical supply chain management

practices and approaches.

The SCPC suggests themes and speakers that appeal to an

international audience and that respond to the needs of

supply chain managers with global reach, whether they

work for producers or service provider companies.

environment friendly European chemical land transport as

well as productivity improvements via joint working groups

between ECTA members and chemical industry

representatives selected by Cefic. Over the last three years

ECTA has gradually evolved into an independent

association of companies active in the European chemical

land transport sector, recognized by EU authorities and

many other stakeholders.

In 2009 EPCA continued its intellectual and managerial

support to ECTA.

In October 2008 ECTA has reached a milestone of

recognition by the signature of the Responsible Care

Agreement with Cefic, becoming the first Responsible care

Partner of Cefic to launch a European-wide Responsible

Care program. That Responsible Care program was

officially kicked off on 13 February 2009 in Barcelona, in

the same city and venue where ECTA was founded on the

occasion of the 1997 EPCA Logistics Meeting. 28 ECTA

member companies have since signed the Responsible

Care contract with ECTA, committing them to implement

ECTA’s Responsible Care principles into their strategy,

management systems and daily operations.

ECTA also became an official partner to the Healthy

Workplaces campaign on Risk Assessment organized by

the European Agency for Safety and Health at Work

(OSHA). The campaign aims at reducing work-related

accidents and illness by promoting risk assessment as the

first step to a sustainable prevention culture.

Considering the latest developments of ECTA and given

the different strategic focus, the ECTA and EPCA Boards

have decided that ECTA should, in the course of 2010,

become fully independent from EPCA.

11 Co-operation betweenEPCA and Cefic

The co-operation between EPCA and Cefic has continued

in 2009. It takes the form of the participation of the Cefic

Director General in the EPCA Board and of the EPCA

Secretary General in the Cefic SIG (Strategy

Implementation Group) Logistics. The co-operation is also

achieved via the fact that some EPCA Board members are

at the same time a Board member of APPE , the

Association of Petrochemicals Producers in Europe, which

is part of Cefic, and of the Board of Plastics Europe, which

is a Cefic Affiliated member.

During four meetings in 2009 and one meeting in January

2010 the SCPC selected future EPCA supply chain topics,

helped shape the Tuesday morning part of the 2009

Annual Meeting and selected the themes and program of

the 2010 EPCA Supply – Demand Chain Workshop held

in Frankfurt on 2 & 3 March 2010. The SCPC members

also established the process of and facilitated the Round

Table discussions during the Frankfurt workshop.

8 Young EPCA Think Tank(YETT)

The Young EPCA Think Tank (YETT) has been established

in 2002 and has since its creation substantially contributed

to the debate on EPCA’s strategic focus, communication

and adapting EPCA’s Annual Meetings to the changing

needs and expectancies of EPCA delegates.

The YETT is composed of talented young representatives of

the chemical industry and its service providers. In 2009 the

EPCA Board redefined the membership criteria of the YETT

and a new composition of the YETT has been achieved.

The YETT gathered twice in 2009 and once beginning

2010. They discussed and provided valuable input on the

content and format of the business sessions of the 2009

Annual Meeting, the theme and business session program

of the 2010 Meeting, the EPCA strategy and mission

statement paper and the selection and prioritization of

future supply chain topics.

9 EPCA Facilitator ofmeetings - Brusselsoffice

In 2009 the meeting room capacity at the EPCA offices

enjoyed an occupancy rate of 57 %. This occupancy rate

relates to the meeting room occupancy by EPCA, ECTA,

EPCA Member Companies and other associations as well

as third party lessor companies registered at 270, avenue de

Tervueren, Brussels, Belgium.

The European Chemical Transport Association,

ECTA, was initially formed with EPCA financial, managerial

as well as HR support as an association set up for

developing best practices to achieve safer and more

The co-operation with Cefic is implemented, amongst

others, by joint Cefic/EPCA initiatives and the participation

of EPCA in Cefic projects like the support to the working

groups of the High Level Group on the Competitiveness

of the European Chemical Industry.

In 2009 the cooperation has been reinforced with the

realization of the Cefic-EPCA exhibition on sustainable

cars during the EPCA Annual Meeting in Berlin.

EPCA will continue the co-operation with Cefic in 2010

and thereafter with a clear focus on respective strategic

goals, core competencies and optimizing resources.

12 Co-operation betweenEPCA and IMPCA

Since 1991 EPCA supplies services to the International

Methanol Producers and Consumers Association (IMPCA).

IMPCA is composed of more than 60 members active in

the global methanol industry.13 2010 Annual MeetingInterContinental Hotel & Marriott

Hotel Budapest 2-6 October 2010

EPCA will organize its Annual Meeting in Budapest from 2

to 6 October 2010. We will look at “Nine Billion People in

2050. The Chemical Industry as Enabler of Solutions”.

The title refers to the prediction of the United Nations of

a continued population growth reaching an aggregate of

nine billion people by 2050. Problems as challenging as

global warming, access to drinkable water and food for all,

decent housing, health and education, whilst coping with

the reduction of traditional energy sources have to be

targeted and solutions must be found urgently to satisfy

nine billion people’s needs. Companies should adapt their

key short and long term strategies in light of these global

dramatic changes. The chemical industry, which is already

now the necessary supplier of all other industries in the

world and is likely to play an ever increasing role in this

respect, can and should enable solutions that successfully

and efficiently respond to a lot of the aforesaid challenges.

During the 44th Annual Meeting, EPCA’s approach will

provide you with a holistic as well as a pragmatic view on

key elements that can drive our business community

forward. With confirmed speakers and panel members

like Michael Behrendt, Chairman of the Executive

Board, Hapag Lloyd; Jeremy Bentham, Vice Pre sident

Global Business Environment Shell International;

Professor Asit K. Biswas, F ounder, Third World

Centre for Water management;

Dr. Andreas Kreimeyer, member of the Board of

Executive Directors, BASF SE; Jeremy Rifkin, President,

Foundation on Economic Trends; Professor Jeffrey

Sachs, Director of the Earth Institute, Columbia University

and special Advisor to the U.N. Secretary General, Ban Ki-

moon and Gerhard Schroeder, Chancellor of Germany

(1998-2005), it would be a pity to miss the business

sessions and closing lunch that promise to be thought

provoking and of outstanding quality.

14 Best in classIn 2010 the EPCA Board, the Supply Chain Program

Committee, the Young EPCA Think Tank and the whole

EPCA staff will, together with EPCA’s contractors and sub-

contractors, continue their joint efforts to keep EPCA

amongst the “best in class” professional service

organizations for the chemical business community.

It is our aim to respond quickly, efficiently and cost

effectively to the needs expressed by our member

companies. We do so within the scope of our mission

statement and strategic focus of:

- huge global network connecting member companies and

stakeholders,

- quality platform to meet and to communicate, exchange

information and transfer of learning,

- think tank that initiates, facilitates and promotes ideas and

projects of interest to the long term sustainable

development of the chemical industry, its business

partners and service providers,

- contributing to the improvement of the public image of

the global chemical business community.

In addition EPCA will endeavor continuously to improve

the environmental impact of its meetings.

Independent auditor’s report to the Board ofDirectors of The European PetrochemicalAssociation on the financial statements for theyear ended 31 December 2009In accordance with your instructions, we report to you on the performance of our audit mandate.

Unqualified audit opinion on the financial statements

We have audited the financial statements of The European Petrochemical Association a.i.s.b.l. for the year ended December

31, 2009, prepared in accordance with the financial reporting framework of the Association, which show a balance sheet

total of € 5,228,193.08 and a loss for the year 2009 of € 149,338.03.

The Board of Directors of the Association is responsible for the preparation of the financial statements. This responsibility

includes: designing, implementing and maintaining internal control relevant to the preparation and fair presentation of

financial statements that are free from material misstatement, whether due to fraud or error; selecting and applying

appropriate accounting policies; and making accounting estimates that are reasonable in the circumstances.

Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in

accordance with legal requirements and auditing standards applicable in Belgium, as issued by the “Institut des Réviseurs

d’Entreprises/Instituut der Bedrijfsrevisoren”. Those standards require that we plan and perform the audit to obtain

reasonable assurance whether the financial statements are free from material misstatement.

In accordance with these standards, we have performed procedures to obtain audit evidence about the amounts and

disclosures in the financial statements. The procedures selected depend on our judgment, including the assessment of the

risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments,

we have considered internal control relevant to the Association’s preparation and fair presentation of the financial

statements in order to design audit procedures that are appropriate in the circumstances but not for the purpose of

expressing an opinion on the effectiveness of the Association’s internal control. We have also evaluated the appropriateness

of the accounting policies used, the reasonableness of accounting estimates made by the Association and the presentation

of the financial statements, taken as a whole. Finally, we have obtained from management and responsible officers of the

General commentsThe financial statements are prepared in accordance with the financial reporting framework of the Association.

All assets and liabilities are stated at nominal acquisition value.

The budget 2009 included in this report is the budget voted by the Ordinary General Meeting in 2008.

As per 1 January 2007, in order to be compliant with the new legislation in Belgium, EPCA prepares and files statutory

accounts in accordance with Belgian generally accepted accounting principles and legislation. The statutory accounts will be

filed within 30 days after their approval by the Ordinary General Meeting of Full Members.

Net assetsNet assets amount to € 4,500,321.13 on 31 December 2009. The Ordinary General Meeting of EPCA has decided on

29 September 2008 in Monaco to build up restricted reserves, that would be unavailable for distribution up to an amount

of € 4,813,116.00.

As the situation of net assets at 31 December 2009 does not allow EPCA to fully build up these reserves, EPCA net assets

include:

• A restricted reserve of € 1,800,000.00 that covers any future events adversely impacting on the financial position of EPCA.

• A restricted reserve of € 2,000,000.00 that covers the costs of an eventual cancellation of the Annual Meeting.

• A restricted reserve of € 1,013,116.00 that covers the costs of all the contracted rental commitments (office rental, cars

and office equipment) before term.

• A cumulated result of € -312,794.87, including the balance of income and expenditure of € -149,338.03 for the year 2009.

Membership feesThe membership fees for 2009 have been established by the Ordinary General Meeting at the level of 2,500.00 € for Full

Members and 1,000.00 € for Associated Members, unchanged from 2008.

Financial income (net)Financial income mainly results from interests on bonds. The financial charges relate mainly to bank costs and expenses

Income from administration fees from other associations (net)The related costs of administration for other associations have been netted with the fee income. The fee and costs relating

to the administration of the following organizations are included under this caption: ECTA and IMPCA

Expenses of Brussels officeThe expenses of the Brussels office represent 50% of the total local administrative and personnel expenses. The other 50%

are allocated to the Annual Meeting. The organizational and secretarial expenses of the Meeting therefore include the

allocated expenses as described above as well as all expenses that can be immediately attributed to the Meetings such as

speakers, buffets, printing and mailing, technical equipment etc.

Pension liabilitiesA group pension scheme operates for the whole staff and is a defined benefit scheme. In addition, a separate pension

scheme exists for the Association’s Secretary General and is in the form of a defined benefit scheme. No actuarial

computation of the present value of promised retirement benefits has been performed.

Contingent liabilities14.1 Hotel reservation commitments

Until hotel rooms are charged to participants, EPCA has a commitment to the selected hotels to use the reserved rooms

or to cancel them at reasonable notice. In case of a significant reduction in the number of hotel rooms actually confirmed

and invoiced, the hotels will impose cancellation charges on EPCA. The possible exposure cannot be determined because

the total number of rooms is not fixed yet. An investigation showed that it was not possible to insure against this risk.

14.2 Rental commitments

EPCA has concluded rental contracts for office Space office equipment and three cars.

EThe General MeetingThe General Meeting comprises the Official Representatives

of the Full member companies. Full members have a voting

right based on “one company, one vote” system. The General

Meeting meets formally once per year. The powers of the

General Meeting include 1) the appointment of the members

of the Board, 2) the approval of the EPCA audited accounts

and budget and 3) the decision on membership fees. An

Extraordinary General Meeting can be convened. The General

Assembly is led by the President of EPCA, supported by the

other Board members. Decisions are recorded in formal

minutes and are made available to participants.

The Board of DirectorsThe EPCA policy is decided by its Board of Directors,

composed of a maximum of 18 members. These members

are elected by the Ordinary General Meeting of Full

members for a period of 3 years amongst member

company representatives. They may stand for re-election at

the end of the initial term of office. The Board of Directors

selects the President, Vice-President(s), Treasurer and

maximum 15 other senior representatives of member

companies. The President, Vice President(s) and the Treasurer

form the Executive Committee. The Executive Committee

oversees the daily management of the Secretary General

and assists same where appropriate. The Board reflects the

composition of the EPCA membership base, including both

Full and Associate members. In each of these categories

industry leaders are selected to be part of the Board, given

due regard to the importance of the relevant member

company they represent, to the seniority of the individual

Board member as well as to the time and effort he or she

commits to dedicate to the EPCA activities and the

promotion of same within the Board member’s company.

The Board meets formally 4 times a year. The Board sets

the EPCA strategy, risk management and succession

planning. The Board also establishes the yearly accounts,

budget and EPCA membership fees and proposes same for

approval to the Ordinary General Meeting of Full members.

The Board forms such committees as it deems appropriate.

It decides which activities, think tanks, working groups,

meetings, workshops or seminars EPCA should organize or

contribute to and in which projects of interest EPCA

should participate. The Board establishes the EPCA meeting

fees and assists the Secretary General in the organisation of

the Annual Meetings, seminars, conferences, workshops,

think tanks and working groups.

The Secretary GeneralThe Secretary General executes the daily management of

the Association and implements the EPCA strategy as well as

the decisions taken by the Board. He/she proposes the Board

or the Executive Committee such actions, changes or

improvements of strategy, policies, operations and processes

as he/she deems fit for the benefit of EPCA and its members.

The Official RepresentativeThe Official Representative represents the member

company she or he works for within the Association. Official

representatives of Full members have a vote at General

Meetings. The Official Representative ensures the

transmission of EPCA information to all relevant company

units and persons involved in EPCA activities.

EPCA OrganisationThe fundamental policy rules can be found in EPCA’s Articles of Association.

The principal structures are the Board of Directors and the General Meeting.

Daily management is assured by the Secretary General under supervision of the Executive Committee. Each company is

represented within the association by its Official Representative. Working Groups and Think Tanks are created and

organized with the approval of the Board of Directors. These groups are composed of member company representatives

to assist EPCA on specific projects. External consultants, academics and influential representatives of authorities can assist to

the meetings of these groups as specially invited persons.

About EPCA

The European Petrochemical Association (EPCA) is a Brussels-

based chemical industry-led international non profit association.

As legitimate network and platform to meet, communicate,

exchange of information as well as transfer of learning for more

than 550 international member companies, EPCA operates for

and through its members.

These are chemical producers, their service providers, their

customers and their suppliers.

With 44 years’ experience, EPCA is a service provider for its

member companies.

EPCA organizes meetings, seminars, workshops and think tanks

for its members and stakeholders. Purpose of these activities is

to open debate to the long term sustainable development of

the petrochemical industry all over the world and to contribute

to the improvement of the public image of chemical industry.

EPCA meeting venues are located in Europe. EPCA also

supplies meeting facilities in the format the chemical business

community needs and appreciates.

Given its large and global membership base, EPCA has never

been, nor intended to be, a lobbying organization. As such

EPCA does not have any international or national federations

or associations in its membership.
