1. The Exhibitor agrees to abide by all regulationsandrulesadoptedbytheOrganizingCommittee,andagrees that theOrganizingCommittee shall have therighttoamendandaddtoordeletefromanyandallrulesandregulationsatanytime,atthesolediscretionoftheOrganizingCommittee.2.AllelectricalwiringandoutletsusedbytheExhibitorin excess of the standard duplex electrical outletshallbeat theExhibitor’ssole riskandexpense. AlloperatingelectricalequipmentusedintheexhibitmusthaveC.S.A.orequivalentpowerauthorityapproval.3. Space contracted by the Exhibitor may not besubletorassignedtoanythirdpartywithoutthepriorwrittenpermissionoftheOrganizingCommitteeoritsappointedagents,whichpermissionmaybewithheldforanyreasonwhatsoeverinthesolediscretionoftheOrganizingCommittee.4. THE EXHIBITOR WILL BE SOLELY LIABLE FORAND WILL INDEMNIFY AND HOLD HARMLESS THECANADIAN ASSOCIATION OF PATHOLOGISTS, THEORGANIZING COMMITTEE FOR CAP 2014, EVENTS& MANAGEMENT PLUS INC., THE HYATT REGENCYTORONTOANDTHEOFFICALSUPPLIERSFROMANYINDIRECT, DIRECT, SPECIAL OR CONSEQUENTIALLOSSES OR DAMAGES WHATSOEVER OCCURRINGTO OR SUFFERED BY ANY PERSON OR COMPANY,INCLUDING, WITHOUT LIMITING THE GENERALITYOF THE FOREGOING, EXHIBITOR, OTHEREXHIBITORS, THE ORGANIZING COMMITTEE,OFFICIAL SHOW CONTRACTORS, THE OWNER OFTHE BUILDING AND THEIR RESPECTIVE AGENTS,SERVANTSANDEMPLOYEESANDMEMBERSOFTHEPUBLICATTENDINGTHESHOW,EITHERONTHESAIDSPACEORELSEWHEREIFSAIDLOSSORDAMAGESAROSE FROM OR WERE IN ANY WAY CONNECTEDWITHEXHIBITOR’SOCCUPANCYOFSAIDSPACEOREXHIBITOR’SPARTICIPATIONINTHESHOW.5.TheExhibitorissolelyresponsiblefortheplacementandcostofinsurancerelatedtoitsparticipationintheShow.6.ItisunderstoodthattheOrganizingCommitteeoritsappointedagentshassolediscretionintheassignmentofdisplayspaces.TheOrganizingCommitteereservesthe right to alter or change the Exhibitor’s assignedlocation at any time if deemed by the OrganizingCommittee in its sole discretion to be in the bestinterestsoftheShow.7.TheOrganizingCommitteeor itsappointedagentsreservestherightatanytimetoreject,prohibit,alterorremoveexhibitsoranypartthereof,includingprintedmaterials, product, signs, lights or sound, and toexpelexhibitorsortheirpersonnelif,intheOrganizingCommittee’ssoleopinion,theirconductorpresentationisobjectionabletoothershowparticipants.8. The Exhibitor agrees to confine its presentationwithin the contracted space only, and within themaximumheightsetbytheShowrulesandregulationsand to maintain staff in the assigned display spaceduringshowhours.9. All goods shipped to the Show must be clearlymarkedwiththenameoftheExhibitorandthenumberof its allocated space. Goods must not be shippedto the Show with shipping charges to be paid on

arrivalasthesewillnotbeacceptedbytheOrganizingCommittee. The Organizing Committee assumes noresponsibilityforlossordamagetogoodsbelongingtotheExhibitorbefore,duringtheperiodoftheShow,orafteritsclosing.10. The Exhibitor agrees that no display may bedismantlednormayanygoodsberemovedduringtheentiredurationoftheShow.TheExhibitoralsoagreesto remove its exhibit, equipment and appurtenancesfrom the Show premises by the final move-out timelimit,orintheeventoffailuretodoso,theExhibitoragreestopaysuchadditionalcostsasareincurredbytheOrganizingCommitteeasaresultoftheExhibitor’sfailuretomoveoutpriortothetimelimit.11.TheExhibitoragrees toabideby the instructionsgivenbythedocksupervisorpertainingtothemove-inandmove-outscheduling.12. The Exhibitor agrees to comply with all unioncontracts and labour relations agreements in force,agreements between the Organizing Committee,officialcontractorsservingcompaniesandthebuildinginwhichtheShowwilltakeplaceinaccordancewiththelabourlawsofthejurisdictioninwhichthebuildingislocated.TheExhibitorwillnotdoanythingdirectlyorindirectlyconnectedwithhisdisplaywhichmaybeaviolationofanylaw,bylaw,ordinanceorregulationofanygovernmentalbody,orwhichmaybeinviolationof the regulations of the Canadian Fire UnderwritersAssociationoranyothersimilarbody.13. The Organizing Committee reserves the right, initssolediscretion, tochange thedateordatesuponwhich theShow is tobeheldandshallnotbe liableto any party in damages or otherwise by reasonof any such change. In addition, the OrganizingCommitteeshallnotbeliabletoanypartyindamagesorotherwiseforfailuretocarryoutthetermsofthisAgreement in whole or in part where such failure iscauseddirectlyor indirectlybyor inconsequenceoffire, storm, flood, war, rebellion, insurrection, riot,civil commotion, strike, or by any cause whatsoeverbeyond the reasonable control of the OrganizingCommittee whether similar to or dissimilar from thecausesenumeratedherein.14. The Organizing Committee reserves the rightto cancel this contract and to withhold possessionof exhibit space if the Exhibitor fails to perform anymaterialconditionofthiscontractorrefusestoabidebytheShowrulesandregulations,inwhichcasetheExhibitorshallforfeitasdamagesanyamountalreadypaidfortherighttoparticipateintheShow,aswellastherighttoanyfurtheroccupancyofsuchspace.15.Fullpaymentmustaccompanythesignedcontract.16. This contract may be cancelled by either partyprovided written notice is received by the other byApril30,2014. IncaseofExhibitor cancellation, anadministrative fee of $500.00 will be withheld. Ifthe Exhibitor cancels after this date, it will be liablefor 100% of the total contracted space costs. BycancellingthiscontracttheExhibitorforfeitsallrightsor claims to the allocated space and the OrganizingCommittee is free to rent it toothersandcollect thecancellationchargeasdamage.
