3.0 DEFINTTION OFTERMS
i. The'Contract' means the agreement entered into between the BDO concerned and
lhe Contractor as per the Co n lract Agreement
'Purchase/ shall mean BDO concerned.
'Contractor' shall mean the Bidder whose brd will be accepted by the Projcct
Director, DRDA, keod AArr- for the award of the Works and shall include such
successful Bidder's legal representatives, successors and permitted assigns.
'Engineer in Charge' shall mean rhe officer appointed in writing by the Project
Director, DRDA, fi@4i AalC to act as Engineer froD time to time for the puryose ofthe ContracL
'Specifications' shaU fiean the specificarions and Bidding Document forming a part
of the Contract and such other schedules and drawings as may be mutuelly agreed
upon
'Performance and Cuarantee Tests', shall mean all operational checks and tests
required to determine and denonstrate capacity, emciency, and operating
characteristics as specified in the Contract Documents.
'Guarantee Perlod' shall mean all operational checks and tests requlred to
determine and demonstrate capacity, replacement of defective items, efficiency and
operating characteristics as specifled in the Contract Documents after thecompletion of tie work in complete shape and successful energizadon of str€etlighLs. This is for 02 {two) years with matntenance/ without maint€nance ftom thedate of handover to concerned C,p. jn charge after the successful energization ofstreet lights.
The term 'Final Acceptance,/ ,Taking Over, shall mean the purchase/s wfitren
acceptance of the worl<s performed und€r the Contract, after successful
commissioning/ completion of performance and Guarantee Tests, as specified ln theaccompanyingTechnical Specifications ororherwise agreed in the contraclTerms and expressions not herein defined shall have the sahe meaning as ane
assigned to them in rhe lndian Sale o[ Coods Act [1930), hiling that in the IndianContract Act (1872) and failrng thar in the Ceneral Clauses Act (1g92) includlngamendments thereof, if any.

6.0 PRICE: -
Bidders are reouired to quote firm lrice as per the prescribed format/ Annexue
enclosed in Sectlor-lll and IV along with all comolete informarion in duly ftlled
condition as per formats provided in Secrion - III & rV. The quoted price sha b€ firm
and inclusive of all taxes, duties, freight & insurance and other levies etc., if any and
aiso include the guarantce & mainienance period. project Director, DRDiL
&toqjhCrt shall not Ue liable to pay anlthing exrra over and above rhe quoted price.
The quoted price must be wrinen in hgure and in words. The price in words will be
laken as lhe correct submission irrespective of mistakes in figures. The tender

7.O RECEIPTAND OPENINGOFTHf, BID: -
7.01 Bids in duplicate as described unde. clause 4 o shall be received in ahe omce of the Project
Drrector, DRDA, f(rptilra( and shall be opened on the scheduled date and time. The
Proiect Director, DRDA, l€oolha& shall open bids in the presence of Bidders'
authorized representatives on the date and time for opening of bids as speciffd in
the Invitation to Bid or in case any extension has been given thereto, on the
extended bid opening date and time notified.
7.02 The Bidders' names, bid prices and the presence or absence of the requisite bid
tuarantee and such othe('details as the Project Director, DRDA, keog Aat<at isdiscretion, may consider appropriate will be announced at the opening. No

7.03 No bidder can withdraw or apply for withdrawal ofthe bid at any rate.
8.0 EVALUATION OF BIDS &AWARD OF CONTMCT:

they are complete, whether any computational errors have been made, whether
required sureties have been furnished, whether the documents have been properly
signed, and whether the Bids are generally in order.
8.03 The Proiect Director's evaluahon ofa Bid willtake into account

delegate his power to the BDos concerned for executing the ageement with th€
successful bidder whose Bid has been determined to be the lowest, evaluat€d

services, when the lowest bidders is nor ready and/or capable to undertake the
entire work envisaged, rhen tbe Project Direcror, DRDA" KerDihtwill explore the
possibilrty of the execu[ion o[ works through other bidders if they are willlng to
execute at Lt rate. Such exploration shall be carried out in a sequential order
starting with Lz bidder then with L3 bidder and so on. But, the penalty wt|l be
rmposed to the successful bidders not executing the agreement by the decision oftheDtstrict Level Procurement Committee.
9.0 EARNEST MONEY DEPOSIT (EMD):.
9.01 The Tender must be accompanied by Earnesr Money Deposit in shape of accountpayee Bank Draft drawn on any Notionolised Bonk in favor of prolect Director,DRDA, keo'?ifrqlt payable atl(oliA{qEMD shall be, as mentioned in the tender

9.02 No adjustment of any previous deposrt or any amount payable from other
authoritres shall be entertained for EMD. EMD amount so submitted shall not accrue
any interest payable to the bidder.
9.03 The Earnest Money so deposited shall be forfeited:

11.0 INSPECTION AND TESTING r11.01 The Purchaser or his authorized representative shall be entitled at all
reasonable times during manuhcture / installation to inspect, examine and test the
materials aL the contractor's premises (before and after dispatch) / erection slte
about workmanship of the materials to be supplied under this contract lf the sald
materials are being manufactured in other premises, the contractor shall provlde
unhindered ciearance, giving full righis to the purchaser/its authorlzed
representative to ihspecL examine and test as il the materials were beintmanufactured in his premises. Such i.lspection / examination and testint shall notrelieve the contractor ofhis obligations to execute the contract by letter and spi tThe contractor shall tjve the purchaser advance notice in writing of the Date and thePlace at which rhe materials will be ready for testing.

11.03 Pre-inspection and Post-inspection Report shall be furnished by the Electrical
Technical Personnel in five cases in random basis.
11.04 No mateflals will be dispatched from the factory premises without the
permis5ron of the Purchaser.
12.0 COMPLETIoN AND COMPLETENESS OF THE EQUTPMENT r12.01 Time being the essence of tle contract; the work shall be completed within 12

12.02 The work shall be treated as complete item wise (ogdifrst dll the specilc villoget in
the districtl when one item shall be cornplete in all respects with all mountings,
fixtures and srandard accessories which are normally supplied even though not
specifically detailed in the spccification. No extra payment shall be payable for such
mounting, fittings, fixtures and accessories which are needed for safe operations of
the equipment as required by applicable code of the country though this might not
have included in the contraat.

20,01 lf th€ Contractor neglects to execute the works wjth due diligence and exp€dition orrefuses or neglects to comply with any reasonable order giveh to him, in writing by
the Engineer In connection with the works or conravenes the paovisions oI the
contract, the Purchaser may give notice in writing to the Contractor to nake good
lhe failure, neglect or contravention complained of with the notice within thirty (30)days from the date of serving the notice, the purchasar shall be at liberty to employ
other workmen and forthwith execute such part of the works as the contracror may
have neglected to do or if the purchaser thinks fit, without preiudice to any otherright, he may have under the Contracr to take the work wholly or in part out oftheContractor's hands and re-contract with any otler person or persons to complete
the works or any part thereofand in rhar event rhe purchaser shall have free use ofall Contractor's equipment that may have been at the time on the Site in connecdon

independent of the liquidated damages for delay which the Cohtractor shall have to
pay if the completion ofwork is delayed.

21.O TERMINATION OF CONTRACT ON PURCHASER'S INITIATIVE :
21.01 Purchaser reserves the right to terminate the Conract either in part or in full due to
reasons other than those mentioned under clause entitled 'Contractor's Default'. The
Purchaser shall in such an event give fifteen [15) days notice in writing to the
Contractor of bis decision to do so.
21.02 The Contractor upon .eceipt of such notice shall discontinue the work on the date
and to the extent specified in the notice, make all reasonable efforts to obtaio
cancellation of all orders and Contracts to the extent they related to the work
terminated and terms satlsfactory or the Pur.chaser, stop all funher sub-contncting
or purchasing activity related to the work terminaled, and assist purchaser In
maintenance, protection, and disposition of the work acquired under the COntIaCt
by the Purchaser. In the event of such a termination the Conriactor shall be paid
compensation, equitable and reasonable, diclated by the circumstance prevalent at
the time of termination.
21.03 lf the Contractor is an individual or a proprierary concern and th€ individual or the
proprietor djes and if the Contractor is a partnership concern and one of thepartners dies $en unless the Purchaser is sarisfied thar the legal repr€sentatives ofthe individual Contractor or of the proprietor of the propriety concern and in the

26.0 INSURANCE: -
a) Contractor sha ll arrange adequate Tra nsit'cum-storage-cum-erection policy and
shall submtt the copy of the same to the Purchaser' The Policy shall initially
remain valid for a period of 60 (sixty) days over & above of the contractual
guarantee period.
b) Contractor shall also arrange adequate cover for his employees / labourers
engaged in the works as well as arrange third party insurance cover to
indemnify any possible dimages to public at large not connected with thework
process. Any claim(s) pert ininS to this shall be the responsibility of the
Contractor.
c) The contractor shall undertake free replacement of the materials damaged or
lost during transit.
27,0 ENGINEER lN CHA-RGE OF tHE PROIECTT
The Proiect Director, DRDA may authorize the concemed Executive Engineer of the
DISCOM / Nodal Ofncer of thc DISCOM under Keoqhrn district and Additional
Project Director (Tech), DRDA, to act as the Englneer in charSc of the Prorect, who
will inspect the work from time to time and submit the report to the 'Proiect
Director, DRD.t (eoTj has "_accord ingly.
28.0 GoNTRACI PERFoRIIANCE 8ANK GUAMIITEE r28.01 Before execution of agreement witi BDo concerned, the Contracto. shall submit
Contract Performancc Bank Cuarantee issued by a IvoCionalilsed Bonk, in favour of
the Purchaser, covering l0% ofthe totalvalue ofthe work order.
28.02 ln case of loint Venture/ Consortium, performance bank guarantee shall be in the
name of lead partner @ of 10yo of the contract price and additionat @ 1% each by
tle loint ventur€ partner(s) separately (or) single Bank Guarantee for ( Lead partner
@ 10 % and each JV partner @ 1qo) mentioning the name and address of the Lead &
lV partner, to be submiBed by lead partner.
28.03 The said Bank Guarantee shall be prepared in the prescribed proforma as attached
in Section lV. Annexure - rH, The Bank Guarantee furnished shall be executed on

presc.ibed format (Section-Vl, Annexure-B) for passing of the bill of the
contraclor.
b. The contractor will also subrnit the compliance report in duly signed
condition {in detail) of the "Engineer ln Charge" ofthe p.oiect along with the

right for arrangement of testing of equipment/ materials and the complete system
