    License GrantInreturnforthepaymentofthelicensefeeassociatedwiththeacquisitionoftheLicensedProgram(s)fromECE,ECE

    herebygrantsyouthefollowingnonexclusiverightswithregardtotheLicensedProgram(s):

    1.UseoftheLicensedProgram(s)ononemachine.

    2.TotransfertheLicensedProgram(s)andlicenseittoathirdpartyifthethirdpartyacknowledgesinwritingits

    agreementtoaccepttheLicensedProgram(s)underthetermsandconditionsofthisLicenseAgreement;ifyoutransfer

    theLicensed

    Program(s),

    you

    must

    at

    the

    same

    time

    either

    transfer

    all

    copies

    whether

    printed

    or

    in

    machine

    readable

    formtothesamepartyordestroyanycopiesnotsotransferred;therequirementtotransferand/ordestroycopiesof

    theLicensedProgram(s)containedormergedintootherprograms.

    Agreement.

    You

    may

    terminate

    the

    License

    Agreement

    at

    any

    time

    by

    destroyingtheLicensedProgram(s)togetherwithallcopies,modifications,andmergedportionsthereofinanyform.

    ThisLicenseAgreementwillalsoterminateuponconditionssetforthelsewhereinthisAgreementorautomaticallyin

    theeventyoufailtocomplywithanytermorconditionofthisLicenseAgreement.Youherebyagreeuponsuch

    terminationtodestroytheLicensedProgram(s)togetherwithallcopies,modifications,andmergedportionsthereofin

    anyform.

    Limited WarrantyTheLicensedProgram(s),i.e.thetangibleproprietarysoftware,isprovided,"ASIS"WITHOUTWARRANTYOFANY

    KIND,EITHEREXPRESSEDORIMPLIEDANDEXPLICITLYEXCLUDINGANYIMPLIEDWARRANTIESOFMERCHANTABILITY

    ORFITNESSFORAPARTICULARPURPOSE.TheentireriskastothequalityandperformanceoftheLicensedProgram(s)

    iswithyou.

    Somejurisdictionsdonotallowtheexclusionoflimitedwarranties,and,inthosejurisdictionstheaboveexclusionsmay

    notapply.

    This

    Limited

    Warranty

    gives

    you

    specific

    legal

    rights,

    and

    you

    may

    also

    have

    other

    rights

    which

    vary

    from

    one

    jurisdictiontoanother.

    ECEdoesnotwarrantthatthefunctionscontainedintheLicensedProgram(s)willmeetyourrequirementsorthatthe

    operationoftheprogramwillbeuninterruptedorerrorfree.

    ECEdoeswarrant,however,thattheCDROM,i.e.thetangiblephysicalmediumonwhichtheLicensedProgram(s)is

    furnished,tobefreefromdefectsinmaterialsandworkmanshipundernormaluseforaperiodofninety(90)days

    fromthedateofdeliverytoyouasevidencedbyacopyofyourreceipt.

    ECEwarrantsthatanyprogramerrorswillbefixedbyECE,atECE'sexpense,assoonaspossibleaftertheproblemis

    reportedandverified.However,onlythosecustomerscurrentontheirannualsubscriptioncontractsareeligibleto

    receivethecorrectedversionoftheprogram.

    Entire AgreementThiswrittenAgreementconstitutestheentireagreementbetweenthepartiesconcerningtheLicensedProgram(s).Noagent,distributor,salesman,orotherpersonactingorrepresentingthemselvestoactonbehalfofECEhasthe

    authoritytomodifyorsupplementthelimitedwarrantcontainedherein,noranyoftheotherspecificprovisionsofthis

    Agreement,andnosuchmodificationsorsupplementsshallbeeffectiveunlessagreedtoinwritingbyanofficerofECE

    havingauthoritytoactonbehalfofECEinthisregard.

    Limitations of RemediesECE'sentireliabilityandyourexclusiveremedyshallbe:

    1.ThereplacementofanyCDROMnotmeetingECE's"LimitedWarranty"asdefinedhereinandwhichisreturnedto

    ECEwithacopyofyourreceipt,or

    2.IfECEisunabletodeliverareplacementCDROMwhichisfreeofdefectsinmaterialsorworkmanshipyoumay

    terminatethisLicenseAgreementbyreturningtheLicensedProgram(s)andassociateddocumentationandyouwillbe

    refundedall

    the

    monies

    paid

    to

    ECE

    to

    acquire

    the

    Licensed

    Program(s).

    INNOEVENTWILLECEBELIABLETOYOUFORANYDAMAGES,INCLUDINGANYLOSTPROFITS,LOSTSAVINGS,AND

    OTHERINCIDENTALORCONSEQUENTIALDAMAGESARISINGOUTOFTHEUSEORINABILITYTOUSETHELICENSED

    PROGRAM(S)EVENIFECEHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES,ORFORANYCLAIMBYANY

    OTHERPARTY.

    SOMEJURISDICTIONSDONOTPERMITLIMITATIONOREXCLUSIONOFLIABILITYFORINCIDENTALAND

    CONSEQUENTIALDAMAGESSOTHATTHEABOVELIMITATIONANDEXCLUSIONMAYNOTAPPLYINTHOSE

    JURISDICTIONS.FURTHERMORE,ECEDOESNOTPURPORTTODISCLAIMANYLIABILITYFORPERSONALINJURYCAUSED

    BYDEFECTSINTHECDROMOROTHERPRODUCTSPROVIDEDBYECEPURSUANTTOTHISLICENSEAGREEMENT.

    GeneralYoumaynotsublicense,assignortransferyourrightsunderthisLicenseAgreementortheLicensedProgram(s)except

    asexpresslyprovidedintheLicenseAgreement.Anyattemptotherwisetosublicense,assignortransferanyofthe

    rights,duties

    or

    obligations

    hereunder

    is

    void

    and

    constitutes

    abreach

    of

    this

    License

    Agreement

    giving

    ECE

    the

    right

    to

    terminateasspecifiedherein.ThisAgreementisgovernedbythelawsoftheStateofIllinois,UnitedStatesofAmerica.

    Theinitiallicensefeeincludesone(1)yearofsupport,maintenance,andenhancementstotheprogram.Afterthefirst

    1yearterm,suchupdatesandsupportareoptionalatthethencurrentupdatefee.

    QuestionsconcerningthisLicenseAgreementandallnoticeshereinshallbemadebycontactingECEinwritingatECE,

    Export RestrictionsYouacknowledgetheSoftwareissubjecttoU.S.exportjurisdiction.Youagreetocomplywithallapplicable

    internationalandnationallawsthatapplytotheSoftware,includingtheU.S.ExportAdministrationRegulations,aswell

    asenduser,enduse,anddestinationrestrictionsissuedbyU.S.andothergovernments.Foradditionalinformationsee

Excel style filters are available so users can reduce the selection set to their exactingneeds before exporting to Excel.

    UpdatingCADWorxPartNumbers PLANTMOenablesPartNumber(DB_CODE)updatesin

    theModelbasedonaLongDescriptionorLongDescription/SizeMatch. Thisfunctionality

    negatestheneedtomaintainPartNumbersinseparate(db.dat)textfiles. Nowitis

    possibleto

    automatically

    update

    apart

    number

    based

    upon

    amanufacturer,

    vendor,

    or

    enterprisesystemchangeforanycomponent.

    RequisitioningMaterialsPreDesign PLANTMOcreatesandstoresmaterialrequisitions

    thatcanbeusedtohelpgetmaterialspurchasedbeforeanyCADDesignbegins.

    RequisitionManagement PLANTMOprovidesawayforprojectmanagersandengineersto

    createandotherwisetrackrequisitionsagainstprojects. Atanypointduringaproject

    PLANTMOwillcomparewhathasbeenrequisitionedagainstwhatisrequiredaccordingto

    CADWorxModels. ThisdiscrepancyreportingsystemprovidestheMaterialControls

    necessaryduringanentireprojectlifecycle.
