It was great to see so many of you at the Colorado-Utah Dealer Breakfast during the recently concluded NADA Convention in Las Vegas. It was our biggest dealer breakfast at NADA yet. This year’s NADA was also the best-attended in recent history for both dealers and manufacturers. 7KH�ZRUG�LV�RXW�WKDW�RXU�LQGXVWU\�LV�UHFRYHULQJ�VWURQJO\��7KDW�ZDV�UHÀHFWHG�ERWK�LQ�PDQXIDFWXUHU�PHHWLQJV�DQG�LQ�WKH�VZDUPV�RI�GHDOHUV�RQ�WKH�FRQYHQWLRQ�ÀRRU�ORRNLQJ�DW�WKH�ODWHVW�DQG�JUHDWHVW�products and services. There were also many interesting speakers and workshops to choose from.

The only real cloud in an otherwise sunny outlook at NADA was the ongoing issue of manu-facturer demands for expensive infrastructure improvements, and as you know, CADA has been a OHDGHU�LQ�¿JKWLQJ�WKDW�RYHUUHDFK�

The countdown is on for the Denver Auto Show and the weeklong series of events around the show, coming to the Colorado Convention Center on March 21-25. Our CADA staff and organiz-ers at the Paragon Group are hard at work putting together a 2012 show that should even top last year’s. This year’s chair is Herm Brocksmith of Kuni Honda.

The 2011 show broke records. Attendance was up 23 percent over 2010, a clear indicator that consumers were eager to see and buy new cars. It also set a Colorado Convention Center record for the largest ever consumer show, occupying a half-million square feet with more than 500 ve-hicles from 30-plus manufacturers on display.

POA Form, provided an alert regarding new scrutiny being applied by county and state title processing departments on the timing/dating of this form. At that time, notice was provided that “The state has not yet issued guidance or exceptions for paperwork already in progress. We will provide an update when further information is provided.” Requests were made for some grace period or exception process given that many dealerships had been doing this incorrectly, and neither counties nor the state had ever rejected based on this GDWH�¿HOG�

In January, CADA began receiving complaints of rejections in a few coun-ties for paperwork utilizing POAs that been signed right around the time of the original state notice, with no allowance for DMS system programming changes or that many of those trade-ins simply may not be sold until much later. The state Titles and Registration indicated a willingness to review various options, but wanted some indication of the scope of the volume of affected paperwork. CADA sent an urgent alert to the CADA Title Processing Distribution email list.* 7KDQNV�WR�WKH�PDQ\�UHVSRQVHV��ZH�ZHUH�DEOH�WR�SURYLGH�VXJJHVWLRQV�IRU�DOWHUQDWLYHV��VKRZ�WKDW�WKHUH�ZDV�OLNHO\�D�VLJQL¿FDQW�YROXPH�RI�paperwork affected, and that tracking down these customers to obtain new POAs would be extremely burdensome to dealerships—and to counties that would need to reject and re-process this paperwork. The state Titles and Registration department did decide to make allowance for these incorrectly dated forms—a strike-out of the date and a statement-of-fact will be allowed for these.

All dealerships need to ensure that the bottom signature of the person exercising the power of attorney is not completed or dated until the title is in-hand. For example, if there is a lien pay-off the date of execution cannot be the trade-in date—alerting county and state personnel that the form has been improperly dated.

FET GUIDE NOW AVAILABLE IN RESOURCE TOOLBOX

The long-awaited Driven Management Guide, “A Dealer Guide to Federal Excise Tax Compliance,” completely new, expanded, and up-to-the minute, has been posted to NADA University’s Resource Toolbox. This guide addresses common FET issues, and enables truck dealers to apply the tax correctly or to make reasonable assess-ments in instances where the rules are unclear. It has been written for NADA by FET experts Mark H. Sidman, J.D. and Rose-Michele Nardi, J.D. of Weiner Brodsky Sid-man Kider PC. NADA REMINDS DEALERS TO PROTECT THEIR DATA

Regulatory Affairs has prepared and dis-seminated to NADA members a Dealer Alert entitled “Are You In Control of Your Data?” This alert, which follows a similar 2005 alert that NADA issued, reminds dealers of the critical importance of knowing who can access data in their DMS, how that data is used, and what federal and state restrictions may apply to such usage. OVERTIME STATUS

In April 2011, the U.S. Department of Labor – without any advance warning – issued a notice indicating that it intended to reverse its position on the overtime-exempt status of service advisors. Doing so would have over-turned three decades of regulatory interpreta-tion and a consistent line of federal and ap-pellate court rulings that service advisors are exempt from overtime. It would have forced dealers to make disruptive compensation and VWDI¿QJ�FKDQJHV�DQG�ZRXOG�XQQHFHVVDULO\�complicate regulatory compliance. NADA argued that these changes would expose dealerships to unnecessary litigation and were QRW�SURSHUO\�MXVWL¿HG��$IWHU�SXUVXLQJ�UHJXOD-tory remedies, NADA sought assistance from &RQJUHVV��7KH�UHFHQWO\�VLJQHG�¿VFDO�\HDU�2012 Omnibus Appropriations Act preserves the exempt status of service advisors for one year, until Sept. 30, 2012. With the appro-priations bill now on the books, Congress has sent a clear message that the exemption should not be altered in the future. The Colorado Department of Labor and Employment, Unemployment Insur-ance (UI) Program provided some key reminders and updates to employers in their latest newsletter. Typically, these changes are provided directly to employ-ers in account statements and other communications. However, some highlights to bring to your attention are noted below:

CLEAR THE AIR FOUNDATION PARTICIPATION INCREASES

Founded by Colorado Automobile Dealers Association and its members in 2007, Clear the Air Foundation strives to effectively lessen the amount of pollution emitted by old or not properly maintained vehicles on Colorado’s roads.

Incorporated under the laws of the State of Colorado, the Clear the Air Foundation is a corporation for charitable SXUSRVHV�����F�����DQG�QRW�IRU�¿QDQFLDO�SUR¿W��7KH�&OHDU�WKH�Air Foundation supports charities that are dedicated to help-ing Colorado’s citizens who suffer from environment-related health issues such as asthma and breathing disorders.

We seek to remove old, or otherwise poorly maintained, vehicles—high hydrocarbon emitters—from the road to reduce the amount of emissions released into the atmo-sphere. After a car has been donated to the Foundation, we KDYH�RQH�RI�RXU�YHKLFOH�WUDQVSRUWHU�DI¿OLDWHV�FRPH�WR�SLFN�the vehicle up (at no charge) from the donor. It is then taken to an auto recycling company, where it is processed for all reusable or recyclable parts, the engine, shell and frame are then crushed, so they can never pollute again. The crushed metal is then shredded and recycled for new uses.

After managing and owning a string of dealerships, he launched the “Mike Shaw” branded stores in 1994 with Mike Shaw Chevrolet Saab in Denver. Today, he has six other dealer-ships in Colorado, Louisiana and Texas. His two sons also work for the business.

“My actions and ethics as a dealer have helped me become one of the largest minority-owned car dealers in the nation,” Shaw explains.

In the area of community service, Shaw incorporates his business expertise to advance his philanthropic causes.

“Family, ethical behavior and education are values that have guided me to success,” he says. “I am in the business of selling, and I bring those same skills to the community organizations I serve.” In fact, he helped the Boy Scouts turn their popcorn fundraiser from a $200,000 program into a $3 million bonanza. “I set it up as if it was one of my dealerships and the Scouts were salesmen,” Shaw says.

For the past 17 years, he’s been involved with numerous projects and organizations, including Boys & Girls Clubs of America, Urban League of Denver, Make-A-Wish Foundation, Colorado Aids Walk, Food Bank of the Rockies, American Can-cer Society (golf classic), Crime Stoppers, Executive Women International and Seniors Inc., to name a few. His efforts have garnered numerous awards, but the one that means the most is the Scouting…Vale La Pena! award, a national Boy Scout award given for service to Hispanic-American/Latino youth.

CAR BUYERS NEED MORE INFORMATION TO UNDERSTAND, APPRECIATE FUEL ECONOMY BENEFITS

Late last month NADA directors Don Chalmers of New Mexico, Bill Willis of Delaware and Forrest McConnell of Alabama represented the association and dealers nationwide at three public hearings on proposed fuel economy rules for model year 2017-2025 passenger cars and light-duty trucks. Their testimony centered around one theme: affordability. In other words, how will the new rules affect Americans’ ability to buy the types of cars and trucks manufacturers will be required to EXLOG"�:LOO�FRQVXPHUV�EH�SULFHG�RXW�RI�WKH�PDUNHW"�$QG�ZLOO�WKH\�EH�DEOH�WR�VHFXUH�¿QDQFLQJ"

Chalmers, who also serves as chairman of NADA’s Government Relations Committee, summed it up to a Wall Street Journal reporter this way: “Doesn’t matter if beans are a nickel a bushel, if you can’t get the nickel you can’t get the bushel.”

The affordability argument has been at the center of NADA’s stance on fuel economy since the QDWLRQ¶V�¿UVW�&$)(�VWDQGDUGV�ZHUH�SDVVHG�LQ�WKH�����V��%XW�LW¶V�EHFRPH�HYHQ�PRUH�LPSRUWDQW�QRZ��as the Obama administration, federal regulators and environmental groups continue to argue that FRQVXPHUV�ZLOO�VHH�VLJQL¿FDQW�³SD\EDFN´�LQ�IXHO�VDYLQJV�IURP�PRUH�HI¿FLHQW�YHKLFOHV�RYHU�WLPH��7KDW�PD\�EH�WUXH�IRU�VRPH��EXW�DV�:LOOLV�WHVWL¿HG�WR�WKH�(QYLURQPHQWDO�3URWHFWLRQ�$JHQF\��(3$��DQG�1DWLRQDO�+LJKZD\�7UDI¿F�6DIHW\�$GPLQLVWUDWLRQ��1+76$���³:KHQ�SURVSHFWLYH�SXUFKDVHUV�come to my new vehicle showrooms, they rarely, if ever, engage in upfront fuel economy ‘pay-back’ analyses.”

7KH�UHDOLW\�LV�FRQVXPHUV�¿UVW�DQG�IRUHPRVW�ORRN�IRU�YHKLFOHV�WKDW�PHHW�WKHLU�QHHGV�DQG�WKDW�they can afford. And any “payback” they receive will depend on several variables, including the number of miles they drive and fuel prices. In the coming months, NADA will continue to raise VLJQL¿FDQW�FRQFHUQV�RYHU�KRZ�WKH�IHGHUDO�JRYHUQPHQW�FDOFXODWHG�YHKLFOH�FRVW�XQGHU�LWV�QHZ�&$)(�standards for 2017-2025. And, as Chalmers indicated in his testimony, initial analysis shows that the administration’s fuel economy proposal grossly underestimates costs – meaning actual retail prices may increase by as much as 60 percent.

That is a bushel none of us can afford.

CAFE: Dealers Know What SellsThe following letter to the editor by NADA Chairman Stephen Wade was published

in the Jan. 23 issue of Automotive News.

To the Editor:The Jan. 16 editorial about fuel economy (“NADA must be reasonable about CAFE proposals”)

overlooks a couple of key points:�� The National Automobile Dealers Association supports both continuous improvement in fuel

economy and a single national standard to help get us there.�� When it comes to determining what sells in the showroom, auto dealers are in the best posi-

tion to offer relevant comment.:H�NQRZ�¿UVWKDQG��IRU�H[DPSOH��WKDW�IRU�WKH�RYHUZKHOPLQJ�PDMRULW\�RI�$PHULFDQV�IXHO�HFRQRP\�LV�

not a major factor when deciding what car to buy. Price matters most. So when we learn that the pro-posed standards could add at least $3,200 to the price of the average car, we are naturally concerned.

The proposed rule requires a leap of faith, a sort of build-it-and-they-will-come approach, which PD\�ZRUN�LQ�WKH�PRYLHV�EXW�QRW�LQ�UHDO�OLIH��,Q�WHVWLPRQ\�DW�WKH�(3$�1DWLRQDO�+LJKZD\�7UDI¿F�6DIHW\�Administration public hearing in Detroit on Jan. 17, for example, manufacturer after manufacturer cautioned that there is no certainty as to how consumers will respond. It’s no wonder that even they called for a strong midterm review in 2018.

The manufacturers may be able to produce the right product mix, but it is the dealer who will have to pay for the product and then hope there are interested consumers.
