NON-MOBILIZATION Notes: (for Table on previous page)

1. For Mechanical, Composite, EPC or EPCC Contracts of value more than Rupees 20 crores, the Lead Welding/NDT Eng ineers shall also possess Certified Welding Inspector qualification from American Welding Society or CSWIP3.1 W elding Insp ector qualification from The Welding Institute, UK.

2. For Mechanical, Co mposite, EPC or EPCC Contracts of value more than Rup ees 20 crores, the Lead QA/QC Engineer shall also be a qualified internal auditor for ISO 9001.

3. CVs of key constructio n personnel proposed to be deployed shall be submitted to Owner/Engineer-in-Charge prior to their mobil ization at si te. The mo bilization of key personnel shall be done at site subject to prior approval of their CVs by Owner/Engineer-in-Charge.

PENALTY FOR NON - MOBILIZATION OF KEY CONSTRUCTION PERSONNEL

I) Penalty for non-mobilization per day per person after the contractual mobilization

period unless agreed otherwise by the Engineer-in-Charge:

- Rs. 5000/- for Resident Construction Manager/ Resident Engineer/ Site-in-Charge;

- Rs. 3000/- for Lead QA/ QC Engineer, Lead Planning Engineer, Lead Saf ety Officer and Warehouse In-charge

II) Penalty for non-mobilization per day per person after completion of the mobilization period agreed during the Kick off Meeting: - Rs. 3000/- for Lead Discipline Engineer, Lead Welding/ NDT Engineer and the Quantity

Surveyor Notes: (for Penalty clauses)

a) All intervening off days (Sundays etc.) and holidays will be counted for levy of penalty

b) Mobilized p ersonnel sh all not be d emobilized t ill contra ctual completio n or based o n consent of Engineer-in-Charge else penalties as above shall be applied.

c) Total of above penalties shall not exceed 3% of the contract value.

d) The above penalties are over & above all other con tractual pro visions for late mobilization of resources.

INTEGRITY PACT

(APPENDIX –VIII TO SPECIAL CONDITIONS OF CONTRACT)



INTEGRITY PACT INTRODUCTION: GAIL as one of its endea vour to maintain and foster most ethica l and corrupti on free busin ess environment, have de cided to ado pt th e Integrit y P act, a tool developed by the Tra nsparency International, to en sure that all a ctivities and transactions between the Company (GAIL) and its Counterparties (Bidders, Contractors, Vendors, Suppliers, Service Providers/Consultants etc.) are handled in a fair and transparent manner, completely free of corruption. Accordingly, an MOU on Integrity Pact has been signed on 23.07.2007 by GAIL with Transparency International India. Considering the above, the details men tioned at attached Annexure-1 are applicable as stated in Instruction to Bidders of Bid Document in addition to the existing stipulation regarding Corrupt and Fraudulent Practices. The attached copy of the Integrity Pact at Annex ure- 2 shall be included in the Bid submitted by the bidder (to be executed by the bidder for all tenders of value Rs. 1 (One) crore and above). In case a bidder does not sign the Integrity Pact, his bid shall be liable for rejection.



ANNEXURE-1

Bidder is required to sign the Integrity Pact with GAIL as per format & terms and conditions enclosed with tender. In case a bidder does not sign the Integrity Pact, his bid shall be liable for rejection. I COMMITMENTS AND OBLIGATIONS OF THE “COUNTERPARTY”

a) The Counterparty, directly or indirectly (through agent, consultant, advisor, etc.), shall not pay any bribe/ influence or give undue/ unlawful benefit to a nyone to gain undue advantage in dealing with GAIL.

b) The Counterparty will not enga ge in col lusion of any kind including price fixation etc. with other Counterparts.

c) The counte rparty will n ot pass GAIL’ s conf idential informatio n to any third party unless specifically authorized by GAIL in writing.

d) The Counte rparties shall promote an d obs erve b est ethical practices within their respective organizations.

e) The Counterparty shall inform the Independent External Monitor. i) If it receive d any deman d, directly or in directly, for a bribe/ favour or any illega l

gratification/ payment / benefit; ii) If it comes to know of any unethical or illegal payment / benefit; iii) If it makes any payment to any GAIL associate.

f) The Counterparty shall not make any fa lse or misleading allegations against GAIL or its associates.

II VIOLATIONS & CONSEQUENCES:

a) If a Counterp arty commits a violation of its Commitm ents and Obligations under the Integrity Pact Programm e durin g bid ding process, their entire Earne st Money Deposit/ Bid Security, would be forfeited and in addition, they may be blacklisted from the GAIL business in future.

b) In case of violation of the Integrity pac t by Counterparty after award of the Contract, GAIL shall b e entitled to terminate the C ontract. GAIL would forfeit the security deposits, en cash the b ank g uarantee (s) and other pay ments paya ble to Counterparty in such cases,

c) Subject to satisfaction of the Independent External Monitor, GAIL may ban/ b lacklist/ put on holid ay and excl ude the Co unterparty from future de alings until GAIL is satisfied that the Counterparty shall not commit any such violation in future.

d) In addition to above, GAIL re serves its right to initiate criminal proceedings against the violating Counterparty, if the allega tions by Cou nterparty are found frivol ous, untrue and misleading and may also impose exemplary cost for the same.

e) The Counterparty will be entitled to claim as determined by the Independent External Monitor, if the above (d) is found incorrect.

INDEPENDENT EXTRNAL MONITORS (IEMS)

The following three Independent External Monitors (IEMs) have been appointed by GAIL, in terms of Integrity Pact(IP) which forms part of GAIL Tenders / Contracts.

This panel is authorised to examine / consider all references made to it under this tender. The bidder(s) , in case of any dispute(s) / complaint(s) pertaining to this tender may raise the issue either with the designated tender issuing officer in GAIL or directly with the IEMs on the panel c/o Chief Vigilance Officer, GAIL ( India) Limited, GAIL Bhawan, 16, Bhikaiji Cama Place, R.K. ANNEXURE-2

INTEGRITY PACT

(To be executed on plain paper and applicable to all tenders of the value of Rs. one crore and above)

Between GAIL (India) Limited, a Government of India Public Sector, (here-in-after referred to

as "Principal "). AND

……………………… ..................... ………………… (here-i n-after referred to as "The Bidder/Contractor").

(Principal and the Bidder/Contractor are here-in-after are referred to individually as "Party" or collectively as "Parties").

PREAMBLE The Prin cipal intends to award und er laid do wn orga nizational pro cedures, co ntract/s for ………………………………………………….. The Principal values full compliance with all relevant laws and re gulations, and the principl es of ec onomic use of resource s, and of fairness a nd transparency in its relations with its Bidder/s and Contractor/s. In order to achieve these goal s, the Princip al co-operates with th e renowned International Non-Governmental Orga nisation 'Tra nsparency Inte rnational' (TI). Followin g TI's national a nd international experie nce, the Princi pal will appoint an Indepen dent External Monitor who will monitor the tende r process, the exec ution of the contract etc. for compliance with the principle s mentioned above.

Section 1 - Commitments of the Principal 1. The Prin cipal commits itself to take all measures n ecessary to prevent corru ption and to

observe the following Principles in this regard:-

i) No employe e of the Principal, either in person or throu gh family members, inclu ding relatives, will in connection with the ten der for or the execution of a cont ract, demand or accept a pro mise for or accept for him/herself or for a third person, any material o r immaterial benefit to which he/she is not legally entitled.

ii) The Principal shall, during the tende r process treat all Bidders with equity. The Prin cipal

undertakes a nd ensu res that before a nd dur ing the tender pro cess shall provide and share 'th e same informa tion to all Bidders an d will not provide to an y Bidder confidential/additional info rmation th rough which o ne pa rticular Bidder could take an advantage in relation to the tender process or the contract execution.

iii) The Principal will exclude from the process all known prejudiced persons.

2. If the Principal obtains information on the conduct of any of its employee s which is a criminal

offence under the Anti-Corruption Laws of India, or if there be a substantive suspicion in this regard, the P rincipal will i nform its Vigi lance Office and in addition can initiat e discipli nary actions.

Section 2 - Commitments and Undertakings by the Bidder/Contractor 1. The Bidder / Contracto r commits and underta kes to take all measure s necessary to prevent

malpractices & corruption. He commits himself to ob serve the foll owing principles during his participation in the tender process and during the contract execution:

i) The Bidder / Contracto r undertakes not to, directly or through any other p erson or firm

offer, promise or give or influen ce to any em ployee of the Principal associ ated with the tender process or the execution of the contract or to any other person on their behalf any material or immaterial benefit to which he / she is not legally entitled in ord er to obtain in exchange any advantage of any kind whatsoever during the tender process or during the execution of the contract.

ii) The Bidd er / Contracto r undertakes not to enter i nto any undi sclosed ag reement o r

understanding, whether formal or informal with other Bidders. This applies in particular to prices, specif ications, certifications, subsidiary contracts, submission or non-submission of bids o r any other actio n to rest rict competitiveness or to intro duce cartelisation in the bidding process.

iii) The Bidder / Contractor undertakes not to commit a ny offence under the rel evant Anti-

corruption La ws of India. Furthe r, the Bidder / Con tractor will not use impro perly any information o r do cument provide d by the Prin cipal as p art of th e bu siness relationship regarding pl ans, tech nical propo sals and busin ess details, includin g informatio n contained or transmitted electronically for t he purposes of competition or personal gain and will not pass the information so acquired on to others.

iv) The Bidder / Contractor will, when presenting his bid undertakes to disclo se any and al l

payments m ade, is com mitted to or intend s to make to agent s, brokers or any other intermediaries in connection with the award of the contract.

2. The Bidder / Contractor will not instigate and allure third persons / parties to commit offences

outlined above or be an accessory to such offences.

Section 3 - Disqualification from tender process and exclusion from future contracts

If the Bidder, before the award of contract, has committed a transgression through a viol ation of any provisions of Section 2 or in any ot her form so as to put his reliability or credibility as Bi dder into question, the Princip al shall be e ntitled to disqualify, put on holiday or blacklist the Bi dder including from the future tender p rocess or to te rminate the con tract, if alrea dy signed, o n that ground. 1. If the Bidder / Contractor has committed a transgression through a violation of any provisions

of Section 2 so as to put his reliability or credibility into question, the Principal shall be entitled to exclude including blacklist and put on holiday the Bidder / Contractor from entering into any GAIL future contra ct tender processes. The im position and du ration of the exclusio n will b e determined b y the severit y of the transgres sion. The seve rity will be dete rmined by th e Principal taking into con sideration the full facts and circumstances of ea ch case particularly taking into account the number of transgressions, the position of the transgressors within the company hie rarchy of th e Bidder and the amo unt of the dam age. The exclusion may b e imposed for a minimum period of 6 months and maximum of three years.

2. A transgression is considered to have o ccurred if the Principal aft er due consideration of the

available evidence, concludes that no reasonable doubt is possible. 3. The Bidder with its free consent and without any influence agrees and undertakes to respect

and uphold the Principal's absolute rights to resort to and impose such exclusion and further accepts and undertakes not to challenge or question such exclusion on any ground, including the lack of any hea ring before the d ecision to resort t o s uch ex clusion is t aken. This undertaking is given freely and after obtaining independent legal advice.

4. Subject to the full sati sfaction of the Pri ncipal, the exclusion of the Bidder / Contractor could

be revoked - by Principal prematurely if the bidder / contractor can prove that he has restored / recoup ed the damag e cau sed by him and has installed a suitable corrupt ion preventio n system in his organization.

Section 4 - Forfeiture of EMD / Security Deposits

1. If the Principal has disqualified the Bidder from the tender process prior to the award in terms

of Section 3, and durin g the exec ution of the contract, the Princip al shall forfeit earn est money deposit / bid securi ty money, enca sh the bank guarantee inclu ding due payments in addition to blacklisting or putting on holiday the bidder and terminating the contract.

2. If the Princip al has te rminated the contract a ccording to Sectio n 3, or if the Prin cipal i s

entitled to te rminate the contract a ccording to Sect ion 3, the Princip al shall be entitled to demand and recover from the Co ntractor liquidated damages equivalent to Earne st Money Deposit / Security Deposit / Performance Bank Guarantee.

3. The bidder agrees and undertakes to pay the sa id amounts without protest or demur subject

only to condition that if the Bidder / Contracto r can prove and esta blish that the exclusion of the Bidder from the tender process or the termination of the contract after the contract award has cau sed no dama ge or less dama ge than the amount of the liquidated damages, th e Bidder / Cont ractor shall compensate the Principal only to the extent of the damag e in th e amount proved.

Section 5 - Previous transgression

1. The Bidder swears on oath that no previous transgression has occurred during the last three

years with any other Company in any country conforming to the TI approach or including with any other Public Sector Enterprise / Undertaking in India that coul d justify his exclusi on from the tender process.

2. If the Bidder make s inco rrect statem ent on th is subject, he sha ll be disquali fied from the

tender process or the con tract, if alrea dy awarded, could be liabl e to be termi nated on thi s ground.

Section 6 - Equal treatment to all Bidders / Contractors / Subcontractors 1. The Bidder / Contra ctor undertakes to dem and from all its sub-c ontractors, if any, an

undertaking and commit ment in conf ormity with th is Integrity Pact, and to submit it to the Principal before signing of the contract.

2. The Principal will enter into agreem ents with si milar conditions, as stipulated h erein, with all

Bidders, Contractors and Subcontractors. 3. The Principal shall disqualify from the tender process all Bidders who do not sign this Pact or

violate any of its provisions.

Section 7 - Criminal charges against violating Bidders / Contractors / Sub-contractors

If the Principal obtains knowledge of condu ct of a Bidder, Contractor or Subcontractor, or of an employee o r a repre sentative or an a ssociate of a Bidder, Con tractor or Su bcontractor which constitutes corruption, or if the Principal has substantive suspicion in this regard, the Principal will inform the Vigilance Office / Department for initiating appropriate action for above.

Section 8 -Independent External Monitor / Monitors (Three in number depending on the size of the contract)

(To be decided by the Chairperson of the Principal)

1. The Prin cipal appoint s co mpetent an d cre dible external i ndependent Mo nitor for thi s Pact.

The task of the Monito r is to revie w indep endently and obje ctively, whethe r and to wh at extent the parties comply with the obligations under this agreement.

2. The Mon itor is n ot subject to a ny in structions b y th e re presentatives o f th e p arties and

performs hi s function s ne utrally and in dependently. He rep orts to the Chairperson of th e Board of the Principal.

3. The Cont ractor accept s that the Monitor has the right to acce ss without re striction to all

Project docu mentation of the Princip al includi ng that provide d by the C ontractor. Th e Contractor will also grant the Monitor, upon his request and demonstration of a valid interest, unrestricted and unconditional access to his project documentation. The same is applicable to Sub-contractors. The Monitor is und er contractual obligation to treat the in formation and documents of the Bidder / Contractor / Sub-contractor with confidentiality.

4. The Principal will provide to the Monitor suffi cient information about all meetings among the

parties related to the Project provided such meetings could have an impact on the contractual relations between the Principal and the Contractor. The parties offer to the Monitor the option to participate in such meetings.

5. As soon as the Monitor notices, or beli eves to notice, a violation of this agreement he will so

inform the Management of the Principal and request the Management to discontinue or heal the violation or to ta ke ot her relevant action. T he monitor can i n this regard sub mit non -binding recommendations. Beyond this, the Monitor has no ri ght to demand fro m the parties that they act in a specific ma nner, refrain from ac tion or tolerate ac tion. However, the Independent External Monitor shall give an opportunity to the bidder / contractor to present its case before making its recommendations to the Principal.

6. The Monitor will submit a written report to the Chairperson of the Board of the Principal within

8 to 10 weeks from the date of reference or intimation to him by the 'Principal' and should the occasion arise, submit proposals for taking corrective measures.

7. Monitor shall be entitled to compensation by the Principal on the same terms & con ditions as

being extended to/provided to Outside Expert Committee Members of ONGC. 8. If the Monitor has repo rted to the Chairpers on of the Board a substantiated suspicion of a n

offence un der relevant An ti-Corruption laws of India, and the Chairpe rson ha s not, within reasonable ti me, taken vi sible a ction t o pro ceed ag ainst such offence o r re ported it to the Vigilance Office, the Monitor may also transmi t this informati on dire ctly to the Central Vigilance Commissioner, Government of India.

9. The word 'Monitor' would include both singular and plural. 10. Independent External Mon itor shall be required to m aintain confidentiality of the inform ation

acquired and gathered du ring their tenu re / role as Indep endent Monitor. Any breach in this regard would be subject to the legal judicial system of India.

11. The Independent External Monitors - shall be responsible to ove rsee the im plementation of

Integrity Pact Program to prevent co rruption, bribes or any other unethi cal practices in the GAIL. However, Monitor(s) shall be person ally and severally be liable for any action or suit brought by Bidder / Contractor / ag ainst the Monitor, in ca se th e finding s of Indepen dent Monitor is / are found incorrect or biased or prejudiced.

12. Independent External Monitor(s) sh all be required to furnish an Unde rtaking an d sh all

disclose b efore ta king a ny assignm ent that he / she has n o intere st in t he matter or connected with the party (bidder / contractor) in any manner.

Section 9 - Pact Duration

The provisions of this Pact shall come into effect from the date of signing of this Pact by the b oth

parties. It expire s for the Contracto r 12 month s after the last payment un der the respe ctive contract, and for all other Bidders 6 months after the contract has been awarded. If any claim is mad e / lod ged by eithe r party duri ng this time, the sam e sh all be bindin g and continue to be valid despite the l apse of this pact a s spe cified ab ove, unless it is discharged/determined by the Chairperson of the Principal.

Section 10 - Miscellaneous Provisions 1. This agreement is subject to Indian Law. Pla ce of perfo rmance a nd ju risdiction i s th e

Registered O ffice of the P rincipal, i.e. Ne w De lhi. T he Arbitration clau se provided in m ain tender document / contract sh all not be appli cable for any issue / disp ute arisi ng un der Integrity Pact.

2. Changes and supplements as well as te rmination notices, if any, need to be made in writing.

Side Agreements have not been made. 3. If the Contractor / Bidder is a partne rship concern or a con sortium, this agre ement must b e

signed by all partners or consortium members. 4. In case any or several of the provi sions of this agree ment turn out to be void, the remai nder

of this pa ct shall re main valid. The p arties to thi s pact however, shall strive to come to an agreement to their original intentions in such a case.

PREAMBLE TO SCHEDULE OF PRICES 1.0 The Schedule of Price shall be read with all other sections of this Bidding

Document.

2.0 The Bidder is deemed to have studied the drawings, specifications and details of works to be done within the Time Schedule and should have acquainted himself of the conditions prevailing at site.

3.0 No claim shall be entertained during currency of this Contract towards any items due to the above including where the Contractor has quoted low/ high rates.

4.0 Employer/Consultant reserves the right to interpolate or extrapolate the rates for any new item of work not covered in Schedule of Price from the similar items already available in schedule of rates. All the works shall be measured upon completion and paid for at the rate quoted and accepted in the "Schedule of Price". In case any activity though specifically not covered in schedule of rates descriptions but the same is covered under scope of work/ scope of supply/ specification/ drawings etc. no extra claim on this account shall be entertained, since Schedule of Price is to be read in conjunction with all other documents forming part of the Contract.

5.0 All items of work mentioned in the Schedule of Prices shall be carried out as per the specifications, drawings and instructions of Employer/Consultant and the rates are deemed to be inclusive of material, consumable, labour, supervision, tools & tackles and detailing of construction/fabrication drawings, isometric wherever required as called for in the detail specification and conditions of the Contract.

6.0 Employer/Consultant reserves the right to cancel/ delete/ curtail any item or group of work if necessary. Such a step shall not be construed as reason for changing the rates.

7.0 Bidder shall submit their prices in Summary of Prices, Schedule of Rates/ Prices (FORM-SP-0), Break-up Prices (FORM SP-1) and Extended Stay for compensation.

8.0 Lumpsum Prices forTCP and PCP respectively (FORM SP-0) for Both the Parts (Part 1 and Part-2) separately shall match with Break-Up of Lumpsum Prices for TCP and PCP respectively (Form SP-1). In the event of discrepancies between FORM SP-0 and FORM SP-1 Total Lumpsum Prices for TCP and PCP respectively (FORM SP-0), separately for Part 1 and Part-2 will be considered for evaluation and award of work and Break-up. Prices for TCP and PCP respectively (FORM SP-1) deemed to be adjusted accordingly.

9.0 Bidders shall fill the rates in Schedule of Rates/Prices in excel file (FORM SP-0 and FORM SP-1) and Summary of Prices and extended Stay compensation (in word file). While quoting and filling the rates/ prices in excel file/word file , Bidder shall take into consideration complete scope of work/item description as mentioned in Schedule of Rates/Prices (Detailed Description) for the relevant item on lumpsum basis. The rate quoted in Schedule of Rates / Prices in excel/ word file shall be deemed to include all activities of work mentioned in item description of Schedule of Rates/Prices and scope of work mentioned in the Bidding Document.
