herewith. Our quotations are shown in the attached Tender Schedule. We will supply the
designatedmanpower at the firm prices quoted in seal cover and in full compliance with the
terms and conditions.
A receipt of the tender fee of Rs. 5,000/- ( Non refundable) and earnest money
deposit of Rs. 2,00,000/- (Rupees Two Lakh Only) paid in the form of D.D. of any
nationalized bank is attached herewith separately.

Background
Ahmedabad Municipal Corporation is the first in country to cover the solution of municipal
activity and services like birth and death registration, building plan, primary health and
education, city cleanliness, water supply, sewage, road, street-lights, parks and garden
through e-governance to the 65 lacs citizens of the city. For these Ahmedabad Municipal
Corporation has established 57 City Civic Centers located in six zones of Ahmedabad city and
also interconnected 64 ward offices, 6 zonal offices and various other offices all these
interconnected via intranet application. Every citizen has a right to know about the
functioning of Municipal Corporation as the functions are directly related to them. At
present almost all the departments activities are computerized and following services are
offered at City Civic Center:

- Issuance of Birth and Death Certificate
- Issuance of Licenses for Shops and Establishments
- Issuance of Health Licenses

- Collection of Property Tax & Right-To-Information Applications
- Issuance of Building Plan Permissions
- Hall / Party Plot Bookings
- Any other services may include in future.
Objective:
AMC has established civic centers in each ward, at present 57 civic centers are running. AMC
intends to invite new proposal for outsourcing the existing services of the civic centre
especially manpower services for efficient & effective running of the civic centre for all the
existing operational civic centers and proposed new civic centers. Hence tender is invited for
providing man power services at civic centers.

Scope of Work
1. Activities at Civic Center:-
At present following services are offered at City Civic Center:
Receiving of Payments of All Municipal Dues:
o Property Tax
o Professional Tax
o Vehicle Tax
o TDO fees
o Impact Fees
o TSF Fees etc
Issuance of Birth and Death Certificate
Issuance of Licenses for Shops and Establishments
Issuance of Health Licenses
Issuance of Hawker’s Licenses
Collection of
o Property Tax Application / Complaints
o Right to Information Application & first appeal.
Hall / Party Plot Booking
Any other services may include in future
Bidder has to understand the existing functionality (administrative and technical functions)
of the civic centers and accordingly has to provide the similar services to the citizens for
effective and efficient operations for running the centers. The major functions and workings
are as under.
Functions:
Center timing would be normally as per Clause 4 Table No. 4.1 or as per the
instruction given by AMC in special cases.
Center timing would be changed & extended as and when required due to various
scheme offered as per the instruction given by AMC. Bidder has to follow the same
strictly.

It would be sole responsibility of the bidder to provide manpower as per tender
terms and conditions.
Bidder has to provide the center wise list of the employees who will work as
Supervisor, operator and peon separately to E-Governance department for counter
id creation for operating the Civic Center Applications. Along with the same, Bidder
has to maintain following documents for each CCC in a separate file at respective
CCC and a copy of the same has to be submitted at E-Governance Dept :
a. Curriculum Vitae
b. Passport size Photograph
c. Photocopies of Address proof, photo identification proof
d. Education/ Qualification Certificates
e. Computer or any other Course certificate, if done any
f. Experience certificates, if any
g. Declaration by Bidder that the candidate is qualified as per tender terms and
condition and he/she is eligible for the work assigned.
Same process as mentioned above has to be carried out whenever any new
employee joins or any inter-CCC employee transfer is done.
AMC supervisor may anytime check the documents of employees at any CCC. In case
of failure to comply with the specification (Qualification, Experience etc.) of
manpower mentioned in the tender, Bidder will be imposed with the penalty and
also Bidder will have to remove the employee on urgent basis.
Bidder will be responsible for all the operations and workings of all modules (e.g.
Gumasta dhara, Health & Hawker License, property tax, professional tax & vehicle
tax collection, complaint & RTI etc.) like
o Which documents to be collected for which applications,
o Issue the licenses to the citizen,
o Get it audited as per the rules of AMC and
o Send the files/applications/complaints (RTI/tax/other.) to concerned
department within stipulated time limit.
o In case of RTI, application should be forwarded to concern department on
same day / in 24 hours depending upon emergency level (Calendar days
would be considered as per RTI rule).
o Neatly Management/arrangement of documents/proofs.

o Dead/contingency/conservancy Stock Management.
o Submission of collected amount to AMC Cashier same day.
o Collect respective stationeries from respective department and maintaining
its log registers.
Bidder will also have to manage for maintaining cleanliness in the Civic Center
premise and hardware and dead stock.
AMC is soon launching new application developed by M/s TCS for civic centers,
Bidders must have to understand procedures and new system including data entry of
applications received at civic centers, scanning of documents and forwarding to the
concerned officers etc and need to deploy staff accordingly.
Daily instructions from respective departments must be strictly followed.
Initially workorder wld be for one year, it may be extended to further 1 year
considering the evulation by AMC authorities.
2. Man power requirement:-.
Bidder has to provide following qualified & experienced service staff for civic centre as per
the requirement of manpower at each civic center, preferably who have worked in public
related application.

Nodal Officer, Supervisor & CCC ASSISTANT should be fully conversant with English &
Gujarati data entry work.
Staff should be well mannered, polite & must behave properly with the citizen.
Official record must not be handed over to any unauthorized person / institute
without permission from higher authority of AMC.
Bidder has to replace or remove concerned Supervisor / CCC ASSISTANT / Peon for
any misbehavior or misconduct activities observed by AMC official.
It is primary responsibility of the bidder for any fault on the part of his recruited staff
Bidders will be responsible for payment to his staff as well as any dispute arising
among their counterpart. They have to follow all Laws and Rules and Regulations of
AMC as well as Laws of Government Applicable( i.e., payment of wages act, contract
act, service tax act, industries dispute act and any other law or rule applicable).
Bidder will have to pay salary to his concerned staff through ECS only. Bidder will
have to submit declaration along with necessary proof for the previous month along
with each bill.
Bidder will be responsible to follow Procedures, Rules, Circulars, Amendments etc. of
AMC; and also any timely amendment in Govt. Laws, Notifications, Resolutions etc.
Staff provided by bidder will be solely on Payroll of Bidder. The staff has nothing to
do with AMC pay structure and payroll. Staff, in no case, will be able to claim
themselves to be a staff of AMC.
In case of absence, attrition of employees; bidder will have to manage immediately.
If Bidder will not be able to manage immediate and bidder replaces temporary
employee; AMC will not pay cost of that temporary employee
AMC reserves right to increase/decrease number of manpower to be deployed at
any particular civic center at the time of assigning order or at any point of time at
later stage based upon necessity of work, infrastructure, demand etc.

3. Roles & Responsibilities of Manpower:

has direct financial implications. For cancelling any receipt, old cancelled receipt must be kept
in file. Maintaining Daily Attendance Register and ensuring CCC
ASSISTANT and other staff’s presence Understanding various application thoroughly as per need of
the concerned department and training/helping CCC
ASSISTANTs for the same Ensuring all the applications are carried out at concerned CCC
Understanding IT Infrastructure (server, hardware,
networking, software) of concerned CCC and ensure

Handling citizen grievances, Councillors’ representations etc. Details duties of Center Incharge is mentioned below in
Clause 3.1 Obey the instructions of AMC Officials.
3 CCC ASSISTANT
/PRO
CCC ASSISTANT will work on the Application(s) assigned by
Incharge
Any CCC ASSISTANT should have thorough knowledge of
almost 70% of the total no. of Applications even though
he/she is working on particular Application(s) only. Preparing daily collection report and properly cross checking
with actual cash collected before submitting to cashier Follow timely instructions given by Incharge or AMC officers
4 Peon Peon should have thorough knowledge of all AMC Zones,
Wards, Departments, Head of Departments, PIOs, Appellate
Officers, AMC Office Addresses etc. Peon should ensure that all the applications (RTI, Tax etc.)
received at concerned CCC should be sent personally to
respective zone/ward/dept/office/officer within stipulated
time and with no delay.
Collecting required stationeries and contingencies from
respective zone/ward/dept/office/officer as and when
needed. Normal cleanliness of the CCC premise
Wet cleaning flooring, furniture, notice-board, tube-lights,
fans etc. and toilet (if within the premise of CCC) Helping CCC staff for other office works.
3.1 Responsibilities of Center Incharge :
It is responsibility of supervisor bring all the stationeries provided by AMC (e.g.
Property Tax receipt & revenue stamps from Tax dept; Gumasta dhara cerificates
from Gumasta dhara dept; birth and death certificates, Lamination sheets from RBD
dept, Vehicle tax token from Vehicle Tax dept, other contingency, hawker & health
license from computer department etc.) from the concerned department, maintain
the stock register of each item received and issued.
Separate register to be maintained for each activities and material used such as.
o Revenue stamp
o Birth & death certificate
o Hawker’s license

o Health license
o Gumasta dhara certificate
o Vehicle tax token
o Dead stock register
o RTI application inward/outward
o General inward/outward
o Tax Forms
o Gumastadhara forms
o RTI / Hall-Party Plot / Health / Hawkers forms
o Chalan submission
Missing/theft of any stationeries (Blank Birth and Death certificate, Gumasta license
etc.) must be reported immediately to concerned dept with FIR in writing as it
requires press notes and relates to legal issues.
Supervisor has to deposit daily all the cash and cheques to concerned zonal cashier.
In case on any discrepancy or problem supervisor has to concern that department,
i.e. he/she concern tax dept in case of problem related to tax.
It is responsibility of supervisor to audit all concern city civic centres’ record with
Audit Dept of AMC periodically & after auditing submit to the concern department.
For cash collection system, bidders has to follow the existing procedures and
instructions of the Account department of AMC.
Any delay in cash collection through cashier supervisor must contact Dy. Accessor &
Tax collector / Dy. Chief Accountant of respective zone where city civic centre exist.
Supervisor can cancel receipt in case of problem on the same day with in given
prescribe format with written consent of citizen. After that he/she has to contact
server room in charge.
Supervisor has to maintain separate registers for cancelled receipts and the reason
thereof.
Supervisor has to inform immediately and log complaint to consultant / server room/
service provider in case of any break down / application level problem / connectivity
related problems and bidder will be responsible for follow up as record maintenance
for the same.
Supervisor will have to submit and maintain following daily report separately for
accounting purpose as per the instruction from Account department of AMC,

4. Civic Centers:
AMC divided Civic centers into 5 different categories, i.e. A, B, C, D, E; based upon load of
work, manpower requirement, timing of work and location of civic center. Detailed
bifurcation of categories is as per below:

AMC may change the category considering the work load of the centers. Bidder has to
deploy manpower as per the instruction given by AMC.

5. Provide by AMC:-.
AMC will provide space for civic centre, computer hardware/software, tables and
chairs, all stationary for first time for civic centre.
It is the primary duty of the concern bidder to get individual training of recruited
staff. For this bidder has to understand existing functioning of the all modules/
services / existing procedure of civic centre.For this bidder has to visit civic centre on
their own cost.
No separate or individual training would be provided by AMC.
Regular Supervision will be done by AMC official & check all documents, registers &
behavior of civic center staff periodically.
The selected Bidder for award of the contract will sign an agreement on the Govt.
stamp paper. The format for the agreement is shown in Annexure 2 & 3 within 15
days of giving the workorder.
AMC will pay consolidated agreed amount to the bidders on monthly basis, not to
the individual recruited staff.
AMC may integrate Attendance Management System along with counter modules
for monitoring presence of staff. Bidder will have to understand this system and
instruction his staff accordingly to follow the same.
6. Penalty Clause:-
Penalty will be levied as decided by AMC higher authorities on bidder as per
following in case of non compliance of Tender Terms & Conditions contract and may
terminate the contract anytime.

7. Period for Contract:-

General Conditions:
Invitation & Instruction for Tenderers
1. Invitation :
1.1. Sealed and superscribed tenders are invited by Ahmedabad Municipal Corporation,
to provide manpower for new civic centers at various wardsof AMC.
2. Purchase of Documents:
2.1 Tender fee for Tender Document isRs. 5000.00 (Non Refundable) The cost of Tender
Document must be paid at the time of submission of tender by Demand Draft on any
nationalised bank of Ahmedebad in favor of The Municipal Commissioner,
Ahmedabad. Cheques will not be accepted in any circumstance.

4. Earnest Money Deposit :
4.1. Tender should be accompanied by Earnest Money Deposit of Rs. 2,00,000.00
(Rupees Two Lakhs only) which shall be in favour of Ahmedabad Municipal
Corporation in a demand draft of any Nationalised bank at Ahmedabad with tender.
Cheques will not be accepted in any circumstance.
4.2. Tender form not accompanied by Earnest Money Deposit and Tender Fee shall be
rejected as non-responsive.
4.3. If, during the Tender validity period, the Bidder withdraws his tender, the Earnest
Money Deposit shall be forfeited.
4.4. The Earnest money deposit will be returned to the unsuccessful Bidders only after
the decision taken on this tender item by The Municipal Commissioner. The earnest
money deposit will be returned to the successful Bidder only against the submission
of security deposit as per the prevailing rules and regulations of Ahmedabad
Municipal Corporation.

4.5. The Successful Bidder shall appoint the manpower within 15 calendar days, once he
is intimated about the acceptance of his Tender. If he fails to carry out the task
within the time schedule, his tender will be cancelled and Earnest Money Deposit
will be forfeited.
5. Tender Validity Period :
5.1. The tender shall be valid for a period of not less than 6 months from the date of
opening.
5.2 Corrigendum to the tender, if required any, will be published on
https://amc.nprocure.com and www.egovamc.com; without any notice being
published in the newspaper. Thus, Bidder must check above websites periodically
during tender process.
6. Submission of Tender :
6.1. Bidder shall submit Technical Bid as shown in schedule A in sealed cover called
tender; and quote separate price as shown in Schedule B in electronic format on the
website https://amc.nprocure.com . Bidder must fill all the fields mentioned in
Schedule A.
6.2. Bidder must submit Bid in two sets with required documents as mentioned in the
tender documents as above said sealed cover superscribing "TENDER FOR
PROVIDING MANPOWER FOR CIVIC CENTERS AT VARIOUS WARDS OF AMC, AMC-
MANPOWER-CCC-2014-15/09 of “Ahmedabad Municipal Corporation” and
Company's name, address, contact number and email ID.
6.3. Bidder must submit Technical and Commercial Bid in the electronic format on the
website https://amc.nprocure.com upto 15:00 hrs. on 20/3/2015. Tenders duly
filled in as above mentioned will be received physically in the office of the Tender
Officer, Ahmedabad Municipal Corporation, Saradar Patel Bhavan, Danapith,
Ahmedabad up to 15:00 hrs. on 20/3/2015.
6.4. Tender received late on account of any reason will not be considered.
6.5. Telegraphic tenders will not be entertained.
6.6. Commercial bid should be submitted online only. Only Technical Bid along with EMD
and Tender Fee should submitted physically to Tender Officer through Hand delivery
/ Registered Post only and online both.
7. Opening of Tenders :
7.1. Technical bid will be opened by the Tender Officer, Municipal Corporation,
Ahmedabad, at 16:00 hrs on 20/3/2015 in E-Governance office, 1stFloor, C Block,
Sardar Patel Bhavan, Danapith, Ahmedabad in the presence of representatives of
Bidders who choose to remain present.

7.2. The Tender Officer will open each sealed tender, read and record the name of Bidder
and shall record his initial and date on each page of Tender Documents.
8. Capability of Tenderer :
8.1. Tender must be signed by an authorised person or persons of individual or
proprietary firm or partnership firm or limited/corporation or group of firms. Each
page of tender documents to be submitted should be signed by Authorised person
and duly stamped. Tender submitted without sign and stamp on each page is liable
to be rejected.
8.2. The certificate from the Firm/Company should be attached with Tender stating
authority to sign such Tender by above person.
8.3. Bidder's full names, occupation, phone no., and addresses shall be stated below their
signature on all Schedules, continuation sheets and all other pages on which he
makes entry.
8.4 Biddermust provide following with the tender.
8.4.1 The bidder must have one office in Ahmedabad. Please attach the copy of
any of one of the following: Property tax bill/Electricity Bill/Telephone
Bill/VAT/CST Registration/Lease agreement. The Bidder must fill & submit on
separate sheet in require format as per Schedule-A Form-1.
8.4.2 The Bidder should have yearly turnover of Rs. 50 Lac (Minimum) in the last
three financial years each. The copies of Audited Annual Accounts for last
three years shall be attached along with the Tender. The Bidder must fill &
submit on separate sheet in require format as per Schedule-A Form-2.
8.4.3 The Bidder must have at least three customer reference sites of providing
manpower in Gujarat. & minimum one site with any government
orgranisation in gujarat, preferably with any ULB, Municipal Corporation,
Nagarpalika or Panchyalat. with customer references & work order must be
attached along with the tender. The Bidder must fill & submit on separate
sheet in require format as per Schedule-A Form-3.Workorder for similar kind
of work must be of Rs. 50 Lac minimum for last three years.
8.4.4 Bidder must provide detail of its organization staff detail in Ahmedabad. The
Bidder must fill & submit on separate sheet in require format as per
Schedule-A Form-4.
8.4.5 Bidder must produce solvency certificate of Rs. 50 Lacs from any Scheduled
bank or any revenue authority at least before commencement of civic centers
after getting work order. Declaration for the same must be produced at time
of technical bid.

8.5 AMC reserves right to issue work order for particular civic centers even though
bidders has applied for more centers. Location choice of civic centers would be the
right of only AMC officials. Bidder cannot insist for having a choice of particular civic
centers. AMC reserves right to allot more than one civic center to more than one
bidder.
8.6 AMC reserves right to cancel the given contract for particular civic centers or all the
centers for which work order issued for manpower services without giving any
notice.
9. Tenderer Must Submit :
9.1 The tender form is to be completed by ink or by typewritten without alteration or
modifications. Changes if any must be initialed by the person signing the tender.
Additional pages must be serially numbered.
9.2. The tender will be disqualified if complete information, as called for, in the tender is
not provided.
9.3. Any tender containing vague and indefinite expressions or conditional tender will not
be considered.
9.4. Bidders must agree all condition given in tender.
9.5. No modification can be done in tender, once it is submitted online / to tender
Officer's office in Ahmedabad Municipal Corporation.
9.6. While tenders are under consideration, Bidders and their representatives or other
interested parties shall refrain from contacting by any means or by any persons or
representatives of Ahmedabad Municipal Corporation on matters relating to the
tenders under study. If necessary, Deputy Municipal Commissioner (e-Gov) may be
requested for clarification of tenders in writing.
9.7. Printed terms and condition of the tender will not be considered as forming part of
tender. In case any terms and condition of the contract or items in data and
literature are not applicable to this tender, Bidders are warned to intimate
separately on their own letterhead. Cancellation of any term and condition of the
Bidder form will not be entertained in any circumstance.
10. Price Schedule –
10.1. All tender prices should be on a fixed and firm price basis.
10.2. Prices should be quoted as per commercial bid format only as per Schedule-B. Both
the forms should be filled up separately in electronic format only. Form-1 and
Form-2 format mentioned in Scheduled-B are for sample only.

11. Successful Tenders:
11.1. Normally the lowest evaluated responsive tender in above list, which qualifies both
technically and financially, will be selected for award of the contract. Municipal
Commissioner, Ahmedabad Municipal Corporation, however, reserves the right to
reject any or all tenders without assigning any reason.
11.2. The award of contract will normally be made within one month after the date of
opening of tenders.
11.3. Bidder will quote keeping in mind all 57 City Civic Centers. However, A.M.C. reserves
the right at the time of award of contract to increase or decrease in civic centre
nos.
11.4. AMC reserves right to allot work to more than one bidder.
11.5. Any revision and amendments to the contract shall be made by written supplement
to the contract.
11.6. Contract shall mean acceptance of tender issued against this tender.
11.7. The selected Bidder for award of the contract will sign an agreement on the Govt.
200 Rs stamp paper. The format for the agreement is shown in Annexure . 2.
11.8. The selected Bidder shall have to pay the security deposit as per the prevailing rules
and regulations of The Ahmedabad Municipal Corporation.
11.9. The successful Bidder(s) will require to pay Security Deposit @ 10 % of total yearly
amount for the number of civic centers allotted as per the price quoted by bidder
by Demand Draft or Banker's cheque payable at Ahmedabad in favor of Ahmedabad
Municipal corporation of any scheduled / nationalized bank.
In case the successful Tenderer desirous to offer Security Deposit in the form of
Bank Guarantee, the same should be from the Indian scheduled bank (payable at
Ahmedabad) acceptable to the A.M.C. The Bank Guarantee shall be as per the
enclosed format Annexure-3 or in the format acceptable to the A.M.C
11.10. The Awardee i.e. the selected bidder will have to enter into an agreement with
AMC for supply of goods and its/their installation, commissioning etc. on a
Rs.200/- stamps paper of Gujarat at its own cost within 7 (Seven) days period from
the date of receipt of Award. The agreement shall be as per the format attached
herewith or in such other form / format as acceptable to the A.M.C.
11.11. Corrections, erasures made in the tender format(s) and other paper(s) including
pasted slip(s) if any, should be invariably initialed. No negotiations as to rate(s)
quoted will be made unless it is deemed necessary in context of service of civic
centres.

11.12. It should be noted that the lowest rate(s)/price(s) will not be the sole criterion for
accepting tender. Any offer / tender not meeting the terms and conditions
mentioned herein above will be liable for rejection without assigning any reason
thereof.
11.13. In case, the selected Bidder fail to provide man power for any reason, he will be
liable to pay the difference amount to the AMC, which AMC has to pay to the next or
other selected Bidder for manpower.
11.14 Bidder must produce solvency certificate of Rs. 50 Lac from any Scheduled bank or
any revenue authority at least before commencement of civic centers after getting
work order otherwise.
12. Providing of manpower:
12.1. Providing man power shall be within 15 Calendar days from the date of the receipts
of the order.
13. Payment terms
AMC will make the payment every month on the production of duplicate bills with
required reports as directed by AMC. AMC will not responsible for payment to his individual staff.
In case of absence, attrition of employees; bidder will have to manage immediate
replacement of permanent employee. If Bidder will not be able to manage
immediate and bidder replaces temporary employee; AMC will not pay cost of that
temporary employee.
15. Contract Period :
15.1 The Contract period shall have minimum 1 Year and may be extended to further
12 months if found satisfactory by the AMC higher authority.
15.2 If bidder wants to terminate the present contract / agreement on or before
contract termination period for any reason, then in that case, it is mandatory for
the bidder to issue two months notice to AMC and if AMC is satisfied with reasons
narrated in the termination / cancellation of contract / agreement, it will be
discretion of AMC to accept the same.
16. Supervision during contract period:
16.1. Regular Supervision will be done by AMC official & checked all documents, registers
& behavior of civic center staff periodically.
17. Training :
17.1 No individual training would be provided to the bidders/Staff. Bidder has to visit any
civic center at his own cost and understand / follow the existing procedure and
systems. No payment to be made on the part of training to the bidders.

17.2 It would be assumed that bidder has understood the all the procedural aspects of all
the departments like property tax, professional tax, Birth and death dept, Buidling
plan dept, TDO fees, RTI, Vehicle tax, Health and Estate, Gumastadhara dept for
licenses etc... all the modules, all services offered to the citizens at civic center.
18.
18.1 FORCE MAJEURE
The supplier shall not be liable for forfeiture of his performance security, liquidated
damages, or termination for default if and to the extent that his delay in
performance or other failure to perform its obligations under the Contract is the
result of an event of Force Majeure.
For purpose of this clause, “Force Majeure” means an event beyond the control of
the supplier and not involving the supplier’s fault or negligence and not foreseeable.
Such event may include, but are not limited to, acts of the Government in its
sovereign or contractual capacity, war or revolutions, fires, floods, epidemics,
quarantine restrictions and freight embargoes.
If the Force Majeure situation arises, the supplier shall promptly notify AMC in
writing of such conditions and the cause thereof. Unless otherwise directed by AMC
in writing, the supplier shall continue to perform his obligations under the Contract
as far as it is reasonably practical, and shall use reasonable alternative means for
performance not prevented by the Force Majeure
18.2 RESOLUTION OF DISPUTES
AMC and the supplier shall make every effort to resolve dispute amicably by direct
informal negotiation in case of any disagreement or dispute arising between them or
in connection with any of the terms & conditions of the contract or part of the terms
& conditions of the contract or touching to interpretation of any or part of the terms
& conditions of the contract.
18.3 ARBITRATION
If, after thirty (30) days from the commencement of such informal negotiations, AMC
and the supplier have been unable to resolve amicably a contract dispute, the
dispute will be referred for arbitration to an arbitrator to be appointed by mutual
consent whose decision will be final and binding on both the parties. The
proceedings shall be conducted in Ahmedabad and as per Indian Arbitration &
Reconciliation Act, 1996. The languageof the proceedings shall be in English only

18.5 GOVERNING LANGUAGE
The contract shall be written in English. All correspondence and other documents
pertaining to the contract that are exchanged by the parties shall be written in
English.
18.5 APPLICABLE LAW
The contract shall be interpreted in accordance with appropriate Indian law.
18.6 NOTICES
Any notice given by one party to the other pursuant to this contract shall be sent to
the other party in writing or by fax and confirmed in writing to the party’s address.
A notice shall be effective when delivered or on the notices effective date, whichever
is later.
For the purpose of all notices by the Supplier to AMC, these shall be sent, or on
changed address, if informed in writing by AMC to the supplier, at the following

18.7 BINDING CLAUSE
All decisions taken by the Municipal Commissioner, AMC regarding the processing of
this tender and award of contract shall be final and binding on all parties concerned.
AMC, reserves the right: -
o To vary, modify, revise, amend or change any of the terms and conditions
mentioned above; or
o To reject any or all the tender/s without assigning any reason whatsoever
thereof or to annual the bidding process and reject all bids at any time prior

to award of contract, without thereby incurring any liability to the affected
bidder(s) or any obligation to inform the affected bidder(s) of the grounds
for such decision.
o To cancel the allocation of civic centers even though work order issued.
18.8 INTERPRETATION OF THE CLAUSES
In case of any ambiguity in the interpretation of any of the clauses in the Bid
document or the Contract Document, the interpretation of Municipal
Commissioner of Ahmedabad Municipal Corporation of these clauses shall be final
and binding on all parties. Tenderers shall carefully examine the Tender
Documents and fully inform themselves as to all the conditions and matters which
may in any way affect the work or the cost thereof. Verbal clarification and/or
information given by the Tenderers shall not be binding on the AMC.
18.9 Stamp Duty and Legal Charges
It shall be incumbent on the successful tenderer to pay stamp duty on the contract
and legal charges for preparation of the contract agreement.
18.10 Bidders not submitting the above mentioned information along with their tenders,
the tender will not be considered for evaluation and the bid will be outright
rejected.

& collection & forwarding right to Information Application & first appeal & procedural
aspect of the all the module starting form receiving the stationary from concern
department, forms & document taken from citizen & payment (cash/cheque) deposit

civic centre with the local situations at civic centre.

Memorandum of Understanding
That this agreement is entered into in between the below mentioned two parties
on..............day of of the year 2015.
BETWEEN:-
PARTY OF THE FIRST PART:
AHMEDABAD MUNICIPAL CORPORATION (A government body established under the
Bombay Provincial Municipal Corporations Act) having its registered office at Sardar Patel
Bhavan, Danapith, Ahmedabad-380 001 through its authorized signatory (hereinafter
referred to as " The first part" in this agreement)
PARTY OF THE SECOND PART:
____________________________________________ having its registered office at
_________________________________________________________ (A private/public
limited company constituted under the provisions of The Companies Act, 1956 through its
authorised signatory (hereinafter referred to as the " The second part " in this agreement.
That both the parties are having its registered offices at the above mentioned places and
have agreed to enter into this agreement the witness herewith as under:
1 That the Corporation is a body framed under the Bombay Provincial Municipal
Corporation Act with intent to provide / manage / assist and cater the needs of
the citizens of the city of Ahmedabad, and is engaged in all round development
of the city of Ahmedabad in the larger interest of the people residing therein.
2 That the Corporation, to facilitate the people living in the local limits of the
Municipal Corporation, and to facilitate their needs in respect of various public
amenities, which are quintessential for the well being of the general public for
example; registration of birth, registration of death, collection of tax bills,
application forms for the senior citizens, approval of building plans etc. as well as
relevant / consequential facilities, with a view to facilitate the life of the people
and to provide the necessary public amenities at their door steps, the First part
has created City Civic Centers at different places in the city of Ahmedabad.
3 That therefore the First Part has proposed / offered the Second Part herein to
enter into the present agreement and have expressed its intention to appoint
the Second Part herein, as an authorised AGENCY for the purpose of providing
man power support to the First Part at the City Civic Center located at different
location in Ahmedabad for effective and efficient operation and execution for
running the Civic Center set up by the First Part herein.

TERMS & CONDITIONS:
(A) That the parties to the agreement have agreed to enter into the agreement for
effective and efficient operation and execution for running the Civic Center set
up by the First Part. For the said purpose the parties hereby agree that the
Second Part would be liable and responsible to provide appropriate work force
as mentioned in tender AMC-MANPOWER-CCC-2014-15/09 and the necessary
maintenance service required for the effective and efficient operation for
running the Civic Centers involving the maintenance activities narrated in scope
of work.
(B) The Second Part herein agree to provide minimum working staff as per
qualification mentioned in tender document (Annexure- ) and as per numbers
mentioned in tender document (Annexure- ) which can be increased and/or
decreased as per the requirement to operate the aforesaid Civic Center. It will
be the look out of the party of the Second Part to appoint the staff on
contractual basis and/or on permanent basis. That the part of the First Part has
nothing to do with the staff of party of the Second Part. For any fault on the
part of the staff of Second Part, party of Second Part will be responsible and
answerable and the same will create vicarious liability of the party of the
Second Part. That the party of the First Part is concerned with the operation of
the aforesaid Civic Center and not at all concerned with the salaries / payment
to be made to the staff of the Second Part. That the staff employed by the
party of the Second Part will not be entitled to claim to be staff of party of the
First Part at any point of time. The part of the First Part will only be required to
pay as per Commercial terms approved by Municipal Commissioner (Annexure-
) to the party of the Second Part for providing man power services irrespective
of the payment made by the party of the Second Part to its staff members.
Payment is to be paid on monthly basis as per amount mentioned in Annexure-
and this amount would be credited towards manpower as well as maintenance
services provided by the party of the Second Part during the tenure of contract.
The First Part will pay consolidated agreed amount to the bidders on monthly
basis, not to the individual recruited staff.
(C) The First Part will provide space for civic centre, computer hardware/software,
tables and chairs all stationary for first time for civic centre. It will be primary
duty of the Second Part to get individual training of recruited staff. For this The
Second Part has to understand existing functioning of the all modules/ services
/ existing procedure of civic centre. For this bidder may visit civic centre on their
own cost. No separate or individual training would be provided by AMC.
(D) Duties and Responsibilities of staff to be deployed by the Second Part will be as
per Annexure - .
(E) The First Part may integrate Attendance Management System along with
counter modules for monitoring presence of staff. The Second Part will have to
understand this system and instruction his staff accordingly to follow the same.
Regular Supervision will be done by official & check all documents, registers &
behavior of civic center staff periodically. That the party of the First Part is at

liberty to supervise the work carried out by the staff of the party of Second Part
and in case if any irregularity is found, penalty would be imposed on the Second
part as mentioned in tender (Annexure- ) and the Second Part has to regularize
the same underwritten instruction to the party of the First Part within three
days, failing which it will amount to non-compliance of present M.O.U. and the
party of the First Part will be at liberty to terminate the contract.
(F) The parties herein agree that the Second Part shall be required to provide
maintenance for the effective running of the City Civic Centers. The second
part's liability would be limited to providing maintenance and support system
for efficient operation of the City Civic Centers. The first part herein further
agrees to pay aforesaid amount as per Annexure-3, for the maintenance
services provided by the second part herein.
(G) That the said agreement is executed between the parties only for providing the
services as mentioned in AMC-MANPOWER-CCC-2014-15/09 with the terms
and conditions mentioned in AMC-MANPOWER-CCC-2014-15/09 and for that
the infrastructure at Civic Centre will be provided by the Corporation. The First
part herein will be at liberty to add more Civic Center services apart from which
mentioned in tender AMC-MANPOWER-CCC-2014-15/09 in future during the
tenure of contract and the Second part herein agree to execute and carry out
those services. (Annexure- )
(H) It is further agreed between the parties that Second Part herein shall be liable
for payment of any taxes except the Service Tax that may be approved and / or
may / shall be applicable from time to time and that may be in force and/or
implemented from time to time as per the law in force and applicable to any /
or all the activities that are agreed to be or that may be agreed to be
undertaken in future by either parties in this behalf.
(I) The second part must agree with all conditions mentioned in the tender AMC-
MANPOWER-CCC-2014-15/09. The second part has to submit the undertaking
to the first part that the salary to the employees employed by the Second Part
will be paid only via cheque or ECS regularly.
(J) It would be sole responsibility of the Second Part to comply all laws and rules
and regulations of AMC and government laws applicable (i.e. like Payment of
Wages Act, Contract Act, Service Tax, Industrial Dispute Act, ESIC etc.).
(K) It would be responsibility of the Second Party to comply with the timing of City
Civic Center mentioned in the tender AMC-MANPOWER-CCC-2014-15/09. It
would be responsibility of the Second Part to make sure that all civic centers
remain open and operational during their respective operational hours during
working days. Over and above, the Second Part has to make arrangement for
making City Civic Centers operational as per the directives given by an authority
from the First Part about working of City Civic Centers. (Annexure – )

PROVIDE BY AMC :
AMC will provide space for civic centre, computer hardware/software, tables and
chairs all stationary for first time for civic centre
It is the primary duty of the concern bidder to get individual training of recruited
staff. For this bidder has to understand existing functioning of the all modules/
services / existing procedure of civic centre. For this bidder has to visit civic centre on
their own cost. No separate or individual training would be provided by AMC.
Regular Supervision will be done by AMC official & checked all documents, registers
& behavior of civic center staff periodically.
AMC will pay consolidated agreed amount to the bidders on monthly basis, not to
the individual recruited staff.
AMC may integrate Attendance Management System along with counter modules
for monitoring presence of staff. Bidder will have to understand this system and
instruction his staff accordingly to follow the same.
PLACE OF ESTABLISHMENT
It is further agreed between the parties herein that the aforesaid task of running the city
civic centre shall be executed at City Civic Centers located at different locations in
Ahmedabad. The party of the First Part can start more City Civic Centers during the tenure
of contract and the party of the Second Part will be liable to deploy its manpower for those
City Civic Centers as well.
It is also further agreed that the initial set up and the infrastructural development shall be
put by the First Part herein and the liability of the Second Part herein shall unless repugnant
to the context, would be limited to provide administrative and man power solution for the
effective and efficient operation and maintenance of the City Civic Centres. It would be sole
responsibility of the Second Part to maintain existing Civic Center Infrastructure (Computers,
Printers, Other Hardware Items, Lamination Machine, Stationeries etc.) and lost or damage
has to be replaced as in position by the Second Part or the First Part will recover for the lost
or damage from Bank Guarantee submitted by the Second Part or any other payments to be
paid to the Second Part.
That the employees employed by the Second Part shall be treated as employee of Second
Part and not the employee of the First Part.
SUPERVISION DURING CONTRACT PERIOD :
Regular Supervision will be done by AMC official & checked all documents, registers &
behavior of civic center staff periodically.
PAYMENT TERMS :
AMC will make the payment every month on the production of duplicate bills with
required reports as directed by AMC. AMC will not responsible for payment to his individual staff.
In case of absence, attrition of employees; bidder will have to manage immediate
replacement of permanent employee. If Bidder will not be able to manage

immediate and bidder replaces temporary employee; AMC will not pay cost of that
temporary employee.
PENALTY CLAUSE :
Penalty will be applicable as mentioned in Clause 6 of Tender AMC-MANPOWER-CCC-2014-
15/09. Penalty would be deducted by the First Part from monthly payment to be made to
the Second Part. (Annexure- )
TERMS OF AGREEMENT
That the parties to the agreement have mutually agreed to the above terms and conditions
and have decided to enter into the present agreement to provide the services in light of the
terms and conditions prescribed aforesaid, for the successful operation and maintenance of
the aforesaid City Civic Centres, initially for a period of 12 (twelve) months, commencing
from st day of , 2015 till th day of , 2016 and may be extended to further 12 months if
found satisfactory by the First part.
However, in the eventuality, party of the Second Part to terminate the present contract /
agreement for any reason, then in that case, it is mandatory for the party of Second Part to
issue two months notice to the party of the First Part and if party of First Part is satisfied
with reasons narrated in the termination / cancellation of contract / agreement, it will be
discretion of the party of First Part to accept the same, the party of the Second Part will be
at liberty to put their claim on such termination / agreement.
If the party of the First Part is not be satisfied with the services provided by the party of the
Second Part, then in that case, the party of the First Part will be at liberty to terminate the
contract without assigning any reason and party of the Second Part will be entitled to
receive the remuneration for the period it gave the services. That the order of termination
made by the party of the First Part in case of not being satisfied with the work carried out by
the party of the Second Part shall be final and cannot be challenged in any court of law.
FORCE MAJEURE
The supplier shall not be liable for forfeiture of his performance security, liquidated
damages, or termination for default if and to the extent that his delay in performance or
other failure to perform its obligations under the Contract is the result of an event of Force
Majeure.
For purpose of this clause, “Force Majeure” means an event beyond the control of the
supplier and not involving the supplier’s fault or negligence and not foreseeable.
Such event may include, but are not limited to, acts of the Government in its sovereign or
contractual capacity, war or revolutions, fires, floods, epidemics, quarantine restrictions and
freight embargoes.
If the Force Majeure situation arises, the supplier shall promptly notify AMC in writing of
such conditions and the cause thereof. Unless otherwise directed by AMC in writing, the
supplier shall continue to perform his obligations under the Contract as far as it is
reasonably practical, and shall use reasonable alternative means for performance not
prevented by the Force Majeure

RESOLUTION OF DISPUTES
The First Part and The Second Part shall make every effort to resolve dispute amicably by
direct informal negotiation in case of any disagreement or dispute arising between them or
in connection with any of the terms & conditions of the contract or part of the terms &
conditions of the contract or touching to interpretation of any or part of the terms &
conditions of the contract.
ARBITRATION
If, after thirty (30) days from the commencement of such informal negotiations, AMC and
the supplier have been unable to resolve amicably a contract dispute, the dispute will be
referred for arbitration to an arbitrator to be appointed by mutual consent whose decision
will be final and binding on both the parties. The proceedings shall be conducted in
Ahmedabad and as per Indian Arbitration & Reconciliation Act, 1996. The language of the
proceedings shall be in English only
JURISDICTION
The present agreement is executed between the parties herein at Ahmedabad and,
therefore, the competent Court of Civil jurisdiction at Ahmedabad, shall have the exclusive
jurisdiction and no other court beyond the territorial limits of the city of Ahmedabad shall
have jurisdiction to deal with any dispute or difference arising out of the present agreement
or the arbitral award in this behalf.
That this agreement is signed, by the authorised officers of both the parties with
appropriate seals of both along with the signature. That both the parties have understood
the contract, the terms and conditions laid down therein, the jurisdiction clause and the
arbitration clause and all the relevant paragraphs of the said contract in their full conscience
and that there is no misinterpretation, misrepresentation, undue influence, undue coercion,
or any kind of pressure on either of the parties to this contract for execution of the said
agreement and that both the parties have signed the said agreement in their full conscience,
knowledge and belief.

SPECIMEN OF BANK GUARANTEE /STAMP/(SECURITY DEPOSIT)
1. In consideration of the Municipal Corporation, Ahmedabad (Gujarat) India (here in
after called the Corporation) having agreed to exempt _____________________________
(here in after called the Firm) from the demand under the terms and conditions of the
Tender Notice No. ________________ dated __________ for the supply of _________
_____________________ (here in after called the Tender) of Security Deposit for the
fulfillment by the Firm on the terms and condition contained in Tender No.
___________________ dated of a bank guarantee for Rs. _____________ We, Bank.
_______________________ (here in after referred to as "the Bank") do hereby undertake
to pay to the Corporation an amount not exceeding Rs. ______________ against any loss
or damage caused to or suffered or would be caused to or suffered by the
Corporation by reason of any breach by the said Firm of any of the terms and conditions
contained in said Tender.
2. We Bank do hereby undertake to pay the amount
due and payable under this guarantee, without any demand but merely on a demand from
the Corporation stating that the amount claimed is due by way of loss or damage caused
to or would be caused to or suffered by the Corporation by reason of any breach by
the said Firm of any of terms or conditions contained in said Tenderer by reason of the
Firm's failure to fulfil their obligations towards their tenders. Any such demand made of
the Bank shall be conclusive as regards the amount due and payable by the Bank under this
guarantee. However, our liability under this guarantee shall be restricted to an
amount not exceeding Rs.____________________.
3. We, _________________________________ Bank, further agree that the guarantee
herein contained shall remain in full force and effect during the period that would be
taken for the validity of the said dues tender, and that it shall continue to be
enforceable till all the dues of the Corporation, under or by virtue of the said tender
have been fully paid and it's claim satisfied or discharged or till the Corporation certifies
that the terms and conditions of the said tender have been fully and properly carried out
by the said Firm and accordingly discharges the guarantee. Unless a demand or claim
under this guarantee is made on us in writing, on or before the, we shall be discharged from
all liability under this guarantee thereafter.
4. We, _______________________________ Bank, further agree with the Corporation that
the Corporation shall have the full liberty, without our consent and without affecting in any
manner our obligations hereunder, to vary any of the terms and conditions of the said
tender or to increase or decrease the quantity or to postpone or cancel the said tender and
forbear or enforce any of the terms and conditions relating to the said tender, and we shall
not be relieved from our liability by reason of any such variation or extension being given
to the said Firm or for any forbearance, act or commission on the part of the Corporation
or any indulgence by the Corporation to the said Firm or by any such matter or thing
whatsoever which under the law relating to sureties would, but for this provision, have
effect of so relieving us.
5. We, __________________________________ Bank, lastly undertake not to revoke this
guarantee during its, currency, except with the previous consent of the Corporation in
