Pumiced Aluminum may be specified as a table-top material onall style numbers ending in “33” and “74.” For example, both theDT-33 Dining Table and the DK-74 Desk are available withPumiced Aluminum tops.

The standard metal finishes (for legs, supports, & pulls) offeredby Antoine Proulx are:

All metal used for legs and supports is cold-rolled steel and/or alu-minum finished with a baked-on epoxy-coated finish in the colorsindicated above. Cold-rolled steel is an imperfect material whichexhibits natural pits and changes in density. This is an extrudedproduct, not a cast element. The innate properties of the cold-rolled steel are not defects, simply natural characteristics.

Both solid hardwoods and veneers (see Green Statement on page96) are used in the construction of all our handcrafted furniture.Solid woods are used in framing to ensure sturdy construction anddurability and veneers enable us to provide for a more uniformand continuous matching of wood grains and colorations.

All selections of veneers and metal finishes should be carefullymade due to the fact that all veneers and finishes are specifically selected by Antoine Proulx for each piece of furniture. Because notwo trees are alike, veneers used to process orders may differ fromsample veneers and floor samples. Also, keep in mind that mostwoods darken naturally with age. Therefore, new products can besignificantly lighter than older floor samples or veneer samples. Accordingly, Antoine Proulx does not guarantee an exact match tosamples, nor can we control the size, location, or coloration ofveneer markings.

Dove-tailed drawer bodies (see Green Statement on page 96) aremade of solid maple or ash (depending upon what is readily avail-able in the market). Drawer fronts utilize the same veneer as spec-ified for the entire piece. Imported drawer slides, which are bothinvisible (under-mounted) and silent when in motion, are usedwherever drawers are specified (except where full-extension drawerslides are indicated).

TERMS AND CONDITIONS

1. PRICES: All prices are wholesale (net of discounts) to-the-trade,freighton board (F. O. B.) North Oxford, Massachusetts and do not include tax, crating, handling, insurance, storage, shipping, assembly, or installation.Prices are in U. S. Dollars.

2. TERMS: Please note that all Antoine Proulx furniture is made-to-order. A deposit of at least 50% of the purchase price is required withthe order before any work is commenced. Lead time for production onlyis 14 weeks from Antoine Proulx’s receipt of deposit (unless otherwiseindicated on Confirmation of Order and Agreement). Shipping time isadditional. When a stain-to-match is specified, lead time for productionbegins from Customer’s approval of Company’s match sample. Saiddeposits are not refundable except as pursuant to paragraph number 3.Full payment, including state or local excise taxes, if applicable, crating,handling, storage , if applicable, and insurance shall be made byCustomer and received by Antoine Proulx (Company) before delivery orshipment to Customer. For $75.00 Company shall assist Customer withsecuring shipment services for the furniture, if requested. Delivery datesare approximate and Company shall not be responsible for any delay orfailure in performance due to causes beyond its control. We recommendshipping merchandise double blanket-wrapped by moving van but willquote deliveries by common carriers. Company will provide shippingquotes with the following firms only: Ambassador for New England, NewYork Tri-State, and Florida deliveries; YRC for deliveries nationwide.Company will provide only one quote from either of the firms above. IfCustomer is not pleased with the quote we provide, it is Customer’sresponsibility to obtain its own quote and to notify Antoine Proulx of itschoice and final arrangements before Company will release the merchan-dise.

3. CHANGE ORDERS & CANCELLATIONS: Due to the fact that allveneers and finishes are specifically selected by the Company for eachpiece of furniture, changes will be accepted in writing ONLY up to seven(7) days after order confirmation date and ONLY if confirmed by theCompany in writing. Cancellations are not allowed.

4. STORAGE: The Company is not equipped to store any furniture forlong periods of time. If Customer is unable to secure delivery withinthirty (30) days of notification by the Company of completion of furni-ture, the Company reserves the right to transfer the furniture to a storagefacility at the Customer’s sole expense. Stored goods will result in storagecharges of $100 per month per item which shall be added to the paymentdue prior to delivery.

5. CLAIMS: The Company is not responsible for damage or loss incurredin transit or in storage. All furniture has been carefully inspected andwrapped with foam paper and bubble-wrap (or crated, if requested) priorto release to storage or delivery company. Any claims against theCompany shall be submitted by the Customer in writing within seven(7) days of receipt of delivery. Failure to make such claim shall consti-tute full and unqualified acceptance of the goods and a waiver of defectsor other claims. Company’s liability shall not exceed the contract priceand the Company shall not be responsible for indirect, incidental, or con-sequential damages arising from this agreement. Any loss or damage tothe furniture is the responsibility of the delivery company once the furni-ture leaves our workshop.

Antoine Proulx is not responsible for repairs to damages caused duringdelivery or storage nor is it responsible for filing insurance claims with thedelivery company. All freight claims are the responsibility of theCustomer. Antoine Proulx will provide a “Notification of DeliveryRelease” once the delivery company has picked-up the furniture from ourworkshop. Upon receipt of this notification, Customer should direct alldelivery inquiries to the delivery company. Bear in mind that the deliverycompany is notified to pick-up the furniture only after the Companyreceives final balance payment from Customer. Customer must allow upto two (2) weeks for delivery company to pick-up furniture at ourworkshop (due to its rural Massachusetts location) in addition to thetime necessary for delivery to final destination (2 - 4 more weeks).

6. GUIDELINES TO FOLLOW FOR FREIGHT DAMAGE: Any visibledamage should be noted by the delivery person on the freight bill. If fur-niture was crated, check for any indication of rough handling. Notify thedelivery company’s office immediately to inspect the merchandise if dam-age is noticed. If damage is noticed only when unpacking, notify thedelivery company immediately for inspection. Do not destroy packingmaterials until it is inspected. Any claims for loss or damage should befiled immediately with the delivery company making delivery to yourdoor. DO NOT REFUSE TO ACCEPT DELIVERY as this will causeunnecessary shipping expense for returns. If merchandise is returnedwithout you first having contacted the shipping company for inspection,no claim can be filed. Shipments returned to Antoine Proulx’s workshopwithout Company’s consent in writing will be refused and either re-deliv-ered or stored at Customer’s expense.

7. WARRANTY: The Company disclaims all warranties, express orimplied, including but not limited to any implied warranties of mer-chantability or fitness for a particular purpose. Customer shall keep inmind the fact that no two trees are alike; therefore, veneers may differfrom samples available. Similarly, since metal densities vary, the metalfinishes produced may deviate from samples shown. The Company doesnot guarantee, warrant or represent an exact match to samples, nor canCompany control size, location, or coloration of veneer markings + grain.

8. DESIGNS: Company reserves the exclusive right to manufacture thecopyrighted designs shown. All dimensions are considered approximate.The Company also reserves the right to make changes in dimensions,design, and construction without prior notice. Drawings for approvalare $300.00 and strike-off ’s for approval are $250.00 Net in advance.

10. DISPUTES: All disputes which involve this agreement shall be gov-erned by the laws of the State of Arizona. This agreement contains all theterms and conditions agreed upon by Customer and Company and super-sedes Customer's purchase order, if any. No modification to this agree-ment shall be valid unless in writing signed by both parties. Any contro-versy arising from this agreement shall be settled by arbitration whichshall be conducted in the City of Phoenix.

9. CUSTOMIZATION: Antoine Proulx will customize most of its designsas indicated in the price book. Minor changes such as the dimensions ofa table top will require at least a 10% additional charge over the net price.More complex changes to case goods or to design, configuration, andoverall scale in general will require at least a 15% additional charge overthe net price.
