The Dutch Trade Register

The Dutch Trade Register is also known as the Business Register. It falls under the competence of the Chamber of Commerce.

All types of businesses and legal entities incorporated in the Netherlands must register with the Business Register.

Public Information on Dutch Companies

Individuals who want to know more about a Dutch company can search the Trade Register free of charge.

Several options allow for a search based on company name, address or number. Detailed information, like annual financial statements, can be obtained based on a fee.

Types of Companies Listed in the Dutch Companies Register

The sole proprietorship, commercial partnership, limited partnership and the professional partnership must be registered with the Chamber of Commerce by their founders.

Limited liability companies can be registered by a notary or a professional company incorporation firm.

Information Available for Consultation in the Trade Register

The following information is available for consultation with the Trade Register in the Netherlands:

• name and registered address of a company,• telephone and fax numbers and other correspondence

details,• Dutch branch offices of foreign companies,• details about the company’s representatives,• the number of employees.

Company Registration in the Netherlands

Any new business must be registered in the Dutch Business Register. This is done by submitting the necessary documents.

Subsequent changes in the company’s information, like its address or name, must also be submitted to the Business Register. The company can also be de-registered.

Foreign Company Registration in the Netherlands

A foreign company must register with the Business Register when it has a branch in the Netherlands.

Foreign legal entities that act as the director of a Dutch company should only register the Dutch legal entity.

Documents Submitted to the Dutch Companies Register

A registration form is necessary when registering a company with the Dutch Companies Register. The form is different for each type of company.

Other necessary documents include: the deed of incorporation, bank statements, identification documents for the company representatives and others.

The Company Registration Procedure

The documents needed for company registration must be submitted one week before the new company begins its activities or one week after the start of the operations, at most.

If the company will have workers or will hire employees, this needs to be stated upon registration.
