MOTION OF CRI MILL RUN LIMITED FOR AN ENTRY OF AN ORDER COMPELLING IMMEDIATE PERFORMANCE OF THE

DEBTOR’S POST-PETITION LEASE OBLIGATIONS PURSUANT TO 11 U.S.C. § 365(d)(3)

CRI Mill Run Limited (the “Landlord”), by and through its undersigned counsel, hereby

moves the Court (the “Motion”) (a) to compel the debtor, ITT Educational Services, Inc. (the

“Debtor”), pursuant to § 365(d) of Title 11 of the United States Code §§ 101, et seq. (the

“Bankruptcy Code”), to immediately perform its post-petition lease obligations, including the

payment of post-petition rent in an amount not less than $60,651.96. In support of this Motion,

the Landlord respectfully states as follows:

JURISDICTION

1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. § 1334.

2. This is a core proceeding pursuant to 28 U.S.C. § 157(b)(2)(A) and (G).

3. Venue in this Court is proper pursuant to 28 U.S.C. §§ 1408 and 1409.

4. The statutory predicates for the relief sought in this Motion are §§ 105, 362, 365,

503 and 507 of the Bankruptcy Code.

BACKGROUND

5. On September 16, 2016 (the “Petition Date”), the Debtor, along with certain of its

affiliates and subsidiaries, filed voluntary petitions for relief under Chapter 7 of the Bankruptcy

Code in the United States Bankruptcy Court for the Southern District of Indiana.

6. Also on September 16, 2016, the Office of the United States Trustee appointed

Deborah J. Caruso as the Chapter 7 Trustee (the “Trustee”) of the Debtor’s estate.

7. The Landlord is the owner of that certain commercial real property located at

3781 Park Mill Run, Suite 1, Hilliard, Ohio 43026, at which the Debtor leases space (the “Leased

Premises”) under the terms of that certain Net Commercial Lease dated December 2, 2002 (as

the same may have been amended from time to time, the “Lease”). A true and correct copy of

the Lease and all Amendments thereto are annexed hereto as Exhibit “A” and incorporated

herein by reference in their entirety.

8. The term of the Lease commenced June 2, 2003, and ends on June 1, 2018, Ex. A

(Lease).

9. Pursuant to the terms of the Lease, the Debtor agreed and is therefore required to

make monthly rent payments to the Landlord by the first day of each month (the “Rent”). Ex. A

(Lease), § 2.01. At all times relevant hereto, the Rent was $40,434.66. Ex. A (Lease)

Amendment, § 2.

10. From the inception of the Lease, the Debtor enjoyed the uninterrupted use and

occupancy of the Leased Premises.

11. On September 6, 2016, the Debtor announced in a press release that it was

“discontinuing [its] academic operations at all of its [locations] permanently.”

12. As of the date hereof, the Trustee has neither assumed nor rejected the Lease and

the Debtor remains in possession of the Leased Premises.

13. Notwithstanding the Debtor’s exclusive use and occupancy of the Leased

Premises as provided under the Lease, the Debtor has failed to timely perform all of the

obligations arising under the Lease from and after the Petition Date, including, but not limited to,

the failure to pay the following:

a. Prorated rent for the period of September 16, 2016 to September 30, 2016 (“Stub Rent”), in the amount of $20,217.30; and

b. Rent for October of 2016 (“Post-Petition Rent”) in the amount of

$40,434.66. The foregoing unpaid post-petition Lease obligations total not less than $60,651.96. 14. As the Trustee has failed to satisfy the unpaid post-petition Lease obligations to

Landlord, the Trustee is in default of its obligations under the terms of the Lease and is in

violation of its obligations under § 365(d)(3) of the Bankruptcy Code.

RELIEF REQUESTED

15. By this Motion, the Landlord requests entry of an Order compelling the

immediate payment of all past-due, post-petition obligations due and owing under the Lease

pursuant to §§ 365(d)(3) and 503(b)(1) of the Bankruptcy Code.1

BASIS FOR THE RELIEF REQUESTED

This Court Should Compel Immediate Payment of the Post-Petition Lease Obligations

16. Section 365(d)(3) of the Bankruptcy Code provides, in relevant part, that:

The trustee shall timely perform all the obligations of the debtor, except those specified in § 365(b)(2), arising from and after the order of relief under any unexpired lease of nonresidential real property, until such lease is assumed or rejected, notwithstanding § 503(b)1) of this title … .” 11 U.S.C. § 365(d)(3) [emphasis added].

17. Interpreting the above-quoted section, the Seventh Circuit said that, “obligations

under an unexpired lease that arise after an order for relief is entered permitting the bankruptcy

case to proceed (commonly referred to as arising ‘postpetition’), and prior to rejection of the

lease (‘prerejection’), are to be timely fulfilled under the terms of the lease: …” HA-LO

Industries, Inc. v. CenterPoint Properties Trust, 342 F.3d 794, 798 (7th Cir. 2003).

18. As the Seventh Circuit has held, the policy behind § 365(d)(3) of the Bankruptcy

Code is “to relieve landlords of the uncertainty of collecting rent fixed in the lease ‘in full,

promptly, and without legal expense’ during the awkward postpetition prerejection period.” Id.

at 799 (citation omitted).

19. In the case at bar, as in HA-LO, the Post-Petition Rent arose under the Lease after

the Petition Date and prior to the assumption or rejection of the Lease. However, in violation of

§ 365(d)(3) of the Bankruptcy Code, Debtor and Trustee failed to pay the Landlord the Post-

Petition Rent.

20. Moreover, this Court has held that landlords may immediately claim “stub rent”

under §§ 365(d)(3) and 503(b)(1) of the Bankruptcy Code. See, e.g., In re Trinat Health Care,

Inc., 2002 Bankr. LEXIS 1900, at *10 (U.S. Bankr. S.D. Ind. June 5, 2002) (entering order

compelling immediate payment of prorated rent owed for post-petition prior of month following

petition date).

21. This Motion is identical to that in Trinat Health Care, where the debtor in that

case filed its bankruptcy petition on the 15th day of the month. The Court there awarded the

landlord the immediate payment of rent for the period from the petition date to the end of the

month. Here, too, the Landlord is entitled to the Stub Rent.

22. The Debtor’s failure to pay these sums has and continues to significantly harm the

Landlord. Landlord is in contract to sell its interest in the Leased Premises. In the current

situation there is no rent being paid but Landlord is unable to take possession of or terminate the

Lease. This puts the contract at great risk.

23. Accordingly, the Landlord respectfully requests the entry of an Order compelling
