On July 24, 2019, Potomac Electric Power Company (Pepco) filed with the MarylandPublic Service Commission (Commission) a revision to Pepco's Electricity SupplierCoordination Tariff (Supplier Tariff) to establish a process by which retail electric suppliersmust transfer credits that they receive from the PJM Interconnection, LLC (PJM) to Pepco thatare associated with Pepco's participation in the PJM capacity market as a price responsivedemand (PRD) resource.' Prior to the Commission's consideration of Pepco's filing at theSeptember 18, 2019 Administrative Meeting, the Retail Energy Supply Association (RESA)and WGL Energy Services, Inc. associated with the retail electricity supplier's PRD customers. This would ensure that PRDcredits and costs are correctly allocated between Pepco and the retail electricity supplier.

As WGL Energy noted in its comments, Pepco does not currently have an EDI dataidentifier in place that informs retail suppliers whether a customer is participating in a Pepcoload management program. Pepco is updating its enrollment response transaction to includethese indicators, and expects to implement this function during the first quarter of 2020. As toWGL Energy's second request for a monthly report, Pepco does not believe such a report isnecessary. Unless a retail electricity supplier is also offering a PRD program in Pepco'sterritory, the entire PJM billing line item would be appropriately transferred to Pepco and novalidation would be required. On the chance that a retail electricity supplier was also offeringa PRD program in Pepco's territory, the supplier and not Pepco would be in the best position toknow the amount of credits and costs related to its own PRD customers. However, if a retailelectricity supplier were to offer a PRD program in Pepco's territory, Pepco would work withthe supplier to ensure that both had the information necessary to ensure that PRD credits andcosts are correctly allocated between Pepco and the retail electricity supplier.

For these reasons, as well as the reasons detailed in Pepco's original July 24, 2019 filing,Pepco requests that the Commission accept this tariff filing with an effective date of December1,2019.

10.0: ACTIVE LOAD MANAGEMENT

10.1: DEMAND SIDE MANAGEMENT (DSM). The Company shall continue to offer voluntary DSMprograms to its distribution customers. The Company will continue to receive all PJM capacitybenefits from the operation of these programs.

10.2: DSM Operation. The Company shall have the right to operate its DSM programs inresponse to PJM requests or whenever the Company determines it to be appropriate or necessary.

10.3: Ownership. Maintenance, and Operation of DSM Devices. The Company will continue to

own, operate and maintain all DSM equipment, hardware, and software that it has paid for andinstalled.

11.0: PRICE RESPONSIVE DEMAND

11.1: Price Responsive Demand (PRD) Resource. Pepco is participating in PJM's capacitymarket as a PRD resource beginning in the delivery year June 1, 2020 - May 31, 2021. Pepco'sPRD obligation to PJM is to reduce certain load under certain circumstances in exchange for anunforced capacity financial credit associated with Pepco's PRD customers receiving Standard OfferService (SOS) from Pepco. Regarding Pepco's PRD customers receiving Standard Offer Service(SOS) from Pepco, PJM will provide an unforced capacity financial credit to the Electricity Suppliersof such PRD customers.

11.2 PRD Unforced Capacity Financial Credit Billing Line Item Transfer. Electricity Suppliersgoverned by the Maryland Public Service Commission under this Tariff shall agree to a PJM billingline item transfer of the financial credits and costs associated with Pepco's participation in the PJMcapacity market as a PRD resource from their respective PJM bill to Pepco's PJM bill. Absentchanges made by PJM to bill the PRD provider for all of its PRD customers, when an ElectricitySupplier participates in PJM's capacity market as a PRD resource in the Pepco service territory, theElectricity Supplier shall bill Pepco for the financial credits and costs associated with the ElectricitySupplier's PRD customers to ensure that PRD credits and costs are correctly allocated betweenPepco and the Electricity Supplier.

12.0: ELECTRICITY SUPPLIER CHARGES, BILLING AND PAYMENT

12.1 Charges for Electricity Supplier Services. The Electricity Supplier agrees to pay allCharges for Electricity Supplier Coordination Services provided by the Company as set forth inSchedule 1 of this Tariff.

12.2 Electricitv Supplier Payment of Obligations to the Company. The Electricity Supplier

shall pay for all Coordination Services, or any other Charge it incurs hereunder, in accordance withthe following provisions;

12.2.1 Billing Procedure. Each month, the Company shall submit an invoice to theElectricity Supplier for all Charges for Coordination Services provided under this Tariff andthe Supplier Coordination Agreement. The invoice may be transmitted to the ElectricitySupplier by any reasonable method as agreed to between the Electricity Supplier and theCompany. The Electricity Supplier shall make payment for Charges incurred on or beforethe due date that shall appear on the bill. This date shall be determined by the Companyand shall not be less than 15 days from the date of transmittal of the bill.

12.2.2 Billing Corrections and Estimated Billings. Notwithstanding anything statedherein, bills shall be subject to adjustment for any errors in arithmetic, computation, meterreadings, estimating or other errors as set forth in the Company's Tariff, from the date ofsuch original monthly billing.

12.2.3 Manner of Payment. The Electricity Supplier shall make payments of funds payableto the Company by electronic payment to a bank designated by the Company. If disputesarise regarding the Electricity Supplier's bill, the Electricity Supplier must pay the undisputedportion of disputed bills under investigation by the due date shown on the bill.

12.2.4 Late Fee for Unpaid Balances. If payment is made to the Company after the duedate shown on the bill, interest will be added to the unpaid balance until the entire bill is paidat the rate of 1.5% per month.

12.2.5 Net Billing between the Company and Electricity Supplier. The Parties agreethat the Company may, as part of the routine billing and payment process between theCompany and Electricity Supplier, "net" or offset any and all amounts which may be due andowing by the Electricity Supplier to the Company against any and all amounts which may bedue and owing by the Company to the Electricity Supplier, as a result of the Company'scollection of the Electricity Supplier's portion of the Customer's payment pursuant to Section11.2 hereof, prior to rendering payment or an invoice to the Electricity Supplier. Upon mutualagreement of the Parties, other charges and transactions under this tariff may also be net oroffset as part the routine billing and payment process between the Company and ElectricitySupplier.

12.2.6 Billing Disputes. In the event the Electricity Supplier falls to make payment on orbefore the due date because of a billing dispute between the Company and the ElectricitySupplier, the Company will continue to provide Coordination Services under this Tariff andthe Supplier Coordination Agreement as long as the Electricity Supplier (1) continues tomake all payments not in dispute, and (2) pays into an escrow account the portion of theinvoice in dispute, pending resolution of the dispute. If the dispute cannot be resolved, theCompany may terminate the Supplier Coordination Agreement and retain the amount inescrow (including interest). The Company shall notify the Electricity Supplier in writing of itsintent to do so. The Electricity Supplier may, within 30 days, file a complaint with theCommission in which case the Company will continue to provide Coordination Services untilfinal disposition of the complaint.

12.3 Billing for Electricity Supplier's Obligations to Other Parties. The Company will assumeno responsibility for invoicing or billing of services between the Electricity Supplier and PJM, theElectricity Supplier and any energy source, or a Scheduling Coordinator and any CoordinatedElectricity Suppliers.

13.0: RETAIL CUSTOMER BILLING AND PAYMENT COLLECTION

13.1 Billing Services Selection and Change: The Customer has the option to choose whetherthe Company or the Electricity Supplier will render a consolidated bill (including Companyand Electricity Supplier charges) or whether to have separate bills from the Company andthe Electricity Supplier. The Electricity Supplier shall notify the Company of the Customer'schoice of billing service option when notifying the Company of the Customer's enrollment.

13.1.1 Billing Service Options. Customers will have the opportunity to choose from the followingbilling service options;

a) Separate (Dual) Electric Company/Electricity Supplier Billingb) Electric Company Consolidated Billing - Bill Ready Optionc) Electricity Supplier Consolidated Billing - Bill Ready Option - This option is not

available at this time, please see Section 12.5.

13.1.2Notification of Billing Option Change. If the billing option for a Customerchanges after initial enrollment, the Electricity Supplier must notify the Company ofthe change prior to five calendar days before the scheduled meter reading date andthe change will be effective the last meter reading date before we received thechange.

13.1.3Change of Billing Options Offered. An Electricity Supplier who adds ordeletes a billing option that it offered when Utility/Supplier Services are initiatedpursuant to this Tariff shall provide 60 calendar-days notice prior to implementingthe addition/deletion to its affected customers, the Company, the Maryland PublicService Commission Staff, the Office of People's Counsel.

13.2 Meter Reading Information. The Company will read the Customers' meters inaccordance with its customary practices.

13.2.1_ Estimated Meter Read. In the event an actual meter reading cannot be obtained,the Company shall estimate the Customer's consumption for billing purposes for theapplicable period in accordance with Commission approved procedures.

13.2.2 Meter Read Data. The Company will normally provide the Electricity Supplier withactual or estimated meter read data within 3 days of the Meter Read Date.

13.3Separate (Dual) Billing. If the Customer chooses to use Dual Billing, the Company andthe Electricity Supplier will separately send their bills directly to the Customer. The Companywill render its bills consistent with its standard billing practices.

13.2.1 Customer Billing Complaints. The Company shall process all complaintsand customer services regarding the bill rendered by the Company in accordancewith applicable regulations and performance specifications. The Electricity Suppliershall process all complaints and customer services regarding the bill rendered by theElectricity Supplier in accordance with applicable regulations and performancespecifications.

13.4 Company Consolidated Billing. The Company shall render a single consolidated billwith Customer charges for both the Company and the Electricity Supplier separately stated.A monthly billing charge will be applied to each electricity Supplier for each month that theCompany renders bills on a consolidated basis to Customers of the Electricity Supplier, asdetailed in Schedule 1 of this Tariff.

13.4.1 Billing Format - Biil Ready. If the Company renders a consolidated bill,the Supplier must transmit its billing information to the Company in a bill ready formatand in accordance with the billing practices and EDI standards accepted by theCommission.

a) The Supplier must calculate and send its Customers' charges to the Companywithin 3 Business Days of receipt of the meter read data. If the ElectricitySupplier fails to transmit its Customers' information to the Company in therequired timeframe, the Company will not render a consolidated bill.

b) The Company will not be liable for the Electricity Supplier's charges or losses,damages or consequential damages associated with the Electricity Supplier'sCustomers not being billed for the Electricity Supplier's charges for that period.

c) The Electricity Supplier is responsible for the bill content transmitted to theCompany

13.4.2 Purchase of Electricity Supplier Receivables When an ElectricitySupplier elects to use Company Consolidated Billing, the Company will purchase theElectricity Supplier's receivables pursuant to Commission rules and regulations andany other provisions of this Tariff.

a) All electricity charges resulting from the Supplier provision of Competitive PowerSupply for Customers billed using Company Consolidated Billing will bepurchased. The Company will not purchase receivables associated with non-commodity charges or Early Termination Fees (ETF).

b) In the event a Customer is converted from Electric Company Consolidated Billingto Separate (Dual) Billing, Supplier and Company will each be responsible for itsown receivables effective as of the start of Dual Billing.

c) The Company will pay all undisputed charges to the Electricity Supplier by the5th day from due date noted on the consolidated bill in accordance withSchedule 3 of this Tariff.

d) The Company will make payments of funds payable to the Electronic Supplier viaelectronic payment with remittance advice to a bank designated by the ElectricitySupplier. Wire transfer of funds will be made per relevant Commission ordersunless other terms are mutually agreed upon.

e) Purchased Electricity Supplier receivables will be treated the same manner asCompany charges pursuant to applicable Tariffs.

f) In the event a Customer disputes an Electricity Supplier's charges and notifiesthe Company, the Company can withhold the disputed amount from thatElectricity Supplier until such time that the Company is notified that the disputehas been resolved.

g) When the company consolidated billing option is used, all credits shall beremitted to the Company by the Supplier, to be applied to the Customer'saccount.

h) If the Electricity Supplier's Customer is on a budget or levelized payment plan,the Company shall only be obligated to purchase each month the amount of themonthly installment under the budget or levelized payment plan.

i) The Company may add to or deduct from any payments due to ElectricitySuppliers amounts that may result from reconciliations, adjustments orrecalculations of estimated readings, cancel and rebills or any applicable billingadjustment.

j) The Company shall also purchase accounts receivables of electricity Supplier'scustomers based upon an estimated bill. The Company will not purchaseaccounts receivables incurred prior to the Suppliers election to use Companyconsolidated billing for that Customer.

13.4.3Billing and Payment Data Access. The Company and the Electricity Supplier shalltransmit consumption, billing, and related data to each other using electronictransaction for the purpose of Company consolidated billing

a) The Company shall remit supplier revenue and billing data to the supplier byelectronic means.

b) The Supplier shall have access to customer billing and payment information fromthe Company for the supplier's presently enrolled customers at no cost beyondthe tariffed rate.

c) The Company shall provide the Supplier with the same electronic access tocustomer bill information that it provides to the customer.

13.4.4 Bill Due Date. For consolidated billing options, the Electricity Supplier must adoptthe same bill due date as the Company. Most bill due dates will be in accordancewith the Company's published bill schedule.

13.4.5 Utility Responsibilities in the event of Supplier Default. A defaulted ElectricitySupplier as defined in Section 6.3 using Electricity Company consolidated billingservices remains obligated to provide the Electricity Company with informationnecessary to allow the Electricity Company to continue consolidated billing throughthe conclusion of the billing cycle in which the default occurred. The defaultedElectricity Supplier is prohibited from issuing bills to persons who were customers atthe time of the default unless specifically authorized by the Commission,

a) A request to authorize an Electricity Supplier to bill directly may be made to theCommission by the Company or the applicable Electricity Supplier.

b) The defaulted Electricity Supplier and the Company shall continue to abide bythe Supplier Coordination Agreement.

13.5 Electricitv Supplier Consolidated Billing. The issues of the supplier's qualifications toprovide a consolidated billing service and their ability to purchase Company receivableshave not been determined. Should any Electricity Supplier elect to provide ElectricitySupplier Consolidated Billing, the Commission has determined that the issues of purchaseof receivables and the qualifications of the Electricity Supplier to provide consolidated billingmust be considered prior to any Electricity Supplier Consolidated Billing being implemented.

13.6 Billing and Pavment Programs. The Company has the following programs that mayimpact Customer bills.

13.6.1 Average Payment Plan. The Company will continue to offer the Average PaymentPlan (budget billing) for its charges. Customers seeking to enroll in or terminate from, theAverage Payment Plan must do so by contacting the Company. If a Customer is enrolled inthe Company's budget billing program and switches to an Electricity Supplier, the Companywill perform a final budget reconciliation to remove the commodity charges from the budgetbill amount. The Company's portion of the budget bill amount will be based solely on itsregulated charges and, at the Company's discretion, may include amounts required to true-up (or settle) any excessive accumulated deviation from the budget plan. Such true-up mayoccur immediately or during the Company's regular budget review periods. The Companywill make budget billing available for Supplier charges. If the Supplier elects to include abudget amount on the Company's consolidated bill, the Supplier must provide budget billinginformation in a manner consistent with current regulations and EDI standards to be includedon the consolidated bill.

13.6.2 Pre-Authorized Transfer (Direct Debit and Auto-Pay). The Company will continueto offer the Pre-Authorized Transfer and Auto Pay programs for all charges billed on aCompany rendered bill. Customers seeking to enroll in, or terminate from, these programsmust do so by contacting the Company.

13.7 Taxes. In accordance with Commission procedures, the entity that originates the charge isresponsible for, and shall remit and file taxes applicable to its charges.

13.7.1 Company Tax Responsibilities. The Company is responsible for calculation,collection and remittance of gross receipts taxes, franchise tax on delivery service,and State and local energy taxes assessed on delivery service or other products andservices provided by the Company.

13.7.2Supplier Tax Responsibilities. The Electricity Supplier is responsible forcalculation, collection, "if applicable," and remittance of State and sales taxesassessed on all products and services provided by the Electricity Supplier.

13.7.3 Tax Exemptions. Where Customers are exempt from taxes, it is the responsibilityof both the Company and the Electricity Supplier to separately procure any requiredtax exemption certificates from the Customer.

14.0: COMPANY-SUPPLIED METERING SERVICES

14.1 Meters. The Company shall provide Standard Metering Services and Company-ownedElectric Metering Equipment in accordance with the Company's prevailing retail service tariff on filewith the Commission, as said tariff may be revised by the Company from time to time.

14.2 Reading. All Customers shall have their electric energy deliveries metered and read inaccordance with applicable Commission regulations and Company procedures.

14.3 Non-standard Metering. With written authorization from Customers, Electricity Suppliersmay request and pay for Non-standard Metering under the same provisions available to Customersunder the Company's General Terms and Conditions for Furnishing Electric Service, Section 2.g.Metering.

14.4 Special Meter Reading. A Special Meter Reading fee is applicable to each meter readingrequested by an Electricity Supplier that is not on the Company's Scheduled Meter Read Date ortime. The Company will use its best efforts to accommodate Special Meter Reading requests withinfive (5) business days of the date of the request. The fees for Special Meter Reading are providedin Schedule 1.

14.5 Meter Testing. In addition to any meter testing that is performed in compliance withCommission regulations, upon the Electricity Supplier's written request, the Company will testdesignated electric meter(s) used for billing. In the event a test requested by the Electricity Supplierestablishes that a Company-owned electric meter is registering inaccurately by more than theapplicable Commission tolerances and requirements, as may be revised by the Commission fromtime to time, the costs of said tests shall be borne by the Company. Any Company-owned electricmeter found to be inaccurate by more than the applicable Commission tolerances and requirements,or is otherwise found to be defective, shall be adjusted, repaired or replaced, at the sole cost andexpense of the Company. The cost of testing a meter at the request of the Electricity Supplier,which is determined to be operating within applicable Commission tolerances and requirements andnot found to be defective, will be borne by the Electricity Supplier.

15.0: NON-UTILITY-SUPPLIED METERING

15.1 Availability. With written authorization from Customers, Electricity Suppliers may requestand pay for non-utility owned metering for their Customers under the same provisions available toCustomers under the Company's General Terms and Conditions for Furnishing Electric Service,Section 2.g. Metering.

16.0: SYSTEM OPERATION

16.1 Curtailment. The Company shall have the right to curtail, interrupt or reduce the ElectricitySupplier's supply of electric energy and the right to disconnect the Electricity Supplier's Customerswhenever the Company determines, or when the Company is directed by PJM, that such adisconnection, curtailment, interruption or reduction is necessary to facilitate construction,installation, maintenance, repair, replacement or inspection of any of the Company's facilities: tomaintain the safety and reliability of the Company's electrical system; as directed by governmentalauthorities; or due to Emergencies, forced outages, potential overloading of the Company'stransmission and/or distribution circuits, or Force Majeure. Any other provisions of this Tariff thatmay seem to contradict this right shall be subordinated to this right. Curtailments and/ordisconnects will be carried out in a nondiscriminatory manner with respect to a Customer's ElectricitySupplier.

16.2 Reasonable Efforts. The Company shall use reasonable efforts to; minimize any scheduledcurtailment, interruption or reduction to the extent practicable under the circumstances; provide theElectricity Supplier with prior notification of any such curtailment, interruption or reduction, to theextent practicable; and resume service as promptly as practicable following elimination of thecondition causing the disconnection, curtailment, interruption or reduction.

16.3 PJM Requirements. The Electricity Supplier acknowledges and agrees that it will cooperatewith the Company so that the Company will be in compliance with all PJM Emergency OperationsProcedures as defined in the PJM Operating Manual, which include, but are not limited to, thoseprocedures pertaining to minimum and maximum generation emergencies, and measures requiringinvoluntary Customer participation, such as supply voltage reduction or full interruption of Customerload by either manual or automatic means.

17.0: CONFIDENTIALITY OF INFORMATION

17.1 Generally. All information made available by the Company to the Electricity Supplier inconnection with the provision of Coordination Services, including, but not limited to, rate class loadprofile data, and information regarding computer or communications systems owned or leased bythe Company, shall be used only for the purposes of receiving Coordination Services and providingCompetitive Power Supply under this Tariff to Customers in the Company's Service Territory. AnElectricity Supplier shall not disclose such information to third parties without the Company's priorauthorization and/or consent.

17.2 Customer-Specific Information. The Company will not provide to the Electricity SupplierCustomer-specific information, without the Customer's written consent, except for information asallowed by the Commission for bill collection or credit rating reporting purposes or pursuant toSection 7.1 and 7.2 of this Tariff. The Electricity Supplier shall keep all such Customer-specificinformation supplied by the Company confidential unless the Electricity Supplier has the Customer'swritten authorization to do otherwise

18.0: DISPUTE RESOLUTION

18.1 Informal Resolution of Disputes. The Company and the Electricity Supplier shall use goodfaith efforts to informally resolve all disputes arising out of the implementation of this Tariff, theprovisions of the Electricity Supplier Coordination Services, and/or the carrying out of Supplierresponsibilities.

18.2 Recourse. Complaints or disputes that are not satisfactorily resolved between the partiesmay be filed with;

19.0: FORCE MAJEURE. Neither the Company nor the Electricity Supplier shall be considered tobe in default in the performance of its obligations under this Tariff, except obligations to makepayments, to the extent that performance of any such obligation is prevented or delayed by anycause, existing or future, which is beyond the reasonable control of, and not the result of the fault ornegligence of, the affected party, including, but not limited to, strike, lockout, or other labor difficulty,acts of the other party or its agents/contractors, riot, civil insurrection, war (whether or not declared),fire, flood, earthquake, unusually severe weather, government orders preventing performance ormaterially adversely affecting the affected party, acts of God, and other causes of a similar nature (a"Force Majeure Event"). If a party is prevented or delayed in the performance of any such obligationby a Force Majeure Event, such party shall immediately provide notice to the other party of thecircumstances preventing or delaying performance and the expected duration thereof. Such noticeshall be confirmed in writing as soon as reasonably possible. The party so affected by a ForceMajeure Event shall endeavor, to the extent reasonable, to remove the obstacles which preventperformance and shall resume performance of its obligations as soon as reasonably practicable.The settlement of strikes and labor disturbances shall be wholly within the discretion of the partyexperiencing that difficulty. Economic hardship of either party shall not constitute a Force MajeureEvent under this Tariff. Computer problems, including the failure of any year 2000 measures, shallnot constitute a Force Majeure Event under this Tariff.

20.0: REGULATORY AUTHORIZATIONS AND JURISDICTION

20.1 Compliance with Applicable Legal Authorities. The Company and the Electricity Supplierare subject tc, and shall comply with, all existing or future applicable federal, state, and local laws,all existing or future Commission orders or regulations or other duly authorized actions ofgovernmental authorities having jurisdiction over such matters. The Company will not violate,directly or indirectly, or become a party to a violation of any applicable federal, state or local statute,regulation, rule or order in order to provide service to Electricity Supplier. The Company's obligationto provide service is subject to the condition that all requisite governmental and regulatory approvalsfor the provision of such service will have been obtained and will be maintained in force during suchperiod of service.

20.2 Change in Applicable Legal Authorities. This Tariff is subject to change in the future toreflect any FERC-required changes in the pricing mechanism, structure and/or operations of PJM,and to reflect any relevant changes required by the Commission or other Maryland State agencyhaving jurisdiction, or by virtue of any federal or state law or regulation, and such changes shall bedeemed to be binding upon the parties, except where the right to terminate is exercised inaccordance with the terms of this Tariff.

21.0: LIMITATION OF LIABILITY

21.1 General Limitation Of Liability. The Company shall have no duty or liability with respect toCompetitive Power Supply before it is delivered by an Electricity Supplier to the Company'sdistribution system. The Company shall have the same duty for distribution service to Customersreceiving Competitive Power Supply as to those receiving electric energy and capacity from theCompany. In no event shall either party be liable to the other for any consequential, indirect, orspecial damages suffered by the other party arising from activities conducted pursuant to this Tariff.

21.2 Limitation Of Liabilitv For Service Interruptions And Variations. The Company does not

guarantee continuous, regular and uninterrupted supply of service. The Company may interrupt orlimit the supply of service, on a non-discriminatory basis with respect to Electricity Suppliers, for thepurpose of making repairs, changes, or improvements in any part of its system for the general goodof the service or the safety of the public or for the purpose of preventing or limiting any actual orthreatened instability or disturbance of the system. The Company is not liable for any loss, costs,damages, or expense to the Electricity Supplier as a result of such interruptions or limitations ofsupply or for any other reasons beyond the Company's control. The Company also is not liable forany loss, costs, damages, or expense to the Electricity Supplier by failure to supply or byinterruption, reversal, reduction, surge, or fluctuation in supply caused by events beyond the controlof the Company or any cause except gross negligence or willful misconduct of the Company.

21.3Additional Limitations Of Liabilitv In Connection With Competitive Power Supply.

Other than its duty to deliver Competitive Power Supply subject to the provisions of this Tariff, theCompany shall have no duty or liability to the Electricity Supplier providing Competitive PowerSupply arising out of or related to a contract or other relationship between the Electricity Supplierand a Customer of the Electricity Supplier. The Company shall implement Customer selection of theElectricity Supplier consistent with Commission rules and regulations and shall have no liability tothe Electricity Supplier arising out of or related to switching or not switching Electricity Suppliersexcept in the event of gross negligence or willful misconduct of the Company.

4412.0: ELECTRICITY SUPPLIER CHARGES, BILLING AND PAYMENT

4412.1 Charges for Electricity Supplier Services. The Electricity Supplier agrees to pay allCharges for Electricity Supplier Coordination Services provided by the Company as set forth inSchedule 1 of this Tariff.

4412.2 Electricity Supplier Payment of Obliaatlons to the Comoanv. The Electricity Suppliershall pay for all Coordination Services, or any other Charge it incurs hereunder, in accordance withthe following provisions:

4412.2.1 Billing Procedure. Each month, the Company shall submit an invoice to theElectricity Supplier for ail Charges for Coordination Services provided under this Tariff andthe Supplier Coordination Agreement. The invoice may be transmitted to the ElectricitySupplier by any reasonable method as agreed to between the Electricity Supplier and theCompany. The Electricity Supplier shall make payment for Charges incurred on or beforethe due date that shall appear on the bill. This date shall be determined by the Companyand shall not be less than 15 days from the date of transmittal of the bill.

4412.2.2 Billing Corrections and Estimated Billings. Notwithstanding anythingstated herein, bills shall be subject to adjustment for any errors in arithmetic, computation,meter readings, estimating or other errors as set forth in the Company's Tariff, from the dateof such original monthly billing.

11.2.3 12.2.3 Manner of Payment. The Electricity Supplier shall make payments of funds-payable to the Company by electronic payment to a bank designated by the Company. Ifdisputes arise regarding the Electricity Supplier's bill, the Electricity Supplier must pay theundisputed portion of disputed bills under investigation by the due date shown on the bill.

11.2.4 12.2.4 Late Fee for Unpaid Balances. If payment is made to the Company after-the due date shown on the bill, interest will be added to the unpaid balance until the entirebill is paid at the rate of 1.5% per month.

11.2.612.2.5 Net Billing between the Company and Electricity Supplier. The Partiesagree that the Company may, as part of the routine billing and payment process between theCompany and Electricity Suppiier, "net" or offset any and all amounts which may be due andowing by the Electricity Supplier to the Company against any and all amounts which may bedue and owing by the Company to the Electricity Suppiier, as a result of the Company'scollection of the Electricity Suppiier's portion of the Customer's payment pursuant to Section11.2 hereof, prior to rendering payment or an invoice to the Eiectricity Supplier. Upon mutualagreement of the Parties, other charges and transactions under this tariff may also be net oroffset as part the routine billing and payment process between the Company and ElectricitySuppiier.

11.2.612.2.6 Billing Disputes. In the event the Electricity Supplier fails to make paymenton or before the due date because of a billing dispute between the Company and theElectricity Supplier, the Company will continue to provide Coordination Services under thisTariff and the Supplier Coordination Agreement as long as the Electricity Supplier (1)continues to make all payments not in dispute, and (2) pays into an escrow account theportion of the invoice in dispute, pending resolution of the dispute. If the dispute cannot beresolved, the Company may terminate the Supplier Coordination Agreement and retain theamount in escrow (including interest). The Company shall notify the Electricity Supplier inwriting of its intent to do so. The Electricity Supplier may, within 30 days, file a complaintwith the Commission in which case the Company will continue to provide CoordinationServices until final disposition of the complaint.

44,312.3 Billing for Electricity Supplier's Obligations to Other Parties. The Comoanv willassume no responsibility for invoicing or billing of services between the Electricity Supplier and PJM,the Electricity Supplier and any energy source, or a Scheduling Coordinator and any CoordinatedElectricity Suppliers.

4313.0: RETAIL CUSTOMER BILLING AND PAYMENT COLLECTION

4313.1 Billing Services Selection and Change: The Customer has the option to choose whetherthe Company or the Electricity Supplier will render a consolidated bill (including Companyand Electricity Supplier charges) or whether to have separate bills from the Company andthe Electricity Supplier. The Electricity Supplier shall notify the Company of the Customer'schoice of billing service option when notifying the Company of the Customer's enrollment.

12.1.1 13.1.1Billing Service Options. Customers will have the opportunity to choose from-the following billing service options:

a) Separate (Dual) Electric Company/Electricity Supplier Billingb) Electric Company Consolidated Billing - Bill Ready Optionc) Electricity Supplier Consolidated Billing - Bill Ready Option - This option is not

available at this time, please see Section 12.5.

12.1.2 13.1.2Notification of Billing Option Change. If the billing option for-a Customer changes after initial enrollment, the Electricity Supplier must notify theCompany of the change prior to five calendar days before the scheduled meterreading date and the change will be effective the last meter reading date before wereceived the change.

12.1.3 13.1.3Change of Billing Options Offered. An Electricity Supplier-who adds or deletes a billing option that it offered when Utility/Supplier Services areinitiated pursuant to this Tariff shall provide 60 calendar-days notice prior toimplementing the addition/deletion to its affected customers, the Company, theMaryland Public Service Commission Staff, the Office of People's Counsel.

43r3 13.2Meter Reading Information. The Company will read the Customers' meters in-accordance with its customary practices.

12.2.113.2.1 Estimated Meter Read. In the event an actual meter reading cannot beobtained, the Company shall estimate the Customer's consumption for billingpurposes for the applicable period in accordance with Commission approvedprocedures.

12.2.213.2.2 Meter Read Data. The Company will normally provide the Electricity Supplierwith actual or estimated meter read data within 3 days of the Meter Read Date.

43t3 13.3Separate (Dual) Billing. If the Customer chooses to use Dual Billing, the-Company and the Electricity Supplier will separately send their bills directly to the Customer.The Company will render its bills consistent with its standard billing practices.

13.2.1 Customer Billing Complaints. The Company shall process all-complaints and customer services regarding the bill rendered by the Company inaccordance with applicable regulations and performance specifications. TheElectricity Supplier shall process all complaints and customer services regarding thebill rendered by the Electricity Supplier in accordance with applicable regulations andperformance specifications.

13.4Companv Consolidated Billing. The Company shall render a single-*-consolidated bill with Customer charges for both the Company and the Electricity Supplierseparately stated. A monthly billing charge will be applied to each electricity Supplier foreach month that the Company renders bills on a consolidated basis to Customers of theElectricity Supplier, as detailed in Schedule 1 of this Tariff.

IM J^BMIIng Format — Bill Ready. If the Company renders a consolidated'^bill, the Supplier must transmit its billing information to the Company in a bill readyformat and in accordance with the billing practices and EDI standards accepted bythe Commission.

a) The Supplier must calculate and send its Customers' charges to the Companywithin 3 Business Days of receipt of the meter read data. If the ElectricitySupplier fails to transmit its Customers' information to the Company in therequired timeframe, the Company will not render a consolidated bill.

b) The Company will not be liable for the Electricity Supplier's charges or losses,damages or consequential damages associated with the Electricity Supplier'sCustomers not being billed for the Electricity Supplier's charges for that period.

c) The Electricity Supplier is responsible for the bill content transmitted to theCompany

12.4.2 13.4.2Purchase of Electricity Supplier Receivabies When an Electricity*-Supplier elects to use Company Consolidated Billing, the Company will purchase theElectricity Supplier's receivables pursuant to Commission rules and regulations andany other provisions of this Tariff.

a) All electricity charges resulting from the Supplier provision of Competitive PowerSupply for Customers billed using Company Consolidated Billing will bepurchased. The Company will not purchase receivables associated with non-commodity charges or Early Termination Fees (ETF).

b) In the event a Customer is converted from Electric Company Consolidated Billingto Separate (Dual) Billing, Supplier and Company will each be responsible for itsown receivables effective as of the start of Dual Billing.

c) The Company will pay all undisputed charges to the Electricity Supplier by the5th day from due date noted on the consolidated bill in accordance withSchedule 3 of this Tariff.

d) The Company will make payments of funds payable to the Electronic Supplier viaelectronic payment with remittance advice to a bank designated by the ElectricitySupplier. Wire transfer of funds will be made per relevant Commission ordersunless other terms are mutually agreed upon.

e) Purchased Electricity Supplier receivables will be treated the same manner asCompany charges pursuant to applicable Tariffs.

f) In the event a Customer disputes an Electricity Supplier's charges and notifiesthe Company, the Company can withhold the disputed amount from thatElectricity Supplier until such time that the Company is notified that the disputehas been resolved.

g) When the company consolidated billing option is used, all credits shall beremitted to the Company by the Supplier, to be applied to the Customer'saccount.

h) If the Electricity Supplier's Customer Is on a budget or levelized payment plan,the Company shall only be obligated to purchase each month the amount of themonthly installment under the budget or levelized payment plan.

i) The Company may add to or deduct from any payments due to ElectricitySuppliers amounts that may result from reconciliations, adjustments orrecalculations of estimated readings, cancel and rebills or any applicable billingadjustment.

j) The Company shall also purchase accounts receivables of electricity Supplier'scustomers based upon an estimated bill. The Company will not purchaseaccounts receivables Incurred prior to the Suppliers election to use Companyconsolidated billing for that Customer.

12.4.3 13.4.3Billing and Payment Data Access. The Company and the ElectricitySupplier shall transmit consumption, billing, and related data to each other usingelectronic transaction for the purpose of Company consolidated billing

a) The Company shall remit supplier revenue and billing data to the supplier byelectronic means.

b) The Supplier shall have access to customer billing and payment information fromthe Company for the supplier's presently enrolled customers at no cost beyondthe tariffed rate.

c) The Company shall provide the Supplier with the same electronic access tocustomer bill information that it provides to the customer.

42^4^413.4.4 Bill Due Date. For consolidated billing options, the Electricity Supplier mustadopt the same bill due date as the Company. Most bill due dates will be inaccordance with the Company's published bill schedule.

I 12-;4i-513.4.5 Utility Responsibilities in the event of Supplier Default. A defaultedElectricity Supplier as defined in Section 6.3 using Electricity Company consolidatedbilling services remains obligated to provide the Electricity Company with informationnecessary to allow the Electricity Company to continue consolidated billing throughthe conclusion of the billing cycle in which the default occurred. The defaultedElectricity Supplier is prohibited from issuing bills to persons who were customers atthe time of the default unless specifically authorized by the Commission.

a) A request to authorize an Electricity Supplier to bill directly may be made to theCommission by the Company or the applicable Electricity Supplier.

b) The defaulted Electricity Supplier and the Company shall continue to abide bythe Supplier Coordination Agreement.

I 42r613.5 Electricity Supplier Consolidated Billing. The issues of the supplier'squalifications to provide a consolidated billing service and their ability to purchase Companyreceivables have not been determined. Should any Electricity Supplier elect to provideElectricity Supplier Consolidated Billing, the Commission has determined that the issues ofpurchase of receivables and the qualifications of the Electricity Supplier to provideconsolidated billing must be considered prior to any Electricity Supplier Consolidated Billingbeing implemented.

I 4A4-13.6 Billing and Payment Programs. The Company has the following programs thatmay impact Customer bills.

I 12.6.113.6.1 Average Payment Plan. The Company will continue to offer the AveragePayment Plan (budget billing) for its charges. Customers seeking to enroll in or terminatefrom, the Average Payment Plan must do so by contacting the Company. If a Customer isenrolled in the Company's budget billing program and switches to an Electricity Supplier, theCompany will perform a final budget reconciliation to remove the commodity charges fromthe budget bill amount. The Company's portion of the budget bill amount will be based solelyon its regulated charges and, at the Company's discretion, may include amounts required totrue-up (or settle) any excessive accumulated deviation from the budget plan. Such true-upmay occur immediately or during the Company's regular budget review periods. TheCompany will make budget billing available for Supplier charges. If the Supplier elects toinclude a budget amount on the Company's consolidated bill, the Supplier must providebudget billing information in a manner consistent with current regulations and EDI standardsto be included on the consolidated bill.

I 12.6.213.6.2 Pre-Authorized Transfer (Direct Debit and Auto-Pay). The Company willcontinue to offer the Pre-Authorized Transfer and Auto Pay programs for all charges billedon a Company rendered bill. Customers seeking to enroll in, or terminate from, theseprograms must do so by contacting the Company.

43r?13.7 Taxes. In accordance with Commission procedures, the entity that originates thecharge is responsible for, and shall remit and file taxes applicable to its charges.

12.7.113.7.1 Company Tax Responsibilities. The Company is responsible for calculation,collection and remittance of gross receipts taxes, franchise tax on delivery service,and State and local energy taxes assessed on delivery service or other products andservices provided by the Company.

43^14.0: COMPANY-SUPPLIED METERING SERVICES

43414.1 Meters. The Company shall provide Standard Metering Services and Company-owned Electric Metering Equipment in accordance with the Company's prevailing retail service tariffon file with the Commission, as said tariff may be revised by the Company from time to time.

43414.2 Reading. All Customers shall have their electric energy deliveries metered and readin accordance with applicable Commission regulations and Company procedures.

43314.3 Non-standard Metering. With written authorization from Customers, ElectricitySuppliers may request and pay for Non-standard Metering under the same provisions available toCustomers under the Company's General Terms and Conditions for Furnishing Electric Service,Section 2.g. Metering.

43414.4 Special Meter Reading. A Special Meter Reading fee is applicable to each meterreading requested by an Electricity Supplier that is not on the Company's Scheduled Meter ReadDate or time. The Company will use its best efforts to accommodate Special Meter Readingrequests within five (5) business days of the date of the request. The fees for Special MeterReading are provided in Schedule 1.

43314.5 Meter Testing. In addition to any meter testing that is performed in compliance withCommission regulations, upon the Electricity Supplier's written request, the Company will testdesignated electric meter(s) used for billing. In the event a test requested by the Electricity Supplierestablishes that a Company-owned electric meter is registering inaccurately by more than theapplicable Commission tolerances and requirements, as may be revised by the Commission fromtime to time, the costs of said tests shall be borne by the Company. Any Company-owned electricmeter found to be inaccurate by more than the applicable Commission tolerances and requirements,or Is otherwise found to be defective, shall be adjusted, repaired or replaced, at the sole cost andexpense of the Company. The cost of testing a meter at the request of the Electricity Supplier,which is determined to be operating within applicable Commission tolerances and requirements andnot found to be defective, will be borne by the Electricity Supplier.

1&.Q16.0: SYSTEM OPERATION

Curtailment. The Company shall have the right to curtail, interrupt or reduce theElectricity Supplier's supply of electric energy and the right to disconnect the Electricity Supplier'sCustomers whenever the Company determines, or when the Company is directed by PJM, that sucha disconnection, curtailment, interruption or reduction is necessary to facilitate construction,installation, maintenance, repair, replacement or inspection of any of the Company's facilities; tomaintain the safety and reliability of the Company's electrical system; as directed by governmentalauthorities; or due to Emergencies, forced outages, potential overloading of the Company'stransmission and/or distribution circuits, or Force Majeure. Any other provisions of this Tariff thatmay seem to contradict this right shall be subordinated to this right. Curtailments and/ordisconnects will be carried out in a nondiscriminatory manner with respect to a Customer's ElectricitySupplier.

15.-216.2 Reasonable Efforts. The Company shall use reasonable efforts to: minimize anyscheduled curtailment, interruption or reduction to the extent practicable under the circumstances;provide the Electricity Supplier with prior notification of any such curtailment, interruption orreduction, to the extent practicable; and resume service as promptly as practicable followingelimination of the condition causing the disconnection, curtailment, interruption or reduction.

1&;316.3 PJM Requirements. The Electricity Supplier acknowledges and agrees that it willcooperate with the Company so that the Company will be in compliance with all PJM EmergencyOperations Procedures as defined in the PJM Operating Manual, which include, but are not limitedto, those procedures pertaining to minimum and maximum generation emergencies, and measuresrequiring involuntary Customer participation, such as supply voltage reduction or full interruption ofCustomer load by either manual or automatic means.

46.ei7.0: CONFIDENTIALITY OF INFORMATION

44.417.1 Generally. All information made available by the Company to the Electricity Supplierin connection with the provision of Coordination Services, including, but not limited to, rate classload profile data, and Information regarding computer or communications systems owned or leasedby the Company, shall be used only for the purposes of receiving Coordination Services andproviding Competitive Power Supply under this Tariff to Customers in the Company's ServiceTerritory. An Electricity Supplier shall not disclose such Information to third parties without theCompany's prior authorization and/or consent.

44.317.2 Customer-Specific Information. The Company will not provide to the ElectricitySupplier Customer-specific information, without the Customer's written consent, except forinformation as allowed by the Commission for bill collection or credit rating reporting purposes orpursuant to Section 7.1 and 7.2 of this Tariff. The Electricity Supplier shall keep all such Customer-specific information supplied by the Company confidential unless the Electricity Supplier has theCustomer's written authorization to do otherwise

4?.018.0: DISPUTE RESOLUTION

4^19.0: FORCE MAJEURE. Neither the Company nor the Electricity Supplier shall beconsidered to be in default in the performance of its obligations under this Tariff, except obligationsto make payments, to the extent that performance of any such obligation is prevented or delayed byany cause, existing or future, which is beyond the reasonable control of, and not the result of thefault or negligence of, the affected party, including, but not limited to, strike, lockout, or other labordifficulty, acts of the other party or its agents/contractors, riot, civil insurrection, war (whether or notdeclared), fire, flood, earthquake, unusually severe weather, government orders preventingperformance or materially adversely affecting the affected party, acts of God, and other causes of asimilar nature (a "Force Majeure Event"). If a party is prevented or delayed in the performance ofany such obligation by a Force Majeure Event, such party shall immediately provide notice to theother party of the circumstances preventing or delaying performance and the expected durationthereof. Such notice shall be confirmed in writing as soon as reasonably possible. The party soaffected by a Force Majeure Event shall endeavor, to the extent reasonable, to remove theobstacles which prevent performance and shall resume performance of its obligations as soon asreasonably practicable. The settlement of strikes and labor disturbances shall be wholly within thediscretion of the party experiencing that difficulty. Economic hardship of either party shall notconstitute a Force Majeure Event under this Tariff. Computer problems, including the failure of anyyear 2000 measures, shall not constitute a Force Majeure Event under this Tariff.

4^20.1 Compliance with Applicable Legal Authorities. The Company and the ElectricitySupplier are subject to, and shall comply with, all existing or future applicable federal, state, andlocal laws, all existing or future Commission orders or regulations or other duly authorized actions ofgovernmental authorities having jurisdiction over such matters. The Company will not violate,directly or Indirectly, or become a party to a violation of any applicable federal, state or local statute,regulation, rule or order In order to provide service to Electricity Supplier. The Company's obligationto provide service Is subject to the condition that all requisite governmental and regulatory approvalsfor the provision of such service will have been obtained and will be maintained In force during suchperiod of service.

49,220.2 Change in Applicable Legal Authorities. This Tariff Is subject to change In thefuture to reflect any FERC-requlred changes in the pricing mechanism, structure and/or operationsof PJM, and to reflect any relevant changes required by the Commission or other Maryland Stateagency having jurisdiction, or by virtue of any federal or state law or regulation, and such changesshall be deemed to be binding upon the parties, except where the right to terminate Is exercised Inaccordance with the terms of this Tariff.

I aOvSai.O: LIMITATION OF LIABILITY

I 20tT21.1 General Limitation Of Liability. The Company shall have no duty or liability withrespect to Competitive Power Supply before it is delivered by an Electricity Supplier to theCompany's distribution system. The Company shall have the same duty for distribution service toCustomers receiving Competitive Power Supply as to those receiving electric energy and capacityfrom the Company. In no event shall either party be liable to the other for any consequential,indirect, or special damages suffered by the other party arising from activities conducted pursuant tothis Tariff.

I 3&7321.2 Limitation Of Liability For Service Interruptions And Variations. The Companydoes not guarantee continuous, regular and uninterrupted supply of service. The Company mayinterrupt or limit the supply of service, on a non-discriminatory basis with respect to ElectricitySuppliers, for the purpose of making repairs, changes, or improvements in any part of its system forthe general good of the service or the safety of the public or for the purpose of preventing or limitingany actual or threatened Instability or disturbance of the system. The Company is not liable for anyloss, costs, damages, or expense to the Electricity Supplier as a result of such interruptions orlimitations of supply or for any other reasons beyond the Company's control. The Company also isnot liable for any loss, costs, damages, or expense to the Electricity Supplier by failure to supply orby interruption, reversal, reduction, surge, or fluctuation in supply caused by events beyond thecontrol of the Company or any cause except gross negligence or willful misconduct of the Company.

I 2&r3—21.3Additional Limitations Of Liabilitv In Connection With Competitive Power Supply.Other than its duty to deliver Competitive Power Supply subject to the provisions of this Tariff, theCompany shall have no duty or liability to the Electricity Supplier providing Competitive PowerSupply arising out of or related to a contract or other relationship between the Electricity Supplierand a Customer of the Electricity Supplier. The Company shall Implement Customer selection of theElectricity Supplier consistent with Commission rules and regulations and shall have no liability tothe Electricity Supplier arising out of or related to switching or not switching Electricity Suppliersexcept in the event of gross negligence or willful misconduct of the Company.
