LEGISLATION UPDATE

Justice and Other Legislation Amendment Act 2020

This recent act implements a wide variety of changes, intended to improve the efficiency and

effectiveness of the courts and administrative agencies and to clarify, strengthen and update that

legislation. One example is an amendment to s 68 of the District Court of Queensland Act 1967 to

make clear that an entitlement to interest is not to be included in determining whether an action

exceeds the monetary limit.

Justice Legislation (COVID-19 Emergency Response—Wills and Enduring Documents)

Amendment Regulation 2020

This is part of a suite of regulations passed by the Queensland Parliament under the regulation

making powers created by the COVID-19 Emergency Response Act 2020. This latest regulation

passed on 22 May 2020 expands the class of documents that can be witnessed by AV link and allows

documents including deeds to be signed electronically.

Corporations (Coronavirus Economic Response) Determination (No. 2) 2020 (Cth)

On 25 May 2020, the Federal Government announced temporary changes to the continuous

disclosure provisions using COVID-19 powers under s 1362A of the Corporations Act 2001 (Cth). The

Determination essentially amends s 674(2) Corporations Act 2001 (Cth) so that companies will only be

liable if they knew or were reckless or negligent with respect to whether information would, if it were

generally available, have a material effect on the price or value of their securities.

Re Marshall [2020] QSC 109

The applicant was one of six adult children who survived the deceased. An envelope

containing a document which stated that it was the deceased’s last will and testament was

found among her belongings. The document relevantly nominated the applicant to take care

of the deceased’s affairs “if she could not do so”, gave the applicant power of attorney “if

needed”, and stated that the deceased trusted the applicant to ‘take care of anything that she

could not’. The document was not executed in accordance with the requirements of the

Succession Act 1981. Consequently, the applicant applied for orders dispensing with the

execution requirements on the basis that the Court should be satisfied, pursuant to s 18

found that the document did not purport to state the deceased’s testamentary intentions.

Background

The applicant was one of six adult children who survived the deceased. [3], [5]. An envelope labelled

“MY WILL LAST WISHES …” containing a document which stated that it was the deceased’s “LAST

WILL AND TESTOMENT [sic]” was found among her belongings. [8], [10]–[11]. The document

nominated the applicant “ … TO TAKE CARE OF ALL OF MY AFFAIRS IF I CANNOT DO THIS

MYSELF”, gave him “MY POWER OF ETERNY [sic] … IF NEEDED”, and stated that the deceased

trusted him to “ … TAKE CARE OF ANYTHING I CAN’T”. [11].

The document was signed, but did not comply with the execution requirements of the Succession Act

1981. [11]–[12], [17]. As such, the applicant applied for orders dispensing with those requirements on

the basis that the Court should be satisfied, pursuant to s 18 Succession Act 1981, that the deceased

had intended the document to form her will. [3]. He also sought a grant of letters of administration and

provided extrinsic evidence in favour of a declaration that, on the proper construction of the document,

the deceased’s estate was to be distributed to him on testamentary trust. [4], [54].

Satisfaction pursuant to s 18 Succession Act 1981

Henry J explained that before the document could be saved by s 18(2) Succession Act 1981, it

needed to be established, pursuant to s 18(1)(a), that it “purported to state the deceased’s

testamentary intentions”. [21]. His Honour noted that extrinsic evidence going to that matter was not

admissible, because the reference to that evidence in s 18(3) only applied after s 18(1)(a) was

satisfied. [33]. To purport to state the deceased’s testamentary intention, the document needed to

“purport to indicate that it [was] to take effect upon death and … what should be done with the

deceased’s property”. [36].

His Honour reasoned that the document in question did not expressly refer to the deceased’s death, or

indicate that it was not to take effect until that time. [37]. The assertion that it was the deceased’s last

will and testament only raised an inference that the document was to take effect in that manner. [37].

However, Henry J considered that the reference elsewhere in the document to a power of attorney,

being a power that operates inter vivos, excluded the inference that the document only purported to

take effect upon the deceased’s death. [38].

Henry J clarified that “at best” the language of the document allowed for the possibility that it could

take effect upon the deceased’s death. [39]–[41]. Ultimately, it was not the event of death, but the

event of incapacity, which the document purported to rely upon for its vigour and effect. [41]. While

recognising that it may be arguable that s 18(1)(a) applies to “part of a document” that purports to

state a testamentary intention in the alternative to some other intention, his Honour resolved that in

this case, any alternative intention only arose by implication. [43].

His Honour also did not consider that the document purported to indicate what should be done with

the deceased’s property. [47]. Henry J acknowledged that the vague and general language of the

document might arguably purport to confer an implied power on the applicant to manage the

deceased’s property. [49]. However, his Honour underscored that “appointing a person, however

described, to be in charge of distributing property of a deceased or property in a deceased’s residual

estate [said] nothing as to the fate of that property” in the manner required by s 18(1)(a). [49]–[51].

Therefore, his Honour concluded that s 18 did not apply to the document and the application to

dispense with s 10’s execution requirements failed.


Disposition

In the result, Henry J granted the applicant letters of administration on intestacy on the basis that the

applicant had equal priority to his siblings, and his siblings had notice of the application. [59]–[63].

B McNamara

LAWYERS – SUBSEQUENT CONDUCT DEMONSTRATING FITNESS TO BE ADMITTED – WHERE APPLICANT HAD BEEN SUBJECT OF DOMESTIC VIOLENCE PROTECTION ORDER AND HAD MADE THREATS OF VIOLENCE AGAINST OTHERS SEVEN YEARS BEFORE APPLYING FOR ADMISSION – WHETHER APPLICATION OUGHT BE GRANTED

Re LAR [2020] QCA 20

Here, the Court was required to assess the fitness of an applicant for admission having

regard to events which had taken place seven years prior. Specifically, at that time the

applicant, then a serving police officer, had been the subject of a domestic violence

protection order and he had made various threats of violence against others. Although the

Court recognised that the applicant’s conduct had been reprehensible, it concluded that it

was not such as to “permanently stamp him unfit to be a legal practitioner”. The Court

granted the application for admission.

Holmes CJ, McMurdo and Mullins JJA

17 February 2020

The reasons were given ex tempore. The applicant had made a prior application in 2018, which he

discontinued with a view to revisiting the issue with the benefit of further time to demonstrate fitness.

[4]. The matters which came before the court on both occasions were identical and arose from

occurrences in 2012. [2].

Briefly, the applicant had opposed a domestic violence protection order against him. In the course of

those proceedings, it was revealed that he had allegedly threatened to kill his wife at a counselling

session. In addition, subsequently he made threats to the effect that he wished to kill the officers who

had been involved in the application for the domestic violence protection order, together with the

magistrate who had presided. As a result of those matters, the applicant was dismissed from the

Queensland Police Service, a decision endorsed by the Queensland Civil and Administrative Tribunal.

[3].

With that background the court had the task of determining pursuant to s 31 of the Legal Profession

Act 2007 whether the applicant was a fit and proper person to be admitted to the profession, having

regard to the suitability matters set out in s 9 of the Act. In its opinion, “[r]eprehensible though the

applicant’s conduct was, it is now seven years in the past and though it has required a very serious

examination of his suitability to be admitted at any time, it is not such as to permanently stamp him

unfit to be a legal practitioner ”. [10]. In the Court’s view the applicant had since demonstrated fitness

having regard to:

1. The lack of any similar misconduct since; [5]

2. A report from his treating psychiatrist which attested to a vast improvement in his character

including no evidence of anger, serious alcohol use or pathological gambling in the

intervening time; [6]

3. The sworn material filed by him, which indicated a proper grasp of the seriousness of his

previous conduct and a commitment to not repeating it; [8] and



4. Various other matters, such as the applicant’s participation in volunteering, training courses

and personal development. [8], [9].

PROCEDURE – TIME AND PLACE – WHERE PLAINTIFF INSTITUTED PROCEEDINGS AGAINST THE DEFENDANTS IN THE CENTRAL REGIONAL REGISTRY – WHERE APPLICATION TO TRANSFER THE PROCEEDINGS TO BRISBANE – WHETHER RISKS OF COVID-19 INFECTION ARE A RELEVANT CONSIDERATION IN APPLICATION TO TRANSFER PROCEEDINGS

Kember v Carl [2020] QSC 105

Here, the Court considered whether the relative risks of COVID-19 infection was a relevant

consideration in an application to transfer a proceeding from the Supreme Court Registry at

Rockhampton to the Supreme Court at Brisbane.

Crow J

7 May 2020

The plaintiff suffered serious personal injury in a car accident in Burpengary. Despite being injured in

Burpengary and residing in North Lakes, he retained a solicitor from Gladstone. He then filed a claim

and statement of claim in the Supreme Court Registry at Rockhampton. After filing a defence, the

defendant’s solicitors requested the matter be transferred to the Brisbane Registry. The applicant

refused to consent citing, among other things, the fact that the plaintiff’s family lived in Gladstone thus

it would be easier for the applicant to arrange childcare if the trial was in Rockhampton. [1]–[8].

The defendants made an application to the Court for the proceeding to be transferred to Brisbane

pursuant to r 39 Uniform Civil Procedure Rules 1999. In considering the matter, Crow J identified the

following relevant matters:

- The parties reside in close proximity to Brisbane;

- The witnesses reside in close proximity to Brisbane;

- The cause of action arose in Brisbane; and

- Earlier trial dates were available in Brisbane. [20].

In the absence of further evidence, his Honour was not moved to make any finding as to the relative

risks of COVID-19 infection if the matter were heard in Brisbane as opposed to Rockhampton. [17].

Accordingly, he ordered that the proceeding be transferred to the Supreme Court at Brisbane.

In this case, which is a rare example of a surplus being available after a company is wound

up, Henry J was asked to consider whether it was appropriate for the whole of the surplus to

be distributed, in specie, to one of the company’s members.




Henry J (delivered ex tempore)

30 March 2020

Kowanyama Cattle Company Pty Ltd (“the Company”) ran a cattle station on land leased from the

Kowanyama Aboriginal Shire council (“the Council”) which it holds on trust for the native title holders.

In 2014, Henry J ordered that the Company be wound up. The liquidator managed it, and the

liquidation, in such a way that there was a surplus after all creditors had been paid. The surplus

comprised around 5,000 head of cattle, as well as some cash and choses in action. The liquidator

brought an application before the Court for special leave under s 488(2) of the Corporations Act 2001

(Cth) and other orders allowing him to distribute this surplus to the Council.

In considering whether special leave should be granted, Henry J identified that the general position is

that the surplus from a winding up would be distributed rateably amongst a company’s members,

unless there is a contrary provision in that company’s constitution. Here, cl 5 of the Company’s

Memorandum of Association provided that any surplus after winding up “shall be given or transferred

to some institution or organisation having objects similar to the objects of the association”. Thus, the

question became whether the Council satisfied these criteria.

One of the Company’s objects was to support the Kowanyama Foundation in running a cattle

enterprise as an educational and training program. While his Honour considered that language such

as “objects” and “members” did not readily apply to the Council, his Honour was satisfied that it did fall

within the intent underlying clause 5 as it “exists and operates to serve the local community and does

not distribute its income and property in any sense akin to a company distributing its profit to its

members”. Further, it was willing to take control of the cattle and continue operating the cattle

enterprise. Accordingly, his Honour formed the view that it was “the only realistically suitable and

willing entity to which the surplus should be distributed”.

His Honour also noted that the surplus should be distributed in specie, both because this accorded

more closely with the Company’s objects, and because of the time delay and expense of mustering

5,000 head of cattle for sale.

In the event, Henry J granted leave to distribute the surplus and declared that the liquidator would be

justified in distributing it in specie to the Council.

Following the latest social distancing requirements and updated Federal and State Government risk

assessment and advice to stay at home unless it is essential, the ICLRQ office is temporarily closed

until further notice.

The ICLRQ regrets that it is currently unable to accept any hand-delivered notices or hand-delivered

cheques at this time, however, the ICLRQ staff is working remotely to accommodate QLR advertising

ICLRQ

The Incorporated Council of Law Reporting for the State of Queensland (ICLRQ) is a charitable

institution which was founded in 1907. Under its constitution, the principal object of the ICLRQ is “the

preparation and publication in a convenient form, at a moderate price, and under gratuitous

professional superintendence and control, of Reports of Judicial Decisions of the Supreme Court in

the State of Queensland”.

In pursuit of this object, the ICLRQ publishes a set of authorised reports of the key decisions of the

Supreme Court of Queensland (Queensland Reports) and a weekly supplement to these reports

(Queensland Law Reporter). Under the constitution of the ICLRQ, all surplus funds from its operations

are used to benefit the Supreme Court of Queensland Library.

The members of the Council serve on a voluntary basis. The Council is constituted by three practising

barristers and three practising solicitors (who are appointed annually by the Judges of the Supreme

Court) and three ex officio members (the Attorney-General of Queensland, the Solicitor-General of

Queensland and the Registrar of the Supreme Court). The Editors, Sub-Editors and Reporters are all

practising members of the Queensland Bar who serve on a largely voluntary basis.

The Queensland Reports seek to provide a permanent collection of the key decisions of the Supreme

Court of Queensland since Federation. These decisions have been selected for inclusion in the

Queensland Reports by the Editors, summarised by the Reporters in concise headnotes, reviewed by

the editorial and production team for their textual accuracy and authorised for publication (with

corrections where necessary) by the deciding judges.



A limited number of the full set of the Queensland Reports (1860–2017) is available for purchase from

the ICLRQ at a discounted price of $3300 (including GST and delivery).

Annual subscriptions to the printed bound volumes of the Queensland Reports (currently issued in

printed format of three annual bound volumes) are also available from the ICLRQ. The current

QUEENSLAND LAW REPORTER

The Queensland Law Reporter (QLR) has been published since 1908 as a weekly supplement to the

Queensland Reports.

It is published every Friday, in electronic format, save for a period during the court vacation (from late

December to early January).

A free subscription to the QLR, as well as a monthly supplement to the Queensland Reports, and new

developments in connection with the Queensland Reports website and the Queensland Judgments

The QLR includes a summary by the editors of this week’s most significant developments in

Queensland law, including brief summaries of recent cases which have been identified as potentially

suitable for reporting in the Queensland Reports and information about the progress of appeals in

The QLR is a publication approved under r 599(4) Uniform Civil Procedure Rules 1999 (“UCPR”) for

the purposes of giving notice of intention to apply for a grant of probate or letters of administration

under Ch 15 Pt 2 UCPR. The QLR is also approved under r 12A Supreme Court (Admission) Rules

2004, for the purposes of giving notice of intention to apply for admission as a legal practitioner.

the Monday immediately prior to the Friday in which the relevant QLR is scheduled for publication.

Please be advised that the ICLRQ is unable to accept submission of advertisements for the relevant

publication date after the deadline has passed.

The ICLRQ regrets that it cannot advise or assist in the drafting of public notices.

Please also be advised that notices only can be withdrawn or corrected up until 4.30 pm on the

Wednesday prior to publication. No refunds can be issued (for cancellation of advertisements) nor
