SECTION-1

DETAILED NOTICE INVITING TENDER (DNIT)

On behalf of Chief General Manager, Bharat Sanchar Nigam Limited, TT Circle, HyderabadDigitally sealed tenders are invited through e-tendering process from the prospective ServiceProviders having minimum 8 vehicles should own or have company lease sufficient number ofcommercial vehicles. Out of which 4 must be Tiago/Ritz, Swift Dzire or equivalent model. Onemust be multi utility vehicle (Tata Spacio) and 3 must be Luxury vehicles ( Etios, Corolla, Innovaetc.,) registered as commercial vehicles and also hold a valid experience certificate of one yearbefore the date of NIT from competent authority or any PSU / Central / State Govt. or reputedprivate companies / firms for having executed similar contracts of providing at least 5 dieseldriven commercial vehicles (Taxi Plate). Tender document can be obtained by downloading it from the websiteshttps://etenders.gov.in / www.telangana.bsnl.co.in / .The bidders are required to submit thetender fee amount through DD/ Banker’s cheque for an amount of Rs.590/- (Rupees FiveHundred and Ninety only) in this office in addition to Bid security for an amount of Rs.14,000/-(Rupees Fourteen Thousand Only), failing which the tender bid shall be left in archive,unopened/ rejected.

SECTION-II SCOPE OF WORK

The Bidder is required to provide commercial vehicles fully conforming to RTA / RTOregulations along with fuel, driver, and carry out periodical maintenance and execute the workthrough their supervisor.

The following work rate is on occasional use and VIPs / High Designators visits.

Quantity :: Estimated number of vehicles to be hired is 1 to 25 vehicles shall be hiredfrom the empanelled Service Providers. However, it should be already noted that BSNLshall place the order only as per the actual requirement from time to time (notregularly and only on occasionally). The additional requirement for short period tomeet the “peak operational requirement” if any on day to day basis also to be met withthe same rate quoted for regular work.

Duty slips to be printed as per (Annexure-6 of the Bid document) and seriallynumbered by the Service Provider. As per duty slips and bills can be preferred onfulfillment of either of conditions in respect of hours / kms in a particular slab.

Accuracy meters :: The meter reading should tally with the actual KMs run at anyinstant and authorized officer shall have full powers to check up the meter for itscorrectness and to take action accordingly, which may even lead to termination ofcontract.

Obligations/responsibilities of service provider as in Section III and General( Commercial) conditions envisage as in Section IV(A), specifying the work in detailed manner are to be followed scrupulously.

SECTION-III

SERVICE PROVIDER’S OBLIGATIONS

1. Service to be provided is supply on demand vehicles with licensed drivers, registered ascommercial vehicles on hiring basis for running within the jurisdiction of Hyderabad,Secunderabad ,Rangareddy and surrounding Districts. The essence of the contract is to providePrompt, Punctual, Efficient, Safe, Courteous and Quality hired vehicle Services.

2. Quantity of Vehicles to be hired are shown in the Scope of Work (Section-II). However BSNLshall place the order only as per the actual requirement from time to time from the eligibletransporters/successful bidders as per Caluse-7 of Section-IV of Bid Document.

3. Duty Hours: Actual duty hours shall be specified by the users/BSNL of the vehicles asrequired.

4. Notice period for supply of vehicles shall be one day in advance or One hour in advance foradditional requirement during office hours. Telephonic intimation/SMS shall be considered asnotice.

5. Reporting Place for vehicles is within the jurisdiction of Hyderabad, Secunderabad,Rangareddy. Actual place of reporting shall be specified by the users of the vehicles.

6. Counting of Distance will be from the starting point of the user and closing at the pointwherever user completes his / her travel. The distance covered in each way between userdelivery address and the garage/ normal parking place will be allowed on actual basis or 5KMs whichever is less.

7. Accuracy of Meters will be checked periodically by any authorized officer of BSNL and reservesthe right to get the meter calibrated or checked at any time at his sole discretion and in theevent of any error/fault in the meter being noticed, the bill for the journey undertaken(including those undertaken earlier) would be adjusted, besides any other penal action asdecided by BSNL, which may even lead to termination of Contract.

8. Miscellaneous Conditions: - Service Provider should comply with the following:

(i) Telephones- Telephones, where requisition of vehicles can be conveyed all the 24 hrs.All the telephone Numbers must be specified in the bid.

(ii) Identity Cards- Proper Identity Cards after verifying the antecedents of his drivers’thro’ Local Govt. offices.

(iii) Documents of vehicles- The attested copy of R/C Book and the Insurance policy ofvehicles supplied under this contract should be submitted to the authorized person ofthe BSNL and will be subject to scrutiny.

(iv) Uniforms- provide his employees uniforms as required under the rules which shall beworn by them all the time while on duty.

(v) Statutory Requirements- It is desirable to have the Registration with EPF, ESI Code,GSTIN, PAN etc. However, if the Service Provider does not possess any or all theabove, they should obtain the same if required by law to execute this service,within one month of commencement of Contract.

(vi) Govt.Tax / Levy / Duty other than GST for plying the vehicles in Hyderabad,Secunderabad ,Rangareddy and surrounding Districts. will be borne by the ServiceProvider.

(vii) Parking/Toll Charges, if any, may be claimed by producing valid Parking /Toll slips .

(viii) Drivers attested copy of driving license should be submitted during the contractualperiod.

(ix) Consumables like lubricants, Tyres, battery and repairs, maintenance, taxes,insurance, etc. will be to the Service Provider’s liability.

(x) Assign driving to only qualified experienced licensed drivers and also assume fullresponsibility for the safety and security of the officers/officials and store items.

(xi) Duty Slips to be printed and serially numbered by the Service Provider and shouldensure that at the end of the duty the duty slips are completed and signed by theusers. (Annexure-6).

(xii) Vehicles Up-keep shall be in good condition along with good and clean Seat covers &curtains. Vehicles so hired may be inspected by a pre-designated committee of BSNLofficers with reference to good/properly maintained vehicle including cabin,upholstery, seats etc.

(xiii) As per duty slips, KMs and Hours / Slabs chargeable distance will be calculated.

9. Debarring Conditions:-(i) No vehicle should be supplied having registration in the Name of employee of BSNL or

their close relative and a Certificate to this effect be given on the body of bill whilesubmitting claim.

(ii) No sub-contracting of the Service allotted is permissible by BSNL. The near relatives ofall BSNL employees either directly recruited or on deputation are prohibited fromparticipation in this tender.

(iii) The tampering of meter reading, vehicle usage timings, overwriting of Summary / logsheet and misbehavior of driver while on duty shall be viewed seriously, leading to evencancellation of contract.

(iv) Service Provider shall not engage any person below 18 years of age.

10. BSNL will not have obligation:-(i) No liability whatsoever for payment of wages/EPF/ESI/salaries other benefits and

allowances to his personnel that might become applicable under any Act or Order ofthe Govt. in this regard and the Service Provider shall indemnify BSNL against any/allclaims which may arise under the provisions of various Acts, Government Orders etc.

and any breach of such laws or regulations shall be deemed to be breach of thiscontract.

(ii) No direct or indirect liability arising out of such negligent, rash and impetuous drivingwhich is an offence under section 29 of IPC and any loss caused to BSNL have to besuitably compensated by Service Provider.

(iii) Not be responsible for theft, burglary, fire or any mischievous deeds by his staff. (iv) Service Provider shall be the employer for his workers and BSNL will not be held

responsible fully or partially for any dispute that may arise between the serviceprovider and his workers.

11. Penalty for breach of terms & conditions: (i) In case of break down, after it’s reporting for duty, the vehicles will have to be replaced

by same type immediately or not more than one hour. In case of non-availability ofsuitable vehicle a penalty up to Rs.200/- may be imposed in addition to deduction ofpro-rata basis for the period. If the number of break downs exceeds three times in amonth, a penalty of Rs.300/- per break down shall be imposed thereafter.

(ii) In case of non-availability of vehicles to requirement, action will be initiated as perthe Section-III of clause-iv & v below.

(iii) If the vehicle provided by the Service Provider is found to be not in good condition orwithout proper document; the vehicle may be rejected and sent back. No paymentshall be made on account of such rejection. However in case of dispute the decision ofCGMT. BSNL ,TT Circle, Hyderabad would be final.

(iv) No payment will be made for vehicles supplied by the Service Provider older than 2017year Model.

(v) The service provider should not refuse to provide vehicles against BSNL’s requirementand on each refusal a penalty of Rs.1000/- shall be imposed and the amount deductedfrom the running bills beside any other action which may even lead to termination ofcontract.

SECTION-IV(A)GENERAL ( COMMERCIAL) CONDITIONS

1. Bidder Eligibility:

1.1 The bidder should have at least One year experience certificate of satisfactory performance in similar services preferably with Government /Public Sector or reputed Private Ltd. Companies / Firms during last five years from the date of NIT.

1.2 The bidder should own or have on company lease sufficient number of commercial vehicles( Minimum-8(Eight)) out of which FOUR must be Tiago/Ritz/Swift Dzire or equivalent model,one must be Tata Spacio and THREE must be luxury vehicles registered as commercial vehiclesin their names or Firms name for the use as commercial Vehicles. ( At least TWO No’s Non-ACvehicles and TWO no’s Luxury cars must be registered on their name /Firm’s name and notolder than year of make 2017. The full details of the vehicles and a clear declaration that thefirm will be able to supply commercial vehicles of 2017 year model or subsequent year modelshall be provided. The Proof of ownership (RC Book Xerox copy attested) should be producedwith tender.

2. Right to Accept or Reject: BSNL shall not be bound to accept the lowest or any tender and reserves to itself theright to accept or reject any bid or to accept whole or a portion of tender, as it may deemfit, without assigning any reason thereof and without incurring any liability to theaffected bidder(s) for the action of BSNL.

3. Bid Forms (Two Bid Format).

Tender document can be obtained by downloading from the websites https://etenders.gov.in /www.telangana.bsnl.co.in The filled in tender document should be submitted in https://etendersgov..in.The bidders are requested to follow the instructions available at Section IV(B)”E-tenderinginstructions to the bidders” for filling and submitting the on line bids.

3.1 Technical bid of the Tender will be opened in the presence of Bidders present on the due dateof i.e. on 10-11-2020 at 14:30 Hrs.

3.2 The Time, Date and Venue of the opening of FINANCIAL BIDS will be intimated only to thoseBidders, whose Technical Bid is accepted after evaluation of details and documents furnishedin Annexure-2. No correspondence in this regard will be entertained. All Columns should befurnished with relevant details and no column should be left blank. Incomplete bids are liableto be rejected

3.3 Bidder shall furnish the documents as per Technical Bid Form at Annexure-2. Submission ofdocuments mentioned in Technical Bid are mandatory.

3.4 Rates should be quoted as per the financial offer for the Schedule of requirement & Hire charges at Section-V (B) and Annexure-1 should be filled and submitted. The format for

Financial Bid should not be changed in any manner. Addition/deletion/alteration of the text will automatically render the tender invalid and therefore, will be summarily rejected.

3.5 Demand Draft/Bankers Cheque drawn in favour of Accounts Officer (Cash),O/o CGMT, TTCircle, BSNL, Hyderabad from any Nationalized/scheduled Bank for an amount of Rs.14,000/-(Rupees Fourteen Thousand Only) as Bid Security (EMD) should be submitted to AGM(MVT),O/o CGMT, TT Circle, BSNL, Hyderabad

3.6 The bidder is requested to examine all instructions, forms, terms and specification in theBid documents. Failure to furnish all the information required as per Bid Documents orsubmission of the bids not substantially responsive to the Bid Documents in every respect willbe at the bidder’s risk and may result in rejection of the Bid.

3.7 A prospective bidder requiring any clarification on the Bid document shall notify thepurchaser in writing. The purchaser shall respond in writing to any request for theclarification of bid document which it receives not later than 10 days prior to the date ofopening of Tender.

3.8 At any time, prior to the date of submission of bid, BSNL may, for any reason whether atits own initiative or in response to a clarification required by a prospective bidder, modify thebid documents by amendments.

3.9 The amendments shall be notified in writing to all prospective bidders and theseamendments will be binding on them.

3.10 The bidder shall bear all costs associated with the preparation and Submission of the bid.BSNL in no case be responsible for these costs regardless of the conduct or outcome of thebidding process.

4. Bid opening

BSNL shall open the Technical bid containing documents detailed as per SectionIV(A) clause(3.4) of (General(Commercial) Conditions in the presence of bidders or their authorizedrepresentative who wish to be present at the time of opening of bids on due date.Authorization letter to this effect shall be submitted by the bidder before they are allowed toparticipate in bid opening (Format is given in Annexure-5). After scrutiny and evaluation ofthe Technical Bids, the BSNL will shortlist those who are eligible and the date of opening ofFinancial Bid will be intimated later on. The financial bid will be opened only in those casesthat fulfill the eligibility conditions and furnish all documents as given in Technical Bid.

If the date of opening of the bid happens to be a holiday for BSNL for any reason, the bid willbe opened on the next working day at the same time & venue. Any change in bid openingdate due to unavoidable reasons will be intimated to all the bidders separately.

5. Bid Evaluation: Technical Bid shall be evaluated as per Annexure-2 and Annexure-3 and Clause-3 of Section – IV(A).

5.1 Financial bids shall be evaluated to determine whether they are complete, whether anycomputational errors have been made whether documents have been properly signedand whether bids are generally in order.

5.2 If there is a discrepancy between words and figures the amount in words shall prevail.Prior to detailed evaluation, BSNL will determine the substantial responsiveness of eachbid to the bid document. A substantially responsive bid is one, which conforms to all theterms and conditions of bid document without material deviation. A bid determined assubstantially non-responsive will be rejected by BSNL.

5.3 The procedure adopted for comparison of substantially responsive bids shall be on the total cost of higher of the services for all types of vehicles as per Section-II Scope of work. Inclusive of all levis and charges (pertaining to the supplied vehicles) as indicated in Schedule at Section-V of the Bid document. If any bidder is not quoting for all types ofvehicles (i.e, A,B,C,D,E,F,G,) then comparison of total cost of similar types for which the bidder has quoted should only be considered. (Ex. If a bidder has quoted for types A,B,D only but has not quoted for Type C then the total cost of comparison will be total of A+B+D. The cost of C should be compared among the bidders quoted for it).

5.4 BSNL intends to limit the number of technically and financially responsive bidders to 1 (one) from the list of such bidders arranged in the increasing order of their evaluated prices starting from the lowest price for the purpose of ordering against the tender.

5.5 BSNL shall evaluate as per the evaluation formula mentioned for each category of Non A/c vehicles and in respect of A/C vehicles for deciding the L-1bidder on the basis of the quoted rates for 8 Hrs. – 80 Kms. only from each category.

5.6 The bidder should invariably quote for all the categories as per Section-V(B) of the Bid Document.

6. Award of Contract BSNL shall consider placement of letter of intent to the bidders whose offer has been

found technically, commercially and financially acceptable. The bidder shall within 2 weeks ofissue of letter of intent, give his acceptance along with performance security in conformity withSectionIV(A) clause-17 of General(Commercial) Conditions as per format shown in Annexure-4of bid document.

7. Right to vary quantities and Value.Required quantities of services will be specified from time to time as per

requirement. BSNL reserves the right at the time of award of contract to increase ordecrease upto 25% of the required quantity of services specified in the schedule ofrequirements without any changes in hiring charges of the offered quantity and otherterms and conditions.

8. Signing of Contract8.1 Signing of Agreement shall constitute the award of hiring contract on the bidder.8.2 Upon the successful bidder furnishing the Performance Security, the BSNL shall discharge its

bid security in pursuant to Clause 12. 8.3 Service Provider should sign on each page of the Bid Document. 9. Annulment of Award

Failure of the successful bidder to comply with the requirement of Clause 8 shallconstitute sufficient ground for the annulment of the award and forfeiture of the bidsecurity in which event BSNL may make the award to any other bidder at the discretion ofBSNL or call for new bids.

10. Period of validity of bids(i)The bid shall remain valid for 180 days after the date of opening of bids. A bid valid fora shorter period shall be rejected by BSNL as non-responsive.(ii) A bidder accepting the request of BSNL for an extension to the period of bid validity, inexceptional circumstances, will not be permitted to modify his bid.

11. Bid Price.

11.1 The supplier shall quote price as per schedule given in Section V (B) Financial Officer forHired Vehicles. The composite price should include all type of Taxes, excluding GSTIN,as applicable from time to time. However, the basic unit price needs to be individuallyindicated against the supply under the contract.

11.2 The bidder / Service Provider should invariably quoted for all the categories as per Section-V(B) of the bid document.

11.3 The price quoted by the bidder shall remain fixed during the entire period of contractand shall not be subject to variation on any account. A bid submitted with an adjustableprice quotation will be treated as non- responsive and rejected.

12. Bid Security12.1 Pursuant to clause 3.5, the bidder must deposit an amount of Rs.14,000/- (Rupees

Fourteen Thousand Only) as Bid Security. The Bid Security shall be in the form of Demand Draft/Bankers Cheque drawn on any Nationalized/ Scheduled bank in favour of Accounts Officer(CASH), O/o CGMT, TT Circle, BSNL, Hyderabad. The security deposit will not earn any interest.

12.2 The successful bidder’s security deposit (Bid Security) will be discharged upon the bidder’s acceptance of the award of contract satisfactorily in accordance with SectionIV(A) clause-17 of General(Commercial) Conditions on furnishing the performance security.

13. The Bid Security may be forfeited:13.1 If bidder withdraws his bid during the period of bid validity specified by the bidder in the

bid form.13.2. If the successful bidder fails

i) to sign on contract in accordance with clause 8 of Section IV(A)ii) to furnish the performance security in accordance with clause 17 of Section IV(A)iii) A bid not secured in accordance with para 11.1 shall be rejected by the BSNL as Non-responsive at the bid opening state and returned to the bidder unopened.iv) The bid security of unsuccessful bidder will be discharged/returned as early as

possible as but not later than 30 days after the expiry of the period of bid validity.

14. Terms of Payment: 14.1 The payment shall be made within 30 working days from the date of receipt of the

bill in respect of vehicles engaged on daily basis shall be submitted in duplicate to the authority specified in contract along with completed duty slips duly signed by the user. The admissible GSTIN has to be shown separately in the bill. A copy of GST paid challan for the previous month / quarter as the case may be should be produced along with the bills for payment. In case, the bills are not submitted to BSNL as per above schedule, it will not take responsibility for delay in payment.

14.2 It should be ensured that there is no over – writings in the duty slips.

15. Clause by clause compliance.A clause by clause compliance of service to be provided shall be given as per Scope of WorkU/S II and General & Commercial Conditions U/S-IV(A). In case of deviation a statement ofdeviation shall be given.

16. Duration/ Period of Contract: Normally contract will be awarded for 1 (one) year. However, extension for the next year/partthereof will be considered on Half yearly basis at the same terms and conditions keeping inview the satisfactory performance of the firm subject to extension of agreement and bankguarantee for the extended period.

17. Performance Security:17.1 The successful bidder shall be required to deposit an amount equal to 10% of the

Tendered value subject to maximum limit of Rs 5 lakhs within 2 weeks of conveying BSNL’s intention for accepting the bid as Performance Security.

17.2 Performance Security shall be submitted in the form of Bank Guarantee valid for 18 months issued by a Nationalized/Scheduled Bank in the Performa provided in Annexure-4 of the bid document on a Non-judicial stamp paper of appropriate value. The Performance Security can also be submitted in the form of Demand Draft drawn in favour of Accounts Officer(Cash),O/o CGMT, BSNL, TT Circle, BSNL, Hyderabad. The performance security deposit will not carry any interest. The Bank Guarantee. shall be extended by the bidder for the equivalent period of extension as and when conveys approval of extension of the agreement.

17.3 Performance Security will be discharged after completion of Service Provider’sperformance obligations under the contract.

17.4 If the Service Provider fails or neglects any of his obligations under the contract it shall belawful for BSNL to forfeit either whole or any part of performance security furnished by the bidder as compensation for any loss resulting from such failure.

18. Termination of Contract 18.1 In case of any default by the Service Provider and in any of the terms & conditions

(whether General or Special), BSNL may without prejudice to any other right/remedy which shall have accrued or shall accrue thereafter, terminate the contract, in whole or inpart, by giving 2 clear working days notice in writing to the Service Provider.

18.2 All instructions, notices and communications etc. under the contract given in writing and if sent to the last known place of business, shall be deemed to be served on the date, even in ordinary course of post, these would have been delivered to the Service Provider.

18.3 Not withstanding anything contained herein, BSNL also reserves the right to terminate the contract at any time or stage during the period of contract, by giving two days notice in writing assigning any reason and without incurring any financial liability whatsoever to the Service Provider.

19. Termination for insolvencyBSNL may also by giving written notice and without compensation to the Service Providerterminate the contract if the Service Provider becomes unwilling, bankrupt or otherwiseinsolvent without affecting its right of action or remedy as hirer.

20. Insurance The Insurance cover protecting the agency against all claims applicable under the Workmen’sCompensation Act, 1948 shall be taken by the Service Provider. The Service Provider shallarrange necessary insurance cover for any persons deployed by him even for short duration.BSNL shall not entertain any claim arising out of mishap, if any, that may take place. In theevent of any liability/claim falling on BSNL, the same shall be reimbursed /indemnified by theService Provider.

21. Prices:21.1 The rates should be on daily basis as per KM’s slabs / Hours slab mentioned in the

Scope of work in Section-II.21.2 No price revision will be allowed during the contract period as it is occasional

requirement. The rate for extra per hour/ detention and extra per KM is to be indicated.21.3 Rates charged by the Service Provider for the services given under the contract shall not

be higher than the rates quoted by the Service Provider in his bid and approved by authority.

21.3 In case of any reduction of taxes and statutory levies (if any) during the contractual period, BSNL shall take the benefit of decrease in such taxes/duties for the services to be availed from the date of enactment of revised duties/ taxes.

21.4 In case of increase in taxes/ duties during the contractual period, BSNL shall be liable to revise the rates as per new taxes/ duties for the services to be availed for the remaining period of the contract.

22. Price Revision: No price revision will be allowed during the contract period as it is occasional requirements.

23. Miscellaneous Conditions: 23.1 BSNL reserves right to counter offer price against price quoted by the bidder.23.2 The bidder with the lowest evaluated price will be considered for about 30% of tendered

quantity and the balance quantity will be ordered on the remaining selected bidders on the lowest evaluated price. However, BSNL reserves the right for placement of full tendered quantity on the lowest bidder.

23.3 In case the date fixed for opening of bids is subsequently declared as holiday by the Government of India, the revised schedule will be notified. However, in absence of such

notification; the bids will be opened on next working day, time and venue remaining unaltered.

23.4 BSNL reserves the right to disqualify such bidders who have a record of not meetingcontractual obligations against earlier contract entered into with BSNL and blacklist such bidder / bidders for a suitable period in case they fails to honour their bid withoutsufficient ground.

23.5 BSNL may waive any minor infirmity or non – conformity or irregularity in a bid which does not constitute a material deviation, provided such waiver does not prejudice or effect the relative ranking of any bidder.

24. Force Majeure:If any time, during the continuance of this contract, the performance in whole or in part

by either party of any obligation under this contract is prevented or delayed by reason ofany war, or hostility, acts of the public enemy, civil commotion, sabotage, fires, floods,explosions, epidemics, quarantine restrictions, strikes, lockouts or act of God (Hereinafterreferred to as events) provided notice of happenings, of any such eventuality is given byeither party to the other within 22 days from the date of occurrence thereof, neither partyshall by reason of such events be entitled to terminate this contract nor shall either partyhave any claim for damages against the other in respect of such on performance or delay inperformance under the contract shall be resumed as soon as practicable after such an eventmay come to an end or cease to exist, and the decision of BSNL as to whether the supplieshave been so resumed or not shall be final and conclusive, provided further that if theperformance in whole or part of any obligation under this contract is prevented or delayedby reason of any such event for a period exceeding 60 days either party may, at his optionterminate the contract.

25. ARBITRATION (Applicable in case of supply orders/Contracts with firms. Other than PublicSector Enterprise) (Not applicable in cases valuing less than Rs. 5 Lakhs).

Except as otherwise provided elsewhere in the contract, if any dispute, difference, question ofdisagreement arises between the parties hereto or their respective representatives or assignees.In connection with construction, meeting, operation, effect, interpretation of contract or breachthereof which parties unable to settle mutually, the same shall be referred to Arbitration asprovided here under:

(1) A party wishing to commence arbitration proceeding shall invoke Arbitration Clause by giving60 days notice to the designated officer of the other party. The notice invoking arbitration shallspecify all the points of disputes with details of the amount claimed to be referred to arbitrationat the time of invocation of arbitration and not thereafter. If the claim is in foreign currency, theclaimant shall indicate its value in Indian Rupees for the purpose of constitution of the arbitraltribunal.(2) The number of the arbitrators and the appointing authority will be as under:Claim amount (excluding claimfor counter claim, if any)

by the two arbitrators. BSNLwill appoint its arbitrator fromits panel.

(3) Neither party shall appoint its serving employees as arbitrator.(4) If any of the arbitrators so appointed dies, resigns, becomes incapacitated or withdraws forany reason from the proceeding. It shall be lawful for the concerned party/arbitrators to appointanother person in this place in the same manner as aforesaid. Such person shall proceed with thereference from the stage where his predecessor has left it both parties consent for the same;Otherwise, he shall proceed de-novo.

(5) Parties agree that neither party shall be entitled for any pre-reference or pendenteliteinterest on its claims. Parties agree that any claim for such interest made by any party shall bevoid.(6) Unless otherwise decided by the parties, Fast Tract procedure as prescribed in Section-29 B ofthe Arbitration Conciliation Act, 1996 for resolution of all disputes shall be followed, where theclaim amount is up-to Rs. 5 Crores.29B. Fast Track Procedure-(1) Not with-standing anything contained in this Act, the parties to anarbitration agreement, any, at any stage either *before or at the time of appointment of thearbitral tribunal, agree in writing to have their dispute resolved by fast tract procedure specifiedin sub-section(3).(2) The parties to the arbitration agreement, while agreeing for resolution of dispute by fast tractprocedure, may agree that the arbitral tribunal shall consist of a sole arbitrator who shall bechosen by the parties.(3) The arbitral tribunal shall follow the following procedure while conducting arbitrationproceedings under sub-section(1).(a) The arbitral tribunal shall decide the dispute on the basis of written pleadings, documentsand submissions filed by the parties without oral hearing;(b) The arbitral tribunal shall have power to call for any further information or clarificationfrom the parties in addition to the pleadings and documents filed by them;(c) An oral hearing may be held only, if, all the parties make a request or if the arbitraltribunal considers it necessary to have oral hearing for clarifying certain issues.(d) The arbitral tribunal may dispense with any technical formalities, if an oral hearing is held,and adopt such procedure as deemed appropriate for expeditious disposal of the case.(4) The award under this section shall be made within a period of six months from the date thearbitral tribunal enters upon the reference.(5) If the award is not made within the period specified in sub-section (4), the provisions of sub-section (3) to (9) of section 298 A shall apply to the proceedings.(6) The fees payable to the arbitrator and the manner of payment of the fees shall be such asmay be agreed between the arbitrator and the parties.(7) The Arbitral tribunal shall make and publish the award within time stipulated as under:Amount of Claim and Counter Claims Period for making and publishing of the award

However, the above time limit can be extended by the Arbitrator for reasons to be recorded inwriting with the consent of parties and in terms of provisions of Act.

8) In case of arbitral tribunal of 3 arbitrators, each party shall be responsible to makearrangements for the travel and stay, etc., of the arbitrator appointed by it. Claimant shall alsobe responsible for making arrangements for travel/stay arrangements for the Presiding Arbitratorand expenses incurred shall be shared equally by the parties. In case of sole arbitrator, BSNL shall make all necessary arrangements for his travel/stay andthe expenses incurred shall be shared equally by the parties.9) The Arbitration proceeding shall be held at New Delhi or Circle Or SSA Headquarter (as thecase may be ).10) Subject to the aforesaid conditions, provisions of the Arbitration and Conciliation Act, 1996and any statuary modifications or re-enactment thereof shall apply to the arbitration proceedingsunder this clause.

II. Following Arbitration Clause may be incorporated in Contracts PO s, APO s, Tenders, EOLs, etc., between BSNL and Central/State Government (s) as the case may be in terms of DPEguidelines for settlement of commercial disputes between Public Sector Enterprises inter-se andPublic Sector Enterprises (s) and Government Department(s) through Permanent Machinery ofArbitrators (PMA) in the Department of Public Enterprises.

In the event of any dispute or difference relating to the interpretation and application of theprovisions of the contracts, such dispute or difference shall be referred by either party forArbitration to the sole Arbitrator in the Department of Public Enterprises to be nominated by theSecretary to the Government of India in-charge of the Department of Public Enterprises. TheArbitration and Conciliation Act, 1996 shall not be applicable to arbitration under this clause. Theaward of the Arbitrator shall be binding upon the parties to the dispute, provided, however, anyparty agreed by such award may make a further reference for setting aside or revision of theaward to the Law Secretary, Department of Legal Affairs, Ministry of Law & Justice, Governmentof India. Upon such reference the dispute shall be deiced by the Low Secretary or the SpecialSecretary/Additional Secretary, when so authorized by the Law Secretary whose decision shallbind the Parties finally and conclusively. The Parties to the dispute will share equally the cost ofarbitration as intimated by the Arbitrator.

Further, with regard to already signed/existing contracts, existing Arbitration clause forsole arbitrator can be invoked in case the parties valve, subsequent to disputes having arisenbetween them, the applicability of sub-section (5) of section 12 by an express agreement inwriting.

III. APPLICABLE LAW AND JURISDICTION:(a) The supply order for Goods 'or' Services, including all matters connected with this supplyorder shall be governed by the Indian law both substantive and procedural, for the time being inforce and shall be subject to the exclusive jurisdiction of Indian Courts at the place from wherethe Purchase Order has been placed.(b) Foreign companies, operating in India or entering into joint Ventures in India, shall have toobey the law of land and there shall be no compromise or excuse for the ignorance of the Indianlegal system in any way.

26. Set Off (Recovery of Sum Due): 26.1 Any sum of money due and payable to the Service Provider (including security deposit

refundable to him) under this contract may be appropriated by BSNL and set off the sameagainst any claim of BSNL for payment of a sum of money arising out of this contract or under any other contract made by Service Provider with BSNL.

26.2 In the event of said security deposit being insufficient, the balance of total amount recoverable, as the case may be shall be deducted from any sum due to the Service Provider under this or any other contract with Bharat Sanchar Nigam Limited. Should thisamount be insufficient to cover the said full amount recoverable, the Service Provider shall pay to Bharat Sanchar Nigam Limited on demand the balance amount, if any, due to Bharat Sanchar Nigam Limited within 30 days of the demand by BSNL.

26.3 If any amount due to the company is so set off against the said security deposit, the service Provider shall have to make good said amount so set off to bring the security deposit to the original value immediately by not later than 10 days.

E-tendering Instructions to Bidders

GeneralThe Special Conditions & instructions for using online Electronic Tendering System (eTS) adoptedby BHARAT SANCHAR NIGAM LIMITED through portal (website) https://etenders.gov.in/ 1. Registration of the Contractors/Bidders: All the Contractors intending to participate in thetenders floated online using Electronic Tendering System (ETS) are required to get registered onthe e-Tender Portal (website) https:// etenters.gov.in/. Only after the concerned officer of NICapproves the Registration / Empanelment of the contractor online, the contractor shall beallowed to participate in the tenders floated by BSNL using the Electronic Tendering System. Aftersuccessful Registration on above mentioned portal you’ll get a User ID and Password to access thewebsite. a. Viewing of Online Tenders: The contractors/bidders can view tenders floated on onlineElectronic Tendering System (ETS) hereinafter referred as “tendering System” through portal(website). They can view the details like online scheduled dates (Key Dates), Tender Notice, Termsand Conditions, drawing (if any) and any other information. To download through work flow, theyneed to login on to the above portal and can download the tender documents of an e Tender. b. Key Dates: The contractors/bidders can view the Online Scheduled dates of e tendering System(time schedule) hereinafter referred as “Key Dates” for all the tenders floated using the onlineelectronic tendering system on above mentioned portal (website).

c. The bidders are strictly advised to follow dates and time as mentioned in Key Dates of aparticular tender. The date and time will be binding on all the bidders. The bidders are required tocomplete the stage within the stipulated time as per the schedule (Key Dates) to continue theirparticipation in the tender. All online activities are time tracked and the system enforces timelocks that ensure that no activity or transaction can take place outside the start and end datesand time of the stage as defined.

d. The bidder should ensure that the status of a particular stage should be shown as“Completed” before the expiry date and time of that particular stage and they should possess acopy of receipt of completion of each stage to be performed from their end which should matchwith the status with their offer on online portal. It will be the sole responsibility of the bidder ifthe status of a particular stage is “Pending” till the expiry date and time of that stage and he isnot able to proceed further in the e-Tendering process. The Key dates are subject to change incase of any amendment in schedule due to any reason stated by the Department.

e. Obtaining a Digital Certificate and its Usage:i) On e-Tendering System the bids should be Encrypted and Signed electronically with a DigitalSignature Certificate (DSC)to establish the identity of the bidder on online Portal. The DigitalSignature Certificate (DSC) has two keys i.e. Public Key and Private Key. The Public Key is used toEncrypt (code) the data and Private Key is used to decrypt (decode) the data. The Encryptionmeans conversion of normal text into coded language whereas decryption means conversion ofcoded language into normal text. These Digital Signature Certificates (DSCs) are issued by an

approved Certifying Authority, by the Controller of Certifying Authorities (CCA India), Governmentof India.ii)The bidders may obtain Class III digital certificate from any Certifying Authority or Sub-Certifying Authority authorized by the Controller of Certifying Authorities on the portalhttp://cca.gov.in. iii)The Bid (Online Offer) for a particular e-Tender may be submitted only using the DigitalSignature Certificate (DSC), which is used to Encrypt (codified) the data and sign the Hash(Impression of your data) during the stage of Bid Preparation and Hash submission.In case, during the process of a particular e-Tender, the user loses his Digital Certificate (i.e. dueto virus attack, hardware problem, operating system problem), he may not be able to submit thebid online. Hence, the users are advised to keep their Digital Signature Certificates in safe custody.iv)Bidders participating in e-tendering shall check his/her validity of Digital Signature Certificatebefore bidding in the specific work floated online at the e-Tendering Portal (website). f) Tender Download: The Eligible Bidders can download the Tender Document online from abovee-Tendering Portal on or before the Key Dates mentioned in the e-Tender floated. g) Submission of Bid Hash of online bids:The bidders are required to prepare their bids on online e-Tendering Portal as mentioned above.During bid preparation the bidders have to send their Public Key of DSC hence they are advised toprocure DSCs at earliest to participate in the eTender. They are required to upload the scan copiesof Demand Draft for Tender Document Fees and Earnest Money Deposit. Also, bidders arerequired scan and upload any other documents related to their credentials and submit whereverasked online. The bidders have to prepare their commercial bid online during in this stage onlyand seal (Encrypt) and digital sign the online bid with their Digital Signature Certificates. TheBidders should take note of any corrigendum being issued on the web portal on a regular basis.They should view and note down or take a printout the Bid Hash submitted and ensure that itmatches during “Re-Encryption of Bids” stage. The bidders will not be able to change theirtechnical details and offer (rates) after expiry of due date and time on online portal. h) Generation of Super Hash: After the time of submission of Bid Seal (Hash) by theContractors/Bidders has lapsed, the bid round will be closed and a "Digitally signed tender Super-Hash" will be generated by concerned BSNL official. This is equivalent to sealing the tender box. i)Re-Encryption of Bids: Once the Generation of Super Hash stage is completed theContractors/bidders have to decrypt their bids as they are in encrypted mode by their DSC and re-encrypt with Department User’s Public Key which will be included in the e-Tender. During thisprocess they need use their DSC for decryption of Bids and signing of Bid Hash once again forsecurity. The electronic bids of only those Contractors/bidders who have submitted their bid seals(hashes) within the stipulated time, as per the tender time schedule (Key Dates), will be acceptedby the system. A Contractor who does not submit his bid seal (hash) within the stipulated timewill not be allowed to submit his bid (Re-Encryption).
