    EMPLOYEE RULES OF CONDUCT

    BIOMASS INDUSTRIES, INC.

    Biomass Industries, Inc. (the "Company") has established these General Rules of Conductapplicable to all employees. Other more specic rules may be enacted by the Company

    from time to time concernin more specic issues and areas of operation.

    Clearly dened rules of conduct are necessary for the orderly operation of e!ery company.mployees ha!e a riht to #no$ $hat is e%pected of them. ach employee must familiari&ehimself or herself $ith all Company rules and reulations pertainin to their positions andduties.

    'he Company reuires that each employee faithfully abide by these rules and reulations.

    'he follo$in are rules of conduct of eneral application and are supplemented by local anddepartmental reulations $hich must also be obser!ed. 'hese rules may be modied at anytime.

    . mployees shall maintain a presentable appearance at all times $hile on duty and shall$ear clothin appropriate to their duties. *ttention to ood roomin and neatness ismandatory.

    +. *ll o!ernmental, buildin and Company smo#in reulations shall be obser!ed.

    . Reportin to $or# under the in-uence of liuor or drus or the unauthori&ed introduction,possession or use of liuor or drus on Company premises is prohibited.

    . /iolence, htin, horseplay, and other inappropriate conduct is prohibited.

    0. 1elect of duty and insubordination $ill not be tolerated.

    2. Gamblin of any #ind on Company premises $ill not be tolerated.

    3. 1o employee shall enae in outside employment that is detrimental to the Company4sinterest or $here such $or# is competiti!e or in con-ict $ith the Company4s interest.mployment outside the Company must be reported to the employee4s super!isor.

    5. mployees shall not re!eal information in Company records to unauthori&ed persons.mployees shall not publish or broadcast material in $hich the Company is identied ormployee4s connection $ith the Company is e%pressed or implied $ithout rst submittinsuch material to the appropriate Company o6cials for re!ie$ and appro!al.

    7. 1o employee shall #no$inly submit inaccurate or untruthful information for, or on, anyCompany record, report or document.

    8. mployees must a!oid tardiness, absence, and departure from $or# early $ithout thepermission of their super!isors. mployees must obser!e time limitations on rest and mealperiods. !ery employee shall notify his or her super!isor or specied contact of ananticipated absence or lateness in accordance $ith Company and departmental procedures.9leepin or loan on the :ob is prohibited.
