Voor u ligt onze nieuwe catalogus van het assortiment snijbloemen. In plaats van leaflets per product, hebben wij ons assortiment nu gebundeld in één catalogus. Op deze wijze heeft u een totaal overzicht van het assortiment dat wij u aanbieden. Tevens hebben wij de teeltinformatie bij de producten uitgebreid en alle verder relevante gegevens in deze catalogus opgenomen.

Florensis Cut Flowers ontwikkelt zich steeds verder als dé specialist in plantmateriaal van snijbloemen uit zaad. Innovatie en kwaliteitsverbetering zijn zaken waar wij ook in 2014 volop mee aan de slag gaan. De afgelopen jaren hebben we onze locatie in Rijsenhout aangepast voor optimale omstandigheden voor de opkweek van snijbloemen. Optimalisatie in belichting, watergift en bemesting zijn uitgevoerd. Ook het toedienen van zuivere CO2 voor extra stevige en groeikrachtige planten wordt ingezet in onze opkweek.

In zowel het logistieke proces als bij het distributieproces hebben we wijzigingen doorgevoerd, waardoor zowel de verpakking, belading en transport verder geoptimaliseerd zijn.

We proudly present to you our new catalogue of our assortment cut flowers. Instead of offering you separate leaflets, we offer you all the available assortment information in a single catalogue. The catalogue enables us to show you our entire assortment at once and we extended all available grower information and other relevant information.

Florensis Cut Flowers evolved even further as the specialist in plant material for cut flowers from seed. In 2014 we will also focus on innovation and improving product quality. During the last several years we enhanced and adapted our location in Rijsenhout in order to optimize the circumstances for the production of young plants. Additional optimizations in lighting, irrigation and fertilization have been realized. We even use pure CO2 for particular firm and vital plant production.

Due to modifications in our logistics and distribution process, we even further optimized our packaging, loading and transportation methods.

Florensis Cut Flowers is gevestigd aan de Lavendelweg in Rijsenhout. Op deze locatie is Vegmoplant, later Ball Holland, in 1990 begon-nen met de opkweek van plantmateriaal voor snijbloemen uit zaad. In 2009 heeft Florensis Ball Holland volledig overgenomen en is Flo-rensis Cut Flowers van start gegaan. Bij de overname is alles met betrekking tot pot- en perkplanten verhuisd naar de vestiging van Florensis in Hendrik-Ido-Ambacht. Het overgebleven bedrijf in Rijsen-hout kon zich vanaf dat moment volledig richten op de opkweek van plantmateriaal van snijbloemen uit zaad. Sinds 1 november 2011 zijn tevens alle snijbloemenactiviteiten van H.A. van Klink en zn. B.V. over-genomen. Hiermee is Florensis Cut Flowers de grootste jonge plan-tenleverancier van snijbloemen uit zaad in Europa geworden.

Vanaf 2009 is vooral hard gewerkt aan het verhogen van de kwaliteit van het product door middel van investeringen in groeilicht en machi-nes voor het sorteren en selecteren van jonge planten.

Florensis Cut Flowers is domiciled at the Lavendelweg in Rijsenhout (the Netherlands). In 1990, Vegmoplant, later to become Ball Holland, started at this location with the cultivation of plant material for cut flowers from seed. In 2009, Florensis took over Ball Holland entirely and Florensis Cut Flowers was born. During the acquisition, every-thing related to pot and bedding plants was moved to the Florensis branch in Hendrik-Ido-Ambacht (the Netherlands). From that moment onwards, the remaining business in Rijsenhout was able to fully con-centrate on the cultivation of cut flowers from seed. On November 1st 2011, all cut flower activities of H.A. van Klink and sons B.V. were acquired. This has made Florensis Cut Flowers the largest young plant supplier of cut flowers from seed in Europe.

Since 2009, the company has predominantly focused on improving the quality of the product by investing in growing lights and machines for sorting and selecting young plants.

De naam voor deze helderblauwe bloem is afkomstig van het Griekse woord “ageratos” en betekent: eeuwig jong. Inmiddels is van deze Ageratum een F1 hybride veredeld met de naam Blue Horizon. Het is een rijkbloeiende en productieve snijbloem, met een uitstekende houdbaarheid. De lengte van dit product ligt tussen de 75-85cm.

Van deze in het wild voorkomende planten, zijn een aantal soorten door veredeling bruikbaar gemaakt voor de commerciële snijbloe-menteelt. In ons assortiment zijn Ammi majus Graceland en Ammi Visnaga Casablanca opgenomen. Beide soorten kunnen gemakkelijk een lengte van een meter halen en worden vooral gebruikt in meng-boeketten.

The name of this bright blue flower derives from the Greek word “ageratos”, meaning “eternally young”. An F1 hybrid has now been bred under the name Blue Horizon. It is a richly flowering, productive cut flower with excellent post harvest quality. The height of this pro-duct is between 75 and 85 cm.

Plant breeding has rendered certain varieties of this wild-growing plant suitable for commercial cut flower cultivation. Our product range includes Ammi majus Graceland and Ammi visnaga Casablan-ca. Both varieties can easily reach a stem length of 1 metre and are used mainly in mixed bouquets.

Amaranthus caudatus

Deze plant heeft een zeer aparte groeiwijze. Hij eindigt namelijk in lange rode of groene hangende bloemaren. De Nederlandse naam van deze plant is dan ook perfect gekozen: Kattenstaart. Dit product is zowel als snijbloem en als droogbloem te gebruiken.

This plant has an unusual habit, producing long red or green trai-ling clusters of flowers reminiscent of cats’ tails. The product can be used as both a cut flower and a dried flower.

De Anemone behoort tot de familie van de Ranunculaceae. In het oostelijke deel van het Middellandse zee gebied komt deze plant in het wild voor. Oorspronkelijk werd dit product vermeerderd door mid-del van knollen, maar door de introductie van F1 hybride soorten is de belangstelling in dit product toegenomen. Het is mogelijk om van deze zaden goede planten te produceren die voor een zeer langdu-rige oogst kunnen zorgen, mits deze in de vroege zomer geplant wor-den. De Mona Lisa serie is in vele kleuren beschikbaar en heeft op jaarbasis een oogst van vijftien tot twintig bloemen per plant.

The Anemone is a member of the Ranunculaceae (buttercup) family and grows wild in eastern parts of the Mediterranean. This product was originally grown from tubers but the introduction of seed pro-pagated F1 hybrid varieties has prompted renewed interest. The F1 hybrids produce high-quality plants which can crop over an extended period provided they are planted in early summer. The Mona Lisa series is available in a wide range of colours and yields an annual harvest of between fifteen to twenty flowers per plant.

Deze snijbloem, die in Nederland bekend staat onder de naam ‘Leeu-wenbek’, komt oorspronkelijk uit het Middellandse Zee gebied en komt voornamelijk voor op het Iberische schiereiland. Dit product behoort wereldwijd tot een van de meest geteelde bloemen. Verede-ling in de VS heeft vele soorten opgeleverd, welke in plantperiode in te delen zijn. Inmiddels heeft de veredeling in Nederland er voor gezorgd dat verschillende soorten gedurende een langere periode te telen zijn. De veredelaars zijn altijd actief op zoek naar verbeterin-gen, zodat ook de komende jaren verbeteringen en wijzigingen in het assortiment verwacht kunnen worden. Antirrhinum kan zowel onder glas als buiten geteeld worden.

Also known as the dragon flower or snapdragon, this cut flower ori-ginates from the Mediterranean region and the Iberian Peninsula in particular. This product is one of the world’s most widely grown ornamental plants. Breeding in the USA has produced many varie-ties which can be divided into groups according to planting period. Dutch breeders have now created varieties which can be grown over a longer period and they are actively seeking improvements, so that changes in the product range can be expected in the coming years. Antirrhinum can be grown both under glass and outdoors.

De teelt van Brassica oleracea, oftewel sierkool, vindt zowel buiten in de vollegrond als binnen in de kas of tunnel plaats. Het assortiment is behoorlijk groot en divers, toch is vooral de Crane White de meestgeteelde variëteit. Dit product wordt vooral gebruikt als onderdeel van gemengde boeketten in het najaar en de winter.

Brassica oleracea, which includes the ornamental cabbage, is grown both outdoors in the soil and in greenhouses or polytunnels. Our product range is extensive and varied but Crane White is the most widely grown variety. This product is used primarily as part of a mixed bouquet during the autumn and winter months.

Dit product komt oorspronkelijk uit Japan en China en is in de acht-tiende eeuw voor het eerst ingevoerd in Europa. Onder natuurlijke omstandigheden bloeit dit product in de Nederlandse nazomer.Tegenwoordig is het mogelijk om dit product gedurende een lange pe-riode te planten, door te variëren met daglengte. De serie Matsumo-to is een veel geteelde serie met half-dubbele bloemen. Naast deze serie worden ook de dubbelbloemige Bonita serie en de kleinbloe-mige Serenade serie aangeboden.

Originally from Japan and China, this product was introduced to Eu-rope in the 18th century. Under natural conditions, it flowers in late summer in the Netherlands.By varying day length, it is nowadays possible to plant this product over an extended period. Matsumoto is a widely grown series with semi-double flowers. Besides Matsumoto, our range also includes Bonita, a more double-flowered variety, and the small-flowered, semi-double Serenade.

De teelt van de Campanula als snijbloem heeft de laatste jaren een grote vlucht genomen door gebruik te maken van verduisterings-technieken in de plantopkweek. Hierdoor is het mogelijk om dit pro-duct zonder koude behoefte te telen als een eenjarige snijbloem. Er zijn op dit moment twee series op de markt: Campana en Champion. Beide series worden door Florensis Cut Flowers aangeboden.

The growing of Campanula as a cut flower has taken off in recent years due to the use of blackout screens in the cultivation of the young plants. As a result, it is possible to grow the product as an annual cut flower without the need for a cold period. There are two series on the market at present: Campana and Champion, both of which are available from Florensis Cut Flowers.

De bijzondere bloemvorm en sterke kleuren geven deze bloem een exclusieve uitstraling. Dit product is oorspronkelijk afkomstig uit Cen-traal Azië. Door middel van veredeling is deze soort een veel geteelde snijbloem geworden. Er zijn verschillende typen bloemen beschikbaar in ons assortiment. Bijvoorbeeld de cristata met de twee soorten Bombay en Chief.

Its unusual flower shape and strong colours lend this flower a unique appearance. Originally from Central Asia, this product has become a widely grown cut flower as a result of plant breeding. Our range includes different types of flower, such as Celosia cristata with varie-ties including Bombay and Chief.

De Helianthus was in het verleden een snijbloem die vooral in de zo-mer en begin van de herfst wordt aangevoerd. Tegenwoordig word dit product in vele landen en klimaatzones geteeld en daardoor is het voor een veel langere periode beschikbaar. Naast de algemeen bekende Sunrich Orange is er ook de kleinbloemige Sonja. Deze plant geeft een mooie vertakking na het toppen, zodat per plant vele bloe-men geoogst kunnen worden. Florensis Cut Flowers heeft met name voor de kasteelt de Helianthus Sonja als plantje in het assortiment. Vele andere Helianthus soorten zijn als zaden verkrijgbaar.

In the past the Helianthus was a cut flower mainly supplied during the summer and the start of the autumn. Nowadays this product is cultivated in different countries and climate areas. The product is therefore available for a much longer period of time. Besides the well-known Sunrich Orange, we also provide the small-flowered Sonja. After topping, Sonja branches nicely, which in turn results in the harvesting of many flowers per plant. We provide Helianthus Sonja as a plant, particularly for greenhouse cultivation. Many other Helianthus varieties are available as seed.

Delphinium elatum

In de volksmond is deze bloem bekend onder de naam ‘Ridderspoor’. Van deze bloem bestaan inmiddels zowel een- als meerjarige soor-ten. Onze series Guardian en Centurion zijn eenjarige soorten en behoren tot de Delphinium elatum typen. Deze snijbloemen kunnen gemakkelijk een lengte van meer dan een meter halen.

Opmerking: Aantal stelen afhankelijk van aantal oogsten

Delphinium, which goes under the common name ‘larkspur’, now comes in both annual and perennial varieties. Our range includes the series Guardian and Centurionin, which are annual varieties belonging to the Delphinium elatum group. These cut flowers can easily reach a stem length of over 100 cm.

Dianthus barbatus

Dianthus is een product dat al vele jaren geteeld wordt in Nederland, vooral als tweejarig gewas. Deze soorten hadden een koude winter nodig om in bloei te komen. In de afgelopen jaren zijn de twee series Amazon en Sweet ontwikkeld, die geen koude periode nodig hebben om tot bloei te komen.

Dianthus barbatus (Sweet William) has been grown in the Nether-lands for many years, especially as a biennial plant. Barbatus varie-ties formerly needed a cold period (vernalisation) to induce flowering. In recent years, breeders have developed two series (Amazon and Sweet) which do not require a cold period in order to flower.

LisianthusLisianthus is van oorsprong een in het wild groeiende plant in Noord-Amerika en Mexico. Daar groeit de plant in woestijn- en prairie-achtige gebieden. De kweekvorm met de botanische naam Eustoma russellianum bestaat sinds ongeveer 1930 en is voortgekomen uit de Amerikaanse prairie-gentiaan. In vele landen worden enkelbloemige en dubbelbloemige lisianthus soorten geteeld. Er zijn vele prachtige variëteiten verkrijgbaar en elk jaar komen weer nieuwe soorten op de markt. De grootste markten voor de bloemen zijn Duitsland, Rusland, Frankrijk, Italië en Engeland. Ieder land heeft een eigen voorkeur voor type, bloemgrootte of kleur. Lisianthus is originally a wild-growing plant from North America and Mexico, where it grows in desert and prairie regions. The cultivated form with the botanical name Eustoma russellianum has existed since around 1930 and was obtained from the American prairie gentian. Single-flowered and double-flowered varieties of Lisianthus are grown in many countries. Many splendid varieties are available, with new ones coming on to the market every year. The biggest markets for the flowers are Germany, Russia, France, Italy and the UK. Each market has its own preferred type, flower size or colour. Young Lisianthus plants are grown year-round at Florensis and can also be cultivated all year-round under the right conditions. From seedling to flower takes ten to twelve weeks. Trachelium behoort tot de familie van de Campanulaceae en is van oorsprong afkomstig uit Zuid-Europa. De Trachelium bloeit in een schermvormige tros die bestaat uit vele kleine bloemetjes. In de na-tuur is dit een tweejarige plant. Door veredeling en opkweek is het goed mogelijk om dit product in drie maanden van plant tot bloem te telen. Artikel 1: Toepasselijkheid1.1 Op alle aanbiedingen van en op alle opdrachten aan Florensis tot verkoop en levering door Florensis van zaken, en op alle overeenkomsten met Florensis ter zake, zijn deze voorwaarden van toepassing. De Algemene verkoop- en leveringsvoorwaarden van Plantum van uitgangsmateriaal en planten van sierteelt en tuinbouw alsmede tuinbouwmaterialen als gedeponeerd bij de Kamer van Koophandel Rotterdam, kantoor Gouda op 21 mei 2012 (ook genoemd Algemene voorwaarden sierteelt en voe-dingstuinbouw opkweek van Plantum), hierna: de Plantum-voorwaarden) zijn eveneens van toepassing, maar alleen in zoverre de voorwaarden van Florensis zelf daarvan niet afwijken. Een afschrift van de Plantum-voorwaarden wordt op verzoek onmiddellijk toegezonden. Deze voorwaarden zijn bovendien te raadplegen op www.plantum.nl.1.2 De toepasselijkheid van voorwaarden van de wederpartij of opdrachtgever (hierna: koper) van Florensis wordt hierbij uitdruk-kelijk van de hand gewezen.1.3 Op van deze voorwaarden of de Plantum-voorwaarden afwijkende bedingen kan door de koper slechts een beroep worden gedaan indien en in zoverre deze door Florensis schriftelijk zijn aanvaard. Mondelinge afspraken met en gebruiken van de koper binden Florensis dan ook slechts nadat en voor zover ze door Florensis schriftelijk zijn bevestigd.

Artikel 2: Definities2.1 In deze voorwaarden wordt verstaan onder:- zaken: planten, genetisch materiaal van sierteeltproducten, waaronder (bewerkte) zaden, stekken en plantbestanddelen, alsmede uitgangsmateriaal en plantmateriaal van (voedings)tuinbouwproducten en tuinbouwmaterialen.- koper: zowel de middellijke als de onmiddellijke wederpartij of opdrachtgever van Florensis, ook indien die tevens of zelfs alleen licentienemer van Florensis is.- overmacht: elke van de wil van Florensis onafhankelijke omstandigheid, ten tijde van de totstandkoming van de overeenkomst voorzien of onvoorzien, die nakoming van het overeenkomst door Florensis geheel of gedeeltelijk verhindert of ernstig bezwaarlijk maakt, alsmede, voor zover daaronder niet reeds begrepen, misoogst, oogst van zaad met onvoldoende kwaliteit, ziektes in het eigen bedrijf of in het bedrijf van een toeleverancier, transportproblemen, werkstaking, overheidsmaatregelen, brand-, water-, vorst- en stormschade, storing in toevoer van grondstoffen, water en energie en niet of te late levering door toeleveranciers om welke reden dan ook.- speciale productie: zaken die niet in de catalogi/ bestellijsten van Florensis voorkomen of die geleverd dienen te worden buiten de voor Florensis voor die zaken normaal geldende leverweken, en die Florensis na bestelling door de koper al dan niet in een eerdere fase van ontwikkeling bestelt bij derden of buiten normaal geldende tijdvakken zelf ontwikkelt, in beide gevallen in wat grotere hoeveelheid dan door de koper besteld, met het oog op het gebruikelijke faalrisico.- oogsten bewerkingsvoorbehoud: een voorbehoud van Florensis ten aanzien van levering conform bestelling wegens factoren en onzekerheden binnen het natuurlijke productieproces na planting van zaden, na het opzetten van moederplanten voor stekproduc-tie en na het steken van stekken, welke factoren en onzekerheden, zelfs als zij bekend zijn, niet altijd gecontroleerd of beïnvloed kunnen worden.- levering EXW: levering EXW als bedoeld in de Incoterms 2000.- gebruikelijke handelskwaliteit: een kwaliteit die aan leverancierzijde in de zaden-, stekken- en plantensector als ten minste gemid-delde kwaliteit wordt beschouwd.

Artikel 3: Aanbiedingen, bestellingen en overeenkomsten3.1 Alle aanbiedingen van Florensis in productcatalogi, bestellijsten of specifieke offertes, al dan niet op internet, zijn vrijblijvend. Florensis kan daarom een naar aanleiding van een aanbieding geplaatste bestelling nog binnen 7 dagen en zonder opgave van redenen weigeren. Florensis levert niet aan particulieren.3.2 Bestellingen en acceptaties van aanbiedingen door de koper gelden als onherroepelijk.3.3 Mondelinge bestellingen al dan niet via tussenpersonen leiden tot een overeenkomst met een inhoud zoals schriftelijk door Florensis bevestigd, of bij gebreke van zulke bevestiging met een inhoud conform de uitvoering door Florensis.3.4 De koper dient in zijn bestellingen en acceptaties uitsluitend de benamingen of nummers te hanteren die Florensis in haar catalogi/bestellijsten vermeldt. In geval van speciale productie gelden de benaming en omschrijving die daarvoor door Florensis in de onderlinge contacten worden gebruikt.3.5 Overeenkomsten verplichten Florensis tot verkoop en levering van gebruikelijke handelskwaliteit onder toepasselijkheid van het oogsten bewerkingsvoorbehoud van Florensis en behoudens overmacht. Indien op enig moment voorafgaande aan, tijdens of na de overeenkomst van de zijde van Florensis adviezen zijn verstrekt, van welke aard ook, maken deze adviezen van de betrokken overeenkomst of van een aanvullende overeenkomst slechts deel uit en hebben zij in de relatie tussen partijen slechts betekenis en rechtsgevolg indien deze adviezen schriftelijk zijn verstrekt en de koper aan Florensis daarvoor een overeengekomen separate vergoeding verschuldigd is.3.6 Florensis is niet gehouden in te staan voor het bereiken van de bestemming of het resultaat die de koper met behulp van de gekochte zaken wil realiseren, ook niet indien adviezen van Florensis betrekking hadden op het gebruik van de zaken met het oog op die bestemming of dat resultaat.

Artikel 4: Prijzen, hoeveelheden, gewichten4.1 Tenzij anders aangegeven zijn alle prijzen exclusief belastingen en/of rechten/heffingen die van overheidswege ten aanzien van de te verkopen/verkochte zaken vóór of bij levering of bij export worden geheven, en exclusief kosten van licentierechten van derden en kosten van vervoer of verzending in zoverre voor rekening komende van Florensis.4.2 Indien na het sluiten van de overeenkomst en vóór de levering één of meer der kostprijsfactoren (waaronder ook wordt verstaan: een wijziging in de valutakoers) een verhoging ondergaat, kan Florensis de overeengekomen prijs dienovereenkomstig verhogen. Indien de overeengekomen prijs meer dan 15% hoger wordt, kan de koper de overeenkomst ontbinden door een schrif-telijke mededeling aan Florensis binnen 7 dagen nadat Florensis van de verhoging kennis heeft gegeven.4.3 De geldende prijzen worden berekend volgens de in de laatste catalogus en bestellijst(en) van Florensis aangegeven prijs-staffels. Deze prijzen zijn van kracht vanaf de vermelde staffelhoeveelheden bij afname ineens van hetzelfde ras.4.4 Indien in een bestelling de verlangde hoeveelheid afwijkt van de door Florensis gehanteerde standaardhoeveelheid of een veelvoud daarvan, kan Florensis de naast hogere standaardhoeveelheid leveren.4.5 De kleinste bij een artikel in catalogi/bestellijsten van Florensis aangegeven hoeveelheid is de minimum hoeveelheid die besteld kan worden. De minimale orderwaarde bedraagt EUR 250.4.6 In geval van speciale productie heeft Florensis het recht om meer dan de overeengekomen hoeveelheid te leveren indien de hoeveelheid door haar zelf bestelde of separaat goed ontwikkelde zaken Florensis daartoe in staat stelt en betaalt de koper pro rata meer dan de overeengekomen prijs naar gelang door Florensis meer geleverd wordt dan overeengekomen, tot een maximum van 10% van de oorspronkelijke koopprijs.4.7 Ieder gewicht van een door Florensis te leveren hoeveelheid is behoudens afwijkende vermelding een gewicht op netto basis.

Artikel 5: Levertijd en levering5.1 Door Florensis opgegeven of overeengekomen levertijden gelden slechts bij benadering. Levering vindt plaats binnen een redelijke termijn indien een specifieke leveringstermijn niet is opgegeven of overeengekomen.5.2 De levertijd is gebaseerd op de ten tijde van het sluiten van de overeenkomst geldende omstandigheden en op de veronder-stelling van tijdige toelevering door derden van de voor het uitvoeren van de overeenkomst voor Florensis nodige zaken. Indien een vertraging ontstaat ten gevolge van nieuwe omstandigheden na het sluiten van de overeenkomst of niet tijdige toelevering door derden, wordt de levertijd zodanig verlengd als alle omstandigheden in aanmerking genomen redelijk is.5.3 De zaken gelden ten aanzien van de levertijd als geleverd wanneer zij ter verzending gereed zijn.5.4 Overschrijding van de levertijd met ten hoogste 2 weken geeft de koper geen recht op opschorting of ontbinding van de overeenkomst, noch ook op schadevergoeding.5.5 Overschrijding van de levertijd met meer dan 2 weken, geeft de koper het recht de overeenkomst schriftelijk binnen 7 dagen nadien geheel of gedeeltelijk te ontbinden. Florensis kan bij een dergelijke overschrijding de overeenkomst eveneens geheel of gedeeltelijk ontbinden. Schadevergoeding is Florensis ook in deze gevallen niet verschuldigd.5.6 Levering vindt plaats af bedrijf (EXW), tenzij uitdrukkelijk anders overeengekomen. Bij de levering gaat het risico van de betreffende producten, met alles wat daaraan is verbonden, op de koper over.5.7 De in een andere EU-lidstaat dan Nederland gevestigde koper zal Florensis schriftelijk mededeling doen van zijn correcte BTW-identificatienummer. De koper zal Florensis voorts alle gegevens en bescheiden verschaffen die Florensis nodig heeft voor het bewijs dat de producten zijn afgeleverd in een andere EU-lidstaat dan Nederland. De koper vrijwaart Florensis voor alle aanspraken voortkomende uit en alle nadelige gevolgen van het niet of niet volledig naleven door de koper van het bepaalde in dit artikellid. Florensis behoudt zich het recht voor om de door de koper verschuldigde prijs te vermeerderen met het BTW-tarief dat voor de betrokken levering bij levering binnen Nederland zou gelden.

Artikel 6: Oogst- en bewerkingsvoorbehoudAlle aanbiedingen van, alle overeenkomsten met en alle leveringen/adviezen door Florensis zijn onderhevig aan het oogsten bewerkingsvoorbehoud zoals dat ten aanzien van te leveren zaken gebruikelijk is in de branche waarin Florensis actief is. Indien door Florensis op dit oogsten bewerkingsvoorbehoud een gerechtvaardigd en schriftelijk beroep wordt gedaan, geldt enige aan-bieding van of overeenkomst met Florensis daardoor ingetrokken respectievelijk ontbonden, alleen voor het gedeelte dat door het inroepen van het voorbehoud getroffen wordt, zonder dat Florensis tot enige vervangende verplichting of tot schadevergoeding gehouden zal zijn.

Artikel 7: Eigendomsovergang7.1 Alle door Florensis geleverde zaken blijven eigendom van Florensis tot aan het moment van algehele voldoening van al het-geen Florensis in verband met de onderliggende overeenkomst of andere overeenkomsten van vergelijkbare aard van de koper te vorderen heeft, schade, kosten en rente daaronder begrepen. Een retentierecht op die zaken komt aan de koper niet toe. Florensis heeft na verzuim van de koper onder zijn betalingsverplichtingen het recht om al het geen haar eigendom is gebleven van het terrein en uit de gebouwen van koper te (doen) verwijderen. De koper zal aan deze verwijdering zoveel mogelijk zijn medewerking verlenen.7.2 De koper dient de onder eigendomsvoorbehoud geleverde zaken zorgvuldig en als herkenbaar van Florensis te bewaren.

Artikel 8: Trays8.1 Door Florensis meegeleverde trays, duurzame verpakkingen en emballage, uitgezonderd eenmalige emballage, blijven te allen tijde het eigendom van Florensis. De trays dienen tot aan het moment van retournering aan Florensis door de koper vrijgemaakt van grond- en plantmateriaal te worden opgeslagen op een geëigende wijze en op een daartoe geschikte plaats, alles voor rekening en risico van de koper.8.2 De trays en overige verpakkingen van Florensis mogen niet door de koper of door diens toedoen door derden gebruikt worden. Is van zulk gebruik toch sprake, dan is de koper per gebruikte tray of verpakking daarvoor aan Florensis een bedrag verschuldigd van EUR 10 per week of gedeelte van een week dat dit gebruik geduurd heeft.8.3 De tray, het in-mould label en de overige duurzame verpakkingen van Florensis mogen niet beschreven, beklad, beplakt of anders-zins beschadigd of onbruikbaar gemaakt worden. Kosten in verband met het reinigen, herstellen, vervangen en/of vernietigen van zo aangetaste trays, labels en verpakkingen worden aan de koper in rekening gebracht.

8.4 Trays worden geretourneerd door retourname door Florensis bij de eerstvolgende levering door Florensis aan de koper vanaf de locatie van die levering, behoudens afwijkende afspraken. Indien ten tijde van een levering een eerstvolgende levering nog niet gepland is, worden de trays op een met de koper overeen te komen termijn door of namens Florensis opgehaald ter plekke van de eerdere levering, waarbij in dit geval de kosten van de retourname voor de koper zijn en separaat aan hem gefactureerd worden.8.5 Indien op het hiervoor bedoelde overeengekomen moment van retourname de daar voor bestemde trays niet vrij van grond- en plantmateriaal en op de plaats van retourname gereed staan, zullen de met dit verzuim samenhangende extra kosten van Florensis voor rekening van de koper zijn en separaat aan hem gefactureerd worden.

Artikel 9: Kwekersrechtelijke en contractuele bescherming van aangemelde en geregistreerde rassen.9.1 Uitgangsmateriaal van rassen behorende tot de sierteeltsector, die door in de Europese Unie en/of enig land daarbuiten aangevraagd of verleend kwekersrecht c.q. door een contractueel kettingbeding zijn beschermd, alsmede uitgangsmateriaal van rassen die door Florensis worden aangeduid met R (voor Royalty), mag niet voor vermeerdering of verhandeling worden gebruikt.9.2 Het geleverde uitgangsmateriaal mag door de koper slechts worden gebruikt voor de teelt van gerede sierteeltproducten op het bedrijf van koper. Deze clausule dient tevens als kettingbeding door de koper tegenover zijn afnemers te worden gehandhaafd.9.3 Het gerede product, afkomstig van het aan de koper geleverde uitgangsmateriaal, mag door de koper uitsluitend worden verkocht onder de betreffende (ras)naam en eventuele merknaam.9.4 Aan de koper toe te rekenen overtredingen van het gestelde in de voorgaande leden van dit artikel leiden tot een onmiddellijk opeisbare en door de koper aan Florensis verschuldigde boete van EUR 0,55 per vermeerderde plant. Florensis heeft daarnaast en daarboven het recht om ook de werkelijk door haar geleden schade op de overtreder te verhalen.9.5 Florensis is gerechtigd om zonder noodzaak van waarschuwing vooraf maar gedurende normale bedrijfsuren het bedrijf van de koper c.q. de onder diens beheer zijnde percelen, alwaar het door Florensis geleverde uitgangsmateriaal zich bevindt, te betreden teneinde dat materiaal te bezichtigen c.q. te beoordelen. 9.6 Op eerste verzoek van Florensis zal de koper aan haar inzage geven in zijn boeken ter verificatie van de nakoming door de koper van zijn verplichtingen bedoeld in dit artikel. 9.7 Indien de koper een mutant in het beschermde ras vindt, dan dient hij dit onmiddellijk bij aangetekend schrijven mede te delen aan Florensis en aan de houder van het kwekersrecht.9.8 Op schriftelijk verzoek van de houder van het kwekersrecht zal de koper binnen een periode van 2 maanden na ontvangst van dit verzoek beproevingsmateriaal van de mutant aan de houder van kwekersrecht afstaan.9.9 Het is de koper bekend dat de vinder van een mutant in het beschermde ras de toestemming behoeft van de kweker(s) van het moederras om de mutant de exploiteren.9.10 Het is de koper in het bijzonder bekend dat de vinder van een mutant de toestemming behoeft van de houder van het kwe-kersrecht met betrekking tot het moederras om de navolgende handelingen met betrekking tot alle materiaal van het ras, inclusief geoogst materiaal (derhalve ook bloemen, planten en plantendelen) te verrichten, te weten:a. voortbrengen of vermenigvuldigen (vermeerderen);b. conditioneren ten behoeve van vermeerdering;c. te koop aanbieden;d. verkopen of op andere wijze in de handel brengen;e. uitvoeren en/of invoeren; f. opslaan voor één van de hierboven onder a t/m e genoemde doeleinden.9.11 Florensis is gerechtigd om een gemachtigde – daaronder begrepen een onafhankelijke derde – aan te wijzen ter uitvoering en realisering van haar rechten bedoeld in dit artikel, daaronder begrepen het recht van controle in de boeken van de koper ter verificatie van de nakoming door koper van zijn in dit artikel bedoelde verplichtingen.9.12 De koper verleent toestemming aan groothandelaren, veilingen, importeurs en/of exporteurs om informatie te verstrekken aan de kwekersrechthouder en/of zijn vertegenwoordiger betreffende de hoeveelheid geoogst product die de koper verhandelt van de rassen van de kwekersrechthouder. Daarnaast geeft de koper specifiek toestemming aan de veilingen om informatie te verstrekken aan de kwekersrechthouder en/of zijn vertegenwoordiger betreffende de hoeveelheid product die van hem bij de vei-ling wordt verhandeld onder de code ‘overig’.

Artikel 10: Klachten10.1 Florensis levert ten minste gebruikelijke handelskwaliteit. De koper is gehouden om de zaken terstond na levering te keuren.10.2 Klachten met betrekking tot de geleverde kwaliteit of onmiddellijk zichtbare schade dienen binnen 12 uur na aflevering schriftelijk aan Florensis gedaan te worden. 10.3 Klachten over het aantal, het gewicht of het uiterlijk van de zaken (anders dan samenhangende met de geleverde kwaliteit of na aflevering onmiddellijk zichtbare schade) dienen binnen 7 werkdagen na levering schriftelijk aan Florensis gedaan te worden. 10.4 Klachten over kiemkracht en machinale zuiverheid dienen terstond na constatering, doch uiterlijk binnen 60 dagen na levering schriftelijk aan Florensis gedaan te worden.10.5 Klachten over rasechtheid en raszuiverheid dienen terstond na constatering en in ieder geval in het na aankoop volgende groeiseizoen schriftelijk aan Florensis gedaan te worden, zodra het gewas zodanig is ontwikkeld dat een juiste beoordeling mogelijk is.10.6 De koper zal alle zaken waaromtrent hij klaagt ter verificatie van de juistheid van de klacht op eigen kosten ter beschikking houden van Florensis.10.7 Alle aanspraken van de koper in verband met klachten in verband met de geleverde zaken vervallen indien de koper zich niet heeft gehouden aan bovenvermelde verplichtingen en de daarvan deel uitmakende termijnen.10.8 De aanspraken van koper vervallen ook indien de koper de geleverde zaken heeft doorgeleverd of zij zijn gewijzigd, bewerkt of beschadigd of indien de koper in verzuim is met de nakoming van verplichtingen die hij zelf onder enige overeenkomst heeft jegens Florensis.10.9 Indien een klacht terecht en ontvankelijk is, zal Florensis alsnog deugdelijk leveren, zonder dat de koper aanspraak kan maken op vervangende of aanvullende schadevergoeding. Indien vervangende of aanvullende levering voor Florensis redelijkerwijze niet meer mogelijk is, of wegens tijdsverloop voor de koper naar objectieve maatstaven gemeten niet meer zinnig is, zal Florensis in plaats daarvan de koper voor de door hem betaalde prijs crediteren voor zover betrekking hebbende op het ondeugdelijke deel van het geleverde.

Artikel 11: Aansprakelijkheid11.1 De aansprakelijkheid van Florensis in verband met eventuele tekortkomingen in verband met de geleverde zaken is beperkt tot de aanvullende levering of herlevering of creditering genoemd in artikel 10.9.11.2 Florensis is nimmer gehouden tot betaling van schadevergoeding behoudens indien en in zoverre de geleden schade door opzet of bewuste roekeloosheid van Florensis of haar eigen werknemers is toegebracht. Behoudens opzet of bewuste roekeloos-heid van de directie van Florensis is aansprakelijkheid voor omzet- of reputatieschade van de koper steeds uitgesloten.11.3 In alle gevallen waarin Florensis gehouden is tot betaling van schadevergoeding zal deze nooit hoger zijn dan, naar haar keuze, hetzij de factuurwaarde van de geleverde zaken of het gegeven advies waardoor of in verband waarmee de schade van koper is veroorzaakt, hetzij, indien de aansprakelijkheid of schade is gedekt onder een verzekering van Florensis, het bedrag dat daadwerkelijk door de verzekeraar terzake wordt uitgekeerd.11.4 Iedere vordering jegens Florensis behalve die welke door haar is erkend vervalt door het enkele verloop van 12 maanden na levering of advisering.11.5 De werknemers van Florensis en hulppersonen en vertegenwoordigers van Florensis kunnen zich jegens de koper beroepen op alle aan de overeenkomst en deze voorwaarden te ontlenen verweermiddelen als waren zij zelf bij de overeenkomst met de koper partij.11.6 De koper zal Florensis, haar werknemers, hulppersonen en vertegenwoordigers vrijwaren van iedere aanspraak van derden in verband met de geleverde zaken, het gegeven advies en/of de overige uitvoering van de overeenkomst door Florensis.

Artikel 12: Verzuim door de koper12.1 Indien de koper niet, niet tijdig of niet behoorlijk voldoet aan enige verplichting jegens Florensis, uit welke overeenkomst dan ook, zijn alle vorderingen van Florensis onmiddellijk opeisbaar zonder dat Florensis tot enige ingebrekestelling is gehouden.12.2 In geval van verzuim door de koper onder enige overeenkomst, vervallen de verplichtingen van Florensis jegens de koper, zowel onder de betrokken overeenkomst als onder alle andere overeenkomsten tussen partijen.

Artikel 13: Betaling13.1 Betaling door de koper zal plaats hebben binnen 30 dagen na factuurdatum, tenzij vooruitbetaling is bedongen of een langer krediet schriftelijk is overeengekomen. Indien wel is geleverd, maar (nog) geen factuur is verzonden, zal de koper de overeengeko-men prijs betalen binnen 30 dagen na de levering.13.2 Indien de koper niet binnen de in het vorige lid vermelde termijn zal hebben betaald, is hij automatisch in verzuim en zal hij zonder nadere ingebrekestelling vanaf de vervaldag een rente verschuldigd zijn ter grootte van 1% per maand(deel) over het verschuldigde bedrag, inclusief BTW, onverminderd de andere rechten van Florensis.13.3 Alle betalingen zullen plaats hebben zonder recht van opschorting, aftrek of verrekening op een door Florensis aangewezen rekening.13.4 De koper zal desgevraagd voldoende zekerheid stellen voor de nakoming van de bestaande of toekomstige verplichtingen die voortkomen uit de gesloten overeenkomst. Florensis kan, zolang die zekerheid niet is gesteld, haar verplichtingen uit de over-eenkomst opschorten. Indien zodanige zekerheid niet binnen een door Florensis daarvoor gestelde redelijke termijn is gegeven, kan Florensis de overeenkomst door een schriftelijke mededeling geheel of gedeeltelijk ontbinden, zonder dat zij tot schadevergoeding gehouden is en onverminderd de overige rechten van Florensis.13.5 Alle incassokosten van Florensis, zowel gerechtelijke als buitengerechtelijke, komen ten laste van de koper. De kosten bedra-gen minimaal 15% van de hoofdsom.

Artikel 14: Ontbinding en opschorting14.1 Indien de koper een of meer van zijn verplichtingen niet, niet tijdig of niet behoorlijk nakomt, in staat van faillissement wordt verklaard, (voorlopige) surséance van betaling aanvraagt, overgaat tot liquidatie van zijn bedrijf, alsmede wanneer zijn vermogen geheel of gedeeltelijk in beslag wordt genomen, heeft Florensis het recht om de uitvoering van de overeenkomst op te schorten of om de overeenkomst zonder voorafgaande ingebrekestelling geheel of gedeeltelijk door een schriftelijke verklaring te ontbinden, één en ander naar haar keuze en steeds met behoud van enig haar toekomend recht op vergoeding van kosten, schade en rente.14.2 Aan de koper komt enig recht op annulering van een door Florensis ontvangen al dan niet reeds in uitvoering genomen bestelling niet toe. Bij annulering van een bestelling door koper, om welke reden dan ook, blijft de koper gehouden tot betaling van de daarvoor geldende prijs.

Artikel 15: Geschillen en toepasselijk recht15.1 Alle geschillen tussen Florensis en koper zullen bij uitsluiting worden beslecht door de bevoegde rechter in het Arrondis-sement Rotterdam.15.2 Daarnaast heeft Florensis te allen tijde het recht de koper voor de wettelijk of ingevolge de geldende internationale conventie bevoegde rechtbank te dagen.15.3 Alle overeenkomsten met Florensis zijn onderworpen aan Nederlands recht.

Algemene verkoop- en leveringsvoorwaarden van de besloten vennootschappen Florensis B.V., Florensis Breeding B.V., Toscana Breeding B.V., de vennootschap onder firma Floha vof, gevestigd te Zwijndrecht en Florensis Cut Flowers B.V., gevestigd te Rijsenhout, alle hierna individueel te noemen: ‘’Florensis’’, van oktober 2012.

Article 1: Applicability1.1 These conditions apply to all offers from and all orders to Florensis for the sale and delivery of products by Florensis, and to all agreements with Florensis with respect thereto. The General sales and delivery terms of Plantum for ornamental and horticul-ture cultivation material and plants as well as horticulture materials., as filed with the Chamber of Commerce Rotterdam, Gouda office, on 21 May 2012 (also called General terms for ornamental plant and nutritional horticulture production of Plantum: the Plantum conditions) are likewise applicable, but only to the extent that the Florensis conditions do not deviate from them. A copy of the Plantum conditions will be sent immediately on request. They can also be consulted at www.plantum.nl.1.2 The applicability of conditions of the other party or customer of Florensis (hereinafter: buyer) is hereby expressly excluded.1.3 Provisions that deviate from these conditions or from the Plantum conditions can be invoked by the buyer only if and to the extent that these provisions are accepted by Florensis in writing. Verbal agreements with and usual practices from the buyer are therefore binding on Florensis only after and to the extent that they have been agreed by Florensis in writing.

Article 2: DefinitionsIn these conditions, the following terms have the following meaning:- products: plants, genetic material from ornamental plant varieties, including (processed) seeds, cuttings and plant material, as well as cultivation material and/or ornamental and (nutritional) horticultural plants as well as horticulture materials .- buyer: both the direct and the indirect other party or customer from Florensis, including – even if solely – a licensee from Florensis.- force majeure: each circumstance outside the control of Florensis, foreseen or unforeseen at the time of conclusion of the agreement, which wholly or partly impedes or seriously hinders the implementation of the agreement by Florensis, and also, in so far not yet included, crop failure, production of seeds of insufficient quality, diseases in the enterprise of Florensis or its suppliers, transport problems, labour strikes, government measures, fire, water, frost or storm damage, disturbance in the supply of basic materials, water and energy, and lack of or late delivery by suppliers for whatever reasons.- special production: products which do not appear in Florensis’ catalogues or ordering lists, or products which are to be delivered outside normally applicable delivery weeks for Florensis, and which products after an order from the buyer Florensis either orders from a third party or produces itself outside the normally applicable period for Florensis for growing such products, in both cases in a slightly larger amount than in the order by the buyer, with a view to the usual risk and rate of failure.- crop and processing reservation: a reservation by Florensis with respect to any delivery in accordance with the buyer’s order to account for factors and uncertainties within the natural process of production after planting of seeds, after the raising of mother plants for the production of cuttings and after taking cuttings, which factors and uncertainties cannot always be controlled or influenced, even if they are known.- delivery EXW: delivery EXW as meant in the Incoterms 2000.- usual trading quality: a product quality which is deemed to be at least average within the (Dutch) supply side sector of seeds, cuttings or plants.

Article 3: Offers, orders and agreements3.1 All offers by Florensis in product catalogues, ordering lists or specific quotes, including all offers on internet, are non-binding. For that reason, Florensis can refuse any order with respect to any offer within 7 days from the order date without need for expla-nation. Florensis does not sell to private persons.3.2 Orders by the buyer are irrevocable.3.3 Verbal orders, also through intermediaries, result in an agreement as confirmed in writing by Florensis, or in the absence of such confirmation, in an agreement in conformity with the actual implementation by Florensis. 3.4 The buyer should exclusively refer in his acceptances and in his orders to product names and numbers as mentioned in Florensis’ catalogues and ordering lists. In the case of special production, the applicable names and numbers are as used by Florensis in the contacts with buyer.3.5 Agreements oblige Florensis to the sale and delivery of usual trading quality under the Florensis crop and processing reser-vation and barring force majeure. If at any time before, during or after the agreement Florensis has rendered advices, of whatever nature, these advices only form part of the agreement with Florensis, or form a separate agreement with Florensis, and only have significance and legal effect within the relationship between parties, if these advices were given in writing and buyer has agreed to owe to Florensis for these advices a separate compensation. 3.6 Florensis is under no obligation of any guarantee or warranty for achieving the purpose or result which the buyer seeks to realise with the products as purchased, also not if any advices given by Florensis related to the use of such products with a view to such purpose or result.

Article 4: Prices, amounts and weights4.1 Unless mentioned differently, all prices quoted are exclusive of taxes and/or duties/levies which will be applied by any government with respect to the products (to be) sold either before or at the time of delivery or export, and they are exclusive of all cost of third party licensee rights and of cost of transport or sending paid for by Florensis.4.2 If after the conclusion of the agreement but before delivery, one of the factors determining the cost price of the products increases (including an increase in the relevant currency exchange rate), Florensis is entitled to increase the agreed price in conformity therewith. If the agreed price increases by more than 15%, the buyer can rescind the agreement by a written notice to Florensis within 7 days after Florensis notified the buyer of the increase.4.3 The applicable prices are calculated according to the pricing tables mentioned in Florensis’ most recent catalogue or ordering list(s). These prices apply to amounts as mentioned in the tables in case of same time taking of the same variety.4.4 If in an order the desired amount deviates from the Florensis standard amounts or multiples thereof, Florensis is entitled to deliver the next higher standard amount.4.5 The smallest product amount mentioned in Florensis’ catalogues/ordering lists is the minimum amount which can be ordered. The minimal order value is EUR 250.4.6 In case of special production, Florensis is entitled to deliver more than the agreed amount if the number of well developed products ordered or grown by Florensis enables Florensis thereto, and the buyer pays a pro rata higher price than the agreed price in proportion to the higher amount delivered, with a maximum of 10% of the original purchase price. 4.7 Each quoted weight of an amount to be delivered by Florensis is a weight on a net basis unless mention to the contrary.

Article 5: Delivery period and delivery5.1 Delivery periods stated by or agreed with Florensis are approximate delivery periods only. Delivery will take place within a reasonable period if no specific period has been stated or agreed.5.2 The delivery period is based upon the circumstances applicable at the time of the conclusion of the agreement and upon the assumption of timely delivery by third parties of all materials/products necessary for the implementation by Florensis of the agreement. If a delay occurs as a result of new circumstances after the conclusion of the agreement or as a result of late delivery by third parties, the delivery period is extended as is reasonable taking into account all circumstances.5.3 All products are deemed to be delivered once they stand ready for transport.5.4 Exceeding any delivery period with a maximum of two weeks does not entitle the buyer to suspension or rescission of the agreement, and also not to any damages.5.5 Exceeding the delivery period with more than 2 weeks entitles the buyer to rescission in whole or in part of the agreement, but only if this is done in writing within 7 days after the two weeks period. In the case of such late performance, Florensis is also entitled to rescind the agreement in part or in whole. In the circumstances foreseen in this article, Florensis does not owe the buyer any damages.5.6 Delivery is ex works (EXW), unless otherwise agreed. On delivery, the risk connected to the products in question, with all that is connected there to, is transferred to the buyer.5.7 The buyer located in a different EU Member State than the Netherlands will inform Florensis in writing of his correct VAT identification number. Furthermore, the buyer shall provide all necessary information and documents that Florensis requires as proof that the products have been delivered in a different EU Member State than the Netherlands. The buyer will indemnify Floren-sis for all claims resulting from and all negative consequences of the buyer not or not entirely complying with the provisions in this article. Florensis reserves the right to increase the price payable by the buyer with the VAT rate that would apply to the delivery in question in the event of delivery within the Netherlands.

Article 6: Crop and processing reservationAll offers from, all agreements with and all deliveries/advices by Florensis are subject to the crop and processing reservation as such is usual with respect to products to be delivered in the (Dutch) business sector in which Florensis is active. If Florensis invokes this reservation with justification and in writing, the consequence is that any offer from or agreement with Florensis is withdrawn or rescinded, but only for the part that is effected by invoking the reservation, without Florensis owing any substitute obligations or any damages.

Article 7: Reservation of title7.1 All products delivered by Florensis remain the property of Florensis until the time of full payment of all claims of Florensis on the buyer with respect to the underlying agreement or any comparable agreements, including claims for damages, costs and interest. The buyer has no right of retention with respect to any such products for whatever reason. Once the buyer is in breach with his payment obligations, Florensis is entitled to remove all that has remained its property from the buyer’s premises and buildings. The buyer will facilitate this removal as much as possible.7.2 The buyer is obliged to store the products that have been delivered subject to retention of title with the necessary care and in such a manner that the products can be identified as property of Florensis.

Article 8: Trays8.1 Trays and packaging, except single-use packaging, delivered by Florensis together with the products remain at all times the property of Florensis. These trays must be stored by the buyer free of soil or plant material until the time of returning them to Florensis, in a proper manner and in a suitable storage place, all for the account and risk of the buyer.8.2 The buyer or third parties through the buyer’s doing are not allowed to use the trays and packaging of Florensis. If such use takes place anyway, the buyer owes Florensis for each tray used an amount of EUR 10 per week or part of a week that this use continued.8.3 The trays and/or their in mould labels and other durable packaging must not be written on, blurred, covered or otherwise damaged or made unusable. Any costs due to cleaning, repairing, replacing and/or destroying trays so affected are for the ac-count of the buyer.8.4 Trays are to be returned through Florensis taking them back at the time of the next delivery to the buyer from the place of delivery, unless a different agreement applies. If at the time of a delivery a next delivery is not yet planned, Florensis will (have a third party) pick up the trays at a time to be agreed with the buyer at the place of the earlier delivery, in which case the costs of taking back the trays are for the account of the buyer and will be charged to the buyer separately.

8.5 If at the agreed time for returning the trays they are not free of soil or plant material and if they are not ready for return at the place agreed therefore, all extra costs for Florensis with respect to such shortcomings are for the account of the buyer and will be charged to the buyer separately.

Article 9: Breeder’s rights or contractual protection of notified and registered varieties9.1 Source material of varieties belonging to the ornamental horticulture, which are protected by a requested or granted bree-der’s right and/or which are protected by a contractual chain or continuous stipulation in the European Union and/or any country outside, and also source material of varieties which are marked with a R (for Royalty), cannot be used for multiplication or trade.9.2 The source material as delivered can only be used by the buyer for the cultivation of finished ornamental products at the buyer’s premises. The buyer is obliged to pass on this restrictive clause by way of chain or continuous obligation to his customers.9.3 The buyer is only allowed to sell the finished product resulting from the source material delivered to him under the applicable variety name and any applicable trade name.9.4 The buyer owes to Florensis an immediately due penalty of EUR 0,55 per multiplied plant if any of the afore mentioned stipulations are breached and such breach is attributable to the buyer. Florensis is entitled to additionally claim compensation for the actual damages incurred from the party at fault.9.5 Florensis is entitled to enter the buyer’s enterprises and/or any premises under buyer’s control, where Florensis delivered source material is present, during normal working hours and without the need of any advance warning, in order to review and assess that material.9.6 At the first request of Florensis, the buyer shall allow Florensis inspection of his administration for the purpose of verification of buyer fulfilling his obligations meant in this article.9.7 Should the buyer discover a mutant in a protected variety, the buyer must immediately inform both Florensis and the holder of the breeder’s rights of this by registered letter. 9.8 The buyer shall release to the holder of the breeder’s right at his written request trial material of such mutant within a period of 2 months from receipt of the request. 9.9 The buyer is aware that the finder of a mutant in a protected variety requires permission from the growers of the maternal strain to exploit the mutant.9.10 The buyer is specifically aware that the finder of a mutant requires permission from the holder of the breeder’s right with respect to the maternal strain to carry out the following activities regarding all material of the variety, including material harvested (including therefore flowers, plants and parts of plants), namely:a. produce or duplicate/multiply (propagate)b. conditioning for the purpose of propagationc. offering for saled. sell or trade in any other waye. export and/or importf. holding in stock for any of the above under a through e mentioned purposes.9.11 Florensis can nominate a representative – including an independent third party – who will have the right to implement and realize its rights mentioned in this article, including the right to inspect the buyer’s administration for the purpose of verification of buyer fulfilling his obligations meant in this article.9.12 The buyer grants permission to wholesalers, auctions, importers and/or exporters to provide information to the holder of the breeders’ rights and/or his representative regarding the quantity of harvested product that the buyer trades of the variety of the holder of breeders’ rights. In addition, the buyer grants specific permission to the auctions to provide information to the holder of the breeders’ rights and/or his representative regarding the quantity of his product that is traded at the auction under the code ‘other’.

Article 10: Complaints10.1 Florensis sells at least usual trading quality. The buyer is obliged to immediately inspect the products after delivery.10.2 Complaints with respect to quality delivered or immediately visible damages must be done to Florensis in writing within 12 hours from delivery.10.3 Complaints with respect to the number, the weight or the appearance of products (other than in relation to the quality delivered or immediately visible damages) must be done to Florensis in writing within 7 working days from delivery.10.4 Complaints with respect to the capacity of germination or machine based purity must be done to Florensis in writing im-mediately after discovery, and cannot successfully be made any more after sixty days after delivery.10.5 Complaints with respect to the genuineness or purity of a variety must be done to Florensis in writing immediately after discovery, and at any rate in the next growing season after purchase as soon as the crop is developed sufficiently for a correct examination thereof.10.6 The buyer shall hold all products that he has complained about at Florensis’ disposal for his own account.10.7 All buyer’s claims in connection with complaints with respect to the products delivered are legally barred from pursuing if the buyer has not observed the above mentioned obligations and the time periods which are part thereof.10.8 All buyer’s claims are equally barred and without legal effect if the buyer has traded the products delivered or if they are changed, processed or damaged or if the buyer is in breach with the fulfilment of any obligations that he has towards Florensis under any agreement.10.9 If a claim is correct and (to be) recognized, Florensis will deliver satisfactorily as yet, without any right existing for the buyer to claim substitute or additional damages. If replacement or additional delivery is reasonably impossible for Florensis, or senseless for the buyer according to objective criteria having regard to the passing of time, Florensis shall instead credit the buyer for the price paid to the extent that this price relates to the unsatisfactory part of the products delivered.

Article 11: Liability11.1 Florensis’ liability in connection with possible inadequacies in products as delivered is limited to the additional or replace-ment delivery or to the credit relief mentioned in Article 10.9.11.2 Florensis is never obliged to pay substitute or additional damages except and in so far as the damage suffered was inflicted intentionally or by the gross negligence of Florensis or its own employees. Florensis’ liability for loss of profits or reputation dama-ges, however, is always excluded, except in the case of intention or conscious recklessness by the management of Florensis.11.3 In all cases in which Florensis is obliged to pay damages, these will never be higher than, at its option, either the invoice value of the products delivered or of the advices rendered in connection with which the damages were incurred, or, if the damages are covered by an insurance policy of Florensis, the amount that is actually paid out by the insurer with respect thereto.11.4 Any claim toward Florensis, except those recognized by Florensis, lapses after a period of 12 months from the time the claim arose.11.5 Florensis’ employees and representatives, or independent contractors brought in by Florensis for the implementation of the agreement, can, toward the buyer, invoke all means of defence afforded by the agreement as if they themselves were party to that agreement.11.6 The buyer will hold harmless and indemnify Florensis, its employees, its independent contractors and its representatives for each claim by third parties in connection with the products delivered, the advices rendered and/or any other part of the agree-ment implemented by Florensis.

Article 12: Buyer’s default12.1 If the buyer does not fulfil one or more of his contractual obligations toward Florensis or does not fulfil them on time or adequately, all claims of Florensis on the buyer are immediately due without Florensis being obliged to give to the buyer any prior notice of default.12.2 In the case of buyer’s default under any agreement with Florensis, all obligations from Florensis toward the buyer lapse, both under the agreement in question and under all other agreements between the parties.

Article 13: Payment13.1 The buyer shall pay within 30 days from the date of invoice, unless advance payment has been stipulated or a longer pay-ment period has been agreed in writing. In case delivery has taken place but an invoice has not yet been sent, the buyer shall pay the agreed upon price within 30 days from delivery.13.2 If the buyer shall not have paid within the period mentioned in the precious section, he is automatically in default and without any need for further notice to that effect he will owe an interest of 1 % per month or part of a month from the due date over the amount unpaid including VAT, and without diminishing any other rights that Florensis is entitled to.13.3 All payments by buyer will take place without a right of suspension, discount or set of, into a bank account as directed by Florensis.13.4 At the request of Florensis, the buyer shall offer security for his present or future obligations flowing from the agreement as concluded. As long as the security is not put up. Florensis is entitled to suspend its own obligations from the agreement. If the security is not put up within a reasonable time stated by Florensis, Florensis is entitled to rescind the agreement in writing in whole or in part without any obligation to pay damages and without diminishing any of its other rights.13.5 All costs of collection incurred by Florensis, both of a court procedural or non procedural nature, are for the account of the buyer. The costs are at least 15% of the sum unpaid.

Article 14: Rescission and suspension14.1 If the buyer does not fulfil one or more of his obligations, or does not fulfil them on time or adequately, is declared bankrupt, requests (temporary) moratorium, or proceeds with the liquidation of his business, or if his assets are attached in whole or in part, Florensis is entitled to suspend the implementation of the agreement or to rescind the agreement in whole or in part, at its option, by a written statement without the need for a prior notification of default, and with full reservation of any claim to which it is entitled for cost, damages and interest. 14.2 The buyer is not entitled to cancel any order as soon as Florensis has received it, regardless of any performance under the order. If the buyer cancels any order anyway, for whatever reason, he is still obliged to pay the price that the order relates to.

Article 15 Disputes and applicable law15.1 All disputes between Florensis and buyer shall be heard exclusively by the competent court in the Court District of Rotter-dam.15.2 In addition, Florensis is at all times entitled to summon the buyer to appear before the court which is competent by law or by virtue of the applicable international convention.15.3 All agreements with Florensis are subject to Dutch law.15.4 In the case of a conflict between the Dutch version of these general conditions and the English version thereof, the Dutch version shall prevail.

General conditions of October 2012 for the sale and delivery of products by the limited companies according to Dutch law Florensis B.V., Florensis Breeding B.V., Toscana Breeding B.V., the general partnership Floha vof, with its seat in Zwijndrecht and Florensis Cut Flowers B.V., with its seat in Rijsenhout, all companies hereinafter individually to be called: ‘’Florensis’’.
