1. Call to Order Sarah Mellinger called the meeting to order at 5:32 pm. Sarah M. reviewed the scorecard with the Board and noted under Philanthropy that renewal gifts were higher than new gifts and that fits the trend with past years. It is a goal to reach 70% by summer. Sarah asks that Board Members consider making their annual gifts to CCF by June 30th to help meet that goal. Sarah sked for approval of the minutes. Becky suggested a formatting correction. Judy moved to approve the minutes with the correction. J.J. seconded the motion. The minutes were approved as corrected.

2. Financial Report Mike Zaccarello reviewed financial report with the board. He noted that soon the Chapman project would be moved to the completed projects list. Gary Krosch requested further explanation for the Family Center Playground funds and the DeMun Park funds. Patty addressed this question and noted that the Family Center funds would need to be shown as restricted.

3. Guest Speaker Catherine Werner, the first Sustainability Director for the City of St. Louis, presented on her experiences with her position and how those experiences connect to Clayton. Catherine discussed the development of St. Louis’s Sustainability Plan, Ecoliteracy, and the City Nature Project that utilizes a mobile app to create a biodiversity database for St. Louis.

4. Project Review Committee Update Sarah Melinger discussed the process for reviewing projects with the Board and noted in the recent Project Review Committee meetings, the group had whittled down a list of ideas and had discussion with the Board of Aldermen at a joint meeting. The project list will eventually be presented at a BOA meeting for official approval. Sarah M. hopes to allow more time for discussion at the next Board of Directors meeting in July.

5. Committee Reports Board Development: Cindy Rapponotti reported that the committee is reviewing the role of the Advisory Council and feel it is important to recruit stakeholders that have the ability to consult on matters pertaining to CCF. The committee is also actively working on a Board Engagement Survey that will be sent electronically to board members. Also, Cindy reminded the group that it is not too early to think about new board members and potential nominees. Major Gifts: In Steven’s absence, Judy reported that Major Gifts has been discussing locations and donor opportunities for Solar Trees. Additionally, DeMun Park is a current priority for fundraising. There will be a recognition opportunity for private donors on a plaque in the park. The group is working on developing a fact sheet for the project that can be widely circulated. Philanthropy: Judy noted that the Philanthropy message will continue to focus on Impact and how CCF has impacted the community. Philanthropy would like to coordinate messaging with Social Media. Judy also noted that the location for All That Glitters 2019 will be moving and could potentially move to Concordia. Community Building: Becky Patel distributed notecards to the board members and asked that they share something that they would highlight to describe CCF.

Becky asked Board Members to consider volunteering to assist at an upcoming CCF sponsored event like Picnic in the Park or Musical Nights in Oak Knoll Park. It was noted that email subscriber totals have dropped and wondered if the group had suggestions for the communications team. Some members noted that subscriber drop-off was not unique to CCF.

6. Core Initiative Committee Report Katie Lerwick reported that plans are in place for the fundraising event with Leslie Hindman but she is hoping for a few more attendees and hopes that if available, fellow board members will consider purchasing tickets for the event. CCF History is busy working on their next exhibit which will focus on Clayton Schools. Additionally, CCF History will be hosting two lectures in May and encourages people to attend and spread the word. There was some discussion regarding the promotion of events.

7. Board of Aldermen Liaisons Report Michelle will work with Sarah Melinger on the CF project list.

8. New Business Barbara discussed an enhancement for the Walking Tour App on Ottocast for the promotion of events or projects.

9. Adjourn The next meeting will be Wednesday, July 25, 2018 at 5:30pm. The meeting was adjourned.

Clayton Century Foundation Quarterly Board Meeting Guest Speaker Highlight: Parks About Rhonda Schier Rhonda served as a classroom teacher and adult educator for twenty years before joining the National Park Service in 2004 at Mount Rushmore National Memorial in South Dakota as an Education Specialist. Rhonda had served as a summer park ranger at Mount Rushmore at the beginning of her teaching career.

From Mount Rushmore Rhonda went to a position as Supervisory Park Ranger at Independence National Historical Park, in Philadelphia, home of Independence Hall and the Liberty Bell, and to Chief of Interpretation and Education at Valley Forge National Historical Park, and then Chief of Museum Services and Interpretation at Gateway National Park in St. Louis.

Rhonda supervises a team of researchers, curators, archivists and a librarian who investigate history and manage the park's library and museum collection, and a team of park guides, park rangers, education specialists, exhibit specialist and media specialists who present the history to the public and interpret the significance of the natural and cultural resources of the park. Rhonda coordinated and supervised the fabrication and installation of the museum exhibits that were revealed to the public upon the recent opening of the new Museum at the Gateway Arch.

Rhonda enjoys the many layers of public education, conservation and stewardship, staff development, team management, and visitor hospitality that are part of a National Park Service career.

Philanthropy - July 25, 2018

Philanthropy Committee Meetings for 2018

Our focus for Philanthropy is to enhance individual community member giving to CCF and to recognize and reward donors.

Highlights of 2018 to date below:

• Donation Totals: CCF has received over $45,000 from 122 contributions through June 2018.

• Spring Appeal: Successful launch of the 2018 Spring Donor appeal. Development of letter, pledge card and notes of appreciation completed.

• Board Member Appeal: Completion of Board member appeal on May 1, 2018. Current participation is currently 16 or 52% of the 31 Board members.

• Business Mailing: Philanthropy working in conjunction with the Major Gifts Committee determined the need to reach out to the Clayton business owners to support the efforts of CCF. The business appeal letter has been compiled and the list revised to exclude those organizations who currently support projects. Goal is to send out late July or early August 2018.

• DeMun Park: Working together with the Major Gifts Committee, we initiated community and

business town hall meeting to provide education to this ward regarding the project. Project appeal sheet was completed and will be used for business and community donor outreach. Funding for the playhouse has been secured.

• $1,000 Ralph Clayton Society: Committee discussion regarding increasing members in this level of giving and the appropriate forms of recognition.

• All That Glitters: Completion of the annual event to recognize the previous year (2017) donors at Oak Knoll Park #2. We also celebrated the ten-year anniversary of the foundation. Sponsorship from U.S. Trust/Bank of American Private Wealth Management and Patty and Gary Krosch was secured. The event garnered 100+ attendees and had excellent feedback. Investigation into possible locations for 2019 in progress.

Our efforts focus on major project needs assessment, development, sponsorship, completion and sustainability.

Highlights of 2018 to date below:

• Donor Meeting Status: Completion of monthly review of major individual and business donors. Committee to secure major gifts from individuals and corporations by fall of 2018. Interest has been expressed regarding solar trees, art near the ice rink, Historic Hanley House renovations, and DeMun Park enhancements. The committee has been working on possible gift opportunities for the multi-purpose arena when finalized.

• DeMun Park: Initiated community and business town hall meeting to provide education to this ward. Project appeal sheet was completed to be used for business and community donor outreach. Funding for the playhouse has been secured.

• Bike Stations: Bike stations and racks have been approved by the city.

• Solar Trees: Committee researched pricing, styles and potential locations. CCF created a project sheet to approach possible donors.

• Business Mailing Appeal: The Major Gifts Committee determined the need to reach out to the Clayton business owners to support the efforts of CCF. The business appeal letter has been compiled and the list revised to exclude those organizations who currently support projects.

• E-cabs: Conducted research on the possibility of bringing E-cabs to the city of Clayton including costs, span of service and the impact on sustainability for the city.

Community Building Report - July 25, 2018

Board Development Committee Meetings for Q2 2018 (and beyond). Meetings are held from 7:30-8:30am at the Center of Clayton.

Our efforts focus on Communication, Events, and Engagement. Highlights of Q2 2018 below:

• Events: o Picnic in the Park was held on June 3 at Shaw Park and CCF sponsored the band, Wild 3,

and hosted a scavenger hunt with giveaways such as beach balls. The event was well-attended and people provided good feedback afterward on the Facebook event page.

o The season’s first Musical Night at Oak Knoll Park was held on June 24, and Pennsylvania Slim provided the music. The event was well-attended but had to be cancelled about halfway through due to rain.

• Future events: o July 22, 5-7pm – Musical Night at Oak Knoll Park – Miss Jubilee & the Humdingers o August 26, 5-7pm – Musical Night at Oak Knoll Park – Trixie Delight Acoustic o September 23, 5-7pm – Musical Night at Oak Knoll Park – Midnight Piano Band

• Info Sheet: CCF Community Building developed a small info sheet about the foundation that we

can distribute at events and we have had it available at the Musical Nights.

• Otocast: In Q2 2018, the Clayton Walking Tour on Otocast was accessed 272 times. We are having signs printed to put at some of the most commonly visited sites on the tour to advise folks who may not know about Otocast that it is available. Potential sites include DeMun Park, the Egg at Shaw Park, Molecular Bloom with Single Flower, Oak Knoll Park (the homes), Uncertainty of Ground State Fluctuations, and the Taylor Park Flagpole.

• Social Media (FB & IG) and Communications: o The CCF Facebook page is now linked to our Instagram page and has been officially

recognized as a non-profit by Facebook. This will allow us to fundraise through the page and gives us credibility and higher status in search results.

o We published 13 posts on Facebook in June. We had 6 Instagram posts and filmed our first ever Instagram live video. We send on average two emails per month to our distribution list for a total of 14 emails so far in 2018.

o At the end of June, we had 314 Facebook likes and 320 Facebook followers. We had 148 followers on Instagram.

• DeMun Fundraising Campaign: We have initiated our first use of social media for fundraising

and are targeting the DeMun Park Project specifically. A significant portion of communications and information shared on FB and IG in the next quarter will be related to DeMun Park.

o WE ARE ASKING FOR THE HELP OF ALL BOARD MEMBERS When we make the fundraiser on Facebook active, we’ll ask you all to share it

with your friends and neighbors to increase community awareness and involvement.

We will also distribute an email that you can forward to your friends and neighbors if you or they are not on Facebook and they can donate through the website or over the phone.

Our efforts focus on Engagement, Education, Team Building. Highlights of 2018 to date below:

• Board Orientation: Completion of orientation of new board members on January 10 at the Caravus office.

• Board Education: Initiated Board education with guest speakers at quarterly board meetings on topics tied to our four pillars: Parks, History, Arts, Sustainability

• Board Survey: Design and implementation of Board survey to measure engagement and satisfaction of members. Report to be distributed at the July Board of Directors meeting.

• Board Commitment: Monthly review current members for engagement/involvement of one or more committees or a CCF project or initiative.

• Board Seats: Monthly evaluation of quantity of board seats open for 2019-2021. Monthly review of the process of seeking and reviewing board nominations. Slate of nominees to go to the Executive Committee and then to the BOD in September-October.

• Nomination process: Nomination deadline is August 31, 2018. Nomination forms to be sent to Cindy Rapponotti or Sarah Umlauf. Nomination form revisions have been completed, it has been expanded to guide nominators on essential skills, experience and dimensions of a potential board member.

• CCF Advisory Council: Discussions on this effort continue. Monthly discussions on the revival of the Ralph Clayton Society in conjunction with the Philanthropy committee.

The organization continues to evolve, and with the help of new volunteers. Hope we can do more effective fund raising.

Raise funds to endow/create full-time paid staff position(s) to augment contribution of part-time staff by the City. Tie everything back to the Strategic Plan and be overt about explaining the alignment to it. Update the Strategic Plan if needed.

Meeting space is a challenge. The Community Foundation is nice, but is not large enough for 100% board attendance.

This is a great organization doing great things for Clayton. Great team, loads of talent!

THIRD AMENDED BYLAWS OF

CLAYTON CENTURY FOUNDATION

Effective July 25, 2018

Pursuant to affirmative vote of the Corporation’s Board of Directors at a regularly scheduled meeting thereof, held on July 25, 2018, the Amended and Restated Bylaws, effective as of July 29, 2015, are further amended as follows:

A. In furtherance of the Board’s intent to increase the maximum number of voting Board members to thirty-three (33), in addition to the two (2) non-voting members designated to serve by the Board of Aldermen, the following amendment is adopted:

(1) Article Two, Section 2 (Directors, Number, Term and Qualification) is amended by deleting in its entirety its first sentence and inserting the following: “The Board of Directors shall consist of at least three but not more than thirty-three voting members in addition to two non-voting members designated to serve by the Board of Aldermen.”

These Third Amended Bylaws of Clayton Century Foundation are effective as of the 25th day of July 2018, having been adopted by a vote of a majority of the Board of Directors of the Corporation.

Clayton Century Foundation CCF History Report – July 25, 2018 Past Events

o Lecture Series, February 7, 2018 – Former Clayton High School Social Studies teacher, Donna Rogers Beard, presented her research on the history of the African American community in Clayton. This event was very well attended!

o Opulent, Ordinary and Objects of Vertu, April 26, 2018 – CCF History and Leslie Hindman Auctioneers collaborated on an appraisal event. This event was not as well attended as we would have liked, but the feedback was very positive, and Leslie Hindman indicated they would like to collaborate again at some point in the future. After accounting for expenses, CCF History netted $800 through ticket sales.

o Lecture Series, May 16, 2018 – Mark Goldfeder presented a lecture on the history of streetcars in St. Louis.

o Lecture Series, May 23, 2018 – CCF History hosted the Environmental Speaker Series, coordinated by the St. Louis Regional Historical Societies. Jeffery Manuel, Associate Professor of History at SIUE, presented Blessing or Boondoggle? A Historical Perspective on the Biofuel Debate.

Announcements

o CCF History has hired a temporary archivist/cataloguer to help complete the organization and cataloguing of the Collection. Samantha Kailas is highly qualified for the position, with experience in all areas of collections management - inventory, cataloguing, object handling, storage and mounting solutions, research, and curation. She will be starting towards the end of July and will be working a minimum of 10 hours per week.

Future Events/Plans

o CCF History’s next exhibit at the Heritage Center, September 2018 – School Days in Clayton is an overview of K through 12 schools in Clayton, both past and present. The mostly visual display will feature photographs from the Collection, as well as some borrowed from the School District of Clayton. A map display will pinpoint the locations of the schools as well as their opening and, if applicable, their closing dates. The exhibit will be highlighted with memories of former students’ school experiences in Clayton.

o Panel Discussion, September 26, 2018 – CCF History is organizing and hosting a panel discussion which will be moderated by Charlie Brennan. We are currently working on the confirming the three-person panel. The event will begin at 6pm with a reception for guests to view the new exhibit at the Heritage Center. The discussion will begin at 7pm. CCF History encourages all board members to attend – we anticipate a lively discussion!

o Historic Markers – CCF History will begin plans for the placement of historic markers in Clayton. o CCF History Meeting, Aug 15, 2018 @7:30am – CCF History has enjoyed a loyal (albeit small)

group of dedicated committee members since its inception ten years ago, but we need your help! We like to encourage any interested board members to attend our next committee meeting at the Heritage Center.

Clayton Century Foundation BOA Liaisons Report Submitted by Alderman Bridget McAndrew on behalf of herself and Alderman Joanne Boulton

I just wanted to update all of you on a few important issues that are on the agenda in the coming weeks. First, the Board of Aldermen is considering the addition of bike lanes on Maryland Avenue between Hanley and Gay Avenue. Maryland Avenue needs to be resurfaced and there are some important decisions to make regarding quality of life, connectivity and how we move forward in multi-modal transport decisions. As concerned and engaged citizens, I hope that you’ll tell us how you feel and attend some meetings in the weeks to come. Next, we are grateful to CCF for introducing us to the concept of E-Cabs. We enjoyed seeing the E-cab in person at our last meeting and look forward to hearing more about its zone of transport, its cost and its sustainability throughout Clayton. The ice rink is still an important project and we are looking for the best way to move ahead with it. We recently contracted with a construction manager to work with the City and the architect to evaluate the current design and hopefully bring the project back within our budget parameters. In the meantime, we all can enjoy another year skating at our current rink! Anderson Park has become such an important part of this community. As many of you know, it will close as a result of the impending MSD project. While it will reopen in the future, there are currently alternatives being explored to find a place for our Clayton dog park patrons. The Sustainability Committee has been reenergized under the direction of former Mayor Linda Goldstein. As a result of its work, the City recently endorsed OneStL’s regional greenhouse gas emission reduction efforts. Finally, we are currently in the process of reviewing the proposed 2019 budget. An important new part of that is funding for a new Parks and Recreation Master Plan. This will be a useful funding tool upon completion that the City and CCF can work together to help accomplish!

Ten years ago, an idea was floated to create a partner foundation to the City of Clayton with a purpose of raising private dollars to create a margin of excellence between what we should expect from our great municipal government and what we could and should be as a community.

A decade later the impact of the Clayton Century Foundation is impossible to ignore. Our generous community has produced nearly 1,000 gifts from residential neighbors, large corporate citizens, small businesses and granting authorities equating to over $10 million dollars of private investment.

In 2017, we opened our largest and most visible project to date – Chapman Plaza and Falls. The communal response was incredible and it’s clear that we have helped reshape the north end of Shaw Park. Additionally, we launched a digital art and history walking tour app as well as helped fund many other impactful projects.

We are so fortunate to live in this pride-filled community rich with philanthropic spirit. Clayton is Ours to Build, Ours to Share.

With continued support from CCF, the popular concert series, Musical Nights in Oak Knoll Park re-turned in teh summer of 2017 and was again a huge success. The series featured incredible music by Hudson & Friends, Midnight Piano Band, Bottom’s Up Blues Gang and Griffin and the Gargoyles.

Chapman Plaza and Falls

Chapman Plaza at Shaw Park incorporates a multi-sensory landscape featuring a plaza, cascading water, and a reflection pond. In addition to creating habitats for monarch butterflies and dragonflies, the cascade portion of the Chapman Plaza features a stepping garden and a seating grotto. The gift also includes funding to support the maintenance of the project for the next 20 years.

J.J. Flotken, President of the Clayton Century Foundation stated, “A gift of this magnitude to the Clayton Community is unparalled in modern times.”

With the ribbon cutting ceremony held on October 24, 2017, CCF celebrated the completion of its largest project to-date. It signified an outstanding accomplishment for our organization founded by citizens in 2008, with the goal of soliciting community support to complete priority projects that fell outside the funding scope for the City.

When approached by the Clayton Century Foundation, Bob Chapman did not hesitate to offer his enthusiastic support for the mission of the organization. With his vision, Chapman Plaza and Falls came to life. Mr. Chapman expressed his enthusiasm for this undertaking, “The gift of Chapman Plaza is in appreciation for all that our family has received from the community since moving to the St. Louis area in the 1940’s.” The Chapman plaque states it best. “The transformation of this corner’s steep hill into a magnificent plaza with its cascading waterfall symbolizes the extraordinary opportunities that life’s challenges make possible.”

It also encourages others with these thoughtful words, “May you be touched by the natural beauty of this plaza and inspired to consider how you can leave the world better than you found it.”

When approached by the Clayton Century Foundation, Bob Chapman did not hesitate to offer his enthusiastic support for the mission of the organization. With his vision, Chapman Plaza and Falls came to life. Mr. Chapman expressed his enthusiasm for this undertaking, “The gift of Chapman Plaza is in appreciation for all that our family has received from the community since moving to the St. Louis area in the 1940’s.” The Chapman plaque states it best. “The transformation of this corner’s steep hill into a magnificent plaza with its cascading waterfall symbolizes the extraordinary opportunities that life’s challenges make possible.”

It also encourages others with these thoughtful words, “May you be touched by the natural beauty of this plaza and inspired to consider how you can leave the world better than you found it.”

Ten years ago, an idea was floated to create a partner foundation to the City of Clayton with a purpose of raising private dollars to create a margin of excellence between what we should expect from our great municipal government and what we could and should be as a community.

A decade later the impact of the Clayton Century Foundation is impossible to ignore. Our generous community has produced nearly 1,000 gifts from residential neighbors, large corporate citizens, small businesses and granting authorities equating to over $10 million dollars of private investment.

In 2017, we opened our largest and most visible project to date – Chapman Plaza and Falls. The communal response was incredible and it’s clear that we have helped reshape the north end of Shaw Park. Additionally, we launched a digital art and history walking tour app as well as helped fund many other impactful projects.

We are so fortunate to live in this pride-filled community rich with philanthropic spirit. Clayton is Ours to Build, Ours to Share.
